ORDER

Mumbai, the 29th July, 2002

ICICI Bank/Sec 10.—Whereas, ICIC1 Bank Limited

(hereinafter referred to as "ICICI") is the "designated

person" of the Central Government within the meaning of

Section 16 of the SDFC (Abolition) Act, 1986 (hereinafter

referred to as "the said Act");

And Whereas, ICICI as designated person, is entitled

and has decided to exercise various special powers under

the provisions of Chapter III of the said Act;

And Whereas, the Board of Directors (hereinafter

referred to as "the said Board") of The Scindia Steam

Navigation Company Limited (hereinafter referred to as

"the said Company"), a public company within the meaning

of the Companies Act, 1956 and having its Registered

Office at Scindia House, Narottam Morarjee Marg, Ballard

Estate, Bombny-400 038 is constituted of Directors who

have been appointed by ICICI/Central Government in terms

of Section 10 of the said Act.

And Whereas, it has been decided to appoint on the

said Board Dr Sanjay Chougule in place of the Director

Shri K.V.Unni;

Now, Therefore, in order to give effect to the aforesaid

change, in pursuance of the provisions of Section 10 of the

said Act, it is hereby ordered and declared that;

1. Dr. Sanjay Chougule be and is hereby appointed

on the said Board as a Director in place of Shn K. V. Unni.

All other remaining directors will continue in office

unless notified otherwise.

This Order shall come into force with effect from

30th July, 2002.
