NOTICE

THE SHAREHOLDERS OF STATE BANK OF MYSORE

S&B/Elec-2016.—That, the General Meeting of Shareholders of State Bank of Mysore is hereby convened on

Friday the 12th February, 2016 at 11.30 am [IST] at Woodlands Hotel Pvt. Ltd. No.5, Rajaram Mohan Roy Road,

Bangalore-560 025 for the purpose of election of a Director under section 25(1)(d) of the State Bank of India

[Subsidiary Bank] Act, 1959 (hereinafter referred to as “the Act”).

The number of Directors to be elected under section 25(1)(d) of the Act, is one. The vacancy is required to be

filled consequent to the expiry of the term of the Director on the Board of the Bank, Sh. S. Ramasubramanian. His term

expires on 14.02.2016.

Accordingly, nominations are invited from the registered shareholders of the Bank in accordance with the

norms prescribed in Regulation 32 of the Subsidiary Banks General Regulations, 1959 (as may be amended from time

to time).

Nominations in the format as prescribed by the Bank, along with all connected documents should reach the

Bank at the following address on or before 21^st January, 2016 during working hours [i.e. before 5.00 pm].

The calendar of events for conduct of the election, the General Meeting and procedure of election has been

displayed on the Notice Board at the Bank’s Head Office and also in the Bank’s website.

•

Nominations received should conform to the requirements contained in Regulation 32(1) of the Subsidiary

Bank General Regulations, 1959 (as may be amended from time to time). Please note that according to

Regulation 32(1) (c) of the Subsidiary Banks General Regulations, 1959 (as may be amended from time to

time) the Declaration is required to be signed by the candidate before a Judge, Magistrate, Justice of Peace,

Registrar or Sub-Registrar of Assurances, or other Government Gazetted Officer or an officer of the State

Bank of India or the Subsidiary Bank.

•

In the event of receipt of only one valid nomination for the above vacancy, the candidate’s validity nominated

for such vacancy shall be deemed to be elected and there shall not be any election and the above General

Meeting shall stand cancelled in terms of the Regulation 33(1) of the Subsidiary Banks General Regulations,

1959 (as may be amended from time to time). The name and address of the candidate so elected will be

published well before the date fixed for the General Meeting in the leading News Papers.

For the convenience of esteemed shareholders and for orderly conduct of the election in the General Meeting,

the registration of shareholders will commence at 9:30 a.m. and close at 11:00 a.m.

Since the election is to be held in a General Meeting, the esteemed shareholders are notified of the powers of

the Chairman at such meeting as provided in the regulation 21(2) of the Subsidiary Banks General Regulations

(as may be amended from time to time) which reads as under:

“The person presiding at a General Meeting shall regulate the procedure at the General Meeting, and, in particular,

shall have the power to decide the order in which shareholders may address the meeting, to fix a time limit for

speeches, to apply the closure which, in his opinion, any matter has been sufficiently discussed and to adjourn the

meeting.”
