का.आ. 4090(अ).—के᭠ᮤीय सरकार, कंपनी अिधिनयम, 2013 (2013 का 18) कᳱ धारा 458 ᳇ारा ᮧदᱫ शिᲦयᲂ का ᮧयोग
करते ᱟए, और, भारत के राजपᮢ असाधारण, भाग II, खंड 3, उपखंड (ii) तारीख 10 जुलाई, 2012 मᱶ का.आ. 1539(अ) तारीख 10
जुलाई, 2012 ᳇ारा ᮧकािशत भारत सरकार के कारपोरेट कायᭅ मंᮢालय कᳱ अिधसूचना का, और भारत के राजपᮢ, असाधारण, भाग II,
खंड 3, उपखंड (ii) तारीख 21 मई, 2014 मᱶ का.आ. 1352(अ) तारीख 22 मई, 2014 ᳇ारा ᮧकािशत कारपोरेट कायᭅ मंᮢालय कᳱ
अिधसूचना को भी, उन बातᲂ के िसवाय, िज᭠हᱶ ऐसे अिधᮓमण से पूवᭅ ᳰकया गया था या करने का लोप ᳰकया गया था, का अिधᮓमण करते
ᱟए मुंबई, कोलकाता, चे᳖ई, नई ᳰद᭨ली, अहमदाबाद, हैदराबाद और िशलांग के ᮧादेिशक िनदेशकᲂ को, उᲦ अिधिनयम कᳱ िन᳜िलिखत
धाराᲐ के अधीन इस शतᭅ के अधीन रहते ᱟए शिᲦयां और कृ᭜य िनिहत करती है ᳰक के᭠ᮤीय सरकार उसकᳱ राय मᱶ, लोकिहत मᱶ यᳰद ऐसा
करना आव᭫यक समझती है तो उᲦ धाराᲐ के अधीन इन शिᲦयᲂ के ᮧ᭜यायोजन को वापस ले सकेगी या शिᲦयᲂ का ᭭वयं ᮧयोग कर
सकेगी, अथाᭅत् :-
(क) धारा 8 कᳱ उपधारा (4) का खंड (i) (अ᭠य ᮧकार कᳱ कंपनी मᱶ संपᳯरवतᭅन के मामले मᱶ ᭄ापन के पᳯरवतᭅन के िलए);
(ख) धारा 8 कᳱ उपधारा (6);
(ग) धारा 13 कᳱ उपधारा (4) और उपधारा (5);
(घ) धारा 16;
(ङ) धारा 87;
(च) धारा 111 कᳱ उपधारा (3);
(छ) धारा 140 कᳱ उपधारा (1);
(ज) धारा 230 कᳱ उपधारा (5);
(झ) धारा 233 कᳱ उपधारा (2), उपधारा (3), उपधारा (4), उपधारा (5), और उपधारा (6);

(ञ) 272 कᳱ उपधारा (3) का पहला और दूसरा पर᭠तुक;

NOTIFICATION
New Delhi, the 19th December, 2016
S.O. 4090(E).—In exercise of the powers conferred by Section 458 of the Companies Act, 2013 (18 of 2013),
and in supersession of the notification of the Government of India, in the Ministry of Corporate Affairs, dated the
10th July, 2012, published in the Gazette of India, Extraordinary, Part II, Section 3, sub-section (ii) vide number
S.O. 1539(E), dated the 10th July, 2012, and also in supersession of the notification of the Government of India, in the
Ministry of Corporate Affairs, dated the 21st May, 2014, published in the Gazette of India, Extraordinary, Part II, Section
3, sub-section (ii) vide number S.O. 1352(E), dated the 22nd May, 2014, except as respects things done or omitted to be
done before such supersession, the Central Government hereby delegates to the Regional Directors at Mumbai, Kolkata,
Chennai, New Delhi, Ahmedabad, Hyderabad and Shillong, the powers and functions vested in it under the following
sections of the said Act, subject to the condition that the Central Government may revoke such delegation of powers or
may itself exercise the powers under the said sections, if in its opinion such a course of action is necessary in the public
interest, namely :—
(a) clause (i) of sub-section (4) of section 8 (for alteration of memorandum in case of conversion into another kind of
company);
(b) sub-section (6) of section 8;
(c) sub-sections (4) and (5) of section 13;
(d) section 16;
(e) section 87;
(f) sub-section (3) of section 111;
(g) sub-section (1) of section 140;
(h) sub-section (5) of section 230;
(i) sub-sections (2), (3), (4), (5) and (6) of section 233;
(j) first and second proviso of sub-section (3) of section 272;
(k) sub-section (1) of section 348;
(l) sections 361, 362, 364 and 365
(m) clause (i) of the proviso to sub-section (1) of section 399 and
(n) section 442.
2. This notification shall come into force with effect from the date of its publication in the Official Gazette.
