सा.का.िन. 70(अ).—के᭠ᮤीय सरकार, कंपनी अिधिनयम, 2013 (2013 का 18) कᳱ धारा 469 कᳱ उपधारा (1) और (2) ᮧदᱫ

शिᲦयᲂ का ᮧयोग करते ᱟए कंपनी (िनगमन) िनयम, 2014 मᱶ और संशोधन करने के िलए िन᳜िलिखत िनयम बनाती है, अथाᭅत्—

1. (1) इन िनयमᲂ का संिᭃ᳙ नाम कंपनी (िनगमन) संशोधन िनयम, 2017 है।

(2) ये िनयम 30 जनवरी, 2017 को ᮧवृᱫ हᲂगे।

2. कंपनी (िनगमन) िनयम, 2014 (िजसे यहां इसके प᳟ात् मूल िनयम कहा गया है) मᱶ, मूल िनयमᲂ मᱶ िनयम 18 के ᭭थान पर

िन᳜िलिखत िनयम रखा जाएगा अथाᭅत्

“18.िनगमन ᮧमाणपᮢ कंपनी रिज᭭ᮝार ᳇ारा ᮧᱨप सं᭎या आईएनसी-11 मᱶ जारी ᳰकया जाएगा और िनगमन ᮧमाणपᮢ मᱶ कंपनी को

᭭थाई खाता सं᭎या (पैन) का उ᭨लेख होगा, यᳰद आयकर िवभाग ᳇ारा यह जारी ᳰकया गया हो।”

3. मूल िनयमᲂ मᱶ, ᮧᱨप सं. आईएऩसी 11 के ᭭थान पर िन᳜िलिखत ᮧᱨप रखा जाएगा, अथाᭅत्:—

ᮧमाणपᮢ कारबार संचालन या जनता से िनᭃेप या िनिधयᲂ आमंिᮢत करने कᳱ अनु᭄ि᳙ या अनु᭄ा नहᱭ देता है। जहां कहᱭ अपेिᭃत हो

सै᭍टर िनयामक कᳱ अनु᭄ा आव᭫यक है। कंपनी कᳱ रिज᭭ᮝीकरण ᮧाि᭭थत और अ᭠य ᭣यौरे www.mca.gov.in से स᭜यािपत ᳰकए जा

सकते हᱹ।

मᱹने कारपोरेट कायᭅ मंᮢालय (एमसीए) के पोटᭅल मᱶ उपल᭣ ध खोज सुिवधाᲐ का उपयोग पूवᭅ से रिज᭭ᮝीकृत अथवा पूवᭅ मᱶ अनुमोᳰदत

नामᲂ वाली कंपिनयᲂ व सीिमत देयता भागीदाᳯरयᲂ (एलएलपी) के साथ ᮓमश: ᮧ᭭ तािवत नाम कᳱ समानता कᳱ जांच के िलए ᳰकया

है। मᱹने रिज᭭ᮝीकृत ᮝेडमाकᭅ और ᮝेडमाकᭅ अिधिनयम, 1999 के अधीन ᳰकसी आवेदन मᱶ ᮝेडमाकᭅ िवषय के साथ ᮧ᭭तािवत नाम कᳱ

सदृ᭫यता जांचने के िलए भी खोज सुिवधाᲐ का ᮧयोग ᳰकया है और ᮧ᭭तािवत नाम कᳱ सदृ᭫यता के िलए ᮧांसिगक खोज ᳰकए है

िजससे मुझे संतुि᳥ हो जाए ᳰक नाम कᳱ सदृ᭫यता के िलए बने अिधिनयम के उपाबंध और इसके िनयमᲂ कᳱ अनुपालना कᳱ जा रही है।

ᮧ᭭तािवत नाम ने संᮧतीक और नाम (अनुिचत उपयोग िनवारण) अिधिनयम, 1950 के उपबंधᲂ का उ᭨ लंघन नहᱭ ᳰकया है और समय-

समय पर इसका संशोधन ᳰकया जाता है।

ᮧ᭭तािवत नाम ᳰकसी भी वगᭅ के लोगᲂ के िलए अपमानजनक नहᱭ है अथाᭅत ᮧ᭭ तािवत नाम मᱶ ऐसी ᳰकसी ᮧकार कᳱ आचार᳥᮪ता

अथवा श᭣ द या वा᭍ यांश अंतᳶव᳥ नहᱭ है जो सामा᭠यतः ᳰकसी जातीय समूह, धमᭅ, ᳲलग या परंपरा के िलए आपिᱫजनक हो।

*कंपनी ᳇ारा ᮧ᭭ तािवत नाम का उपयोग ᳰकसी भी िविध के अधीन आपि᭜ तजनक नहᱭ होगा।

यᳰद बाद मᱶ यह नाम कंपनी अिधिनयम, 2013 कᳱ धारा 4(2) और धारा 4(4) के उपबंधᲂ व इसके िनयमᲂ का उ᭨ लंघन करते ᱟए

पाया गया तो इसके पᳯरणाम के िलए मᱹ पूरी तरह से िज᭥ मेदारी उठाने के िलए तैयार ᱠं और मᱹने कंपनी अिधिनयम, 2013 कᳱ धारा

4(5) (ii)(क) और (ख) के उपबंधᲂ और उसके िनयमᲂ को पढ़ा और समझा है और इसके पᳯरणाम के िलए ᭭ वयं को उᱫरदायी घोिषत

करता ᱠं।

(1) These rules may be called the Companies (Incorporation) Amendment Rules, 2017.

(2) They shall come into force on the 30^thday of January, 2017.

2. In the Companies (Incorporation) Rules, 2014 (hereinafter referred to as the principal rules) for rule 18, the

following rule shall be substituted, namely:-

“18. The Certificate of Incorporation shall be issued by the Registrar in Form No.INC-11 and the Certificate of

Incorporation shall mention permanent account number of the company where it is issued by the Income-tax

I have gone through the provisions of the Companies Act, 2013, the rules thereunder and prescribed

guidelines framed thereunder in respect of reservation of name, understood the meaning thereof and the

checking the resemblance of the proposed name with the companies and Limited Liability partnerships
