1992 (1992 का 15) क धारा 30 के अधीन द शिय का योग करते ए एतारा भारतीय ितभूित और िविनमय

बोड ( ितभूित बाजार से संबंिधत कपटपूण और अऋजु !ापा"रक !वहार का ितषेध) िविनयम, 2003 का और संशोधन

करने के िलए िन)िलिखत िविनयम बनाता है, अथात्:

इन िविनयम को भारतीय ितभूित और िविनमय बोड ( ितभूित बाजार से संबंिधत कपटपूण और अऋजु

!ापा"रक !वहार का ितषेध) (संशोधन) िविनयम, 2018 कहा जा सकेगा ।

वे 1 फरवरी, 2019 को वृ (लागू) हगे ।

भारतीय ितभूित और िविनमय बोड ( ितभूित बाजार से संबंिधत कपटपूण और अऋजु !ापा"रक !वहार का

ितषेध) िविनयम, 2003 म0,

िविनयम 2 म0, उप-िविनयम (1) म0, खंड (ख) िन)िलिखत से ित1थािपत हो जाएगा, अथात्:

"(ख) “ ितभूितय म0 !ौहार (डी4लंग)” म0 शािमल है:

(i)

कसी ितभूित (िस6यू"रटी) के कसी िनगम (इ8यू) के अनुसरण म0 खरीदना (9य करना), बेचना

(िव9य करना) या पैसा लगाना (अिभदान करना / स:19ाइब करना) अथवा कसी ितभूित

(िस6यू"रटी) के कसी िनगम (इ8यू) म0 खरीदने, बेचने या पैसा लगाने (अिभदान करने / स:19ाइब

करने) के िलए सहमत होना अथवा कसी ितभूित (िस6यू"रटी) म0 कसी भी कार से अ;यथा

लेन-देन (सं!वहार / <ांजै6शन) करना, क;ह? !िय @ारा [िजनम0 मािलक (4 ंिसपल),

अिभकता (एज0ट) या अिधिनयम क धारा 12 म0 उिBलिखत मCयवतD (इंटरमीिडयरी) शािमल है];

(ii)

ऐसे काय जो जानबूझकर इस कार कए जाएं क उनका असर ितभूितय (िस6यू"रटीज़) म0

िनवेश (िविनधान) करने वाले िनवेशक (िविनधानकताF) के िनणय (िविनGय) पर पड़े; और

(iii)

उपरो कायH को करने म0 सहायता दान करने हेतु कया जाने वाला कोई काय"

िविनयम 4 म0,-

(क)

शीषक िन)िलिखत से ित1थािपत हो जाएगा, अथात्:-

“हेराफेरीयु (छलसाधक), कपटपूण और अऋजु (अनुिचत) !ापा"रक !वहार का ितषेध”

(ख)

उप-िविनयम (1) िन)िलिखत से ित1थािपत हो जाएगा, अथात्:-

“(1)

िविनयम 3 के ावधान (उपबंध) पर ितकूल भाव डाले िबना, कोई भी !ि ितभूित

बाजार (िस6यू"रटीज़ माकJ Kस) म0 हेराफेरीयु, कपटपूण या अऋजु (अनुिचत) !ापा"रक !वहार म0 िलL

नह? होगा ।”

(ग)

उप-िविनयम (2) म0,-

श:द और िचNन “ ितभूितय म0 !ौहार कपटपूण या अऋजु !ापा"रक !वहार समझा

जायेगा यद यह कपट म0 अंतविलत होता है और इसके अंतगत िन)िलिखत म0 से सम1त

या कोई हो सकेगा, अथात्” िन)िलिखत से ित1थािपत हो जाएंगे, अथात्:-

“ ितभूितय म0 !ौहार (डी4लंग) हेराफेरीयु, कपटपूण या अऋजु (अनुिचत) !ापा"रक

!वहार समझा जाएगा, यद उसम0 िन)िलिखत म0 से कोई शािमल हो”;

ii.

खंड (क) से खंड (ज) िन)िलिखत से ित1थािपत हो जाएंगे, अथात्:-

“(क) ऐसे कसी काय म0 जानबूझकर िलL रहना, िजससे ितभूित बाजार (िस6यू"रटीज़

माकJ ट) म0 !ापार का िमOया या Pामक Qप सृिजत हो;

(ख) ितभूित म0 ऐसा !ौहार (डी4लंग) जो िहतािधकारी 1वािमRव (बेिनफिशयल

ओनरिशप) का अंतरण (<ांसफर) करने के इरादे से न कया जाए, बिBक वह केवल गलत

तरीके से मुनाफा (लाभ) कमाने या नुकसान से बचने के िलए ऐसी ितभूित (िस6यू"रटी)

क कमत को बढ़ाने, घटाने या उसम0 उतार-चढ़ाव लाने के इरादे से कया जाए;

(ग) ितभूितय (िस6यू"रटीज़) के कसी िनगम (इ8यू) म0 कपटपूण तरीके से ;यूनतम

अिभदान (सि:19Sशन) ाL करने के िलए कसी !ि को पैसा देकर या पैसा देने के

िलए सहमत होकर या कसी अ;य तरीके से कसी अ;य !ि को ितभूितय के ऐसे

िनगम म0 पैसा लगाने (स:19ाइब करने) के िलए उकसाना (उR े"रत करना);

(घ) बनावटी (कृिTम) Qप से क;ह? ितभूितय (िस6यू"रटीज़) क कमत को बढ़ाने,

घटाने, कायम रखने या उसम0 उतार-चढ़ाव लाने हेतु ऐसी ितभूितय म0 !ौहार

(डी4लंग) करने के िलए कसी !ि को, कसी भी तरीके से (िजसम0 शािमल है - कसी

!ि को, RयU Qप से या अ RयU Qप से, पैसा या पैसे के समतूBय कुछ अदा करना,

अदा करने क पेशकश करना अथवा अदा करने या अदा करने क पेशकश करने के िलए

सहमत होना) उकसाना (उR े"रत करना);

(ङ) ऐसा कोई काय िजसे करने या न करने क वजह से ितभूित (िस6यू"रटी) क कमत

म0 हेराफेरी हो जाए [िजसम0 शािमल है – क;ह? ितभूितय क संदभ कमत (रेV0 स

ाइस) या ब0चमाक कमत पर असर डालना या उसम0 हेराफेरी करना];

(च) ितभूितय (िस6यू"रटीज़) म0 !ौहार (डी4लंग) करने से पहले या के दौरान,

ितभूितय म0 !ौहार करने वाले !ि @ारा ितभूितय से संबंिधत कोई ऐसी

जानकारी [िजसम0 िवीय प"रणाम, िवीय िववरण, िवलय (मजर) तथा अजन

(एWिज़शन), िविनयामक मंजू"रयाँ शािमल हY] जो सRय न हो या िजसके बारे म0 उसका

यह मानना हो क वह सRय नही है, जानबूझकर कािशत करना या कािशत करवाना

अथवा उसक "रपोट करना या "रपोट करवाना;

(छ) ितभूितय (िस6यू"रटीज़) म0 इस इरादे से लेनदेन (सं!वहार / <ांजे6शन) करना

क वह पूरा न हो या उससे ऐसी ितभूित के 1वािमRव म0 कोई प"रवतन न हो;

(ज) चुराई ई, नकली (कूटकृत) या कपटपूण तरीके से जारी क गई ितभूितय

(िस6यू"रटीज़) [फर चाहे वे कागज़ी Qप म0 ह या गैर-कागज़ी Qप म0] क िब9 करना,

उनम0 !ौहार (डील) करना या उ;ह0 िगरवी रखना:

परंतु यह क यद:-

(i)

चुराई ई, नकली (कूटकृत) या कपटपूण तरीके से जारी क गई

ितभूितय (िस6यू"रटीज़) क िब9 करने वाला, उनम0 !ौहार

(डील) करने वाला या उ;ह0 िगरवी रखने वाला !ि आगे चलकर उन

ितभूितय का धारक (होBडर) बन गया हो; या

(ii)

चुराई ई, नकली (कूटकृत) या कपटपूण तरीके से जारी क गई

ितभूितय (िस6यू"रटीज़) म0 पहले कभी बाजार म0 सZावपूवक Qप

से कए गए लेनदेन (सं!वहार / <ांजे6शन) के ज"रए !ापार आ हो

(<े4डंग ई हो),

तो चुराई ई, नकली (कूटकृत) या कपटपूण तरीके से जारी क गई

ितभूितय (िस6यू"रटीज़) को इस तरह से बेचने, उनम0 इस तरह से

!ौहार (डी4लंग) करने या उ;ह0 इस तरह से िगरवी रखने को

हेराफेरीयु, कपटपूण या अऋजु (अनुिचत) !ापा"रक !वहार नह?

समझा जाएगा;”;

iii.

खंड (झ) का लोप हो जाएगा;

iv.

खंड (ञ) का लोप हो जाएगा;

खंड (ट) िन)िलिखत से ित1थािपत हो जाएगा, अथात्:-

“(ट) कसी मीिडया (फर चाहे वह फिज़कल हो या िडिजटल) के ज"रए ऐसी जानकारी

या सलाह सा"रत करना, िजसके बारे म0 उस जानकारी या सलाह को सा"रत करने

वाले !ि को यह पता हो क वह िमOया या Pामक है और जो ितभूितय म0 !ौहार

(डी4लंग) करने वाले िनवेशक (िविनधानकताF) के िनणय (िविनGय) पर असर डालने

के मकसद से गढ़ी जाए या िजससे ितभूितय म0 !ौहार (डी4लंग) करने वाले िनवेशक

के िनणय पर असर पड़ने क संभावना हो;”;

vi.

खंड (ठ) का लोप हो जाएगा;

vii.

खंड (ड) से (न) िन)िलिखत से ित1थािपत हो जाएगा, अथात्:-

“(ड) यद कोई बाजार सहभागी (माकJ ट पा\टिसप0ट) ]ाहक क जानकारी के िबना या

]ाहक के अनुदेश के िबना ]ाहक क ओर से लेनदेन (सं!वहार / <ांजे6शन) करता हो

अथवा वै^ािसक हैिसयत से धा"रत ]ाहक क िनिधय (फं_स) या ितभूितय

(िस6यू"रटीज़) का दु`पयोग करता हो या उनका अ;यT उपयोग करता हो;

(ढ़) !िय [िजनम0 मCयवतD (इंटरमीिडयरीज़) भी शािमल हY] के बीच ितभूित

(िस6यू"रटी) क बाबत लेन-देन (सं!वहार) आपस म0 घुमाना (सकु लर <ांजे6शन करना),

िजससे बनावटी तौर पर ऐसी ितभूित म0 !ापार (<े4डंग) का िमOया Qप सृिजत हो

अथवा िजससे ऐसी ितभूित क कमत को बढ़ाया जाए, घटाया जाए या उसम0 उतार-

चढ़ाव लाया जाए;

(ण) बाजार सहभागी (माकJ ट पा\टिसप0ट) @ारा कसी !ि को, अपनी दलाली या

कमीशन या आय बढ़ाने के उaे8य से, ितभूितय (िस6यू"रटीज़) म0 !ौहार (डील) करने

के िलए कपटपूण तरीके से उकसाना (उR े"रत करना);

(त) मCयवतD (इंटरमीिडयरी) का अिभलेख ("रकॉड) [िजनम0 संिवदा नोट (कॉc<ै6ट

नोट), ]ाहक के अनुदेश, शेष ितभूितय संबंधी िववरण, ]ाहक के खाता िववरण

शािमल हY] पर पुरानी तारीख डालना या अिभलेख ("रकॉड) का कसी अ;य कार से

िमOयाकरण करना;

(थ) कसी !ि @ारा ितभूितय (िस6यू"रटीज़) हेतु उस समय कोई सौदा (ऑडर)

डालना, जब उसके पास RयU `प से या अ RयU `प से उन ितभूितय, उनक

अंडरलाइंग ितभूितय या उसक !ुRपeी (डे"रवे"टव) म0 जBद होने वाले बड़े लेन-देन

(सं!वहार / <ांजे6शन) से संबंिधत ऐसी कोई जानकारी हो जो सावजिनक `प से

उपल:ध न हो;

(द) जानबूझकर िमOया या Pामक खबर बनाना या जानकारी सृिजत करना िजससे

ितभूितय (िस6यू"रटीज़) क िब9 या खरीद को लेकर उकसाया (उR े"रत कया) जा

सके;

(ध) ितभूित बाजार (िस6यू"रटीज़ माकJ ट) से संबंिधत ितभूितय (िस6यू"रटीज़) या

सेवाF क गलत-िब9;

पीकरण - इस खंड के योजनाथ, “गलत-िब9” (गलत-िव9य) से कसी !ि

@ारा, RयU Qप से या अ RयU Qप से, -

(i)

जानबूझकर िमOया या Pामक कथन करते ए, या

(ii)

जानबूझकर महfवपूण तOय को िछपाते ए अथवा उनका लोप करते ए, या

(iii)

जानबूझकर उससे जुड़े जोिखम को िछपाते ए, या

(iv)

9ेता (खरीददार) के िलए ितभूितयाँ (िस6यू"रटीज़) या सेवा उपयु है या

नह? इस बात को सुिनिGत करने हेतु समुिचत सावधानी न बरतते ए,

ितभूित बाजार (िस6यू"रटीज़ माकJ ट) से संबंिधत ितभूितय या सेवाF क िब9

अिभ ेत है ।

(न) कसी !ि @ारा कोई सामूिहक िनवेश (िविनधान) 1कम ायोिजत करके या

ायोिजत करवाकर अथवा चलाकर या चलवाकर गैर-कानूनी तरीके से पैसा (िनिध /

फंड) जुटाना ।”;

viii.

उप-िविनयम (2) का 1पgीकरण िन)िलिखत से ित1थािपत हो जाएगा, अथात्:-

1 - इस उप-िविनयम के योजनाथ, शंकाF को दूर करने के िलए, यह

1पg कया जाता है क इस उप-िविनयम म0 ऊपर कुछ करने या न करने के बारे म0 जो

िज9 है वह अपने आप म0 संपूण नह? है और यह क ऐसा कुछ करना या न करना भी

ितिषh है यद वह िविनयम 3 के दायरे म0 आता हो, इस बात के होते ए भी क वह

इस उप-िविनयम म0 शािमल नह? है या उसके बारे म0 इस उप-िविनयम म0 केवल चु4नंदा

वग के !िय @ारा ही कए जाने का िज9 कया गया है ।

2 - बाजार सहभागी (माकJ ट पा\टिसप0ट) म0 अिधिनयम क धारा 12 के

तहत रिज1<ीकृत कोई !ि या एं"टटी और उसके कमचारी तथा अिभकता (एज0ट)

(Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market)

(Amendment) Regulations, 2018

No. SEBI/LAD-NRO/GN/2018/56 .—In exercise of the powers conferred under section 30 of the Securities

and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following Regulations to further

amend the Securities and Exchange Board of India (Prohibition of Fraudulent and Unfair Trade Practices relating to

Securities Market) Regulations, 2003, namely:

These regulations may be called the Securities and Exchange Board of India (Prohibition of Fraudulent and

Unfair Trade Practices relating to Securities Market) (Amendment) Regulations, 2018.

They shall come into force on February 01, 2019.

In the Securities and Exchange Board of (Prohibition of Fraudulent and Unfair Trade Practices relating to

Securities Market) Regulations, 2003,

(1)

in regulation 2, in sub-regulation (1), clause (b) shall be substituted with the following, namely:

“(b)

“dealing in securities” includes:

(i)

an act of buying, selling or subscribing pursuant to any issue of any security or agreeing to

buy, sell or subscribe to any issue of any security or otherwise transacting in any way in any security by any

persons including as principal, agent, or intermediary referred to in section 12 of the Act;

(ii)

such acts which may be knowingly designed to influence the decision of investors in

securities; and

(iii)

any act of providing assistance to carry out the aforementioned acts”

(2)

in regulation 4,-

(a)

in sub-regulation (1), after the word “a” and before the word “fraudulent”, the word “manipulative,”

shall be inserted.

(b)

in sub-regulation (1), after the word “securities”, the word “markets” shall be inserted.

(c)

in sub-regulation (2),

after the word 'a' and before the word 'fraudulent', the word 'manipulative,' shall be inserted;

ii.

the words 'fraud and may included all or any of the following, namely' shall be substituted

with the words “any of the following”;

iii.

in clause (a) before the word “indulging”, the word 'knowingly' shall be inserted;

iv.

in clause (c) shall be substituted with the following:

"(c) inducing any person to subscribe to an issue of the securities for fraudulently securing the

minimum subscription to such issue of securities, by advancing or agreeing to advance any

money to any other person or through any other means;"

the clause (d) shall be substituted with the following, namely:

"(d) inducing any person for dealing in any securities for artificially inflating, depressing,

maintaining or causing fluctuation in the price of securities through any means including by

paying, offering or agreeing to pay or offer any money or money's worth, directly or

indirectly, to any person;"

vi.

in the clause (e), after the word security the words "including, influencing or manipulating the

reference price or bench mark price of any securities" shall be inserted;

vii.

in the clause (f) before the word 'publishing', the word 'knowingly' shall be inserted;

viii.

in the clause (f) after the word 'information' and before the word 'which' the words "relating to

securities, including financial results, financial statements, mergers and acquisitions,

regulatory approvals," shall be inserted;

ix.

the clause (h) shall be substituted with following, namely:

"selling, dealing or pledging of stolen, counterfeit or fraudulently issued securities whether in

physical or dematerialized form:

Provided that if:-

(i)

the person selling, dealing in or pledging stolen, counterfeit or fraudulently issued

securities was a holder in due course; or

(ii)

the stolen, counterfeit or fraudulently issued securities were previously traded on the

market through a bonafide transaction,

such selling, dealing or pledging of stolen, counterfeit or fraudulently issued securities shall

not be considered as a manipulative, fraudulent, or unfair trade practice;";

the clause (i) shall be omitted;

xi.

the clause (j) shall be omitted;

xii.

the clause (k) shall be substituted with the following, namely:

"disseminating information or advice through any media, whether physical or digital, which

the disseminator knows to be false or misleading and which is designed or likely to influence

the decision of investors dealing in securities;"

xiii.

the clause (l) shall be omitted;

xiv.

the clause (m) shall be substituted with the following, namely:

"a market participant entering into transactions on behalf of client without the knowledge of or

instructions from client or misutilizing or diverting the funds or securities of the client held in

fiduciary capacity";

xv.

in the clause (n), after the word 'between' and before the word 'provide', the words "

intermediaries in order to increase commission to" shall be substituted with the words

"persons including intermediaries to artificially";

xvi.

the clause (o) shall be substituted with the following, namely:

"fraudulent inducement of any person by a market participant to deal in securities with the

objective of enhancing his brokerage or commission or income; ";

xvii.

in the clause (p) after the word 'records' the words "such as contract notes" shall be substituted

with the words " including contract notes, client instructions, balance of securities statement,

client account statements";

xviii.

the clause (q) shall be substituted with the following, namely:

"any order in securities placed by a person, while directly or indirectly in possession of

information that is not publically available, regarding a substantial impending transaction in

that securities, its underlying securities or its derivative;" ;

xix.

in the clause (r) before the word 'planting' the word 'knowingly' shall be inserted;

xx.

in the clause (r) after the word "news" and before the word 'which', the words 'or information'

shall be inserted;

xxi.

the clause (s) shall be substituted with the following, namely;

"mis-selling of securities or services relating to securities market;

Explanation- For the purpose of this clause, "mis-selling" means sale of securities or services

relating to securities market by any person, directly or indirectly, by─

(i)

knowingly making a false or misleading statement, or

(ii)

knowingly concealing or omitting material facts, or

(iii)

knowingly concealing the associated risk, or

(iv)

not taking reasonable care to ensure suitability of the securities or service to the

buyer.";

xxii.

the "Explanation" to the sub-regulation (2) shall be re-numbered as "Expiation-1";

xxiii.

after the "Explanation-1" the following explanation shall be inserted, namely:

" Explanation-2 Market Participant shall include any person or entity registered under Section

12 of the Act and its employees and agents. "

in regulation 8, in sub-regulation (2) the words "section 235 to 241 of the Companies Act, 1956 (1 of

1956)" shall be substituted with the words "the Companies Act, 2013 (No. 18 of 2013)";
