(1992 का 15) की धारा 11 की ईप-धारा (2) के खंड (छ) और धारा 12क के खंड (घ) एिं खंड (ङ) के साथ पठित धारा 30

तहत प्रदान की गइ िजियों का प्रयोग करते हुए, एतद्द्वारा भारतीय प्रजतभूजत और जिजनमय बोडड (ऄंतरंग व्यापार का प्रजतषेध)

जिजनयम, 2015 जनम्नजलजखत जिजनयम बनाता है, ऄथाडत्:-

आन जिजनयमों को भारतीय प्रजतभूजत और जिजनमय बोडड (ऄंतरंग व्यापार का प्रजतषेध) (दूसरा ) जिजनयम,

2021 कहा जा सकेगा ।

त लागू होंगे ।

(i) िब्दों और जचह्न “आनाम की कम से कम दुगुनी राजि की अर्थथक ऄनुिाजस्ट्तयााँ एकत्र हो जाने या

ईनकी पयाडप्त िसूली हो जाने पर,” का लोप हो जाएगा;

(ii) पहले परंतुक में,-

(क) िब्दों “एकत्र की गइ या िसूल की गइ” का लोप हो जाएगा;

(ख) िब्द “एक करोड़”, िब्दों “दस करोड़” से प्रजतस्ट्थाजपत हो जाएंगे;

(iii) दूसरे परंतुक का लोप हो जाएगा;

(ख)

ईप-जिजनयम (1) के पश्चात्, एक नया ईप-जिजनयम (1क) ऄंतःस्ट्थाजपत दकया जाएगा, ऄथाडत्,-

“(1क) यदद ददए जाने िाले आनाम की कुल रकम एक करोड़ रुपये से कम हो या ईसके बराबर हो, तो

ऐसे में बोडड ईपरोि आनाम की रकम बोडड द्वारा ऄंजतम अदेि जारी दकए जाने के बाद ऄदा कर सकेगा:

परंतु यह दक यदद ददए जाने िाले आनाम की कुल रकम एक करोड़ रुपये से ज्यादा हो, तो ऐसे में

बोडड ऄंतठरम आनाम के तौर पर एक करोड़ रुपये तक की रकम बोडड द्वारा ऄंजतम अदेि जारी दकए जाने

के बाद ऄदा कर सकेगा, और आनाम की िेष रकम केिल तभी ऄदा की जाएगी जब ददए जाने िाले

आनाम की िेष रकम की कम से कम दुगुनी रकम की अर्थथक ऄनुिाजस्ट्तयााँ (मॉजनटरी सैंक्िन) एकत्र हो

जाएाँ या ईनकी िसूली हो जाए ।”

(ग)

ईप-जिजनयम (3) में, िब्द “आनाम”, िब्दों और जचह्नों “कोइ भी आनाम (दिर चाहे िह ऄंतठरम हो या

ऄन्य)” से प्रजतस्ट्थाजपत हो जाएगा;

(2) जिजनयम 7घ के पश्चात्, जनम्नजलजखत ठटप्पणी ऄंतःस्ट्थाजपत की जाएगी, ऄथाडत्,-

“ठटप्पणी: नीचे सारणी में आसका एक ईदाहरण ददया गया है दक आस प्रािधान के तहत ददए जाने िाले आनाम

की रकम दकस प्रकार ऄदा की जाएगी:

SECURITIES AND EXCHANGE BOARD OF INDIA (PROHIBITION OF INSIDER TRADING)

(SECOND AMENDMENT) REGULATIONS, 2021

No. SEBI/LAD-NRO/GN/2021/37.—In exercise of the powers conferred under section 30 read

with clause (g) of sub-section (2) of section 11 and clauses (d) and (e) of section 12A of the Securities and

Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to

amend the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015,

namely: –

1. These regulations may be called the Securities and Exchange Board of India (Prohibition of Insider

Trading) (Second Amendment) Regulations, 2021.

2. They shall come into force on the date of their publication in the Official Gazette.

3. In the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, ─

(1) in regulation 7D, -

(a) in sub-regulation (1), -

(i)

the words ―Upon collection or substantial recovery of the monetary sanctions amounting

to at least twice the Reward, the‖ shall be substituted with the word ―The‖;

(ii)

in the first proviso, -

(A)

the words ―collected or recovered‖ shall be omitted;

(B)

the words ―one crore‖ shall be substituted with the words ―ten crores‖;

(iii) the second proviso shall be omitted;

(b) after sub-regulation (1), a new sub-regulation (1A) shall be inserted, namely, -

―(1A) If the total reward payable is less than or equal to Rupees One Crore, the Board

may grant the said reward upon the issuance of the final order by the Board:

Provided that in case the total reward payable is more than Rupees One Crore, the Board

may grant an interim reward not exceeding Rupees One Crore upon the issuance of the

final order by the Board and the remaining reward amount shall be paid only upon

collection or recovery of the monetary sanctions amounting to at least twice the balance

reward amount payable.‖
