सा.का.जन. 335(ऄ).—केन्द्रीय सरकार, कंपनी ऄजधजनयम, 2013 (2013 का 18) की धारा 469 की उपधारा

(1) और (2) के साथ पठित धारा 56 की उपधारा (1) और (3) द्वारा प्रदत्त िजियों का प्रयोग करते हुए, कंपनी (िेयर पूंिी

और जडबेंचर) जनयम, 2014 का और संिोधन करने के जलए जनम्नजलजखत जनयम बनाती है, ऄथायत्:-

1. संजिप्त नाम और प्रारंभ.- (1) इन जनयमों का संजिप्त नाम कंपनी (िेयर पूंिी और जडबेंचर) संिोधन जनयम, 2022 है।

(2) ये रािपत्र में इनके प्रकािन की तारीख को प्रवृत्त होंगे।

कंपनी (िेयर पूंिी और जडबेंचर) जनयम, 2014 में, उपाबंध में, प्ररूप सं.एसएच-4 में, संलग्नकों से पहले,

जनम्नजलजखत घोषणा को ऄंतःस्ट्थाजपत दकया िाएगा, ऄथायत्:-

“घोषणा:

0 िेयरों के हस्ट्तांतरण से पूवय जवदेिी मुरा प्रबंध (गैर-ऋण जलखत) जनयम, 2019 के ऄधीन हस्ट्तांतठरती को सरकार का

ऄनुमोदन प्राप्त करना ऄपेजित नहीं है; या

0 िेयरों के हस्ट्तांतरण से पूवय जवदेिी मुरा प्रबंध (गैर-ऋण जलखत) जनयम, 2019 के ऄधीन हस्ट्तांतठरती को सरकार का

ऄनुमोदन प्राप्त करना ऄपेजित है और यह ऄनुमोदन प्राप्त कर जलया गया है और इसके साथ संलग्न है।”।

31 माचय, 2014 के द्वारा प्रकाजित दकए गए थे और इसमें संखयांक सा.का.जन.113 तारीख 11 फरवरी 2021 के

द्वारा ऄंजतम बार संिोधन दकए गए।

NOTIFICATION

New Delhi, the 4th May, 2022

G.S.R. 335(E).—In exercise of the powers conferred by sub-section (1) and (3) of section 56 read

with sub-sections (1) and (2) of section 469 of the Companies Act, 2013 (18 of 2013), the Central

Government hereby makes the following rules further to amend the Companies (Share Capital and

Debenture) Rules, 2014, namely:-

1. Short title and commencement. _ (1) These rules may be called the Companies (Share Capital and

Debentures) Amendment Rules, 2022.

(2) They shall come into force from the date of their publication in the Official Gazette.

2. In the Companies (Share Capital and Debentures) Rules, 2014, in the Annexure, in Form No.SH-4,

before the Enclosures, the following declaration shall be inserted, namely.-

“Declaration:

0 Transferee is not required to obtain the Government approval under the Foreign Exchange

Management (Non-debt Instruments) Rules, 2019 prior to transfer of shares; or

0 Transferee is required to obtain the Government approval under the Foreign Exchange Management

(Non-debt Instruments) Rules, 2019 prior to transfer of shares and the same has been obtained and is

enclosed herewith.”.
