सं. सेबी/एलएडी-एिआरओ/िीएि/2025/289—बोडड, प्रजतभूजत संजििा (जिजियमि) अजधजियम, 1956 (1956

का 42) की धारा 31 के साथ पठठत भारतीय प्रजतभूजत और जिजिमय बोडड अजधजियम, 1992 (1992 का 15) की धारा

11, धारा 11क की उप-धारा (2) तथा धारा 30 द्वारा प्रिाि की गई िजियों का प्रयोग करते हुए, एतद्द्वारा भारतीय

प्रजतभूजत और जिजिमय बोडड [सूचीबद्धता (जलसस्ट्टंग) बाध्यताएँ और प्रकटीकरण अपेक्षाएँ] जिजियम, 2015 का और

संिोधि करिे के जलए जिम्नजलजखत जिजियम बिाता है, अथाडत्:-

इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोडड [सूचीबद्धता (जलसस्ट्टंग) बाध्यताएँ और प्रकटीकरण

अपेक्षाएँ] (छठा संिोधि) जिजियम, 2025 कहा िा सकेगा ।

ये जिजियम रािपत्र में इिके प्रकाजित होिे की तारीख से लागू होंगे ।

भारतीय प्रजतभूजत और जिजिमय बोडड [सूचीबद्धता (जलसस्ट्टंग) बाध्यताएँ और प्रकटीकरण अपेक्षाएँ] जिजियम,

2015 में, –

जिजियम 7 में,

क. िीर्डक में, िब्िों तथा जचह्िों “िेयर अंतरण अजभकताड (िेयर रांसफर एिेंट)” के स्ट्थाि पर िब्ि

“इश्यू का रजिस्ट्रार और िेयर रांसफर एिेंट आ िाएँगे;

ख. उप-जिजियम (1) में, िब्िों “िेयर अंतरण अजभकताड” के स्ट्थाि पर िब्ि “इश्यू के रजिस्ट्रार और

िेयर रांसफर एिेंट” आ िाएँगे;

ग. उप-जिजियम (1) के परंत क में, िब्िों तथा जचह्िों “प्रिगड (श्रेणी) II के िेयर अंतरण अजभकताड

के रूप में रजिस्ट्टर होगी या बोडड के पास रजिस्ट्रीकृत जिगडम रजिस्ट्रार और िेयर अंतरण

अजभकताड” के स्ट्थाि पर िब्ि “इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट के रूप में रजिस्ट्टर

होगी या बोडड के पास रजिस्ट्टर इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट” आ िाएँगे;

घ. उप-जिजियम (4) में, िब्ि “िेयर अंतरण अजभकताड”, िहाँ कहीं भी दिए हुए हों, उिके स्ट्थाि

पर िब्ि “इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट” आ िाएँगे ।

अि सूची-I में,

क. खंड (1) में, िब्िों तथा जचह्ि “जिगडम रजिस्ट्रार और/या िेयर अंतरण अजभकताड” के स्ट्थाि पर

िब्ि “इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट” आ िाएँगे;

ख. खंड (2) में, िब्िों “िेयर अंतरण अजभकताड” के स्ट्थाि पर िब्ि “इश्यू का रजिस्ट्रार और िेयर

रांसफर एिेंट” आ िाएँगे ।

अि सूची-II में, भाग-घ में, पैरा-ख में, उप-पैरा (3) में, िब्िों तथा जचह्िों “रजिस्ट्रार और िेयर अंतरण

अजभकताड (िेयर रांसफर एिेंट)” के स्ट्थाि पर िब्ि “इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट” आ

िाएँगे ।

क. भाग-क में, पैरा-क में, उप-पैरा (8), िब्िों तथा जचह्िों “िेयर अंतरण अजभकताड (िेयर रांसफर

एिेंट)” के स्ट्थाि पर िब्ि “इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट” आ िाएँगे;

ख. भाग-ख में, पैरा-क में, उप-पैरा (28) में, िब्िों तथा जचह्िों “रजिस्ट्रार और िेयर अंतरण

अजभकताड (रांसफर एिेंट)” के स्ट्थाि पर िब्ि “इश्यू के रजिस्ट्रार और िेयर रांसफर एिेंट” आ

िाएँगे;

ग. भाग-ग में, पैरा क में, उप-पैरा (4) में, खंड (ङ) में, िब्िों तथा जचह्ि “जिगडम रजिस्ट्रार और /

िाएँगे ।

SECURITIES AND EXCHANGE BOARD OF INDIA (LISTING OBLIGATIONS AND DISCLOSURE

REQUIREMENTS) (SIXTH AMENDMENT) REGULATIONS, 2025

No. SEBI/LAD-NRO/GN/2025/289.—In exercise of the powers conferred by section 11, sub-section (2) of

section 11A and section 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992) read with section 31

of the Securities Contracts (Regulation) Act, 1956 (42 of 1956), the Board hereby makes the following regulations to

further amend the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)

Regulations, 2015, namely:-

These regulations may be called the Securities and Exchange Board of India (Listing Obligations and Disclosure

Requirements) (Sixth Amendment) Regulations, 2025.

They shall come into force on the date of their publication in the Official Gazette.

In the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)

Regulations, 2015 –

in regulation 7,

in the heading, the words “Share Transfer Agent” shall be substituted with the words

“Registrar to an Issue and Share Transfer Agent”;

b. in sub-regulation (1), the words, “share transfer agent” shall be substituted with the words

“registrar to an issue and share transfer agent”;

in the proviso to sub-regulation (1), the words “Category II share transfer agent” shall be

substituted with the words “Registrar to an issue and share transfer agent”;

d. in sub-regulation (4), the words “share transfer agent” wherever they appear, shall be

substituted with the words “registrar to an issue and share transfer agent”.

II.

in Schedule I,

in clause (1), the words “Registrar to an Issue and/or Share Transfer Agent” shall be

substituted with the words “Registrar to an Issue and Share Transfer Agent”;

b. in clause (2), the words “Share Transfer Agent” shall be substituted with the words

“Registrar to an Issue and Share Transfer Agent”.

III.

In Schedule II, in Part D, in paragraph B, sub-paragraph (3), the words and symbols “Registrar &

Share Transfer Agent” shall be substituted with the words “Registrar to an Issue and Share Transfer

Agent”.

IV.

In Schedule III,

in Part A, in paragraph A, sub-paragraph (8), the words “share transfer agent” shall be

substituted with the words “registrar to an issue and share transfer agent”;

b. in Part B, in paragraph A, sub-paragraph (28), the words “Registrar and Share Transfer

Agent” shall be substituted with the words “Registrar to an Issue and Share Transfer

Agent”;

in Part C, in paragraph A, sub-paragraph (4), clause (e), the words “registrar to an issue

and/or share transfer agent” shall be substituted with the words “registrar and share transfer

agent”.

In Schedule VI, in paragraph A, the words “share transfer agent” shall be substituted with the words

“registrar to an issue and share transfer agent”.

VI.

In Schedule VII, in paragraph C, sub-paragraph (2), clause (f), sub-clause (ii), the words “Share

Transfer Agent” shall be substituted with the words “Registrar to an Issue and Share Transfer

Agent”.
