(1992 का 15) की धारा 30 की उप-धारा (1) के तहत प्रदाि की गई िजियों का प्रयोग करते हुए, एतद्द्वारा भारतीय
प्रजतभूजत और जिजिमय बोडड [असंपररितडिीय प्रजतभूजतयों (िॉि-कन्िर्टडबल जसक्यूररटीज़) का जिगडम (इश्यू) और इिकी
सूचीबद्धता (जलसस्ट्टंग)] जिजियम, 2021 का और संिोधि करिे के जलए जिम्नजलजखत जिजियम बिाता है, अर्ाडत् :-
1.
इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोडड [असंपररितडिीय प्रजतभूजतयों (िॉि-कन्िर्टडबल
जसक्यूररटीज़) का जिगडम (इश्यू) और इिकी सूचीबद्धता (जलसस्ट्टंग)] (संिोधि) जिजियम, 2026 कहा िा सकेगा ।
2.
ये जिजियम रािपत्र में इिके प्रकाजित होिे की तारीख से लागू होंगे ।

भारतीय प्रजतभूजत और जिजिमय बोडड [असंपररितडिीय प्रजतभूजतयों (िॉि-कन्िर्टडबल जसक्यूररटीज़) का जिगडम
(इश्यू) और इिकी सूचीबद्धता (जलसस्ट्टंग)] जिजियम, 2021 में,-
(1) जिजियम 2 में, उप-जिजियम (1) में, खंड (छछ) के बाद और खंड (िि) से पहले, जिम्नजलजखत खंड िोड़ा
िाएगा, अर्ाडत्,-
“(छछक) “छोटे जििेिक (िो व्यजि हो)” (रीटेल इंजडजिि अल इन्िेस्ट्टर) का अर्ड है - िह जििेिक िो दो
लाख रुपये तक के मूल्य की डैट जसक्यूररटीज़ (ऋण प्रजतभूजतयों) के जलए आिेदि करता है या बोली लगाता
है;”
(2) जिजियम 31 में, जिम्नजलजखत परंत क िोड़े िाएँगे, अर्ाडत्,-
“परंत यह दक इस जिजियम (रेग्यूलेिि) में बताई गई कोई भी बात इश्य अर (जिगडमकताड) को िररष्ठ
िागररकों, मजहलाओं, सेिारत तर्ा सेिाजििृत्त सेिा के ििािों, सेिा के मृत ििािों की पत्नी या उिके पजत,
छोटे जििेिकों (िो व्यजि हों) या दकसी दूसरे िगड के जििेिकों (जििके बारे में बोडड समय-समय पर बताए)
को प्रोत्साहि (इिसेंरटि) [िैसे दक अजतररि ब्याि देिा या इश्यू प्राइस से कम भाि पर जसक्यूररटीज़ खरीदिे
का जिकल्प देिा] की पेिकि करिे से िहीं रोकेगी:
परंत यह और दक यह प्रोत्साहि (इिसेंरटि) केिल उसे ददया िा सकेगा जिसे डैट जसक्यूररटीज़ पहली बार
अलॉट (आबंरटत) की गई हों, ककंत यदद अलॉटमेंट के बाद डैट जसक्यूररटीज़ एक बार िब रांसफर या
रांसजमट हो िाएँ तो दफर प्रोत्साहि िहीं ददया िा सकेगा ।”

SECURITIES AND EXCHANGE BOARD OF INDIA (ISSUE AND LISTING OF NON-CONVERTIBLE
SECURITIES) (AMENDMENT) REGULATIONS, 2026
No. SEBI/LAD-NRO/GN/2026/296.—In exercise of the powers conferred under sub-section (1) of section
30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following
regulations to further amend the Securities and Exchange Board of India (Issue and Listing of Non-Convertible
Securities) Regulations, 2021, namely: –
1.
These regulations may be called the Securities and Exchange Board of India (Issue and Listing of Non-
Convertible Securities) (Amendment) Regulations, 2026.
2.
They shall come into force on the date of their publication in the Official Gazette.
3.
In the Securities and Exchange Board of (Issue and Listing of Non-Convertible Securities) Regulations, 2021,
─
(1)
in regulation 2, sub-regulation (1), after the clause (gg) and before the clause (hh), the following clause
shall be inserted, namely, -
“(gga) “retail individual investor” means an individual investor who applies or bids for debt securities for
a value of not more than two lakhs rupees;”
(2)
in regulation 31, the following proviso shall be inserted, namely, -
“Provided that nothing contained in this regulation shall preclude the issuer from offering an incentive in
the form of additional interest or a discount to the issue price to senior citizens, women, serving and
retired defence personnel, widows and widowers of defence personnel, retail individual investors or any
other category of investors as may be specified by the Board from time to time:

Provided further that such incentive shall be available only to the initial allottee but not in case the debt
securities are transferred/ transmitted post allotment.”
