1. िनदेशक मंडल की ू^ येक बैठक की िलिखत सूचना ू^ येक िनदेशक को उस समय भारत म) रहते हुए और अ; यू^ येक िनदेशक को भारत म) उसके
वाः तिवक पते पर दी जायेगी।
2. अb यT या ूबंध िनदेशक और सिचव, दो या उससे अिधक िनदेशक= के अनुरोध पर बोड की बैठक बुला सकता है। कम से कम सात िदन या िनदेशक=
4ारा जैसी सहमित हो कम अविध की सूचना के अनुसरण म) कंपनी के बोड की बैठक बुलाई जायेगी। बोड के बैठक की सूचना हर िनदेशक कोचाहे वह
अनुपिः थत हो या नहीं उसके भारत के या िवदेश के वाः तिवक पते पर िलिखत Fप से भेजी जायेगी।
3.
जब िकसी िनदेशक को बैठक की सूचना िदया जाना अपेिTत हो जो भारत म) न हो तो उसके टेले5 स या फै5 स नं. या ई-मेल पते पर टेले5 स या फै5 स

39 (a) Suspension of Admission to Dealings on the Exchange.
Subject to the provisions of the Securities Contracts (Regulation) Act 1956 and the Securities Contracts
(Regulation) Rules 1957 the Exchange may suspend at any time the admission to dealings on the
Exchange granted to any security for such period or periods as it may determine. At the expiration of
the period of suspension the Exchange may revoke the suspension subject to such conditions as it
deems fit.
39 (b) The manner of suspension and revocation of suspension of admission to dealing on the
Exchange shall be in accordance with Standard Operating Procedure (SOP) prescribed by
Exchange and/or SEBI from time to time.
39 (c) Every issuer shall comply with the condition of the Listing Agreement as prescribed by Exchange
and/or SEBI from time to time and shall be liable to pay such fine(s) as may be prescribed by
Exchange and/or SEBI from time to time for non-compliance of clause of the Listing Agreement

the
Board
of
Directors
(1) Not less than 50% (one-half) of the strength of the Board of Directors

(Regulation) Act, 1952; and
ii. the remaining Independent Directors of the Board shall be
appointed by the Exchange with the prior approval of the
Commission.
(2) The remaining posts of Directors of the Board may comprise of
Shareholder Directors who shall be appointed by the Exchange. This
category also includes any full time Executive Director other than the
Managing Director / Chief Executive. The Shareholder Directors shall
be appointed by the Exchange with the prior approval of the
Commission.

(3) The Managing Director shall be an ex-officio director of the Board and
shall not be included in either category of Independent Directors or
Shareholder Directors.

the Exchange should satisfy the criteria of “fit and proper person” as
prescribed by the Commission.

Independent
Directors
Appointment of Independent Directors shall be governed by the following
conditions:
(1) The term of the Independent Director shall be normally three years.
However the Commission may approve the appointment of
Independent Director for a term of less than 3 years as deemed fit.
(2) The Independent Director shall have a maximum of 2 terms of 3 years
each. In addition to the other requirements prescribed by the
Commission from time to time, the application for re-nomination of as
Independent Director shall be accompanied with his/her attendance
details of various Board/Committee meetings during his/her last tenure.
(3) The Independent Directors shall hold office for the tenure of their
appointment subject to a maximum age limit of 70 years.
(4) A person shall not act as Independent Director on more than one
Commodity Exchange simultaneously.
(5) The Candidate should neither be related to nor have any pecuniary
relationship (apart from receiving the sitting fees) or transactions with
the Exchange, its promoters, substantial shareholders (i.e. the
shareholders owing two percent or more shares), Directors, Senior
Management, Holding Company, Subsidiaries and Associates.
(6) The appointment of Independent Directors shall be in accordance with
the Guidelines/Directives issued by the Commission from time to time.

Chief Executive
(1) The appointment, renewal of appointment, terms and conditions of
service (including remuneration) and the pre-mature termination of
services of the Chief Executive (subject to the Chief Executive being
given an opportunity of being heard against such termination or
removal), shall be subject to prior approval of Commission.
(2) In case the Chief Executive resigns voluntarily, it would be informed to
the Commission by the Exchange. In such cases, the senior most
executive of the Exchange shall take care of the day to day affairs of the
Exchange until a new incumbent is appointed as Chief Executive.
(3) The Exchange shall determine the manner of selection, terms and
conditions of appointment and other procedural formalities associated
with the selection/appointment of the Chief Executive.
(4) The Exchange should adopt a transparent procedure of selection of the
Chief Executive, such as selection committee and the process of
selection.
(5) The proposal seeking approval of the Commission for the appointment/
termination of services of Chief Executive shall be submitted to the

Commission only with the prior of the Board of Directors of the
Exchange. While recommending the names of the selected candidates
to the FMC, the detailed procedure of selection and also the basis of
selection should also be indicated. The Exchange shall submit an
undertaking that the necessary due diligence has been carried out by
them with respect to the verification of antecedents, credentials and
experience of the proposed person/s.
(6) The Managing Director / Chief Executive shall hold office for the tenure
of their appointment subject to the maximum age limit of 60 years.
(7) At the time of seeking approval of Commission for the appointment of
Chief Executive, the Exchange shall also seek approval for the
Remuneration of the Chief Executive from the Commission. While
recommending the remuneration for the Chief Executive, the Exchange
shall take into consideration the following:
i. Role and responsibility of Chief Executive
ii. Financial condition/health of the Exchange.
iii. Comparability to the industry standards
iv. Revenues, net-profit of the Exchange.
(8) The persons appointed as Chief Executive of the Exchange should satisfy
the criteria of “fit and proper person” as prescribed by The Forward
Markets Commission.
(9) It will be the responsibility of the Board of Directors to appoint the
Managing Director/ Chief Executive and the same cannot be delegated
to the Committee of the Board.
(10) It shall be the duty of the Managing Director/ Chief Executive of the
Exchange to ensure that atleast once in a quarter the Board of Directors
is informed about the various directions of Central Government /
Forward Markets Commission relating to Exchange and the status of
their compliance.

Remuneration
of
Directors.
(1) The remuneration of a Director for his service shall be such sum as may
be determined by the Board of Directors but not exceeding such sum as
may be -prescribed by the Act or Central Government for each meeting
of the Board or a Committee thereof attended by him. The Directors
subject to the sanction of the Central Government (if any required) may
be paid such further remuneration as the Company in General Meeting
shall, from time to time, determine and such further-remuneration shall
be divided among the Directors in such proportion and manner as the
Board may from time to time determine, and in default of such
determination shall be divided amongst the Directors equally.
(2) *The Independent Director and the Chairman / Chairperson of the Board
of Directors shall be entitled to only sitting fees for discharging his/her
duties and attending Board / Committee Meetings. They shall not be

granted any ESOP or any tangible or intangible benefits by the Exchange.

Remuneration

Managing

Director/s.
(1) The remuneration of the Managing Director or Whole Time Director shall
(subject to Sections 309, 311 and other applicable provisions of the Act
and of these Articles and of any contract between him and the Company)
be fixed by the Directors, from time to time and may be by way of fixed
salary and/or perquisites or commission on profits of the Company or by
participation in such profits, or by fee or each meeting of the Board or by
and/or all these modes or any other mode not expressly prohibited by
the Act.
(2) Any change in the remuneration or conditions of service of Managing
Director/Chief Executive will also require prior approval of the
Commission.
(3) The Exchange shall ensure that:
i. Any variable component of the remuneration of Managing Director /
Chief Executive shall not exceed one third of the total remuneration;
ii. no incentives are provided for excessive risks in the short term; and
iii. the said variable component is paid only after the audited annual
accounts for the year are approved by the Board.
(4) The remuneration of Managing Director/ Chief Executive of an Exchange
already appointed with the approval of the Commission shall also be in
accordance with the directives of the Commission.

Notice

Meetings.
When Meeting
to be convened.
(1) Notice of every meeting of the Board of Directors shall be given in
writing to every Director for the time being in India, and at his usual
address in India to every other Director.
(2) The Chairman or Managing Director, may and the Secretary shall on the
request of two or more Directors summon a meeting of the Board.
Meetings of the Board of the Company shall be held pursuant to a notice
of atleast seven (7) days or such shorter notice as may be agreed by the
Directors. The notice of meeting of the Board shall be given in writing to
every Director, whether absentee or alternate, at his usual address
whether in India or abroad
(3) Where a notice of meeting is required to be given to a Director who is
not in India, the notice shall be given by telex or facsimile (fax) or Email
transmission at the telex or fax number or Email address provided by
such Director. The service of notice shall be deemed to have been
effected on the first working day following the day on which the telex or
fax or Email is sent.
(4) Every notice convening a meeting of the Board shall set out the agenda
of the business to be transacted thereat in full and sufficient details.
Unless otherwise agreed to by all the Directors for the time being of the
Company, no item of business shall be transacted at such meeting,
which had not been stated in full and sufficient detail in the said notice
convening the meeting.

(5) *The agenda for the committee meetings should be served to all the
members of the committee atleast seven (7) working days in advance.

working days prior to the committee meeting.

1. The Board of Directors may subject to the provisions of Section 292 and
other relevant provisions of the Act and of these Articles appoint
Committees of the Board and delegate any of the powers other than the
powers to make calls and to issue debentures to such committee or
committees and may from time to time revoke and discharge any such
Committees of the Board either wholly or in part and either as to the
persons or purposes, but every Committee of the Board so formed shall in
exercise of the powers so delegated, conform to any regulation that may
from time to time be imposed on it by the Board of Directors. All acts
done by any such Committee of the Board in conformity with such
regulations and in fulfilment of the purpose of their appointment, but not
otherwise shall have the like force and effect, as if done by the Board.
2. All the committees formed by the Board shall include one Independent
Director appointed by the Commission under section 6(2)(b) of FC(R)
Act, 1952.
3. The Independent Directors shall constitute atleast two-thirds of the
members of the Audit Committee and the Compensation Committee.
These Committees will be chaired by:
i. an Independent Director appointed by the Commission under section
6(2)(b) of the FC(R) Act, 1952, or
ii. Appointed by the Exchange under clause 1(ii) of Article 141A of the
