1.3. Subject to Articles no. 126A (1.2)contained
hereinabove, the inter-se representation of the
Shareholder Directors, shall be as set forth

1.3.1.Anchor Investor: The representation of the
Anchor Investor on the Board of the Exchange
shall not be more than the proportion of their
shareholding, which will be a maximum of 26%
at the end of the fifth year of the Exchange’s
operations. For the purpose of the foregoing,
“Anchor Investor” means an investor who plays
the lead role in managing the Exchange.
1.3.2.Directors representing Special Category
Shareholders: The representation of the Special
Category Shareholders shall not be less than
one-half of the total number of Shareholder
Directors. Further, any of these shareholders
shall not have more than one representative on
the Board. (For the purpose of the foregoing,
“Special Category Shareholder(s)” shall mean
and include (i) Government Companies as
defined
in
the
Companies
Act,
1956;
(ii) Banks and Public financial institutions;

Commodity

1.3.3.Directors representing other Shareholders:

1.4. The Managing Director shall be an ex-officio
director and shall not be included in the either
category of independent directors or Shareholder
Directors.
1.5. The Chairperson of the Board of Directors

Insertion of Article of 156A
Board Committees
1) All the Committees of the Board of Directors
shall include atleast one Independent Director
appointed by Forward Markets Commission
under section 6(2)(b) of FCR Act.
2) The Independent Directors appointed under
clause 1.1 of Article 126A shall constitute at
least two-third of the members of the Audit
Committee and Compensation Committee. These
Committees will be chaired by
i)
an Independent Director appointed by the
Forward Markets Commission under section
6(2)(b) of FCR Act, 1952 or
ii)
appointed by the Exchange under clause
1.1 (ii), with the prior approval of Forward
Markets Commission under clause.
3.
Insertion of Article 126B
Independent Directors
The details of the person to be nominated/
appointed as Independent Director shall be
submitted to the Forward Markets Commission in
the specified format as prescribed by the
Forward Markets Commission. The Exchange is
required to forward at least three names (in
specified
format)
for
every
vacancy
of
Independent Director. The Forward Markets
Commission
may
however,
appoint
an
Independent Director other than from the names
suggested by the Exchange.

1.1. The eligibility conditions for nomination/
appointment as Independent Director shall be as
follows:
1.1.1 The candidate should be a person of
integrity who either represents the farmers,

exporters,
importers,

associations or be an expert on Commodities
Derivatives
Markets,
Finance,
Accounting,
Management, Law, academics having knowledge
of commodity economy/derivatives trading.
1.1.2. The candidate should have adequate
experience/ educational qualifications in the
relevant areas.
1.1.3. The persons who are/ were holding
positions of trust and responsibility in public
organizations or person who are retired from
such positions may be preferred over other
candidates.
1.1.4. The candidate should not have been
related to the Exchange in any manner during
the three years prior to his/her appointment as
Independent Director.
1.1.5. The candidate should neither be related to
nor have any pecuniary relationship (apart from
receiving the sitting fees) or transaction with the
company (Exchange), its promoters, substantial
shareholders (i. e. the shareholder owning two
percent or more shares), directors, senior
management, holding company, subsidiaries and
associates.

1.1.6.
Persons
who
are
regular
traders/
speculators in the market will not be eligible to
be considered for such nomination.
1.2. The tenure and terms and conditions for
appointment of Independent Director at the
Board shall be as follows:
1.2.1. The term of an Independent Director shall
be
normally
three
years.
However,
the
Commission may approve the appointment of
Independent Director for a term of less than 3
years as deemed fit.
1.2.2. The Independent Directors shall have a
maximum of 2 terms of 3 years each. In addition
to the other requirements prescribed herein, the
application for re-nomination of an independent
director shall be accompanied with his/her
attendance
details
on
the
various
Board/Committee meetings during his/her last
tenure.
1.2.3. The Independent Directors shall hold
office for the tenure of their appointment subject
to a maximum age limit of 70 years.
1.2.4. A person shall not act as Independent
Director on more than one Commodity Exchange
simultaneously.
1.2.5. The Independent Directors and the
Chairperson of the Board of Directors shall be
entitled to only sitting fees for discharging
his/her duties and attending Board / Committee
meetings. They shall not be granted any ESOP or

any tangible or intangible benefits by the
Exchange.
1.2.6. The independent director shall always act
in larger public interest, actively participate in
the
proceedings
of
the
Board/Committee
meetings and amongst others, he/she shall
guide
the
Exchange
in
governance
and
regulatory matters. As the Exchange is a Self
Regulatory
Organization,
he/she
would
emphasize on absolute compliance by the
Exchange
with
provisions
of
the
Rules,
Regulations,
Byelaws
and
Memorandum
&
Articles
of
Association
of
the
Exchange,
directives/ circulars/ guidelines of the Forward
Markets Commission both in letter and spirit.
1.2.7. The Independent Directors should submit
a brief report on the important developments/
decisions taken along with their views on the
decisions taken in the meetings of the Board/
Committee within a week of the conclusion of
the Board/Committee meeting.
1.2.8. The nomination of the Independent
Director can be terminated by the Commission
at any point of time before the expiry of his/her
term, if it is of the view that such an action is
required in public interest.
Amendment in Article 128
Managing Director
1.1 The appointment, renewal of appointment,
terms and conditions of service (including
remuneration) and the premature termination of
services of the Managing Director / Chief
Executive (subject to the Managing Director
/Chief Executive being given an opportunity of

being
heard
against
such
termination
or
removal), shall be subject to prior approval of
Forward Markets Commission.
1.2.The Exchange shall inform the Forward
Markets Commission in case the Managing
Director / Chief Executive resigns. In such cases,
the senior most executive of the Exchange shall
be in-charge of the day to day affairs of the
Exchange until a new incumbent is appointed as
Managing Director / Chief Executive.
1.3.The Exchange shall determine the manner of
selection, terms and conditions of appointment
and other procedural formalities associated with
the selection/ appointment of the Managing
Director/Chief Executive.
1.4.The Exchange should adopt a transparent
procedure of selection of the Managing Director /
Chief Executive, such as selection committee
and the process of selection.
1.5. The proposal seeking approval of Forward
Markets Commission for the appointment /
termination
of
services
of
Managing
Director/Chief Executive shall be submitted to
the Forward Markets Commission only with the
prior approval of the Board of Directors of the
Exchange. While recommending the names of
the selected candidate(s) to the Forward Markets
Commission, the detailed procedure of selection
and also the basis of selection shall be indicated.
The Exchange shall submit an undertaking that
the necessary due diligence has been carried out

by them with respect to the verification of
antecedents, credentials and experience of the
proposed person/s.
1.6. At the time of seeking approval of Forward
Markets Commission for the appointment of the
Managing Director/Chief Executive, the exchange
shall also seek approval for the remuneration of
the Managing Director /Chief Executive from the
Forward
Markets
Commission.
While
recommending
the
remuneration
for
the
Managing
Director
/Chief
Executive,
the
Exchange shall take into consideration the
following:
i)Role and responsibilities of the Managing
Director /Chief Executive;
ii) Financial condition / health of the exchange;
iii) Comparability to the industry standards; and
iv) Revenues, net profit of the exchange.
The Exchange shall ensure that:
i) The variable component of the remuneration
of Managing Director /Chief Executive does not,
exceed one third of the total remuneration.
ii) No incentives are provided for excessive risks
in the short term.
iii) The variable component of the remuneration
is paid only after the audited annual accounts for
the year are approved by the Board of Directors.
1.6.1.Any
change
in
the
remuneration
or
conditions of service of Managing Director/Chief
Executive will also require prior approval of the
Forward Markets Commission.

1.6.2.The
remuneration
of
Managing
Director/Chief Executive of an Exchange already
appointed with the approval of the Forward
Markets Commission shall also be in accordance
with the above norms.
1.7. It will be the responsibility of the Board of
Directors to appoint the Managing Director/
Chief Executive and the same cannot be
delegated to a Committee of the Board.
1.8. The Managing Director/Chief Executive shall
hold office for the tenure of their appointment
subject to the maximum age limit of 60 years.
1.9. The Managing Director/ Chief Executive
should be a person of high calibre, integrity and
expertise and should have sufficient authority to
manage the affairs of the Exchange.
1.10. It shall be the duty of the Managing
Director/Chief Executive to ensure that at least
once in a quarter, the Board of Directors is
informed about the various directions of Central
Government/Forward
Markets
Commission
relating to Exchange and the status of their
compliance.
1.11. It shall be the duty of the Managing
Director / Chief Executive to give effect to the
directives, guidelines, orders, circulars issued by
the Forward Markets Commission / Government
of India in order to implement the applicable
provisions of law, rules, and regulations as also
the
Rules,
Regulations,
Byelaws
and
Memorandum and Articles of Association of the
Exchange. Any failure in this regard will make

the Managing Director/Chief Executive liable for
removal from or termination of service by the
Board of Directors of the Exchange with the prior
approval of the Forward Markets Commission, or
on receipt of directions to that effect from the
Forward Markets Commission, subject to the
Managing Director/ Chief Executive being given
an opportunity of being heard against such
termination or removal.
1.12.The person to be appointed as Managing
Director / Chief Executive of the Exchange
should satisfy the criteria of "fit and proper
person" as prescribed by the Forward Market
Commission on constitution of the Board of
Directors, Nomination of Independent Directors
and appointment of Chief Executives at the
National Multi Commodity Exchanges.
