provision of Companies Act, 1956. While referring to the objective for which the Company was incorporated, the Board of
Directors informed that Company could not commence its business and management does not foresee any change in
circumstances in the immediate future, therefore, board of directors of the company have consider to wind up the affairs of
the Company. The Board of Directors also affirmed that after making full enquiry into the affairs of the Company with due
diligence, they have formed the opinion that the Company has sufficient assets to meet its liabilities.
Except to the extent of shareholding as nominee of Vatika Limited, None of director or Key Managerial Personnel or their
relative are, in any way, concerned or interested, financially or otherwise in the resolution proposed.
The Board recommends the above special resolutions for your approval.
