EXPLANATORY STATEMENT PURSUANT TO THE

The Company was formed for the purpose of Buying,

trading, selling, exporting, importing and dealing in textile

goods etc. Initially the business of the Company was quite

remunerative and earned adequate profits on capital

invested, but as the members are aware that the Company

started incurring losses for past 2 years & is not doing any

business activities for the last 1 year. The Board of directors

of the Company considered the matter and was of the

opinion that in view of the non-availability of business

prospects, and long-term financial resources it is not

financially viable to carry on the business activities. It

therefore does not serve any fruitful purpose to maintain

the status of the Company. The directors of the Company

feel that there is no alternative but to put the Company into

voluntary winding up, realise the assets thereof and

distribute the proceeds to the members.

The Board made a pragmatic assessment of the affairs of

the Company and has reasonable grounds to form the opinion

that the Company will be able to pay its debts in full within

a period of one year after realising the assets belonging to

the Company.

On the basis of the assessment made by your Board of

directors, the members have passed a resolution, declaring

solvency of the Company at the Extra Ordinary General

Meeting held on Monday the 09th February, 2015.

Your final approval is required for the voluntary winding

up of the Company as given in item No. 1.

None of the Director is interested in the above resolution.
