"RESOLVED FURTHER THAT Audited Financial
Statements for the period commencing 1st April 2014 and
ending 31st March 2015 and Statement on the estimated
realizable value of Assets and Liabilities payable thereto by
the Company as on 31st March 2015 be and is hereby
confirmed, approved & adopted."
2. APPOINTMENT OF LIQUIDATOR:
To consider and, if thought fit to pass with or without
modification, the following as Special Resolution:
"RESOLVED THAT in terms of the Section 502, Section
504 and other applicable provisions of the Companies Act,
1956 (including any modifications or re-enactments thereto
in force), the consent of the creditors of the Company, be
and is hereby accorded to appoint Advocate Sh. Abhishek
Bansal s/o Sh. Rajendra Gupta, and Advocate Sh. Ashutosh
Gupta s/o Sh. Shrawan Kumar Gupta jointly/ severally as
the liquidator(s) of the Company for the purpose of creditors'
voluntary winding up of the affairs of the Company at a
total remuneration of Rs. 75,000/- for both exclusive of
Service Tax and cost, charges and other out of pocket
expenses."
"FURTHER RESOLVED THAT pursuant to provisions of
section 505 and other relevant provisions of the Companies
Act 1956 (including any modifications or re-enactments
thereto in force), Mr. Manoj Kumar Gupta , Director of the
Company be and is hereby authorised to exercise all the
powers as may be exercisable by Liquidator as provided in
sub clauses (i) to (v) of sub-section (2) of Section 457 and
all other applicable provisions of the Companies Act, 1956
(including any modifications or re-enactments thereto in
force) for effecting the winding up of the affairs of the
Company under supervision of the liquidator appointed."
"FURTHER RESLOVED THAT Mr. Manoj Kumar Gupta
and Mr. Rajendra Kumar Sharma, Directors of the Company
be and are hereby severally authorised under supervision of
the Liquidator(s) appointed to exercise all the powers in
connection with the liquidation of the Company including
filing and delivering all the documents in relation to the
voluntary winding up of the Company with the Registrar of
Companies, NCT of Delhi and Haryana, paying/ incurring of
statutory and other expenses, realizing of assets, paying of
debts/ liabilities, maintaining books and other records of the
Company, publishing notice of appointment of liquidator
and notice of voluntary winding up's resolution in the
newspaper and official gazette and to do all such acts,
deeds and things as may be necessary to give effect to the
winding up of the Company."
NOTES:
1.
The Format for giving consent under Section 101 of
the Companies Act, 2013 for convening the general
meeting of the creditors of the Company at a shorter
notice is attached. You are requested to kindly send
the consent to the registered office of the Company.

Explanatory statement pursuant to section 102 of the
Companies Act, 2013 is attached.
3.
Creditors are requested to notify to the Company
immediately any changes in their addresses.

Item No. 1 - Creditors' Voluntary Winding up:
The Company was incorporated on September 5, 2003
with the objective of establishing and carrying on in India
and/or elsewhere the business of running restaurants, cafes,
tea and coffee house, beer pubs and bars, kiosks, carts and
wheelers, in the state of Delhi. But, the Company has not
been able to do any business and is inoperative for more
than Seven years. Moreover, the management of the Company
does not foresee any change in circumstances in the
immediate future. So, the very purpose of the incorporation
of the Company got defeated and the management now
wants to wind up the affairs of the Company.
The Board of directors also placed before its meeting
held on April 21, 2015, a list of the creditors of the Company
and the estimated amount of their claims, which are also
annexed to the notice herewith along with the Financial
Statements. The Board reviewed the list and the amount of
their claims and approved the same for winding up of the
affairs of the Company. The said list of the creditors of the
Company will be placed before the members for their approval
and adoption at their Extraordinary General meeting to be
held on 19th day of June, 2015.
The Board of Directors has made full enquiry into the
affairs of the Company and has formed the opinion that the
Company is not solvent to pay its creditors, and does not
have sufficient assets to meet its liabilities. The Board of
Directors after due diligence have decided to recommend
the resolution as per Item No. 1 as set out in the aforesaid
notice for approval of creditors. The creditors are therefore
requested to accord their approval in relation to Item No.1
as set out in the aforesaid Notice.

None of the directors, key managerial person and their
relatives is/are interested in the proposed special resolution.
Item No. 2 - Appointment of Liquidator
The directors of the Company in their Board Meeting
held on April 21, 2015 have approved the appointment of
Advocate Sh. Abhishek Bansal s/o Sh. Rajendra Gupta, and
Advocate Sh. Ashutosh Gupta s/o Sh. Shrawan Kumar
Gupta, jointly/ severally as the Liquidator(s) of the Company
for the purpose of winding up of the Company at a total
remuneration of Rs. 75,000/- for both exclusive of service tax
and cost, charges and other out of pocket expenses. The
same will be placed before the shareholders for their approval
in the Extraordinary General Meeting to be held on 19th day
