EXPLANATORY STATEMENT PURSUANT TO
PROVISIONS OF SECTION 102 OF THE COMPANIES ACT,

The Company was incorporated on 19th September, 2007
with the objective of carrying out the business of wholesale
cash and carry business which was a primary segment for
the Company. However, the Company is presently not
carrying on any business activity and does not have any
future plans for which it was formed.
The Board of Directors of the Company considered the
matter and were of the opinion that in view of the non
availability of the business prospects and as desired by the
members of the Company, the Company be voluntarily
wound up.
The Board made a pragmatic assessment of the affairs of
the Company and has reasonable grounds to form an opinion
that the Company will be able to pay its debts in full within
a period of 3 years from the date of commencing of winding
up.
The Board has also passed a resolution declaring
solvency of the Company at a meeting held on 5th October,
2015 and that such declaration shall be delivered to the
Registrar of Companies accompanied by a report of the
auditors on the accounts prepared for a period starting from
January 1, 2014 to December 31, 2014 and statement of
liabilities as at 31st August, 2015, as required under section

OF THE COMPANY
"RESOLVED THAT pursuant to the provisions of the Section
484 (1) (b) & 488 of the Companies Act, 1956 and other
applicable provisions of the Companies Act, 2013, the consent
of the members be and is hereby accorded to wind up the
affairs of the Company as member's voluntary winding up.
RESOLVED FURTHER THAT Declaration of Solvency
and Statement on the estimated realizable value of assets
and liabilities thereto payable by the Company as on 31st
August, 2015 verified by an affidavit by Directors be and is
hereby confirmed, approved & adopted."
EXPLANATORY STATEMENT PURSUANT TO
PROVISIONS OF SECTION 102 OF THE COMPANIES ACT,
2013
The Company was incorporated on 19th September, 2007
with the objective of establishing developing, leasing, and
licensing master franchise rights from International /
Domestic brands and to further sub-franchise these rights.
However, the Company is presently not carrying on any
business activity and does not have any future plans for
which it was formed.
The Board of Directors of the Company considered the
matter and were of the opinion that in view of the non
availability of the business prospects and as desired by the
members of the Company, the Company be voluntarily
wound up.
The Board made a pragmatic assessment of the affairs of
the Company and has reasonable grounds to form an opinion
that the Company will be able to pay its debts in full within
a period of 3 years from the date of commencing of winding
up.
The Board has also passed a resolution declaring
solvency of the Company at a meeting held on 5th October,
2015 and that such declaration shall be delivered to the
Registrar of Companies accompanied by a report of the
auditors on the accounts prepared for a period starting from
January 1, 2014 to December 31, 2014 and statement of
liabilities as at 31st August, 2015, as required under section
488 of the Companies Act, 1956 and other applicable
provisions of the Companies Act, 2013.
As per the Provisions of the Section 484 of the Companies
Act, 1956 and other applicable provisions of the Companies
Act, 2013, approval of the members of the Company is
required by way of Special Resolution for voluntarily winding
up of the Company.
The Board of Directors of the Company recommends the
resolution for your approval as Special Resolution.
None of the Directors, Key Managerial Personnel or their
relatives are interested or concerned in the above resolution.
