At an Extra-ordinary General Meeting of Shareholders of ELTEK SGS MECHANICS PRIVATE LIMITED duly convened and

held at the registered office at : F-225A SAINIK FARMS, NEW DELHI - 110062 on the 13th day of January, 2016 at 11:00

A.M. the following special resolution passed:

1.

"RESOLVED THAT, pursuant to Section 484 (1) (b) of the Companies Act, 1956 and any other applicable provisions

if any, the Company be wound up voluntarily and that any of the Directors of the Company be instructed to give notice

of this resolution by advertisement in the official Gazette and also in two newspapers, one in English and one in

vernacular language circulating in the district of the registered office of the Company with in fourteen days from this

date."

"RESOLVED FURTHER THAT pursuant to the provisions of section 490(1) of the Companies Act, 1956 Ms. Kiran

Sharma practicing company secretary having her office at A 370, Kalkaji, New Delhi-110 019 be and is hereby appointed

as the Liquidator of the Company for the purpose of the members' voluntary winding up of the affairs of the Company

and with all powers as per section 512 of the Companies Act, 1956 to finalize the affairs of the Company at a

remuneration of Rs. 3,00,000 plus out of expenses incurred in connection with the winding up of the affairs of the

Company and that the directors be instructed to give a notice of such appointment to the Registrar of Companies, NCT

Delhi and Haryana."
