NOTICE
At an Extraordinary General Meeting of the Members of CGU Project Services Private Limited held on Friday, the 8th July,
2016, at the Registered Office of the Company at 2nd Floor Prakash Deep Building 7, Tolstoy Marg, New Delhi-110001 at
11a.m, the following Special Resolutions were duly passed by the Company in terms of the Companies Act, 1956 and
applicable and notified provisions of the Companies Act, 2013 and the Rules made thereunder:-
Special Business:
1. Extension of period for Closure of Winding Up:
"RESOLVED THAT pursuant to Section 484 of the Companies Act, 1956 and such other provisions as may be applicable
for Members' Voluntary Winding up and Companies Act, 2013 and the Rules made thereunder, as may be applicable and in
modification to the earlier Special Resolution passed by the Members at their meeting held on 28th December, 2009, the
period for the Company to be wound up voluntarily be extended for further period of 6 years i.e. from 28th December, 2012
to 27th December, 2018, in order to complete the said Members' Voluntary Winding up process."
2. Appointment of new Voluntary Liquidator due to resignation of Mr. Anant Kumar Jha:
"RESOLVED THAT pursuant to Section 490 and 492 of the Companies Act, 1956 and such other provisions as may be
applicable for Members' Voluntary Winding up and Companies Act, 2013 and the Rules made thereunder, as may be
applicable and in modification to the earlier Special Resolution passed by the Members at their meeting held on 28th
December, 2009, that Mr. Saurabh Srivastava, Company Secretary in Whole Time Practice, be and is hereby appointed as a
'Voluntary Liquidator' of the Company with immediate effect due to vacancy created by resignation of Mr. Anant Kumar
Jha, as Voluntary Liquidator (including revocation of all the powers delegated to him and taking the possession of books,
documents, papers and accounts relating to winding up of the Company) effective from 25th March 2015, for the purpose of
completing the winding up the affairs and distributing the assets of the Company with such powers to be exercised by him as
specified under Section 512 & 546 read with Section 457 of the Companies Act, 1956 and applicable and notified provisions
of the Companies Act, 2013 and the Rules made thereunder and other applicable statutes for the purpose of such winding up
AND THAT Mr. Saurabh Srivastava, Voluntary Liquidator, be paid a remuneration of Rs.2,50,000/- + Service Tax, for the
said services, in addition to the expenses including filing fees / compounding fees and other additional fees, if any,
publication cost in news paper and in Gazette, etc., to be incurred for this purpose."
3. Authorisation to new Voluntary Liquidator:
"RESOLVED THAT Mr. Saurabh Srivastava, Voluntary Liquidator be and is hereby authorised to sign and file various e-
Forms including intimation of his appointment under Section 493 & 551 of the Companies Act, 1956 and such other
provisions as may be applicable for Members' Voluntary Winding up and such other eForms, declarations, affidavits,
information / statement of accounts, etc., as may be required to be filed with Ministry of Corporate Affairs / the Registrar of
Companies, NCT of Delhi & Haryana, Official Liquidator, New Delhi, Income Tax Department and other such other
Regulators as may be required for the closure of the Company."

4. Authorization to operate the voluntary liquidation bank account by new Voluntary Liquidator:
"RESOLVED THAT Mr. Saurabh Srivastava, the Voluntary Liquidator be and is hereby singularly and exclusively
authorized to operate the voluntary liquidation bank account being maintained under the title M/s. CGU Project Services
Private Limited Current Account No. 00032000011095 with HDFC Bank, Connaught Place - Surya Kiran Branch {"Bank"}
under his signature.
RESOLVED FURTHER THAT Bank be and is hereby authorized to effect the change of signatory from the existing
Voluntary Liquidator Mr. Anant Kumar Jha to Mr. Saurabh Srivastava, the new Voluntary Liquidator who has been
appointed herein in terms of Section 492 of Companies Act, 1956.
RESOLVED FURTHER THAT Mr. Saurabh Srivastava, Voluntary Liquidator of the Company be and is hereby authorized
to do all such acts, deeds, matters and things as may be necessary, incidental or consequential in order to effect the change of
signatory to himself in the Voluntary Liquidation Bank Account No. 00032000011095 with HDFC Bank, Connaught Place-
