with the previous approval of the SEBI in writing
may register an increase of members.
6(b)
The security deposit referred to in clause (a) above
shall bear interest from the date of deposit and
interest would be paid there on to the members at
such rate as may be determined by the board from
time to time but in no case, it shall not be higher
more than Bank rate prevailing in the concerned
year.
8(a) (1) (c) Copy of the Net worth certificate as per SEBI
norms.
(f) Education certificate as per SEBI norms.
(g) Payment of Registration fees of SEBI as per
rules and regulations of competent authority.

Duties of Members: Every member shall be bound
to do the best of his/her ability to meet the object
and interest of the Chamber as per rules and
regulation and Bye-laws of the Chamber from time
to time in force.

Members to enter into transactions: Only the TM
and TCM of the Chamber shall have the right to
enter into contracts with other persons whether
member or not, in commodities for which the
chamber is recognized by the Central Government,
such contracts shall be in the forms prescribed by
the board from time to time and shall be subject to
the bye-laws, Rules & Regulation of the Chamber
and shall be registered with the Chamber.
13(a)
Change in name of constitution of Firm: A firm shall
not cease to be the member by reason of a mere
change of name or a change in the constitution of
the firm occasioned by the admission, retirement or
death of a partner provided the business of the
firm is a continuing one, and provided that the
Board in its discretion decides to continue the
membership without a fresh application or fresh
admission fee or on such terms and condition as
the board may deem fit to lay down.

Power of Board to take action against members for
misconduct: If it appears to the Board that any
particular member has not behaved as per articles
or Bye-laws, Rules and regulations of the Chamber
or that the conduct of any member likely to reflect
detrimentally against the interest of chamber in the
absolute opinion of the Board it shall be within the
power and competence of the Board to take
appropriate action against the member after giving

him an opportunity to represent his case before the
Board. The action so taken shall be subject to the
concurrence of the SEBI.
22(a)
Register of members: The chamber shall maintain a
register of member and its index which shall comply
with the provisions of section 88 of Companies Act
2013. The register shall also contain particulars of
the style, constitution and address of the persons,
firms and companies who members are including,
in the case of a partnership, the full names of all
the partners and in the case of Joint Stock
Companies the names and, addresses of its
Directors. In the case of members the register shall
also contain particulars of their respective addresses
in India.
22(b)
Every member shall notify the Chamber in writing
of any change affecting any of the entries in the
register within three months of such change
otherwise the Board shall be entitled to impose a
penalty by way of fine not exceeding Rs. 500/-
22(c )
A member who is the sole owner of the membership
admits one or more individuals as his partner or
partners or a member who is a firm alters its
constitution or change its name or style or being
corporate body or society alters its constitution or
engagements with any other company or society
or transfer its business except by way of sale for
cash then on an application by the member to the
Board and upon such terms and conditions the
Board may deem fit to impose such member may be
permitted to transfer his or its membership of the
Chamber to his partnership firm or the reconstituted
firm or to the corporate body or society.

Certificate of Trading: Every member shall be
entitled to have a certificate regarding his trading
membership, which shall be given by the Chamber
under the Common Seal signed by the secretary, If
any such certificate be lost, destroyed or defaced,
the Board shall issue a duplicate certificate to the
member, on payment of a fee not exceeding
Rs. 100/- as may be prescribed by the Board from
time to time on that behalf.

Appointment of authorized representative: Every
member shall from time to time by nomination in
writing signed by some person or persons having
authority in this behalf, nominate one of its members
or someone else to be its authorized representative,
who shall have a place of business in India and
who shall have full authority to conduct and
manage such member's business. If any such
member being an individual fails to nominate a
representative he shall be deemed to have
nominated himself, provided he has a place of
business in India and in any other case shall not
be allowed to trade.
No person shall be appointed authorized
representative for more than one member. The
Chamber will be discharged of all liability or
responsibility in dealing with such a representative
in respect of business transacted or registered with
the Chamber.
29(A)
In the event of a member, being joint-holders all
the joint holders from time to time, by nomination
in writing signed by all of them or a person holding
general power of attorney from all of them, nominate
any to themselves or a person duly authorised and
having a place of business in Hapur and who shall
have full authority to conduct and manage such
member's business in the commodities or their
products or by products for which the Chamber is
recognized under the Securities Contracts
(Regulation) Act, 1956 in Hapur to be its authorised
representative. In case no such nomination is made,
the joint holders first named in the books of the
Chamber shall be deemed to have been so
nominated.

Board's Power to enquire into financial commitments
of the member : If at any time, the Board suspects
or comes to know or if it is brought to its notice
that the financial condition or commitments of any
member are beyond his means, the Board is
empowered to enquire into his financial position
and after giving the member an opportunity to
represent his case, if the Board by two-third majority
of those present and voting is satisfied that any
further commitments by such member will involve
the other members into a loss, it may take such
appropriate action in the matter, it deems fit with
the concurrence of the SEBI.

Election of Chairman & Vice-Chairman: The Board
shall from time to time elect one of its members to
be the Chairman of the Board, and two of its other
members to be the Vice Chairman of the Board. The
Chairman and the Vice Chairman shall vacate their
respective offices upon their ceasing to be director.
The Board may, if necessary, appoint a person who
is not a member of the Chamber as paid Chairman
in consultation with the SEBI for such period as
the Board may deem it fit. The Board may in
consultation with the SEBI also provide for making
payment by way of salary, allowances, or other
emoluments or in any way to such Chairman, who
is not a member of the Chamber for the services
rendered by him.

SEBI can appoint Chairman : The SEBI shall have
power, if it so desires and in its absolute discretion
and without assigning any reason, to nominate
any person whether a member of the Chamber or
not from time to time as Chairman or as paid
Chairman and to replace or remove him.

SEBI may remove Chairman: Not withstanding any-
thing to the contrary contained in these Articles,
the SEBI may in consultation with the Board, if it
so desires after giving adequate opportunity, and
15 days' notice remove the Chairman and/or the
Vice Chairman elected by the Board.

Regulations of said act will be applicable.

Appointment: The Board may, with the prior
approval of the SEBI, appoint any person, not
being a member of the Chamber, as Secretary of the
Chamber upon such terms and conditions as may
be prescribed by the Board in consultation with
the SEBI. The services of the Secretary can be
