RESOLUTION PASSED AT THE EXTRA ORDINARY GENERAL MEETING OF MEMBERS OF KENDLE
DATA AND TECHNOLOGIES (INDIA) PRIVATE LIMITED HELD ON NOVEMBER 29, 2016 AT 12.30 P.M. AT 14TH
FLOOR, TOWER B, BUILDING NO.14, DLF CYBER CITY, PHASE 3, GURGAON- 122001, INDIA.
SPECIAL BUSINESS:
To consider and if thought fit, to pass with or without modification, as a special resolution:
Approval for winding-up of the Company
“RESOLVED that the consent of the shareholders be and is hereby accorded to voluntarily wind up the affairs of the
Company in accordance with provisions of Section 484 of the Companies Act, 1956.”
RESOLVED FURTHER THAT the Board of Directors of the Company be and is hereby authorized to exercise all
the power in consideration with the liquidation of the Company like filing of statement of affairs with the liquidator, filing of
returns with the Registrar of Companies, filling up vacancy in the office of liquidator, if any, and such other matter incidental
to the liquidation of the Company.”
Appointment of Liquidator
“RESOLVED that pursuant to the provisions of Section 490 of the Companies Act, 1956, approval of the
shareholders be and is hereby granted for the appointment of Mr. Abhishek Nahta as the liquidator for the purpose of winding
up the affairs of the Company.
RESOLVED FURTHER that the shareholders of the Company hereby approves a sum of INR 3,00,000 (Indian
Rupees Three Lakhs ) payable to the liquidator as remuneration.
RESOLVED FURTHER that the Directors of the Company, be and are hereby severally authorised to do all such
acts, deeds and things as may be required to implement the aforesaid decisions.”
