5) अMयाय XIII-उपनयम (18)-माMय थम पंचाट का कायाDZवयन-उपनयम: म; कसी बात क+ होते हुए भी, ऐसे मामल: म; जहां
माMय थम पंचाट या अपील5य माMय थम पंचाट एक _े`डंग सद य और/या उसके अ/धकृत 2यि4त के Gखलाफ और एक घटक के पQ म;
पा6रत कया जाता है, ए4सच;ज, ए4सच;ज के साथ पड़ी _े`डंग सद य के जमा या अZय पैसे से डेJबट करेगा, जो पुर कार के लए देय
पुर कार क+ राश, iयाज सEहत देय है, यEद कोई है, डेJबट क+ तार5ख तक और उ4त राश को अलग-अलग खाते म; इस तरह से नपटा
कर रख; जैसा क उप-नयम 19 म; उिjलGखत है।
बशतk, जहां पुर कार .तभूतय: क+ `डल5वर5 के लए है, ए4सच;ज जैसे क पंचाट क+ तार5ख या इस तरह क+ अZय तार5ख पर,
ए4सच;ज म; ऐसी .तभूतय: के समापन मूjय पर ?वचार कर सकता है, िजसके लए संबं/धत .ा/धकरण, ऐसी .तभूतय: और पुर कार
राश के मूjय पर पहुंचने के उ/चत कारण: को बताते हुए नEदD[ट कर सकता है।
6) अMयाय XIII-उपनयम (19) (ए)-घटक: को डेJबट अकाउंट का भुगतान : माMय थम पंचाट:—जहां _े`डंग म;बर/अ/धकृत
2यि4त इन उपनयम के तहत Eदए गए समय के भीतर अपील नह5ं करने को .ाथमकता द5 जाती , तो उपनयम 18 के तहत , डेJबट
क+ गई राश का भुगतान अिजDत iयाज के साथ पंचाट5 (awardee) को कर Eदया जाएगा।
7) अMयाय XIII-उपनयम (19) (बी)-घटक: को डेJबट अकाउंट का भुगतान-अपील5य माMय थम पंचाट:—जहां इन उपनयम के
तहत _े`डंग म;बर/अ/धकृत 2यि4त &वारा अपील को .ाथमकता द5 जाती है और अपील5य माMय थम अ/धकरण 2यापार सद य/.ा/धकृत
2यि4त के Gखलाफ एक अपील5य माMय थम पंचाट .दान करता है, च;ज पंचाट5 को (awardee) उपनयम 18 के तहत डेJबट क+ गई

(i) जहां इस तरह क+ प6रसीमा अव/ध क+ समािFत पर, इस तरह के आवेदन करने के लए प6रसीमा अव/ध के भीतर

Rules and Bye-laws of BSE Ltd
Whereas pursuant to the circular dated August 03, 2018 issued by SEBI on “Role of Sub-Broker vis-à-vis
Authorised Person”, it is proposed to amend the Rules and Bye-Laws of BSE Ltd. (“BSE”), as under, inviting public
comments in terms of Securities Contracts (Regulation) Act, 1956:
Rules of BSE
1)
Chapter IV-Rule 3 (l)-Misconduct-Vexatious complaints: If it or its agent/ sub-broker/ remisier/ Authorized Person/
legal representative/employee brings before the relevant authority or a committee, complaint or suit which in the
opinion of the relevant authority/committee is frivolous, vexatious or malicious;

Chapter V – Rule 1.13-Discontinuation of concept of Sub-Broker: Nothing contained in the Circular dated
3rd August, 2018, issued by the Securities and Exchange Board of India with regard to discontinuation of Sub –
Brokers as market intermediaries with effect from 1st April, 2019, shall affect the rights and obligations which have
accrued or have arisen or which may arise in future or any proceedings which are pending or which may be initiated
in future, either in relation to the sub-broker, any activity of a sub-broker or dealings through sub-broker, and all
such rights, obligations and/or proceedings shall continue to be governed by the Rules, Bye-laws and Regulations of
the Exchange relating to sub-broker, its activity or its dealings which may be applicable at the relevant time.

Bye-laws of BSE Chapter VI-Bye-law 2(i)-Conditions for admission-A trading member shall not deal with
sub-broker an Authorised Person who is not registered with the Exchange SEBI nor allow operation of its trading
terminal at any office other than its registered office, branch offices and the offices of its registered sub-broker
Authorised Person or such permitted places, in the manner prescribed by the Exchange.

Chapter XIII-Bye-law (1) B-Reference to Arbitration-All claims, differences or disputes between the members and
sub-brokers Authorised Persons and between sub-brokers Authorised Persons and Constituents arising out of or in
relation to dealings, contracts and transactions made subject to the Bye-laws, Rules and Regulations of the Exchange
or with reference to anything incidental thereto or in pursuance thereof or relating to their validity, construction,
interpretation, fulfilment or the rights, obligations and liabilities of the parties thereto and including any question of
whether such dealings, transactions and contracts have been entered into or not shall be submitted to arbitration in
accordance with the provisions of these Bye-laws and Regulations.
Provided however, in case of claims, differences and disputes to which sub-broker an Authorised Person is a party,
the member with whom such sub-broker Authorised Person is associated shall be made a party to the proceedings along with
the sub-broker Authorised Person.
Explanation: For the purpose of these Bye-laws, sub-broker an Authorised Person will have the meaning assigned to the term
in the Rules, Bye-laws and Regulations of the Exchange. under SEBI (Stock-Brokers and Sub-Brokers) Regulations,
1992 and such sub-brokers who have obtained registration from SEBI.

Chapter XIII-Bye-law (18)-Implementation of Arbitral Award-Notwithstanding anything contained in the Bye-laws,
in cases where the arbitral award or appellate arbitral award is passed against a trading member and/or its sub-broker
Authorised Person and in favour of a Constituent, the Exchange shall debit from the deposits or other monies of the
trading member lying with the Exchange, the amount of award payable to the awardee together with interest
payable, if any, till the date of debit and keep aside the said amount in a separate account to be dealt with in such
manner as mentioned in Bye-law 19.
Provided that, where the award is for the delivery of securities, the Exchange may consider the closing price of such
securities on the Exchange as on the date of the award or such other date the relevant authority may specify to be reasonable,
stating reasons for arriving at the value of such securities and award amount.

Chapter XIII-Bye-law (19) (a)-Payment of Debit Account to Constituent’s-Arbitral Award:-Where the trading
member/sub-broker Authorised Person chose not to prefer an appeal under these Bye-law within the time
permissible there under, the amount debited under Bye-law 18 shall be paid, together with the interest earned
thereon, to the awardee.

Chapter XIII-Bye-law (19) (b)-Payment of Debit Account to Constituent’s-Appellate Arbitral Award:-Where an
appeal is preferred by the trading member/sub-broker Authorised Person under these Bye-law and the appellate
arbitral tribunal makes an appellate arbitral award against the trading member/sub-broker Authorised Person the
Exchange shall pay the awarded amount to the awardee from the amount debited under Bye-law 18: -
(i)
where no application is made by the trading member/sub-broker Authorised Person under Section 34 of the
Arbitration and Conciliation Act, 1996 to challenge such arbitral award within the limitation period for making such
application, upon expiry of such limitation period.
