नई िद᭨ली, िदनांक 28 नवंबर 2023

सं. 9-4/2022-यू3 (ए)—जबिक, के᭠ᮤ सरकार को िव᭫ विव᳒ालय अनुदान आयोग, अिधिनयम, 1956 की धारा 3 के तहत यूजीसी की

सलाह पर उ᭒ च िशᭃण सं᭭ थान को सम िव᭫ विव᳒ालय सं᭭ थान के ᱨप मᱶ घोिषत करने का अिधकार ᮧा᭡ त है।

2. और जबिक, यूजीसी अिधिनयम, 1956 की धारा 3 के तहत भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), नेहᱨ नगर, भोपाल,

म᭟य ᮧदेश को, डी-नोवो ᮰ेणी के तहत सम िव᳡िव᳒ालय सं᭭ थान का दजाᭅ ᮧदान करने के िलए यूजीसी पोटᭅल पर िदनांक 12.08.2022 को एक

ऑनलाइन आवेदन ᮧ᭭तुत िकया गया था। यूजीसी से आवेदन की जांच करने और यूजीसी (समवत िव᳡िव᳒ालय सं᭭थान) िविनयम, 2019 के

अनुसार अपनी सलाह देने का अनुरोध िकया गया था।

3. और जबिक, यूजीसी ने अपने पᮢ सं᭎या 29-5/2022 (सीपीपी- I/डीयू) िदनांक 07.12.2022 के तहत सूिचत िकया िक एक िवशेष᭄

सिमित के मा᭟यम से ᮧ᭭ताव की जांच की गई थी। समᮕ मू᭨यांकन के बाद, सिमित ने ᭄ान के अि᳇तीय और उभरते ᭃेᮢᲂ मᱶ िन᳜िलिखत ᮧ᭭तािवत

पाᲹᮓमᲂ को ᭟यान मᱶ रखते ᱟए कुछ शतᲄ के साथ आशय पᮢ (एलओआई) जारी करने की िसफािरश की:

वािनकी ᮧबंधन मᱶ पीजी कायᭅᮓम,

ii.

वहनीयता ᮧबंधन मᱶ पीजी कायᭅᮓम,

iii. िवकास एवं सतत िव᭜ त मᱶ पीजी कायᭅᮓम

iv. जलवायु लोचशीलता एवं काबᭅन ᮧबंधन मᱶ ᳩातकोᱫर कायᭅᮓम

v. संरᭃण और आजीिवका मᱶ पीजी कायᭅᮓम,

vi. सतत िवकास मᱶ पीजी कायᭅᮓम।

4. और जबिक, यूजीसी िवशेष᭄ सिमित की िसफािरश पर आयोग ᳇ारा िदनांक 22.11.2022 को आयोिजत अपनी 563वᱭ बैठक

(मद सं᭎या 2.10) मᱶ िवचार िकया गया था और अनुमोिदत िकया गया था। यूजीसी की सलाह पर िवचार करते ᱟए, मंᮢालय ने तीन वषᭅ की

अविध के भीतर िन᳜िलिखत शतᲄ को पूरा करने के िलए भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), नेहᱨ नगर, भोपाल, म᭟य ᮧदेश को

िदनांक 27.12.2022 को आशय पᮢ (एलओआई) जारी िकया:

आईआईएफएम, भोपाल उभरते ᭃेᮢᲂ मᱶ ᮧ᭭तािवत पाᲹᮓमᲂ के िलए िव᭭तृत पाᲹᮓम तैयार करेगा;

ii.

आईआईएफएम, भोपाल अपेिᭃत यो᭏यता वाले संकाय की भतᱮ करेगा;

iii. आईआईएफएम, भोपाल ᮧ᭭तािवत ᭭कूल के िलए आव᭫यक बुिनयादी ढांचा तैयार करेगा;

iv. सं᭭थान अपनी डीपीआर, कायᭅनीितक िवजन योजना और रोिलंग कायाᭅ᭠वयन योजना को तदनुसार संशोिधत करेगा;

v. सं᭭थान म᭟य ᮧदेश रा᭔य सरकार से एनओसी/अिभमत ᮧा᳙ करेगा।

vi. आईआईएफएम, भोपाल सं᭭थान को समवत िव᳡िव᳒ालय घोिषत िकए जाने के बाद भी िनरंतर िवᱫीय सहायता के संबंध मᱶ

पयाᭅवरण, वन और जलवायु पिरवतᭅन मंᮢालय से ᮧितब᳍ता पᮢ ᮧ᭭तुत करेगा।

5. और इसके अलावा जबिक, सं᭭थान ᳇ारा अपने पᮢ सं᭎या आईआईएफएम /डीआईआर/एसीए.24/2023/140 िदनांक 17.08.2023

के तहत आशय पᮢ की शतᲄ के अनुसार ᮧ᭭तुत अनुपालन िरपोटᭅ को यूजीसी िवशेष᭄ सिमित ᳇ारा स᭜यािपत और ᭭वीकार िकया गया था। आयोग

ने िदनांक 03.11.2023 को आयोिजत अपनी 574वᱭ बैठक (मद सं. 2.09) मᱶ यूजीसी िवशेष᭄ सिमित की िसफािरश पर िवचार िकया और

मंजूरी दे दी।

6. अब, इसिलए, यूजीसी की सलाह पर, िशᭃा मंᮢालय, यूजीसी अिधिनयम, 1956 की धारा 3 के तहत ᮧदᱫ शिᲦयᲂ का ᮧयोग करते

ᱟए, भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), नेहᱨ नगर, भोपाल, म᭟य ᮧदेश को पांच वषᭅ की ᮧारंिभक अविध के िलए डी-नोवो ᮰ेणी के

तहत एक समवत िव᳡िव᳒ालय सं᭭थान घोिषत करता है। उᲦ घोषणा िन᳜िलिखत शतᲄ के अ᭟यधीन है:

भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल इस अिधसूचना के जारी होने की तारीख से छह वषᭅ की अविध के भीतर

यूजीसी (समवत िव᳡िव᳒ालय सं᭭थान) िविनयम, 2023 का अनुपालन करेगा;

ii.

भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल की समवत िव᳡िव᳒ालय दजᱷ की पुि᳥ मौजूदा िविनयमᲂ के ᮧावधानᲂ के

अनुसार, आयोग की समीᭃा और सलाह के आधार पर पांच वषᭅ के बाद की जाएगी।

iii. इस अिधसूचना के एक वषᭅ के भीतर संपूणᭅ चल और अचल पिरसंपिᱫयां कानूनी ᱨप से भारतीय वन ᮧबंध सं᭭थान

(आईआईएफएम), भोपाल के नाम पर ᭭थानांतिरत कर दी जाएगी।

iv. यूजीसी और िशᭃा मंᮢालय की पूवᭅ अनुमित के िबना, समवत िव᳡िव᳒ालय सं᭭थान/या इसकी घटक िशᭃण इकाइयᲂ की

पिरसंपिᱫयᲂ या िनिधयᲂ/राज᭭व का कोई िवचलन नहᱭ िकया जाएगा।

v. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल ऐसी िकसी भी गितिविध मᱶ शािमल नहᱭ होगा जो वािणि᭔यक और लाभ

कमाने वाली ᮧकृित की हो।

vi. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल मᱶ पेश िकए जाने वाले शैᭃिणक कायᭅᮓम यूजीसी और संबंिधत सांिविधक

पिरषदᲂ/िनकायᲂ ᳇ारा िनधाᭅिरत मानदंडᲂ और मानकᲂ के अनुᱨप हᲂगे।

vii. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल समय-समय पर यूजीसी ᳇ारा जारी मानदंडᲂ और िदशािनदᱷशᲂ के अनुसार

ही इस िवषय पर नए शैᭃिणक पाᲹᮓम/कायᭅᮓम, ऑफ-कᱹपस, ऑफ-शोर कᱹपस शुᱨ करेगा।

viii. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल अनुसंधान कायᭅᮓमᲂ के साथ-साथ डॉ᭍टोरल और नवो᭠मेषी शैᭃिणक

कायᭅᮓमᲂ को शुᱨ करने के िलए समुिचत कदम उठाएगा। सं᭭थान केवल वतᭅमान मᱶ नए उभरते ᭃेᮢᲂ तक ही सीिमत नहᱭ रहेगा,

अिपतु यूजीसी िविनयमᲂ/िदशािनदᱷशᲂ के साथ-साथ रा᳦ीय िशᭃा नीित-2020 के अनुᱨप अ᭠य ᭃेᮢᲂ मᱶ भी िव᭭तार करने का

ᮧयास करेगा।

ix. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल रा᳦ीय ᮧ᭜यायन बोडᭅ (एनबीए) ᳇ारा वैध ᮧ᭜यायन हेतु िनयत सभी पाᮢ

अकादिमक पाᲹᮓमᲂ/कायᭅᮓमᲂ को ᮧा᳙ करने के िलए सभी अपेिᭃत कदम उठाएगा और सं᭭थान समय-समय पर यथासंशोिधत

यूजीसी (समिव᳡िव᳒ालय सं᭭थान) िविनयम 2023 मᱶ यथा िनिहत ᮧावधानᲂ के संदभᭅ मᱶ रा᳦ीय मू᭨यांकन एवं ᮧ᭜यायन पिरषद,

जैसा भी मामला हो, ᳇ारा वैध ᮧ᭜यायन ᮧा᳙ करेगा।

x. छाᮢᲂ के ᮧवेश, छाᮢᲂ की ᮧवेश ᭃमता, शैᭃिणक पाᲹᮓम/कायᭅᮓम के अनुमोदन का नवीनीकरण, छाᮢᲂ की ᮧवेश ᭃमता मᱶ

संशोधन, नए पाᲹᮓम/कायᭅᮓम शुᱨ करने आिद के मामले मᱶ संबंिधत सांिविधक पिरषदᲂ के सभी िनधाᭅिरत मानदंड और ᮧिᮓयाएं

ᮧभावी रहᱶगी और भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल ᳇ारा उनका पालन िकया जाएगा।

xi. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल अपने संशोिधत संगम ᭄ापन (एमओए)/िनयमᲂ को यूजीसी

(समिव᳡िव᳒ालय सं᭭थान), 2023 के ᮧावधानᲂ के अनुसार यूजीसी/िशᭃा मंᮢालय को जून, 2024 तक ᮧ᭭तुत करेगा। जब भी

आव᭫यक होगा, सं᭭थान ᮧचिलत िविनयमᲂ के ᮧावधानᲂ के अनुसार अपने संगम ᭄ापन/िनयमᲂ को अ᳒तन या उनमᱶ संशोधन या

पिरवतᭅन करेगा।

xii. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल यूजीसी के िनयमᲂ एवं िविनयमᲂ और संबंिधत सांिविधक पिरषदᲂ के

अनुसार शु᭨क संरचना का पालन करेगा।

xiii. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल इस मंᮢालय के रा᳦ीय सं᭭थागत रᱹिकंग ᮨेमवकᭅ (एनआईआरएफ) ᳇ारा

जारी वािषᭅक भारतीय रᱹिकंग मᱶ भाग लेगा।

xiv. भारतीय वन ᮧबंध सं᭭थान (आईआईएफएम), भोपाल अिनवायᭅ ᱨप से एकेडिमक बᱹक ऑफ ᮓेिडट (एबीसी), अपने छाᮢᲂ की

पहचान बनाएगा और उनके ᮓेिडट ᭭कोर को िडिजटल लॉकर मᱶ अपलोड करेगा एवं सुिनि᳟त करेगा िक ᮓेिडट ᭭कोर एबीसी

पोटᭅल पर ᮧदिशᭅत हᲂ एवं समथᭅ ई-जीओवी को अंगीकृत करेगा।

पोत मािलक से यह वचन लेना िक वे बाहरी

लंगरगाह पर पोत के लंगर डालने की तारीख से

7 िदनᲂ के भीतर भारहीनता ᮧमाण-पᮢ जमा

करᱶगे। यह ᭭प᳥ िकया गया है िक समुᮤ तट की

जलाई जाएगी।

इस मामले को िनयंिᮢत तापन, न िक जलने

के ᱨप मᱶ िलया जाना चािहए। िन᳜िलिखत

पाठ को मौजूदा खंड 6.5.5 मᱶ जोड़ा जाना

है “एक परिमट ᳞व᭭था के साथ काम के घंटᲂ

के बाद शाि᭢टंग को हटाने के िलए ᮧोपेलर

के हब का िनयंिᮢत तापमान रखना। काम

करने के परिमट का ᮧाᱨप अनुबंध IX के

अनुसार है’’।

इन सभी औपचािरकताᲐ को पूरा करने और पोत

पर सभी बकाया/शु᭨क के भुगतान के बाद यह,

सीमा शु᭨क ᮧािधकरण शु᭨क से मुᲦ हो जाएगा

और पोत को पुनचᭅᮓण के िलए मंजूरी िमल

जाएगी।

खंड 3.23 मᱶ हटाया जाने वाला पाठ:

"इन सभी औपचािरकताᲐ के पूरा होने

और पोत पर सभी बकाया/शु᭨क के भुगतान

के बाद यह सीमा शु᭨क ᮧािधकरण के शु᭨क

से बाहर हो जाएगा और पोत को पुनचᭅᮓण

के िलए मंजूरी िमल जाएगी"।

3.18: सीमा शु᭨क ᮧिᮓयाएं: पोत पुनचᭅᮓण को

सीमा शु᭨क अिधिनयम, 1962 के तहत सीमा

शु᭨क ᮧािधकािरयᲂ ᳇ारा आव᭫यक सभी द᭭तावेज

और िववरण भी लंगरगाह पर पोत के अपेिᭃत

आगमन से कम से कम 3 िदन पहले ᮧ᭭तुत करना

होगा, तािक सीमा शु᭨क अिधकारी अिधिनयम के

पोत भंग संिहता का पैरा 3.18, 3.19 और

3.20 तथा सीमा शु᭨ क अिधिनयम, 1962

को ‘’यथा लागू सीमा शु᭨ क अिधिनयम’’ से

ᮧित᭭ थािपत िकया जाए।

तहत सभी सीमा शु᭨क औपचािरकताᲐ को पूरा

करने मᱶ सᭃम हो सकᱶ।

3.19: सीमा शु᭨क अिधिनयम, 1962 के तहत

आव᭫यक सभी ᮧिᮓयाᲐ और कायᭅवाही को पूरा

करने के िलए सीमा शु᭨क अिधकारी, पोत के

आगमन के 24 घंटे के भीतर (सीमा शु᭨क

िविनयमन के अनुसार) पोत पर चढ़ᱶगे।

3.20: 3.13 और 3.14 के तहत सभी ᮧिᮓयाᲐ

के पूरा होने पर, पोत पुनचᭅᮓणकताᭅ सीमा शु᭨क

अिधिनयम, 1962 के तहत िविधवत आंकिलत

शु᭨क का भुगतान करेगा। पोत पुनचᭅᮓणकताᭅ ᳇ारा

आयात शु᭨क चालान ᮧ᭭तुत करके इस तरह के

शु᭨क के भुगतान का ᮧमाण ᮧ᭭तुत करने पर, सीमा

शु᭨क

अिधकारी,

घंटे

के

भीतर,

एसएमबी/पᱫन अिधकािरयᲂ को एक अनापिᱫ

ᮧमाण पᮢ जारी करᱶगे, िजसमᱶ पोत को समुᮤतट

पर रखने की अनुमित देने के िलए उनकी अनापिᱫ

बताई जाएगी। यह समझा जाता है िक

एसएमबी/पᱫन ᮧािधकरण ही पोतᲂ को समुᮤ तट

पर रखने के िलए अनुमित देगा।

और इनके िवᱧ᳍: अथवा हािनरिहत अ᭠य पािटᭅयᲂ की सूची बनाती है।

New Delhi, the 28th November 2023

No. 9-4/2022-U.3(A)—Whereas, the Central Government is empowered under Section 3 of the University Grants

Commission (UGC) Act, 1956 to declare, on the advice of the UGC, an Institution of higher learning as an Institution Deemed

to be University.

2. And whereas, an online application dated 12.08.2022 was submitted on the UGC Portal for conferment of Institution

deemed to be University status under de-novo category to Indian Institute of Forest Management (IIFM), Nehru Nagar, Bhopal,

Madhya Pradesh under Section 3 of the UGC Act, 1956. UGC was requested to examine the application and furnish its advice

as per UGC (Institutions Deemed to be Universities) Regulations, 2019.

3. And whereas, UGC, vide its letter No. 29-5/2022 (CPP-I/DU) dated 07.12.2022 informed that the proposal was

examined through an Expert Committee. After overall assessment, the Committee recommended for issuance of Letter of Intent

(LoI) with certain conditions keeping in view the following proposed courses are in unique and emerging areas of knowledge:

PG programme in Forestry Management,

ii.

PG programme in Sustainability Management,

iii.

PG Programme in Development and Sustainable Finance

iv.

Post Graduate Programme in Climate Resilience and Carbon Management

PG programme in Conservation and Livelihoods,

vi.

PG programme in Sustainable Development.

4. And whereas, the recommendation of the UGC Expert Committee was considered and approved by the Commission

in its 563rd meeting (Item No. 2.10) held on 22.11.2022. Considering the advice of UGC, the Ministry issued Letter to Intent

(LoI) on 27.12.2022 to Indian Institute of Forest Management (IIFM), Nehru Nagar, Bhopal, Madhya Pradesh for fulfilment

of the following conditions within a period of three years:

IIFM, Bhopal shall prepare detailed syllabi for the courses proposed in the emerging areas;

ii.

IIFM, Bhopal shall recruit faculty with the requisite qualifications;

iii.

IIFM, Bhopal shall create necessary infrastructure for the proposed school;

iv.

The Institute shall revise its DPR, Strategic Vision Plan and Rolling implementation plan accordingly;

The Institute shall obtain NoC/Views of the State Government of Madhya Pradesh.

vi.

IIFM, Bhopal shall submit a letter of commitment from the Ministry of Environment, Forest & Climate Change

regarding continuous financial support to the institution even after its declaration as a Deemed to be University.

whereas,

the

compliance

report

submitted

the

Institution,

vide

its

letter

No. IIFM/DIR/Aca.24/2023/140 dated 17.08.2023 vis-a-vis conditions of LoI was verified and accepted by UGC Expert

Committee. The Commission in its 574th meeting (Item No.2.09) held on 03.11.2023 considered and approved the

recommendation of the UGC Expert Committee.

6. Now, therefore, on the advice of the UGC, the Ministry of Education, in exercise of powers conferred under Section 3

of the UGC Act, 1956, hereby declares Indian Institute of Forest Management (IIFM), Nehru Nagar, Bhopal, Madhya Pradesh

as an Institution Deemed to be University under de-novo category for an initial period of five years. The said declaration is

subject to the following conditions:

Indian Institute of Forest Management (IIFM), Bhopal shall become compliant with the UGC (Institutions

deemed to be Universities) Regulations, 2023 within a period of six years from the date of issuance of this

Notification;

ii. The deemed to be University status of Indian Institute of Forest Management (IIFM), Bhopal shall be confirmed

after five years based on their review and advice of the Commission, as per the provisions of the prevailing

Regulations.

iii. The entire moveable & immoveable assets will be legally transferred in the name of Indian Institute of Forest

Management (IIFM), Bhopal within one year of this Notification.

iv. There shall be no diversion of assets or funds/revenues of the Institution Deemed to be University/or of its

constituent teaching units, without prior permission of the UGC and Ministry of Education.

v. Indian Institute of Forest Management (IIFM), Bhopal shall not engage or indulge in any activities that are of

commercial and profit making in nature.

vi. The academic programmes to be offered at Indian Institute of Forest Management (IIFM), Bhopal shall conform

to the norms and standards prescribed by the UGC and the Statutory Councils/Bodies concerned.

vii. Indian Institute of Forest Management (IIFM), Bhopal shall start new academic Courses/Programmes, Off-

Campus(es), Off-Shore Campus(es) only in accordance with the norms and guidelines issued by the UGC, from

time to time, on the subject.

viii. Indian Institute of Forest Management (IIFM), Bhopal shall take appropriate steps to commence research

programmes as well as doctoral and innovative academic programmes. The Institute shall not keep confined

only to presently new emerging areas but it make endeavor to expand in other areas in accordance with the UGC

Regulations / Guidelines as well as National Education Policy-2020.

ix. Indian Institute of Forest Management (IIFM), Bhopal shall take all the required steps to get all the eligible

academic courses/programmes rated for valid accreditation by National Board of Accreditation (NBA) and the

Institute to get valid accreditation by National Assessment and Accreditation Council (NAAC), as the case may

be, in terms of the provisions as contained in the UGC (Institutions Deemed to be Universities) Regulations,

2023, as amended from time to time.

x. All the prescribed norms and procedures of the Statutory Councils concerned in the matter of admission of

students, intake capacity of students, renewal of approval to the academic course / programme, revision of intake

capacity of students, starting of new courses / programmes, etc. shall continue to be in force, and shall be adhered

to by Indian Institute of Forest Management (IIFM), Bhopal.

xi. Indian Institute of Forest Management (IIFM), Bhopal shall submit its revised Memorandum of Association

(MoA) / Rules to UGC/ Ministry of Education as per the provisions of the UGC (Institutions deemed to be

Universities) Regulations, 2023 by June, 2024. As and when necessary, the Institute shall update or revise or

modify its MoA / Rules, as per the provisions of the prevailing Regulations.

xii. Indian Institute of Forest Management (IIFM), Bhopal shall follow the fee structure as per the Rules and

Regulations of the UGC and relevant Statutory Councils.

xiii. Indian Institute of Forest Management (IIFM), Bhopal shall participate in annual Indian rankings issued by

National Institutional Ranking Framework (NIRF) of this Ministry.

xiv. Indian Institute of Forest Management (IIFM), Bhopal shall compulsorily create Academic Bank of Credits

(ABC), identities of their students and upload their credit score in digital lockers and ensure that the credit scores

are reflected in ABC Portal and adopt Samarth e-Gov.

Clause 3.23

After completion of all these formalities and on

payment of all dues/duty on the vessel, the

Customs Authority would give out of charge and

clear the ship for recycling.

Text to be deleted in clause 3.23:

“After completion of all these formalities and

vessel, and on payment of all dues/duty on

the vessel, the Customs Authority would

give out of charge and clear the ship for

recycling”.

Clause 3.18, 3.19 &

3.20

3.18: Customs procedures:-The Ship Recycler shall

also submit all documents and details as are

required by the Customs Authorities under the

Customs Act, 1962, at least 3 days prior to the

expected arrival of the vessel at anchorage, to

enable the Customs Authorities to complete all

customs formalities under the Act.

3.19: Customs Officers shall board the vessel

within 24 hours of ship's arrival (as per Customs

regulation) to complete all procedures and

processes required under the Customs Act,1962.

3.20: On completion of all procedures under 3.13

and 3.14, the Ship Recycler will pay the duty, as

duly assessed under the Customs Act,1962. On the

ship recycler producing the proof of payment of

such duty by production of the Import Duty

Challan, the Customs Authorities shall, within 24

hours, issue a No Objection Certificate to the SMB/

Port Authorities, stating their No Objection to grant

of permission to beach the vessel. It is understood

that it is the SMB/ Port Authority which shall grant

permission for beaching of vessels.

Para 3.18, 3.19 and 3.20 of the Ship Breaking

code, “Custom Act 1962” to be replaced as

“The Custom Act as applicable”.

Indemnity agreement under Ship Breaking Code 2013

THIS INDEMNITY AGREEMENT (the “Agreement” or this “Indemnity Agreement”), is made and entered into as of this date,

by and between party name———————————(the “Indemnifying Party”), a shipowner/cash buyer with a registered

office located at address and party name 2, a ship recycler buyer with a registered office located at address (“the Indemnified

Party”).

WHEREAS:

a. The Indemnifying Party wishes to description, and

b. As a condition of such, the Indemnified Party wishes to be indemnified and held harmless, as more fully set for thin

this Indemnity Agreement below.

c. In consideration of foregoing, and of the mutual covenants contained herein, the receipt and sufficiency of which

are hereby acknowledged, the parties to this Agreement hereby agree as follows:

The Indemnifying Party herewith agree to indemnify and protect the Indemnified party, and list of other parties harmless from

and against any and all claims, liability, loss, expenses, suits, damages, judgments, arrests, demands, and costs (including reason

able legal fees and expenses) arising out of

(i) the past acts or omissions of the Indemnifying Party, and list of other parties in connection with description: or

(ii) any accident, injury or loss of life or loss or damage of property, pollution at sea or fines and penalties which may result,

in whole or in part, by reasons of description except to the extent that such damage is due solely and directly to the negligence

of the Indemnified Party.

IN WITNESS WHEREOF, the parties to this Agreement have caused this Indemnity Agreement to be duly executed, delivered

and effective as of the date of the last party to sign below.
