AGREEMENT UNDER SECTION 41 OF THE LAND ACQUISITION ACT, 1894
In respect of
Dhamwari Sunda Hydroelectric Project (70 MW)
THIS AGREEMENT is made on this 14th day of March, Two thousand twelve
BETWEEN
M/s Dhamwari Power Company Pvt. Limited, a Company registered under the Companies
Act, 1956 and having its registered office at A–38, 1st Floor, Mohan Cooperative Industrial Estate,
Mathura Road, New Delhi- 110044 through its Authorised signatory Shri Vijay Kumar Saini,
Manager (Commercial), appointed by the Company as its Attorney (hereinafter called ”The
Company” which expression shall include its heirs, successors and assigns) of the first part.
AND
THE GOVERNOR of Himachal Pradesh through the Principal Secretary (MPP& Power) to
the Government of Himachal Pradesh (Hereinafter called the “Government”, which expression
shall include its successors in office and assigns) of the Second part.
WHEREAS, upon the applicant of the Company for the acquisition of surface rights over
land required for implementation of 70 MW Dhamwari Sunda Hydroelectric Project, the
Government of Himachal Pradesh have agreed to acquire the land on behalf of the Company under
the provision of the Land Acquisition Act, 1894 (Act No.1 of 1894), the pieces or parcels of land
described and delineated in the Schedule hereto annexed and situated in the revenue estate of
Muhal Pekha, Tikkari, Denwari and Chirgaon, Tehsil Chirgaon, Distt. Shimla, Himachal Pradesh,
total private land measuring 04-74-36 hect. having been shown to the satisfaction of the said
Government that the proposed acquisition is needed for implementation of 70 MW Dhamwari
Sunda Hydroelectric Project and whereas the said Government have called upon the Company
under the provisions of Section 41 of the Act ibid to enter into an agreement with the Government
hereinafter contained.
Now, these presents witness and it is hereby agreed and declared as follows:-
1.
On demand, the Company shall pay to the Government of Himachal Pradesh
all and every compensation in respect of the said land tendered, paid or
awarded to be tendered, paid or awarded by the Collector under the Land
Acquisition Act, 1894, or by the Court or Courts to which an appeal from the
award of the said Court may be preferred and all costs, charges and expenses
of the proceedings in the aforesaid Courts or otherwise incidental to the
proposed acquisition or payable in respect thereof under the provisions of the
said Act.
2.
On demand, made by the said Collector the obligations of the Company
under the last preceding clause not being thereby limited, the Company shall
deposit with the said Collector such sum or sums of money as in his
discretion the said Collector may in anticipation estimate to be necessary for
the purpose mentioned in the preceding clause.

3.
On payment by the Company of all demands under the foregoing first clause,
or, in the discretion of the said Government of Himachal Pradesh (On
deposit by the Company of all estimated amounts as provided in the section
clause) but not before possession shall have been taken under the provisions
of the above mentioned Act, the Governor, Himachal Pradesh shall make
over possession of the said land to the company and shall execute and do
such all acts and deeds as may be necessary and proper for effectually
vesting the same in the Company.
4.
In case, Company has offered the land and construction etc. there in as
security with the previous sanction of the Government for raising loans from
financial Institutions/Banks etc., within in India and outside, the Government
not withstanding such sanction shall have recourse to its rights for
resumption of the land under this clause even during the period such loan is
outstanding, if the land is not utilized for the purpose for which it was
acquired under the provisions of the Land Acquisition Act, 1894.
5.
The said land shall be held by the Company for the purpose for which it is
acquired or purpose legitimately connected as is herein before mentioned and
without the sanction in writing of the said Government of Himachal Pradesh
first had obtained for no other purpose whatsoever.
6.
That said construction shall be completed and fully equipped in all respect
ready for use within the time schedule as stipulated in the Implementation
Agreement for the Dhamwari Sunda (70 MW) Hydroelectric Project. Should
the said construction not be completed (and fully equipped in all respect
ready for use) within the time schedule as stipulated in the Implementation
Agreement stated in the last preceding clause or within such further period as
in its discretion may be prescribed or allowed by the said Government of
Himachal Pradesh or should the said land at any time thereafter cease for a
period as prescribed by the Government of Himachal Pradesh to be held and
used or cease to be required for the purpose or purposes provided for in the
foregoing clauses then in any such case, the said Government may
summarily re-enter upon and take possession of the said land together with
all structures/buildings thereon, whether such structures/ buildings were
erected before or after transfer of the land and buildings shall absolutely
cease and determine and vest in the State Government free from all
encumbrances.
7.
The company shall provide employment to one member of each of the
displaced families during the construction period of the project, which shall
form part of the rehabilitation plan to be prepared and implemented at the
cost of company. During the operation and maintenance of the project, the
company shall give preference for employment to the members of the
displaced families employed during the construction period.
8.
In case of breach of any conditions by the company, the state Government
shall have right to determine the agreement by giving 15 days show cause
notice to the company. In case the company fails to explain its position to the
satisfaction of the State Government and rectify the breach of the conditions
so enumerated in the show cause notice, the State Government shall have
absolute right to rescind the agreement and reenter upon and take possession

of the said land together with all structures/ buildings thereon and thereupon
the interest of the company in the said land and structures/buildings shall
cease and determine and vest in the state Government free from all

NOTIFICATION
Shimla-2, the 19 March-2012
No. MPP-B (12)-1/2011.—The Governor, Himachal Pradesh is pleased to notify the
following Terms and Conditions for the Post of Managing Director, Himachal Pradesh Power
Corporation Ltd.:-
TERMS AND CONDITIONS
1.
Term.—The appointment shall be for a maximum period of 5 years or upto the age
of 60 years whichever is earlier. The appointment may however, be terminated even during this
period by either serving a three months notice or on payment of three months salary in lieu thereof.
After this expiry of first two years of appointment the performance will be reviewed to enable the
Government to take a view regarding continuance of appointment or otherwise for the balance
period of tenure.
2.
Eligibility.—(i) The incumbent should be a citizen of India.
(ii)
Age : Minimum of 45 years and maximum 57 years as on 1st January of the
year of advertisement for the post.
3.
Qualification.—The incumbent should be a graduate from a recognized University
with good academic record and Post Graduate preferably in Personnel Management, Business
Administration, Engineering, Environment, Industrial relations or Finance. He/She should possess
adequate experience at a Senior level of Project Management in large organization of repute or in
policy formulation in Govt./Private/Public Sector. MBA qualifications having familiarity with
execution of Power Projects will be added advantage.
4.
Pay Scale.—Rs. 67000 (annual increment @ 3%) – 79000. Officers of Central &
State Government, CPUs & PSUs and Board & Corporations of the State Government, if selected
for the above post, their salaries shall be fixed under FR 22 read with decision No. 28 or further any
instructions issued by the Finance Department of HP Government. If a person is appointed as
Managing Director and he is in receipt of pension from Government, the pay of such person shall
be reduced by an amount equal to the gross amount of pension drawn by him.
5.
Headquarter.—The Headquarter will be at Shimla where the registered
office/headquarter of the Company is located. The Managing Director will be liable to serve in any
part of the country at the discretion of State Government.
6.
Dearness Allowance.—The Managing Director would be paid DA in accordance
with the New CDA Scheme.
7.
Residential accommodation/payment of House Rent Allowance and recovery of
rent for the accommodati on so provided.—(a) Company’s own accommodation.—Wherever
the HPPCL has built residential flats in the industrial township or purchased residential flats in the
cities, arrangements would be made by the HPPCL to provide a suitable residential accommodation
to Managing Director.

(b)
Leased accommodation.—If the HPPCL does not have residential accommodation
in its own township or is not able to provide residential accommodation out of the residential flats
purchased by it in other cities, then in that situation, accommodation could be arranged by the
HPPCL by taking the premises on lease basis at headquarter of the company by paying a rent upto
the limit fixed for Managing Director as per HPPCL rules. Any additional rent would have to be
borne by officer. The Board of HPPCL will have the flexibility to review and provide for an
adequate level of lease accommodation for the Managing Director.
(c)
Self Lease.—If Managing Director owns a house at the place of his posting and is
desirous of taking their own house on self lease basis for his residential purposes, the BOD of
HPPCL can permit him to do so provided he executes a lease deed in favour of the HPPCL as per
HPPCL rules and per within entitlements.
(d)
Payment of House Rent Allowance.—If the HPPCL is not in a position to arrange
residential accommodation to the Managing Director out of its residential quarters or even on lease
basis or if Managing Director prefers to stay in a house taken by them on rent basis or make his
own arrangement; he can be paid HRA as applicable to the Managing Director of HPPCL as per
rules.
(e)
Furnishing of Residential Accommodation.—Managing Director will be provided
semi furnished accommodation with monetary ceiling of Rs. 50,000/- (Rs. Fifty thousand only).
Furnishing would remain the property of the Company.
8.
Annual increments.—Managing Director shall be eligible to draw his annual
increment on the anniversary date of his appointment in the scale and further increments on the
same date in subsequent years until the maximum of pay scale is reached.
9.
Conveyance.—As per company rules enforced from time to time. Managing
Director shall be entitled for the Company’s owned attached vehicle. Other rules for entitlement
shall be as per rules of HPPCL approved by the BOD from time to time.
10.
Leave.—Managing Director shall be subject to the Leave Rules of the HPPCL. Pr.
Secretary (Power) will be the leave sanctioning authority.
11.
Medical
Treatment.—Managing
Director
shall
be
entitled
to
medical
reimbursement and facility as may be applicable to the executives of the HPPCL.
12.
Telephone.—facility As per company rules.
13.
Contributory Provident fund and Gratuity.—Managing Director shall be
governed for these benefits as per Rules of HPPCL.
14.
Productivity Linked Incentive Scheme.—Wherever this Scheme has been
introduced by the HPPCL the benefit of incentive payments under the existing Productivity Linked
Incentive Scheme would also be extended to the Managing Director.
15.
Other benefits and perquisites.—The Managing Director shall be entitled to
Medical Facilities, Traveling Allowance, Leave Travel Concession, Disability Leave, etc. in
accordance with the Rules of the HPPCL.
16.
Conduct, Discipline and Appeal Rules.—Managing Director shall be governed by
the HPPCL Conduct, Discipline and Appeal rules. For imposition of minor and major penalties the
competent authority shall be State Govt.

17.
Club Membership.—The Managing Director shall be eligible to become member
of two clubs at the expense of the HPPCL subject to a maximum of Rs. 2500/- per month. His
membership of these clubs will be co-terminus with his tenure.
18.
Restriction on Joining Private CommercialUndertakings after retirement.—
After retirement from the service of the Corporation, he shall not accept any appointment or post,
whether advisory or administrative, in any firm or Company whether Indian or Foreign, with which
the Company has or had business relations within one year from the date of his retirement includes
resignation, but not the cases of those whose term of appointment was not extended by Government
for reasons other than proven misconduct. The term ‘business relations’ includes ‘official dealings’
as well.
19.
Other Conditions.—The perquisites and allowances may be upto a maximum of
50% of the basic pay and payments over and above the ceiling of 50% should be entirely in the
nature of performance related payments/performance linked incentives.
20.
Power to relax/Interpretation.—For any kind of relaxation/amendments in these
terms and conditions, the State Government is the competent authority. If a question arises relating
to the interpretation of any of the provisions of these terms and conditions, the Government shall
decide the same and its interpretation shall be final.
