Sanniyasikuppam Main Road, Kalitheerthalkuppam,

Madagadipet, Puducherry-605 107.

1. Voluntary Winding-up of the Company.

“Resolved that pursuant to the provisions of section

484(l)(b) of the Companies Act, 1956, the company,

being solvent and in a state of affairs to settle all its

Debts and Liabilities in full, the consent of the

members of the company be and are hereby accorded

to wind-up the affairs of the company as the members’

voluntary winding-up, with effect from 09th March, 2017.

2. Appointment of Mr. T. Murugan as Liquidator

and Fixation of his remuneration.

“Resolved that pursuant to the provisions of section

490 (l)(a) and other applicable provisions if any of the

Companies Act, 1956. Mr. T. Murugan, Practising

Company Secretary having office at M-22 E, Sri Subah

Colony, Munuswamy Salai, Chennai 600 078 be and

are hereby appointed as the “Liquidator of the

Company” to Manage and administer the Members

Voluntary winding-up affairs of the company.

“Resolved further that pursuant to the provisions of

section 490 (1) (b), 490 (2) (3) and other applicable

provisions if any of the Companies Act, 1956. The

consent of the members be and are hereby accorded

to sanction the remuneration payable by the company

to the Liquidator be and are hereby fixed a sum of

` 40,000 (Rupees forty thousand only) in addition to

the actual out of pocket expenses incurred by him

during the winding-up the affairs of the company.”

Powers of the Liquidator.

“Resolved that pursuant to the provisions of section

512 and other applicable provisions if any of the

Companies Act, 1956, the Liquidator shall perform

such functions and discharge such duties as may be

determined from time to time by the company. The

Liquidator shall settle the list of contributories which

shall be prima facie evidence of the liability of the

persons named therein to be contributories to the

company, conduct general meetings of the company for

the purpose of obtaining the sanction of the company

by ordinary or special resolution as the case may arise,

maintain regular and proper book of accounts in such

form and in such manner as may be prescribed,

preparation of quarterly statement of accounts and file

such statement of accounts duly audited with the

Registrar, settle the debts of the company and shall

adjust the rights of the contributories among

themselves. Liquidator powers and duties to discharge

shall not conferred within this it may extend to the

functions stated below:

(a) Exercise any of the powers set out in clauses

(a) to (d) of sub-section (1) of section 457 of the Act.

(b) Exercise of any of the affairs available to a

Liquidator in terms of any other provisions

contained in the Act.

(c) Do all such other things as may be necessary

for winding-up the affairs of the company and

distributing its assets.

“Resolved further that the existing operation of the

bank accounts in the name of company, held in Bank

of Baroda, Sriperumbudur Branch and Kotak Mahindra

Bank, Teynampet Branch be devolved on Mr. T. Murugan,

the Voluntary Liquidator due to the ceasing of powers

of the board of Directors due to Voluntary

Liquidation”.

“Resovled

further

that

notwithstanding

the

appointment of liquidator the Board of Directors of the

Company be and is hereby authorized to exercise all

the powers in consideration with the liquidation of the

company like filing of statement of affairs with the

liquidator, filing of return with the Registrar of

Companies, filling up vacancy in the office of

liquidator and such other matters incidental to the

liquidation of the Company.”
