to?”
2. Upon receipt of the reference, it was registered
as IT/83/02 and registered A/D notices were issued
to both the parties. Pursuant to service of notices,
Party I filed a Claim Statement at Exhibit 5.
Party II filed a Written Statement at Exhibit 7. Party
I then filed the rejoinder at Exhibit 9.
3. In short, the case of Party I is that all the
workers employed in the factory are the members
of the All Goa General Employees’ Union and have
signed various settlements and by letter dated
27-3-2000, Charter of demands were served on the
employer, however instead of negotiating on the
Charter, the Party II froze the wages of the workers.
The matter was taken up in conciliation, but it
ended in failure. The Party II manufactures quality
spectacles frames and metal combination frames
and have a wide spread and increasing all India
market. The financial results of Party II are a picture
of success. The demands raised by Party I are
entirely legal and justified and the financial
implications of the demands are well within the
capabilities of Party II and therefore the reference
be answered in favour of Party I.
4. The Party II filed Written statement inter-alia
contending that they are not in a position to give
rise considering their financial condition and
market situation and the fact has been explained
to the representatives of the Party I as the
establishment is practically sick and may have to
go for a closure and therefore, the reference made
by the Government be dismissed.
5. In the rejoinder at Exhibit 9, Party I denied the
contention of the Party II mentioned in the Written
statement.
6. In the course of proceedings, the parties have
filed an application along with the Memorandum
of Settlement dated 11-12-2017 at Exh. 40 colly
stating that they have settled the subject matter of
the dispute by signing the settlement under
Section 2(p) read with Section 18(1) of the Industrial
Disputes Act, 1947 and that an Award be passed
in terms of the settlement.
7. The terms of settlement are as follows:
(1) It is agreed by and between the parties that
the management pay a sum of Rs. 8,68,000/-
(Rupees Eight lakh sixty eight thousand only)
by cheque to be handed over to the union
in the name of individual workman
concerned in the dispute and shall handover
the same cheque to the representative of the
union i.e. Mr. Anand Betkikar or Mr. Nilkant
Phadte.
(2) This settlement is executed by Shri Rumeet
S. Gosalia, Shri Narendra V. Gosalia and Shri
Samik D. Gosalia on behalf and consent of
the management of Vita Industries.

union shall distribute the legal dues of the
workmen of Rs. 8,68,000/- (Rupees eight lakh
sixty eight thousand only) which includes

amount as per Award passed on 30-06-2009

which can be computed in terms of money
and this settlement is full and final
satisfaction of all claims arising out of their
employment, in Reference No. IT/83/2002 and
Execution Application No. 12/14.
(5) It is agreed between the parties that this
settlement shall be produce before Industrial
Tribunal in Reference No. IT/83/2002 and
Principal District Judge, South Goa, Margao
in Execution Application No. 12/14 seeking
disposal of those matters in terms of this
settlement. Withdrawal of the cases to be
done simultaneously.
(6) It is specifically agreed during by the Union
as also workmen individually or otherwise

signed by Shri Anand Betkikar, President of All
Goa General Employee Union on behalf of Party I
and the workmen concerned, so also Shri Samik
Gosalia, Shri Rumeet Gonsalia and Shri Narendra
Gonsalia on behalf of Party II. I have gone through
the records of the case and the above Memorandum
of Settlement and I am convinced that the terms of
