No. 2296—Notice is hereby given that the 53rd Annual General meeting of the
Shareholders of the Bihar State Financial Corporation will be held on 18.03.2009 at 11.00
A.M. in the Head Office premises of the Corporation at Fraser Road, Patna-1 to transact
the following business:-
(i)
To confirm the minutes of the 52nd Annual General Meeting of the Shareholders
of the Bihar State Financial Corporation held on 07.05.2008 at 3.30 PM. at the
Head Office Premises of the Corporation at Fraser Road, Patna-1;
(ii)
To read and consider the Balance Sheet and Profit & Loss Account of the
Corporation for the F.Y.2007-08 together with Auditor's Report thereon and the
Report of the Board of Directors on the working of the Corporation during the
year.

(iii)
To appoint, under section 37(i) of the SFCs (Amended) act, 2000, Statutory
Auditor for the Corporation out of panel of Auditors approved by Reserve Bank
of India for auditing the accounts of the Corporation relating to the F.Y. 2008-09.
(iv)
To elect 2(two) Directors to represent the other shareholders under clause(e) of
section 10 of the SFCs Act, 1951 (Amended 2000);
(v)
Any other business with the permission of the Chair.
Note:
1.
Proposal of the candidate for directorship should be made in the manner
prescribed under amended Regulations No.30 to 34 of the Annual General
Regulations of the Corporation and should reach the Head Office of the
Corporation before 14(fourteen) clear days before the date fixed for the Annual
General Meeting, i.e. not later than 4th March, 2009.
2.
No candidate for election as a Director of the Board shall be validly proposed
unless:-
(a)
he is, on the last date for receipt of proposals, not disqualified to be a
Director under Section 12 and who has not been removed earlier under
Section 13; of SFC's Act, 1951 (Amended 2000);
(b)
he is proposed by at least two shareholders;
(c)
the proposal is in writing signed by the shareholders or by their duly
constituted attorneys, provided that a proposal by a shareholder who is a
body corporate may be made by a resolution of the Directors of the said
body corporate and where it is so made, a copy of the resolution certified
to be a true copy by the Chairman of the meeting at which it was passed or
by the Secretary, or the Chief/Vice Chief Executive Officer of that body
corporate shall be dispatched to the Head Office of the Corporation and
such copy shall be deemed to be a proposal on behalf of such body
corporate;
(d)
the proposal contains a declaration signed by the candidate before a Judge,
Magistrate, Registrar or Sub-Registrar of Assurances, or other
Government Gazetted Officer or an officer of Nationalised Bank or of the
Corporation not below the rank of Manager, that he accepts the proposal
and is willing to stand for election, and that he is not disqualified for
election under Section 12 or earlier removed under Section 13.

The voting rights of shareholder and manner in which voting rights may be
exercised should be in the manner prescribed in the Bihar State Financial
Corporation (Voting Rights) Regulations 2001, (As amended up-to-date),
3.(i)
An individual shareholder who wishes to attend and vote at the 53rd Annual
General meeting shall be required, for the purpose of identification and
determining his voting rights, to file Self Declaration duly filled in the proforma
prescribed by the Corporation, at least one hour before the commencement of the
53rd Annual General Meeting, with the Manager (Co-ordination) of the
Corporation in the Head Office of the Corporation i.e. by 10.00 A.M. on
18.03.2009 for the meeting.
3.(ii) A shareholder entitled to attend and vote at the 53rd Annual General meeting is
also entitled to appoint a Proxy to attend and vote in place of himself/herself and
such Proxy need not be a shareholder of the Corporation.
3(iii) Proxies in order to be effective must be duly filled in the Proforma prescribed by
the Corporation and filed with the Manager (Co-ordination) of the Corporation at
the Head Office of the Corporation during office hours, not less than clear

7(seven) days before the date fixed for the meeting i.e. 11th March,2009 for the
53rd Annual General Meeting scheduled on 18th March, 2009.
3.(iv) No person may attend or vote at any meeting of the Corporation as a duly
authorized representative of a Body Corporate unless a copy, duly filled in the
Proforma prescribed by the Corporation, of a resolution appointing him as a duly
authorized representative of the said Body Corporation and certified to be a true
copy of the Chairman of the meeting at which it was passed, is filed with the
Manager (Co-ordination) of the Corporation at the Head Office of the Corporation
not less than 4 (four) days clear days before the date fixed for the meeting i.e. 14th
March, 2009 the meeting schedule on 18th March, 2009.
An appointment of a duly authorized representative shall, after the deposit
of a certified copy of the resolution as aforesaid, be irrevocable for the meeting
for which it is made.
4.
Shareholders may kindly note that this applies inter alia also to the Chairman,
secretary, Treasurer, Director or any other office bearer of a shareholder Body
Corporate and without compliance of this provision even such office holders shall
not be authorized to attend the meeting or to vote on any proposal mooted therein.
5.
The prescribed Proformae for Self Declaration, Proxy or Resolution for
Authorisation as the case may be, may be obtained from the office of the Manager
(Co-ordination) of the Corporation, on any working day, during office hours.
6.
It may be noted that the aforesaid procedure is to be followed in all General
Meetings
of
the
Corporation
and
that
fresh
and
specific
Self
Declaration/Proxy/Resolution of authorization is required for every meeting.
7.
Shareholders are hereby requested to attend the said meeting on the date and time
fixed as aforesaid, and are further requested to ensure that the Self Declaration or
Proxy or Resolution of Authorisation, as the case may be in the prescribed
Proforma duly filled in and complete in all respects, is deposited in the
Corporation Head Office with the Manager (Co-ordination) within the time limit
as prescribed in each case, failing which they would not be authorized to attend
the 53rd Annual General Meeting of shareholders of the Corporation or cast their
votes on proposals mooted therein.
8.
The Register of Share-holders of the Corporation will remain closed from 2nd
March, 2009 to 18th March, 2009(both day inclusive).
9.
The shareholders are requested to notify changes in their addresses, if any, to the
Corporation.
10.
List of Share-holders will be available at the Head Office of the Corporation for
purchase by Share-holders at price of Rs.10/- (Rupees Ten) only per copy at least
three weeks before the date fixed for 53rd Annual General Meeting i.e. from 26th
February, 2009.
