Memorandum of

BIHAR STATE SPORTS AUTHORITY (BSSA)

1- Name of the Society :

The name of the society shall be "Bihar State Sports

Authority (BSSA)".

2- Registered office

The registered office of the society shall be situated at -

Bihar State Sports Authority, Patliputra Sports Complex,

Kankarbagh, Patna -800020, State - Bihar.

The society may setup its branch offices in the State of

Bihar.

3- Area of Operation

The area of operation will be all over the State of Bihar.

4- Aims and objectives

Following are the aims & objectives of the society -

4.1

To be the body, through which sports environment in the state of Bihar may be

made more conducive for facilitating sports culture.

4.2

To provide managerial and technical support in the area of sports to the

Department of Art, Culture and Youth, Bihar.

4.3

To implement various programmes of central and State Government to promote

sports activities in the State. To encourage and develop sports activities in the

state of Bihar in accordance with sports policies of Government of India and the

State Government.

4.4

To establish linkages between Government of India, Sports Authority of India,

Sports Council, Indian Olympic Association, National Sports Associations

/Federations and District/State/National level Associations /Federations

related to sports and allied activities.

4.5

To organize sports competitions at various levels such as university games,

school games, sports league.

4.6

Provision, proper utilization, and maintenance of infrastructure related to sports

activities and residential facilities to sports persons. Establishment and

administration of sports academy and training centers.

4.7

To provide technical, financial and other assistance to organizers of

international, national and state level tournaments.

4.8

To organize seminars, workshops and other need-based training to enhance

awareness regarding sports activities. Capacity development of sports officials,

trainers, physical training teachers in coordination with prestigious sports

training institutions inside and outside the country.

4.9

To establish sports equipments banks at state and district level to support needy

players/sports organization/sports clubs.

4.10 To encourage "High Priority Sports" enlisted by State Government, it shall

organize sponsor sports tournaments, training camps, demonstration matches

and other activities in coordination with Government/Private reputed sports

institutions. To provide financial support and facilities to registered

organizations for such activities.

4.11 To mobilize resources from all possible sources to foster the cause of sports

development. To establish a system to generate funds as user fees relating to use

of all infrastructures available with the society.

4.12 To execute welfare activities for sports persons, sports coach including active

and experienced ex-sports persons and related officials.

4.13 To felicitate sports persons with citation, cash reward, fellowship, scholarship

and pension with a view to encourage them.

4.14 To organize sports activities for “Specially Abled Persons” with the help of

recognized Paralympic Committee of India/Special Olympic/State associations

under deaf and dumb organization.

4.15 To raise public awareness and community participation through appropriate

social mobilization for development of sports activities in Bihar. To organize

sports activities for inclusive sports so that old age persons, women, different

social groups, different sections of the society can be involved in the sports

activities.

4.16 To hire the services of consultants, experts and trainers including outsourcing

agencies for training camps and various training programmes, sports

institutions/academy.

4.17 To create administrative, technical and other posts of its own with prior

concurrence of the State Government.

4.18 To enter into arrangement/agreement with any person/company/association/

institutions/organizations/agencies/NGOs having similar kind of aims and

objectives for better implementation of schemes/programmes of similar nature

sponsored by central and/or state government.

4.19 To create Corpus Fund, Reserve Fund, Insurance Fund or any other Special

Fund; whether for depreciation,

repair, improvements, extension or

maintenance of any of the properties or rights of the Society and/or for

recouping waste assets and for any other purposes for which the Society deems

it expedient or proper to create or maintain any such fund.

4.20 To make rules and by-laws for the conduct of the affairs of the Bihar State Sports

Authority from time to time and formal adoption of service rules and bye laws

by the Bihar state sports authority.

4.21 To delegate any of its powers to any of the Committee of the Committees

constituted by it under approval of the Executive Committee.

4.22 To implement the directions given by Government for the development of sports

in the State.

RULES AND REGULATIONS

"BIHAR STATE SPORTS AUTHORITY"

DEFINITION.—

1.1

State Government means

: "Government of Bihar".

1.2

Society means

: "Bihar State Sports Authority".

1.3

Committee means

: The Executive Committee of the Society.

1.4

Office bearer means

: President, Chief Executive Officer, Member

Secretary & Treasurer.

1.5

President means

: President of the General Body of the society.

1.6

Chairman means

: Chairman of the Executive Committee of the

society.

1.7

Member Secretary means

: Member Secretary of the General Body or the

Executive Committee of the society as the case

may be.

Year Means

: From 1st April to 31st March.

Body means

APPLICATION FOR ADMISSION.—

3.1

The General Body, if so desires, may nominate/co-opt any member whose

contribution will further the cause of the Society. The term of nominated

member will continue for two years. He / she may be or re-nominated by the

General Body.

3.2

The term of the office of an ex-officio member shall continue as long as he/she

holds the designated post.

TERMINATION OF THE MEMBERSHIP.—A person ceases to be the member of the General

Body of the Society -

4.1

By voluntary resignation in writing - Resignation of the membership of the

General Body of the Society shall be tendered to the Member Secretary of the

General Body and shall not take effect unless it has been accepted on behalf of

the President of the General Body.

4.2

By the termination or withdrawal of the application.

4.3

By death.

4.4

If he/she becomes of unsound mind.

4.5

If he/she becomes insolvent.

4.6

If convicted of any offence.

4.7

If due to cessation to hold the office in case of ex-officio members.

4.8

By expulsion for such acts or conduct which is considered prejudicial to the

interest and objects of the Society by two-thirds of the members of the General

Body.

POWERS AND FUNCTIONS OF THE GENERAL BODY.—The General Body shall have the

following powers and functions -

5.1

To review the activities and programmes undertaken by the Society and to

give overall policy guidance and directions for its efficient functioning.

5.2

To consider the balance sheet and audited accounts for the previous year.

5.3

To consider the annual report prepared by the Executive Committee.

5.4

To amend the bye-laws of the Society subject to the approval of Government.

5.5

To make any rule/regulation relating to administration and management of

the affairs of the Society.

5.6

To review and approve the required posts for Society, proposed by Executive

Committee, required for implementation of the schemes/programmes

allocated to the Society.

5.7

To perform such other functions as are entrusted to it under these bye-laws.

GENERAL BODY MEETING.— The annual General Body meeting shall be held at least

twice in a year at such time and as fixed by the President of the General Body of the

Society. In absence of President, Executive President shall preside over the General Body

meeting. In absence of both, the meeting can be chaired by the Vice President. If the

President or the Vice President are unable to conduct the General Body meeting then the

Vice President can conduct the meeting.

6.1

GENERAL.—General Body meetings of the Society shall be convened for

handling of such matters as may be required and such meetings shall be called

by the Member Secretary as directed by the President of the General Body on

giving fifteen days notice, clearly stating the time, place and purpose of the

meetings. Non-receipt of any such notices by the individual members shall not

invalidate the proceeding of a meeting. The Proceedings of the meeting shall

be circulated to all the members.

In case of urgency and furtherance of objectives of the Society,

President may call meeting within 48 hours of notice.

6.2

ANNUAL—Once in every year, during the month of January or as near to as

possible there shall be summoned an Annual General Meeting (AGM) of the

Members of the General Body of the Society to receive the annual report of the

preceding years' accomplishments together with the audited accounts and to

take up other such matters currently affecting the affairs and interests of the

Society as are allowed by the President of the General Body.

PROCEEDING OF THE ANNUAL GENERAL BODY MEETING.—

7.1

Passing the Accounts of the previous financial year.

7.2

Election of Office bearers and the members of the Executive Committee to fill

the vacancies.

7.3

Appointment of Auditor for the next financial year.

7.4

To receive and adopt the annual report, the statement of accounts for the

preceding year and the financial budget estimate of the current year.

7.5

To consider any of the matter deemed important by the President or the

majority of the members present.

7.6

Disputed questions shall be determined by vote and each member shall have

one vote. The President shall have the power of a casting vote to resolve the

issue.

7.7

The proceedings of every General Body meeting of the Society shall be

circulated to all the members of the General Body.

In the meeting of General Body at least 3/5 member of General Body

must be present and this is the Quorum. If the quorum is not present with in

half an hour of the fixed time, the meeting shall be adjourned to the same day

and time and at the same place for the next week and if the quorum is not

present at adjourned meeting too, the members present shall be deemed to

form quorum. The Notice of the General Body meeting shall contain item of

business to be transacted and with mention of place and time shall be issued to

all members at least 15 days before the meeting.

EMERGENCY POWERS OF THE PRESIDENT OF THE GENERAL BODY.—Nothing stated in

rules and regulations of the Society shall prevent the President of the General Body from

exercising all the powers of General Body in case of emergencies for furtherance of the

objectives of the Society at a time when it is not possible to hold the meeting of the

General Body and action taken shall have to be ratified by the General Body at their next

meeting.

THE EXECUTIVE COMMITTEE.—Subject to the provision of these rules, the affairs of the

society shall be administered and controlled by an Executive Committee and shall

comprise 7 (seven) members including office bearers.

10. POWERS & FUNCTIONS OF THE EXECUTIVE COMMITTEE.—

10.1 The Executive Committee shall be empowered, within its terms of reference, to

take all such actions necessary for the attainment of the objectives specified in the

Memorandum of the Society.

10.2 In particular, the Executive Committee shall adopt the following procedures and

carry out the following functions -

(a)

To receive funds from State Govt. and Govt. of India as well as other

sources to carry out its assigned activities.

(b)

To decide the rate of user charges and its deployment for the various

activities of the society such as infrastructure development, recurring,

maintenance expenses etc.

(c)

To carry out activities in accordance with its stated objectives.

(d)

To place funds and to send personnel for training related to various sports

activities.

(e)

To spend the annual budget as approved by the General Body for the

achievement of purpose of the society.

(f)

To consider and approve the annual accounts along with audit report.

(g)

To procure materials from within and outside the country and develop

infrastructural facilities to foster the cause of the Society as per prevailing

norm.

(h)

To carry out all such other related activities that may be decided by the

General Body.

10.3 The Executive Committee shall have the power to make, alter or revise the rules

and regulations of the Society with the approval of the General Body.

10.4 To do all other lawful acts, matters, things and deeds as may be conducive to and

expedient in the interest of the society.

10.5 To provide funds, grants, subsidies and financial assistance to any person or

association or organization for the fulfillment of objectives of the society.

10.6 All properties of the Society, moveable or immovable, shall vest in the Executive

Committee. The ownership of land, building rests with Government of Bihar till it

is lawfully transferred to the Society.

10.7 To purchase, hire, take on lease, exchange or otherwise acquire properties,

movable or immovable, which may be necessary or convenient for the

achievement of aims and objectives of the Society, and construct, alter and/or

maintain such buildings and work as may be necessary for carrying out the

objectives of the Society and to carry out agreement, contract obligation and

arrangements on suitable terms.

10.8 To sell, hire, lease, exchange or otherwise transfer or dispose of all or any

property, movable or immovable of the Society, which may be necessary or

convenient for the achievement or fulfillment of objectives of the Society subject

to prior approval of the State Government.

10.9 To create Corpus Fund, Reserve Fund, Insurance Fund or any other Special Fund;

whether for depreciation, repair, improvements, extension or maintenance of any

of the properties or rights of the Society and/or for recouping waste assets and

for any other purposes for which the Society deems it expedient or proper to

create or maintain any such fund.

10.10 To manage all the institutions conducted & established by the Society.

10.11 Minimum eligibility criteria for posts of Officers and Staff for various categories

shall be decided by the Executive Committee. The remuneration and service

condition for all the posts shall be decided by the General Body.

10.12 The Executive Committee may by resolution, appoint Advisory Boards or other

special committees for such purpose and with such powers as the Executive

Committee may think fit and Executive Committee may also dissolve any of the

committees and advisory bodies, set up by it.

10.13 The Executive Committee may delegate, to the President, Chief Executive Officer,

or any of its members and/or to a committee/group or any other member of the

Society such administrative and financial powers and impose such duties as it

deems proper and also prescribe limitations within which the powers and duties

are to be exercised or discharged.

10.14 The Executive Committee may invite experts in its meetings for seeking the

advice in the matters connected with the objects of the Society.

11. MEETING OF THE EXECUTIVE COMMITTEE.—The Members of the Executive Committee

shall meet together at least four times a year or as often as may be considered necessary

for the transaction of the business of the Society, adjourn and otherwise regulate their

meetings as they may think fit, observing the following : -

11.1

Every meeting of the Executive Committee shall be convened by the Member

Secretary or as directed by the Chairman of the Executive Committee.

11.2

The meeting of the Executive Committee of the Society shall be presided over by

the Chairman of the Executive Committee. No Chairman will be elected for the

purpose.

11.3

The quorum necessary for the meetings of the Executive Committee for the

transaction of the business of the Society shall be at least four members of the

Executive Committee, one of whom shall be the Chairman of the Executive

Committee.

11.4

If no quorum is formed within half an hour of the appointed time such meeting

shall be adjourned to a later date. No quorum is required for adjourned meeting

but one of the members must be Chairman of the Executive Committee.

11.5

Any issue arising at a meeting if not resolved unanimously through deliberation

shall be decided by a majority of members and the method of determining such

majority shall be decided by the Chairman of the Executive Committee.

11.6

All the meetings of the Executive Committee or of any Committee thereof, the

disputed questions shall be determined by vote. Every Member of the Executive

Committee shall have only one vote and the Chairman of the Executive Committee

shall have the power of second and casting vote to resolve the issue.

11.7

The members of the Executive Committee in the Quorum shall be competent to

exercise all authority, powers and by or under the regulations of the Society for

the time being vested in the Executive Committee in general.

11.8

At least two weeks' notice shall be given to each member but an extra ordinary

meeting may be called at a short notice of twenty four hours either by issuing

notice or by circulations.

12. POWERS & FUNCTIONS OF THE OFFICER BEARERS OF THE EXECUTIVE COMMITTEE

12.1

CHAIRMAN -

(i)

The executive and financial powers of the Executive

Committee shall be vested in the Chairman of the

Executive Committee, who can delegate any of the

above powers to the Chief Executive Officer or any

committee consisting of members of the executive

committee to exercise such power on his/her behalf.

(ii)

The Chairman of the Executive Committee shall

exercise all such powers and do all such acts as may

be necessary or convenient for the control of the

general policies and overall direction of measures for

the promotion or accomplishment of the objects of

the Society.

(iii)

To take decisions to achieve the aims and objectives

of the society.

12.2

CHIEF EXECUTIVE OFFICER -

(i)

Director General-cum- Chief Executive Officer, Bihar

State Sports Authority shall be the Chief Executive

Officer of the Society.

(ii)

He/She shall exercise all such powers and do all such

acts as may be required for the management and

control of all institutions and activities under the

overall supervision of the Society.

(iii)

He/She

shall

constitute

Steering

Groups

/Committees / Task Forces for the programme and

activities undertaken by the Society.

(iv)

He/She shall coordinate and exercise general control

and supervision over the activities of the Society.

(v)

Subject to the approval of the Executive Committee,

the general and financial administration of Bihar

State Sports Authority (which expression includes all

adjuncts of the institute) shall vest in the Chief

Executive Officer and he shall make all appointments

in accordance with the procedures adopted for the

purpose by the Executive Committee.

(vi)

The Chief Executive Officer of the Society shall be

responsible for proper administration of the affairs

and funds of the Society, and implementation of its

various activities and programmes in a mission

mode under the direction and guidance of the

Chairman of the Executive Committee.

(vii)

With the approval of the General Body, the Executive

Committee will establish a secretariat of the Society

consisting

and

management

professionals, experts, consultants to serve as the

implementation arm of the Society which will work

under the guidance of Chief Executive Officer.

(viii)

The secretariat shall consist of all such management

units put together and as may be determined by the

General Body with due regard to the scope of

functions as set out in the memorandum of the

Society.

(ix)

As the implementation arm of the Society, the

secretariat will be responsible for day to day

management of the Society's activities. In particular,

it will be responsible for performing all functions of

the Society as set out in the memorandum of the

Society under the full administrative control of chief

executive officer.

(x)

All the finance and accounting related matters shall

be under administrative control of chief executive

officer.

12.3

MEMBER SECRETARY -

(i)

The Member Secretary of the Executive committee

will be responsible for successful implementation of

all the activities as per the directives of the Executive

Committee in accordance with rules and regulations

of the Society.

(ii)

He/She will be responsible for -

(a) Operating the bank accounts and handling

the funds for the Society jointly with

Treasurer

for

implementation

activities

(b) Book keeping of all funds received from

Government and Non-Government sources,

jointly with the Treasurer. Submission of

His/Her main functions will be to :

(b) Make timely and effective decisions for

12.4 TREASURER -

The treasurer of Bihar State Sports Authority shall -

(i)

Keep the cash and cash accounts and shall exercise

all such powers and do all such acts as may be

required for the proper maintenance of financial

account of the Bihar State Sports Authority under the

direction of the Executive Committee.

(ii)

The Treasurer shall be responsible for getting the

accounts audited by a reputed professional audit

firm duly appointed by the Executive Committee.

(iii)

To maintain proper book keeping of all the accounts

and maintain financial discipline

12.5

EMERGENCY POWERS OF THE CHAIRMAN OF THE EXECUTIVE

COMMITTEE.—Nothing stated in rules and regulations of the Society shall

prevent the Chairman of the Executive Committee from exercising all the

powers of Executive Committee in case of emergencies for furtherance of

the objectives of the Society at a time when it is not possible to hold the

meeting of the Executive Committee and action taken shall have to be

ratified by the Executive Committee at their next meeting

13. BANK OPERATION.—All money credited to the funds of the Society shall be deposited in

a scheduled Bank as would be decided in a Saving Bank Account opened under the

approval of the Chairman of Executive Committee in the name of the Society to be

operated jointly by the Chief Executive Officer of the Society and Member Secretary of

the Executive committee.

14. SOURCE OF INCOME.—

14.1 Grants from Government of India and/or Government of Bihar or from any donor

agency or donations/grant/aid received from any known legal source.

14.2 Funds generated as user fees relating to rental and other charges for

accommodation and use of facilities as would be decided by the Executive

Committee.

14.3 Interest on funds kept in bank account.

15. INSPECTION OF THE RECORDS.— All records will be kept in registered office of the

Society. Any member of the society wishing to inspect can do so with the prior

permission of the Chairman or Chief Executive Officer of Executive Committee.

16. AUDIT OF ACCOUNT.—

16.1 The Society shall maintain proper accounts and other relevant records and

prepare an annual statement of accounts in such form as may be prescribed by

the Executive Committee.

16.2 The accounts of the Society shall be audited annually by a firm of qualified

chartered accountants approved by the General Body. Any other auditor may also

be asked to audit the accounts, if so decided by the Executive Committee.

16.3 Inspector General of Registration, Bihar on his discretion any time, may get

audited account of the society by recognized Chartered Accountants and the fee

will be borne by the society.

16.4 The sanctioning power will be governed by the decision of the Executive

Committee. All expenditure to be incurred will be governed by such rules as may

be prescribed by the Executive Committee.

16.5 A monthly account showing the details of receipts and expenditures under each

item shall be prepared by the Treasurer of the Society and submitted to the

Member Secretary of the Executive Committee. The Member Secretary of the

Executive Committee will get the concurrence of the Chief Executive Officer for

placing it before the next Executive Committee Meeting.

16.6 At the end of each quarter, a consolidated account showing the total receipts and

payments during the period under several heads of accounts with the opening &

closing balances shall be prepared and submitted to the Executive Committee.

16.7 The Treasurer shall prepare the budget and annual accounts of the Society,

comprising receipts and payments of accounts, income and expenditure accounts

and balance sheet. After approval by the Chief Executive Officer of the Executive

Committee of the Society, he/she shall have the accounts audited.

16.8 A copy of such audit report signed by the auditor along with annual statement of

accounts certified by the auditor and the Chief Executive Officer of the Executive

Committee shall be furnished to the Executive Committee.

16.9 The Comptroller and Auditor General, Bihar and local fund Auditor of

Government of Bihar shall have the rights, privileges and authority to conduct

audit of the accounts and for this purpose he shall have the right to demand

production of books of accounts and other relevant records of the Society.

16.10 A statement showing the schedule of fixed assets held by the Society at the end of

each financial year shall be sent to the Art, Culture and Youth Department, Bihar

along with the Annual Statement of Accounts. No depreciation shall be charged

and the value of assets shall be shown at the original cost in the accounts.

16.11 The condemnation of stocks and stores in possession of the Society will be done

by the Executive Committee after obtaining approval of the General Body.

16.12 The Utilization Certificate for the grants received from the Government of India

shall be sent to the Government of India in the concerned Ministry or to Art,

Culture and Youth Department, Bihar as the case may be in the prescribed format

along with annual statement of accounts. Similarly, necessary utilization

certificate will be issued to any such agency that has provided funds to the

Society.

16.13 One master cash book will be maintained for the funds received from different

sources and the consolidated statement of accounts will be prepared and

presented before the Executive Committee by the Member Secretary of the

Executive Committee for approval.

17. INTERPRETATION.— The authority for interpretation of any of these by laws/rules or

regulations made hereunder which are enforced or that may come into force shall vest in

the Executive Committee and their decision in the matter shall be final.

18. AMENDMENT OF RULES.—The Society may alter these rules at any time by a resolution

passed by a majority of three fifth of the members present at Executive Committee

meeting of the Society which shall have been convened for the purpose after giving due

notice or such resolution to the members of the society, in accordance with the

procedure laid down in the Society Registration Act, 1860 (Act 21 of 1860).

19. INFORMATION OF MEETING.—

19.1

Information of meeting of Executive Committee will be given 7 days before.

19.2

Information for meeting of General Body will be given 15 days before.

19.3

Information for urgent and necessary meeting of Executive Committee or of

General Body will be given 24 hrs before.

19.4

Information of meeting will be given by the e-mail or Registered post or special

messenger.

20. LEGAL PROCEEDING.—

20.1 The Society may sue or be sued in the name of the Member-Secretary of the

Executive Committee or any such person appointed by the Executive Committee

in his official capacity through appropriate legal procedure limited to the State of

Bihar only. All documents executed by or in favour of the society shall be in the

name of the Member Secretary of the Executive Committee.

20.2 No suit or proceeding in any Civil Court shall abate or discontinue by reason of

death or otherwise of such persons referred in sub-rule (a) but same suit or

proceeding shall be continue in the name of or against the successor of such

person.

20.3 Any member of the Society who shall embezzle the funds of the Society shall be

dealt in accordance with the provision contained in of the Societies Registration

Act, 1860.

21. DISSOLUTION.—

21.1 The society shall be dissolved according to the Rules of the Society Registration

Act 21 of 1860 by 3/5 majority of the members of the General Body of the society

in the General Body Meeting.

21.2 After the dissolution, the total movable and immovable properties of the Society

shall either be given to other society of the same aim and object or be given to the

Government of Bihar after being paid all debts, loan etc. of the society as decided

by 3/5 majority in General Body Meeting.
