आदेश
मुम्बई , 3 जनवरी, 2003
आई सी आई सी आई बैंक/ धारा 10.- यतः आई सी आई सी आई बैंक लिमिटेड ( जिसे इसके बाद " आई सी आई सी आई " कहा गया है ) नौवहन विकास निधि समिति ( उन्मूलन ) अधिनियम , 1986 ( जिसे इसके बाद " उक्त अधिनियम " कहा गया है ) की धारा 16 के अंतर्गत भारत का " अभिहित व्यक्ति " है;
और यतः आई सी आई सी आई को अभिहित व्यक्ति के रूप में उक्त अधिनियम के अध्याय III के अनुबंधों के अधीन विशेष अधिकार प्राप्त हैं , जिनका उसने प्रयोग करने का निर्णय लिया है;
और यतः सिंधिया स्टीम नेविगेशन कम्पनी मर्यादित ( जिसे इसके बाद " उक्त कम्पनी " कहा गया है ) जो कम्पनी अधिनियम , 1956 के अंतर्गत एक सार्वजनिक मर्यादित कम्पनी है और जिसका पंजीकृत कार्यालय सिंधिया भवन, नरोत्तम मोरारजी मार्ग , बालार्ड इस्टेट , मुम्बई-400038 है , का निर्देशक बोर्ड आई सी आई सी आई । भारत सरकार द्वारा उक्त अधिनियम की धारा 10 के अंतर्गत नियुक्त निर्देशकों से संगठित है और यतः उक्त निर्देशक बोर्ड पर श्री दिनेश कुमार को संचालक नियुक्त करने का निर्णय किया गया है ;
अतः अब उक्त अधिनियम की धारा 10 के उपबंधों का अनुकरण करते हुए इस परिवर्तन को प्रभावी बनाने के लिए एतद्वारा यह आदेश दिया जाता है एवं घोषणा की जाती है कि;
1. श्री दिनेश कुमार को उक्त निर्देशक बोर्ड पर श्री प्रदीप कुमार के स्थान पर निर्देशक नियुक्त किया जाता है ।
कोई अन्य सूचना जारी होने तक उक्त निर्देशक बोर्ड के बाकी निर्देशक अपने पद पर यथावत् कार्षकारी रहेंगे । यह आदेश नवम्बर 25 , 2002 में प्रभावी हो जाएगा ।

ICICI/ SEC 10.- Whereas , ICICI Bank Limited ( hereinafter referred to as " ICICI " is the " designated person " of the Central Government within the meaning of Section 16 of the SDFC ( Abolition ) Act, 1986. (hereinafter referred to as "the said Act"): 2
And whereas , ICICI , as designated person, is entitled and has decided to exercise various special poweres under the provisions of Chapter III of the said Act;
Andwhereas , the Board of Directors ( hereinafter referred to as " the said Board" ) of The Scindia Steam Navigation, Company Limited ( hereinafter referred to as "the said company " ) , a public company within the meaning ofthe companies Act. 1956 and having its Registered Office at Scindia House , Narottam Morarjce Marg , Ballard Estate , Mumbai -400.038 , is constituted ofDirectors who have been appointed by ICICI/ Central Government in terms of Section 10 of the said Act; Andwhereas, it has been decided to appoint Shri Dinesh Kumar as the Nomince Director in place of Shri Pradeep Kumar
Now, therefore, in order to give effect to the aforesaid change , in pursuance of the provisions of Section 10 ofthe said Act . it is hereby ordered and declared that:
1. Shri Dinesh Kumar be and is hereby appointed as the Nominee Director of the company in place of Shri Pradeep Kunar
All other remaining Directors will continue in office unless notified otherwise.
This Order shall come into force with effect from November 25 , 2002 .
