प्रभारी হা. বি. হয়ত सा.का.नि. 133 (अ) .-- केन्द्रीय सरकार, कम्पनी अधिनियम , 1956 ( 1956 का । ) की धारा 274 और 610 क की उपधारा ( 1 ) के खंड (ख) के साथ पठित धारा 642 की उपधारा ( 1 ) के खंड (ख) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए , कम्पनी ( कम्पनी अधिनियम की धारा 274 ( 1 ) (छ) के अधीन निदेशकों की निहर्रता) नियम 2003 था और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थातः- (1) इन नियमों का संक्षिप्त नाम कम्पनी (कम्पनी अधिनियम , 1956 की धारा 274 ( 1 ) (छ) के अधीन निदेशकों की निरर्हता) संशोधन नियम , 2006 है । 1
(2) ये नियम राजपत्र में प्रकाशन की तारीख से प्रवृत्त होंगे ।
2. कम्पनी (कम्पनी अधिनियम , 1956 की धारा 274 ( 1 ) (छ) के अधीन निदेशकों की निरर्हता) नियम , 2003 में
1) नियम 5 के पश्चात निम्नलिखित नियम अंतःस्थापित किया जाए , अर्थातः-
इन नियमों में विहित प्ररूप घध -ख कम्पनी अधिनियम , 1956 ( 1956 का । ) की धारा 610 क
के अधीन यथानिर्दिष्ट इलेक्ट्रोनिक मीडिया के माध्यम से या किसी अन्य कम्प्यूटर पठनीय मीडिया के माध्यम से फाइल किये जा सकेगें ।

[PART II -SEC . 3 (i ) ] (11) नियम 8 के पश्चात निम्नलिखित नियम अंतःस्थापित किये जाएंगे, अर्थात:-
"इन नियमों में विहित किये गये 8 क प्ररूम घघ - ग कम्पनी अधिनियम , 1956 ( 1956 का ।) की धारा 610 क के अधीन यथानिर्दिष्ट इलैक्ट्रोनिक मीडिया या किसी अन्य कम्प्यूटर पठनीय मीडिया के माध्यम से फाइल किए जा सकेंगे । "
(111) नियम 12 के पश्चात निम्नलिखित नियम रखे जाएंगे, अर्थात:-
13 इलैक्ट्रानिकी प्ररूपों को सूचना प्रौद्योगिकी अधिनियम , 2000 ( 2000 का 21 ) के अधीन यथा परिभाषित अंकीय हस्ताक्षरों को उपयोग करते हुए प्राधिकृत हस्ताक्षरकर्ताओं द्वारा अधिप्रमाणित किया जाएगा ।
14. इन नियमों में विहित प्ररूपों को जब भौतिक प्ररूप में फाइल किया जाएगा तो प्राधिकृत हस्ताक्षरकर्ता अपने हाथ से हस्ताक्षर करके उन्हें अधिप्रमाणित करेगा ।
(क) प्ररूप घघ ख के स्थान पर निम्नलिखित प्ररूप रखा जाएगा, अर्थात :-

NOTIFICATION
New Delhi , the 3rd March , 2006
G.S.R. 133 (E ). In exercise of the powers conferred by clause ( b ) of sub - section ( 1 ) of section 642 read with clause (g) of sub- section ( 1 ) of section 274 and section 610A of the Companies Act, 1956 ( 1 of 1956) , the Central Government hereby makes the following rules further to amend the Companies ( Disqualification of Directors under section 274 ( 1 ) ( g ) of the Companies Act , 1956) Rules , 2003 , namely: -
1. (1 ) These rules may be called the Companies (Disqualification of Directors under section 274 ( 1 ) (g ) of the Companies Act, 1956) Amendment Rules , 2006.
(2) They shall come into force on the date of their publication , in the Official Gazette .
2. In the Companies (Disqualification of Directors under section 274( 1 ) (g ) of the Companies Act, 1956) Rules, 2003 , -
(i) after rule 5, the following rule shall be inserted, namely: -
" 5A The FORM DD - B prescribed in these rules may be filed through electronic media or through any other computer readable media as referred under section 610A of the Companies Act , 1956 ( 1 of 1956 ) . "
(ii) after rule 8 , the following rule shall be inserted, namely: -
" 8A . The FORM DD - C prescribed in these rules may be filed through electronic media or through any other computer readable media as referred under section 610A of the Companies Act , 1956 ( 1 of 1956) . "
(iii) after rule 12 , the following rule shall be substituted, namely:
" 13. The electronic- form shall be authenticated by the authorized signatories using digital signatures , as defined under the Information Technology Act , 2000 (21 of2000).
14. The Forms prescribed in these rules , when filed in physical form , may be authenticated by authorized signatory by affixing his signature manually. " [भाग II- खण्ड 3 (i) ]
