सा.का.नि. 147(अ).- केन्द्रीय सरकार , कम्पनी अधिनियम , 1956 ( 1956 का ।) की धारा 610 क और धारा 642 की उप- धारा ( 1 ) के खण्ड (क) के साथ पठित धारा 294 क क द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए कम्पनी (एकमात्र अभिकर्ता की नियुक्ति) नियम 1975 में और संशोधन करते हुए निम्नलिखित नियम बनाती है , अर्थात: -

( 1) इन नियमों को कम्पनी (एकमात्र अभिकर्ता की नियुक्ति ) संशोधन नियम , 2006 है ।

(2) ये नियम उस तारीख से प्रवत्त होंगे जो केन्द्रीय सरकार राजपत्र में अधिसूचना द्वारा नियत।

2. कम्पनी (एकमात्र अभिकर्ता की नियुक्ति) नियम, 1975 में-

1) नियम 2 के पश्चात निम्नलिखित नियम अंतः स्थापित किया जाएगा , अर्थात:-

" ( 2 क) इन नियमों में विदित प्ररूप को इलैक्ट्रोनिकी मीडिया या किसी अन्य कम्प्यूटर पठनीय 702GI/2006

माध्यम जैसा कम्पनी अधिनियम , 1956 ( 1956 का ।) की धारा 610 क में निर्दिष्ट है , भरा जा जा सकेगा ।

(2ख) इलैक्ट्रानिकी प्ररूपों को सूचना प्रौद्योगिकी अधिनियम , 2000 ( का 21 ) के अधीन यथा परिभाषित अंकीय हस्ताक्षरों को उपयोग करते हुए प्राधिकृत हस्ताक्षरकर्ताओं द्वारा अधिप्रमाणित किया जाएगा ।

(2ग) इन नियमों में विहित प्ररूपों को जब कागजों में भरा जाता है तब प्राधिकृत हस्ताक्षरकर्ता अपने हस्ताक्षर करके उन्हें अधिप्रमाणित कर सकेगा । "

11) नियम 3 के स्थान पर , निम्नलिखित नियम रखे जाएंगे जाएंगे , अर्थात:-

"3. जहां आवेदन पत्र इलेक्ट्रानिकी माध्यम अथवा किसी अन्य कम्प्यूटर पठनीय माध्यम से फाइल किया जाता है, वहां उपयोगकर्ता इनमें से किसी भी संदाय विकल्प का चुनाव कर सकेगा , अर्थात ( 1 ) क्रेडिट कार्डः या ( 11 ) इन्टरनेट बैंकिंग या ( 111 ) बैंक काउन्टर पर प्रेषित रकम या ( 111) केन्द्रीय सरकार द्वारा यथा अनुमोदित अन्य कोई माध्यम कम्पनी नियम (आवेदन शुल्क) 1968 में यथाविनिर्दिष्ट अपेक्षित फीस निम्नलिखित बैंकों की प्रत्यायित शाखाओं के माध्यम से संदेय होगीः-

(क) पंजाब नेशनल बैंक

(ख) भारतीय स्टेट बैंक

(ग) इंडियन बैंक

(घ) आई.सी.आई.सी.आई. बैंक

(ड. ) एच.डी.एफ.सी. बैंक ।" 3

1 और प्ररूप II के स्थान पर निम्नलिखित प्ररूप रख जाएंगे , अर्थात :-

S.O. 147(E ) . In exercise of the powers conferred by section 294AA read with clause ( a) of sub - section ( 1 ) of section 642 and section 610A of the Companies Act, 1956 ( 1 of 1956 ), the Central Government hereby makes the 21

following rules further to amend the Companies (Appointment of Sole Agents )

Rules , 1975 , namely: -

1. (1) These rules may be called the Companies (Appointment of Sole Agents ) Amendment Rules , 2006 .

(2) They shall come into force on the date of their publication, in the Official Gazette .

2. In the Companies ( Appointment of Sole Agent ) Rules , 1975 , -

(i) after rule 2 , the following rules shall be substituted, namely: -

"(2A) . The Forms prescribed in these rules may be filed through electronic media or through any other computer readable media as referred under section 610A of the Companies Act, 1956 ( 1 of 1956 ) .

(2B) The electronic- form shall be authenticated by the authorized signatories using digital signatures , as defined under the Information Technology Act , 2000 (21 of 2000 ).

(2C) The Forms prescribed in these forms , when filed in physical form , may be authenticated by authorized signatory by affixing his signature manually."

(ii) for rule 3 , the following rule shall be substituted , namely; -

"3 . Where application is filed through electronic media or through any other computer readable media, the user may choose any one of the following payment options namely ( i ) Credit Card ; or ( ii) Internet Banking or ( iii ) Remittance at the Bank Counter or ( iv ) any other mode as approved by Central Government . The requisite fee as specified in the Companies (Fees on Applications) Rules , 1968 shall be payable through any of the accredited branches of following Banks -
