सा.का.नि. 157(अ) .-केन्द्रीय सरकार, कम्पनी अधिनियम, 1956 ( 1956 का 1 ) की धारा 610 " क" की उप- धारा 2 के साथ पतित धारा 25 की उप- धारा ( 5 ) और उप- धारा ( 8 ) और धारा 609 की उप- धारा ( 2 ) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कम्पनी नियम , 1956 में और संशोधन करते हुए, निम्नलिखित नियम बनाती है , अर्थात्: -
1. (1 ) इन नियमों का संक्षिप्त नाम कम्पनी (संशोधन) नियम, 2006 है ।
(2) ये राजपत्र में प्रकाशन की तारीख से प्रवृत्त होंगे ।
2. कम्पनी नियम, 1956 में, भाग ड. के पश्चात, निम्नलिखित जोड़ा जाए , अर्थात्
'भाग च'
इलेक्ट्रॉनिक रीति में आवेदन, दस्तावेज, अनुज्ञप्ति आदि
27. इन् विनियमों के अधीन किसी व्यक्ति द्वारा यथास्थिति किए जाने, या फाइल किए जाने, या प्रस्तुत किए जाने या भेजे जाने अथवा दिए जाने के लिए अपेक्षित, कोई आवेदन या दस्तावेज या सूचना या घोषणा या विवरण , इलेक्ट्रॉनिक रीति में भी दिया जा सकेगा या फाइल किया जा सकेगा या प्रस्तुत किया जा सकेगा या भेजा या दिया जा सकेगा :
परन्तु यह कि, इस नियम के उपबंध, इन नियमों के भाग ग के विनियम 10 और विनियम 11 के उपबंधों को लागू नहीं होंगे ।

28. प्रादेशिक निदेशक या कम्पनियों के रजिस्ट्रार द्वारा यथास्थिति दिए जाने या प्रदान किए जाने या किए जाने या हस्ताक्षरित किए जाने या अभिस्वीकृत किए जाने के लिए अपेक्षित कोई प्रमाण - पत्र , अनुज्ञप्ति प्राप्ति या पृष्ठांकन इलेक्ट्रॉनिक रीति में भी दिए या प्रदान किए कोई या हस्ताक्षरित या अभिस्वीकृत किए जा सकेंगे ।
29. इन नियमों के अधीन कम्पनी रजिस्ट्रार द्वारा या उसके पास रजिस्ट्रीकृत किए जाने, या अभिलिखित किए जाने या फाइल किए जाने के लिए अपेक्षित या प्राधिकृत कोई दस्तावेज , उसके द्वारा इलेक्ट्रॉनिक रीति में रजिस्ट्रीकृत , अभिलिखित या फाइल किए जा सकेंगे। परन्तु यह तब जबकि इन नियमों के भाग ड. के विनियम 18 की अपेक्षा का पालन किया जाय ।
30. इन नियमों के अनुसरण में कम्पनी के रजिस्ट्रार द्वारा अनुरक्षित किए जाने वाला रजिस्टर या अनुक्रमणिका इलेक्ट्रानिक रीति में भी अनुरक्षित किया जा सकेगा।
31. कम्पनी रजिस्ट्रार के पास रजिस्ट्रीकृत, अभिलिखित या फाइल किए गए दस्तावेजों का निरीक्षण भी, ऐसी फीस के संदाय के माध्यम से जो विहित किए जाए , इलेक्ट्रानिक रीति में किया जा सकेगा । '

NOTIFICATION
New Delhi , the 16th March , 2006
G.S.R. 157 (E) . In exercise of the powers conferred by sub - sections ( 5) and (8) of section 25 and sub - section (2) of section 609 read with sub- section (2) of section 610A of the Companies Act, 1956 ( 1 of 1956 ), the Central Government hereby makes the following regulations further to amend the Companies Regulations , 1956 , namely: -
1. ( 1) These regulations may be called the Companies (Amendment) Regulations , 2006.
(2) They shall come into force on the date of their publication in the Official Gazette.
2. In the Companies Regulations , 1956, after Part E, the following shall be added, namely; -
"PART F
Application , documents, licence, etc in the electronic manner .
"27. Any application or document or notice or declaration or statement required to be made or filed or furnished or sent or given, as the case may be, by any person under these regulations may also be made or filed or furnished or sent or given, as the case may be, in the electronic manner :
Provided that the provisions of this regulation shall not be applicable to the provisions ofregulations 10 and 11 ofPart C of these regulations .
28. Any certificate, licence , receipt or endorsement required to be given or granted or made or signed or acknowledged, as the case may be , by Regional Director or Registrar of Companies , may also be given or granted or made or signed or acknowledged, as the case may be, in the electronic manner .
29. Any document required or authorised to be registered, recorded or filed by or with the Registrar of Companies under these regulations may be registered, recorded or filed by him in the electronic manner, subject to the compliance of the requirement ofregulation 18 ofPart E ofthese regulations .

30. The register or index required to be maintained by the Registrar of Companies pursuant to these regulations may also be maintained in electronic manner .
31. The inspection of documents registered, recorded or filed with Registrar of Companies may also be made in electronic manner through payment offee in a manner as may be prescribed. ".
