मुम्बई, 28 जनवरी , 2009 भारतीय प्रतिभूति और विनिमय बोर्ड (शेयरों का पर्याप्त अर्जन और अधिग्रहण ) ( संशोधन ) विनियम , 2009
सं. एल ए डी- एनआरओ /जीएन/2008-09 /33/ 15022.-बोर्ड भारतीय प्रतिभूति और विनिमय बोर्ड अधिनियम , 1992 ( 1992 का 15 ) की धारा 30 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए एतद्वारा भारतीय प्रतिभूति और विनिमय बोर्ड (शेयरों का पर्याप्त अर्जन और अधिग्रहण ) विनियम, 1997 का संशोधन करने के लिए निम्नलिखित विनियम बनाता है , अर्थात्:-
1. ( i ) इन विनियमों को भारतीय प्रतिभूति और विनिमय बोर्ड (शेयरों का पर्याप्त अर्जन और अधिग्रहण ) ( संशोधन ) विनियम, 2009 कहा जा सकेगा।
(ii ) ये विनियम राजपत्र में उनके प्रकाशन की तारीख को प्रवृत्त होंगे ।
2. भारतीय प्रतिभूति और विनिमय बोर्ड ( शेयरों का पर्याप्त अर्जन और अधिग्रहण ) विनियम , 1997 में,-
(i ) विनियम 8 के पश्चात् निम्नलिखित विनियम अंतःस्थापित किया जाएगा , अर्थात्:-
" 8क. गिरवी रखे गए शेयरों का प्रकटीकरण.- ( 1) संप्रवर्तक या प्रत्येक व्यक्ति जो किसी कंपनी के संप्रवर्तक समूह का भाग हो , भारतीय प्रतिभूति और विनिमय बोर्ड (शेयरों का पर्याप्त अर्जन और अधिग्रहण ) ( संशोधन ) विनियम , 2009 के प्रारंभ के सात कार्य दिवसों के भीतर , उसके द्वारा गिरवी रखे गए उस कंपनी के शेयरों के ब्यौरे प्रकट करेगा, यदि कोई हों, उस कंपनी को।

(1) (2) संप्रवर्तक या प्रत्येक व्यक्तिजो किसी कंपनी के संप्रवर्तक समूह का भाग हो , उसके द्वारा धारित उस कंपनी के शेयरों पर गिरवी के सृजन की तारीख से 7 कार्य दिवसों के भीतर, उस कंपनी को शेयरों की ऐसी गिरवी के ब्यौरे सूचित करेगा ।
(3) संप्रवर्तक या प्रत्येक व्यक्ति जो किसी कंपनी के संप्रवर्तक समूह का भाग हो , उसके द्वारा गिरवी रखे गए उस कंपनी के शेयरों पर गिरवी का अवलंब लिये जाने की तारीख से 7 कार्य दिवसों के भीतर, उस कंपनी को ऐसी गिरवी का अवलंब लिये जाने के ब्यौरे सूचित करेगा।
स्पष्टीकरण:उप-विनियम ( 1 ) , ( 2 ) तथा ( 3 ) के प्रयोजनों के लिए शब्द " संप्रवर्तक " तथा " संप्रवर्तक समूह " का वही अर्थ होगा जो सूचीबद्धता ( लिस्टिंग ) करार के खण्ड 40क के अधीन उनके लिए नियत है।
(4) कंपनी उप-विनियम ( 1 ) , ( 2 ) तथा ( 3 ) के अधीन प्राप्त जानकारी सभी स्टॉक एक्सचेंजों, जिन पर कंपनी के शेयर सूचीबद्ध हैं, को उसकी प्राप्ति के 7 कार्य दिवसों के भीतर प्रकट करेगी , यदि किसी वर्ष के मार्च, जून, सितम्बर तथा दिसम्बर को समाप्त होने वाली किसी तिमाही के दौरान , :-
(क) संप्रवर्तक या प्रत्येक व्यक्ति जो संप्रवर्तक समूह का भाग हो के गिरवी रखे गए शेयरों की कुल संख्या , ऐसे संप्रवर्तक या व्यक्तियों द्वारा उस तिमाही के दौरान पहले ही से गिरवी रखे गए शेयरों के साथ ली गई , पच्चीस हजार से अधिक हो जाती है; या
(ख) संप्रवर्तक या प्रत्येक व्यक्ति जो संप्रवर्तक समूह का भाग हो के कुल गिरवी रखे गए शेयरों का योग , ऐसे संप्रवर्तक या व्यक्तियों द्वारा उस तिमाही के दौरान पहले ही से गिरवी रखे गए शेयरों के साथ , कंपनी की कुल [PART III-SEC. 4] THE GAZETTE OF INDIA EXTRAORDINARY

शेयरधारिता या मताधिकारों के एक प्रतिशत से अधिक हो जाता है ,
जो भी निम्नतर हो। "

Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers)
(Amendment) Regulations, 2009
F. No. LAD- NRO /GN /2008-09/33/15022.- In exercise of the powers conferred by Section 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to amend the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers ) Regulations , 1997, namely:-
1. (1) These regulations may be called the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers ) (Amendment) Regulations , 2009.
(ii) These regulations shall come into force onthe date oftheir publication in the Official Gazette .
2. In the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers ) Regulations , 1997-
(i) after regulation 8, the following regulation shall be inserted, namely :-
"8A. Disclosure of pledged shares . ( 1 ) A promoter or every person forming part of the promoter group of any company shall , within seven working days of commencement of Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) (Amendment) Regulations , 2009, disclose details ofshares ofthat company pledgedby him, ifany, to that company.
(2) A promoter or every person forming part of thepromotergroup of any company shall, within 7working days from the date of creation ofpledge on shares of that company held by him, inform the details of such pledge of shares to that company.
(3) A promoter or every person forming part of thepromotergroup of any company shall, within 7 working days from the date of invocation of pledge on shares of that company pledged by him, inform the details ofinvocation ofsuch pledge tothat company.
Explanation: For the purposes of sub- regulations (1),(2) and(3) the term "promoter" and "promoter group" shall have the same meaning as is assigned to them under clause 40A of the Listing Agreement .
(4) The company shall discloses the information received under sub- regulations ( 1 ), (2) and (3) to all the stock exchanges , on which the shares of companyare listed, within 7 working days ofthe receipt thereof, if during any quarter ending March, June, September and December of any year,-
(a) aggregate number of pledged shares of a promoter or every person forming part of promoter group taken together with shares already pledged during that quarter by such promoter or persons exceeds twenty five thousand; or
(b) aggregate of total pledged shares of the promoter or every person forming part of promoter group alongwith the shares already pledgedduringthat quarter by such promoter or persons exceeds one per cent of total shareholding or voting rights of the company,-
whichever is lower."
