मुम्बई, 13 फरवरी , 2009 भारतीय प्रतिभूति और विनिमय बोर्ड (शेयरों का पर्याप्त अर्जन और अधिग्रहण ) ( दूसरा संशोधन ) विनियम , 2009
सं. एल.ए.डी.-एनआरओ /जी.एन./2008-2009/34/ 154082,-बोर्ड, भारतीय प्रतिभूति और विनिमय बोर्ड अधिनियम , 1992 ( 1992 का 15 ) की धारा 30 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए , एतद्वारा , भारतीय प्रतिभूति और विनिमय बोर्ड (शेयरों का पर्याप्त अर्जन और अधिग्रहण ) विनियम , 1997 का संशोधन करने के लिए निम्नलिखित विनियम बनाता है , अर्थात्:-
1. ( i ) इन विनियमों को भारतीय प्रतिभूति और विनिमय बोर्ड (शेयरों का पर्याप्त अर्जन और अधिग्रहण ) ( दूसरा संशोधन ) विनियम , 2009 कहा जा सकेगा ।
(ii ) ये विनियम राजपत्र में उनके प्रकाशन की तारीख को प्रवृत्त होंगे ।
2. भारतीय प्रतिभूति और विनिमय बोर्ड ( शेयरों का पर्याप्त अर्जन और अधिग्रहण ) विनियम, 1997 में,-
( i ) विनियम 25 में , उप-विनियम ( 2क ) के पश्चात् निम्नलिखित उप -विनियम अंतःस्थापित किया जाएगा, अर्थात्:-
" (2ख ) प्रतियोगी बोली के लिए कोई भी सार्वजनिक घोषणा नहीं की जाएगी इसके पश्चात् कि अर्जनकर्ता ने विनियम 29क के निबंधनों के अनुसार बोर्ड द्वारा प्रदान किए गए शिथिलीकरण के अनुसरण में पहले ही से सार्वजनिक घोषणा कर दी हो । "
( ii) विनियम 29 के पश्चात्, निम्नलिखित विनियम अंतःस्थापित किया जाएगा , अर्थात्:-

(1) "29क. कतिपय मामलों में अध्याय III के उपबन्धों के कड़े अनुपालन से शिथिलीकरण. बोर्ड , लक्ष्य कंपनी द्वारा किए गए आवेदन पर , इस अध्याय के किसी एक या अधिक उपबंधों को शिथिल कर सकेगा , ऐसी शर्तों के अध्यधीन जो यह ठीक समझे , यदि इसका यह समाधान हो जाता है कि-
(क) केन्द्रीय सरकार या राज्य सरकार या किसी अन्य विनियामक प्राधिकरण ने लक्ष्य कंपनी के निदेशक बोर्ड को हटा दिया है और लक्ष्य कंपनी के कामकाज के व्यवस्थितसंचालन के लिए तत्समय प्रवृत्त किसी विधि के अधीन उसके निदेशकों के रूप में पद धारण करने के लिए अन्य व्यक्तियों को नियुक्त कर दिया है ;
(ख ) ऐसे निदेशकों ने एक ऐसी योजना बनायी है जो लक्ष्य कंपनी में सभी हितधारकों के हितों में लक्ष्य कंपनी के सतत प्रचालन के लिए पारदर्शी , खुली, तथा प्रतियोगी प्रक्रिया उपलब्ध कराती है और ऐसी योजना किसी विशिष्ट अर्जनकर्ता के हितों को अग्रसर नहीं करती है;
( ग ) प्रतियोगी प्रक्रिया की शर्तें तथा अपेक्षाएँ युक्तियुक्त और उचित हैं;
(घ) प्रक्रिया ब्यौरे उपलब्ध कराती है जिनके अंतर्गत वह समय हो जब सार्वजनिक प्रस्ताव किया जाएगा, पूरा किया जाएगा और वह रीति हो जिसमें नियंत्रण में परिवर्तन प्रभावी होगा;
(ङ) ऐसी संभावना हो कि इस अध्याय के उपबंध लक्ष्य कंपनी की योजना के कार्यान्वयन में अड़चन का कार्य करें और ऐसे एक या अधिक उपबंधों से शिथिलीकरण लोक हित, विनिधानकर्ताओं ( निवेशकों ) तथा प्रतिभूति बाजार के हित में है । "

(Substantial Acquisition of Shares and Takeovers) (Second Amendment ) Regulations , 2009 F. No. LAD - NRO / GN /2008-2009/ 34/ 154082.- In exercise of the powers conferred by Section 30 of the [भाग III- खण्ड 4]

Securities and Exchange Board of India Act, 1992 (15 of 1992) , the Board hereby makes the following regulations to amend the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers ) Regulations, 1997, namely:-
1. (i) These regulations may be called the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers ) (Second Amendment) Regulations , 2009.
(ii) These regulations shall come into force on the date oftheir publication in the Official Gazette .
2. In the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers ) Regulations , 1997-
(i) in regulation 25 , after sub - regulation (2A) the following sub - regulation shall be inserted , namely:-
"(2B) No public announcement for a competitive bid shall be made after an acquirer has already made the public announcement pursuant to relaxation granted by the Board in terms of regulation 29A. "
(ii) after regulation 29 , following regulation shall be inserted, namely :-
"29A Relaxation from the strict compliance of provisions ofChapter III in certain cases. The Board may, on an application made by a target company, relax any or more of the provisions of this Chapter, subject to such conditions as it may deem fit, if it is satisfied that-
(a) the Central Government or State Government or any other regulatory authority has removed the board of directors of the target company and has appointed other persons tohold office as directors thereofunder any law for the time being in force for orderly conduct ofthe affairs of the target company;
(b) such directors have devised a plan which provides for transparent , open , and competitive process for continued operation ofthe target company in the interests of all stakeholders in the target company and such plan does not further the interests of any partcular acquirer;
(c) the conditions and requirements of the competitive process are reasonable and fair;
(d) the process provides for details including the timewhenthe public offer would bemade, completed and the manner in which the change in control would be effected;
(e) the provisions of this Chapter are likely to act as impediment to implementation of the

plan of the target company and relaxation from one or more of such provisions is in public interest, the interest of investors and the securities market . "
