सं. एल-7/ 143/ 158/ 2008 - केविविआ. केंद्रीय विद्युत विनियामक आयोग , विद्युत अधिनियम , 2003.( 2003 का 36 ) की धारा 178 के अधीन प्रदत्त शक्तियों का और इस निमित्त सामर्थ्यकारी सभी अन्य शक्तियों का प्रयोग करते हुए, और पूर्व प्रकाशन के पश्चात्, निम्नलिखित विनियम बनाता है, अर्थात्:-

अध्याय 1

प्रारंभिक

1. संक्षिप्त नाम और प्रारंभ

(क) इस विनियमों का संक्षिप्त नाम केंद्रीय विद्युत विनियामक आयोग ( व्यापार अनुज्ञप्ति प्रदान करने और अन्य सहबद्ध विषयों के लिए प्रक्रिया, निबंधन और शर्तें ) विनियम , 2009 है।

(ख ) ये विनियम राजपत्र में प्रकाशन की तारीख से प्रवृत्त होंगे ।

2. परिभाषाएं और निर्वचन

( 1.) इन विनियमों में, जब तक कि संदर्भ या विषय- वस्तु से, अन्यथा अपेक्षित न हो,-

(क) " अधिनियम " से विद्युत अधिनियम, 2003 ( 2003 का 36 ) अभिप्रेत है;

( ख ) " आवेदक " से ऐसा व्यक्ति अभिप्रेत है जिसने आयोग में अनुज्ञप्ति प्रदान करने हेतु आवेदन किया है ;

( ग ) यथास्थिति, आवेदक या अनुज्ञप्तिधारी के संबंध में , " सहयुक्त " में निम्नलिखित ऐसा व्यक्ति अभिप्रेत हो सकेगा-

(i ) जिसके , यथास्थिति आवेदक या अनुज्ञप्तिधारी के मताधिकार के छब्बीस प्रतिशत से अन्यून के शेयर है या उन पर नियंत्रण है ; या

- (ii ) जिसके संबंध में, यथास्थिति, आवेदक या अनुज्ञप्तिधारी के स्वयं मताधिकार के छब्बीस प्रतिशत से अन्यून शेयर हैं या उन पर नियंत्रण है ; या

(iii) जो उसी प्रबंधन के अधीन हैं जिसका, यथास्थिति, आवेदक या अनुज्ञप्तिधारी हैं ।

स्पष्टीकरण : इस उपखंड के प्रयोजन के लिए , यथास्थिति, आवेदक या अनुज्ञप्तिधारी या संबंधित व्यक्ति को उसी प्रबंधन के अधीन तब समझा जाएगा,--

(i) यदि, यथास्थिति , आवेदक या अनुज्ञप्तिधारी का प्रबंध निदेशक या प्रबंधक ऐसे व्यक्ति का प्रबंध निदेशक या प्रबंधक है ; या

(ii) यदि, यथास्थिति, आवेदक या अनुज्ञप्तिधारी के निदेशकों का बहुमत या ठीक पूर्ववर्ती छह मास के भीतर किसी समय किसी ऐसे व्यक्ति के निदेशकों के बहुमत के बराबर होता है ; या

1 ( iii ) यदि, यथास्थिति, आवेदक या अनुज्ञप्तिधारी से संबंधित किसी मामले की बाबत कुल मताधिकार के एक तिहाई से अन्यून है, और ऐसा व्यक्ति उसी व्यष्टिक या निगमित निकाय द्वारा प्रयोग करता है या नियंत्रित करता है ;

(iv) यदि, यथास्थिति, आवेदक या अनुज्ञप्तिधारी के कोई भी निदेशक , यथास्थिति, आवेदक या अनुज्ञप्तिधारी के अधिक शेयर धारण करते समय ऐसे व्यक्ति में अधिक शेयर धारण करते हैं ।

(घ) "आयोग" से अधिनियम की धारा 76 में निर्दिष्ट केन्द्रीय विद्युत विनियामक आयोग अभिप्रेत है ;

(ङ) " कारबार संचालन विनियम" से समय - समय पर, यथा संशोधित केन्द्रीय विद्युत विनियामक आयोग ( कारबार का संचालन) विनियम, 1999 अभिप्रेत है और इसमें इसकी कोई कानूनी अधिनियमिति भी सम्मिलित है ;

(च) " वर्तमान अनुपात" से चालू आस्तियों तथा चालू दायित्वों के बीच अनुपात अभिप्रेत है, जहां

(i) चालू आस्तियों में, नकद या धन के समकक्ष नकद, प्राप्य लेखा, सूची, विपण्य प्रतिभूतियां , तथा पूर्व संदत्त खर्चे सम्मिलित हैं ; और

(ii) चालू दायित्वों में, विविध लेनदार, प्रावधान या एक वर्ष की अवधि के भीतर निर्मोचित किए जाने वाले अन्य दायित्व सम्मिलित हैं ;

(छ) " आर्थिक अपराध " से ऐसा अपराध अभिप्रेत है जिसको आर्थिक अपराध (परिसीमा का लागू न होना) अधिनियम, 1974 (1974 का 12) तत्समय लागू होता है ;

(ज) "विद्यमान अनुज्ञप्तिधारी " से ऐसा व्यक्ति अभिप्रेत है जिसके पास इन विनियमों के प्रारंभ की तारीख को अनुञ्जप्ति हो ।

(झ) " कपट" का वही अर्थ होगा जो भारतीय संविदा अधिनियम, 1872 ( 1872 का 9) की धारा 17 के अधीन है ;

! (ञ) "ग्रिड कोड" से अधिनियम की धारा 79 की उपधारा ( 1 ) के खंड (ज) के अधीन आयोग द्वारा , विनिर्दिष्ट ग्रिड कोड अभिप्रेत है ;

(ट) " अंतर- राज्यिक व्यापार". से किसी एक राज्य-क्षेत्र से किसी दूसरे राज्य- क्षेत्र को पुनः विक्रय के लिए विद्युत का अंतरण अभिप्रेत है तथा इसमें भारत के किसी राज्य में पुनः विक्रय के लिए किसी अन्य देश से आयातित विद्युत सम्मिलित है ;

(ठ) " अनुज्ञप्ति" से किसी व्यक्ति को विद्युत व्यापारी के रूप में विद्युत का अंतर राज्यिक व्यापार आरंभ करने के लिए आयोग द्वारा प्रदत्त अनुज्ञप्ति अभिप्रेत है ;

(ड) " अनुज्ञप्तिधारी " से ऐसा व्यक्ति अभिप्रेत है, जिसे अनुज्ञप्ति प्रदत्त की गई है ;

(ढ) " नकद (लिक्विडिटी) अनुपात " से नकद आस्तियों तथा चालू दायित्वों के बीच अनुपात अभिप्रेत है, जहां--

(i ) नकद आस्तियों में सूची से कम चालू आस्तियां अभिप्रेत है ; और 4

(ii) चालू दायित्वों में, देव लेनदार, प्रावधान तथा एक वर्ष के भीतर निर्मोचित किए जाने वाले आदित्य सम्मिलित हैं ;

(ण) "शुद्धधन ( नेटवर्ष) से सम.दत्त इक्विटी पूंजी का कुल मूल्य तथा संचयित हानियों के कुल मूल्य द्वारा घटाई गई खुली आरक्षितियां (जिसने पुनर्मूल्यांकन से सृजित आरक्षितिया नहीं हैं) , अलिखित किए गए आस्थगित व्यय ( जिसमें प्रकीर्ण खर्चे भी है) तथा सहगुमलों के अलग अग्रिम अभिप्रेत हैं ।

(त) "अन्य कासार" से अधिक आपार के कारबारले सिवाय अनुज्ञप्तिधारी का कोई कारवार भन्नेतर

(थ) कंपनी के संदर्भ में ऐसा व्यक्ति अभिप्रेत है जिसे संप्रवर्तित किया गया हो और जोन के साथ सक्रिय रूप से राहबद्ध हो या जो ऐसी कंपनी की शेयर पूंजी का उन्नीस प्रतिशत से अन्यून शेयर धारण करता है ;

(द) " वर्ष" से कलैंडर वर्ष के अप्रैल से आगामी कलैंडर वर्ष के 31 मार्च तक की बारह मास की अवधि अभिप्रेत है ।

(2) यथापूर्वोक्त के सिवाय आर जब तक कि संदर्भ या विषय के विरुद्ध अन्यथा अपेक्षित न हो, इन विनियमो में प्रयुक्त शथी और पदों का, जो इन विनियमों में परिभाषित नहीं हैं किन्तु अधिनियम और ग्रिड कोड में परिभाषित हैं, वही अर्थ होगा जो अधिनियम या ग्रिड कोड में, क्रमशः हैं ।

(3) समय- समय पर, अथासंभवेत साधारण खंड अधिनियम, 1897 (1897 का 10) के उपबंध इन विनियमों के निर्वचन के लिए ऐसे लागू होंगे मानो वे संसद् के अधिनियम के निर्वचन के लिए लागू होते हैं ।

अध्याय -2 : विद्युत व्यापारी की अपेक्षाएं

3. अर्हताएं

( 1 ) अधिवास संबंधी अर्हताएं

आवेदक भारत का नागरिक , या भारतीय भागीदारी अधिनियम, 1932 (1932 का 9) के अधीन रजिस्ट्रीकृत भागीदारी फर्म हो या कंपनी अधिनियम, 1956 (1956 का 1 ) के अधीन समामेलित कोई कंपनी हो या ऐसा व्यष्टिक संगम या निकाय हो जो भारत का नागरिक हो, चाहे समामेलित हो या नहीं या भारतीय विधि के अधीन मान्यताप्राप्त कृत्रिम विधिक व्यक्ति हो ।

(2) तकनीकी अपेक्षाएं

आवेदक कम से कम एक पूर्णकालिक वृत्तिक होगा जिसके पास निम्नलिखित अर्हता तथा प्रत्येक पद्धति में अर्हता या अनुभव हो , अर्थात्:--

क्षेत्र में कम से कम 10 वर्ष के अनुभव के साथ इंजीनियरिंग में डिग्री

ऊर्जा प्रणाली प्रचालन तथा ऊर्जा अंतरण के वाणिज्यिक पहलू

वित्त, वाणिज्य और लेखा ।

(ख )

क्षेत्र में कम से कम 5 वर्ष के अनुभव के साथ एमबीए/ सीए/ आईसीडब्ल्यूए (वित्त में)

(3) पूंजी पर्याप्तता या उधारपात्रता अपेक्षाएं

(क) आरंभ किए जाने के लिए प्रस्तावित अन्तर राज्यिक व्यापार की मात्रा पर विचार करते हुए , आवेदक का शुद्ध धन (नेटवर्थ) उस वर्ष, जिसमें आवेदन किया गया है, के ठीक पूर्ववर्ती तीन वर्षों या ऐसी कम अवधि, जिसके दौरान आवेदक 'समामेलित, रजिस्ट्रीकृत या विरचित किया गया है, तथा आवेदन के साथ लगाए गए विशेष तुलनपत्र की तारीख को नीचे विनिर्दिष्ट रकम से कम नहीं होगा :

(ख) आवेदक के पास उस वर्ष, जिसमें आवेदन किया गया है, के ठीक पूर्ववर्ती तीन वर्षों में या ऐसी कम अवधि, जो लागू हो, और आवेदन के साथ संलग्न विशेष तुलनपत्र की तारीख को लगातार न्यूनतम वर्तमान अनुपात 1: 1 तथा नकद अनुपात 1 : 1 होगा ।

4. निरर्हता : आवेदक अनुज्ञप्ति प्रदत करने के लिए तब अर्हित नहीं होगा, यदि--

(क) आवेदक, था उसका कोई भी सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक अनुन्मोचित दिवालिया घोषित किया गया हो: या

(ख) आवेदक या उसका कोई भी. सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक आवेदन करने के वर्ष के दौरान या उस वर्ष के ठीक तीन पूर्ववर्ती वर्षों के दौरान पहले नैतिक अधमता, कपट या किसी आर्थिक अपराध में अन्तर्वर्तित होने के लिए दोषसिद्ध रह चुका हो और ऐसी दोषसिद्धि के परिणामस्वरूप कारावास , यदि कोई हो, से उसकी निर्मुक्ति से छह

मास व्यतीत न हो गए हों ; या

(ग) आयोग द्वारा आवेदक, था उसके किसी सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक के विरुद्ध अनुज्ञप्ति रद्द करने का आदेश पारित किया गया हो ; या

(घ) आवेदक विद्युत के पारेषण के लिए अनुज्ञप्ति धारण करता हो ; या

(ङ) आवेदक, या उसका कोई सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक की पहले,

(i ) उन आधारों पर, जो पुनः वैद्य नहीं है अनुज्ञप्ति रद्द कर दी गई हो , या 7 [भाग III- खण्ड 4 ]

(ii) आवेदन करने के वर्ष या उस वर्ष के ठीक पूर्वर्ती पांच वर्षों के दौरान अधिनियम या उसके अधीन बनाए गए नियमों या विनियमों के किन्हीं उपबंधों या समुचित आयोग द्वारा किए गए आदेश के अननुपालन की किसी कार्यवाही में दोषी पाए गए हों ।

(च) आवेदक को लिखित में अभिलिखित किए जानें वाले अन्य कारणों से अनुज्ञप्ति प्रदान करने के लिए उचित और पर्याप्त व्यक्ति नहीं समझा गया हो । )

स्पष्टीकरण : इस बात का अवधारण करने के प्रयोजन के लिए कि आवेदक ' ठीक या पर्याप्त व्यक्ति' है, आयोग किसी भी ऐसी बात को ध्यान में लेगा जो वह उचित समझे, किन्तु जिसमें निम्नलिखित सम्मिलित है किन्तु जो निम्नलिखित तक सीमित नहीं हैं, अर्थात् : --

(i) आवेदक की वित्तीय निष्ठा ;

(ii) उसकी सक्षमता ;

(iii) उसकी ख्याति तथा स्वभाव ; औरं

(iv) उसकी दक्षता तथा ईमानदारी ।

अध्याय - 3 अनुज्ञप्ति प्रदान करने हेतु प्रक्रिया

5. आयोग के समक्ष कार्यवाहियां

इन विनियमों के अधीन सभी कार्यवाहियां कारबार संचालन बिनियमों द्वारा शासित होंगी ।

6. अनुज्ञप्ति प्रदान करने के लिए प्रक्रिया

(1 ) विद्युत में अंतर- राज्यिक व्यापार आरंभ करने का इच्छुक व्यक्ति इन विनियमों से उपाबद्ध प्ररूप -1 में विनिर्दिष्टः रीति से अनुज्ञप्ति प्रदान करने के लिए आयोग को आवेदन करेगा तथा ऐसे आवेदन के साथ निम्नलिखित संलग्न होगा, अर्थात्:-- [PART III-SEC. 4] THE GAZETTE OF INDIA : EXTRAORDINARY

(क) ऐसी फीस, जो समय- समय पर, केन्द्रीय सरकार द्वारा विहित की जाए जो सहायक सचिव, केन्द्रीय विद्युत विनियामक आयोग , नई दिल्ली के पक्ष में आहरित बैंक ड्राफ्ट या पे - आर्डर के माध्यम से संदेय होगी ;

(ख) कंपनी अधिनियम , 1956 (1956 का 1 ) के अधीन समामेलित व्यक्तियों की दशा में वार्षिक रिपोर्टों की प्रतियां तथा निदेशक रिपोर्ट, संपरीक्षा रिपोर्ट, अनुसूचियों के साथ संपरीक्षित लेखे तथा उस वर्ष, जिसमें आवदेन किया गया है, के ठीक तीन पूर्ववर्ती वर्षों के लेखाओं का टिप्पण तथा आवेदन करने' की तारीख के ठीक पूर्ववर्ती तीस दिनों के भीतर आने वाली किसी तारीख के विशेष तुलनपत्र :

परन्तु यह कि जहां आवेदक , उस वर्ष, जिसमें आवेदन किया गया है, के ठीक पूर्ववर्ती तीन वर्षों की अवधि के दौरान समामेलित, रजिस्ट्रीकृत या विरचित नहीं है, वहां आवेदन के साथ ऐसी कम अवधि, जब से आवेदक अस्तित्व में है, की वार्षिक रिपोर्ट तथा संपरीक्षित लेखाओं की प्रतियां संलग्न की जाएंगी ।

(2) अनुज्ञप्ति प्रदान करने वाले आवेदन को कम्पैक्ट डिस्क (सी.डी) सहित उपाबंधों और संलग्न्कोंके साथ आयोग को प्रस्तुत किया जाएगा ।

(3) आवेदक अपनी स्वयं की वेबसाइट पर पूर्ण आवेदन को, उपाबंधों और संलग्नकों के साथ पोस्ट करेगा जिससे कि कोई भी व्यक्ति इंटरनेट के माध्यम से आवेदन तक पहुंच सके तथा अपने आवेदन के निपटाए जाने तक वेबसाइट पर रखेगा ।

(4) आवेदक ऐसा आवेदन करने के पश्चात्, 7 दिन के भीतर प्ररूप 2 में दो दैनिक समाचारपत्रों में, जिसे दिल्ली में प्रकाशित करने के अतिरिक्त पांच प्रदेशों में प्रकाशित किया जाता हो , जिसमें एक इकनोमिक्स दैनिक समाचारपत्र भी सम्मिलित है, अपने आवेदन की निम्नलिखित विशिष्टियों के साथ सूचना प्रकाशित करेगा, अर्थात्: -

(क) आवेदक का नाम (बडे अक्षरों में) सबसे ऊपर स्पष्ट रूप से उल्लिखित होगा चाहे आवेदक भारतीय भागीदारी अधिनियम, 1932 ( 1932 का 9) के अधीन 9

व्यष्टिक/ एकमात्र स्वत्वधारी व्यष्टिक संगम या निकाय , भागीदारी फर्म हो , कंपनी अधिनियम, 1956 (1956 का 1 ) के अधीन समामेलित प्राइवेट लिमिटेड कंपनी या पब्लिक लिमिटेड कंपनी हो, जिसमें कंपनी अधिनियम , 1956 ( 1956 का 1 ) के अधीन समामेलित कंपनी की दशा में उसके रजिस्ट्रीकृत कार्यालय के पते की पूर्ण विशिष्टियां तथा पत्राचार के लिए पता हो ;

(ख) एक ऐसा कथन कि आवेदक ने यथास्थिति, प्रवर्ग 1 या प्रवर्ग 2 या प्रवर्ग 3 के लिए अनुज्ञप्ति प्रदान करने हेतु अधिनियम की धारा 15 की उपधारा ( 1 ) के अधीन केन्द्रीय विद्युत विनियामक आयोग को आवेदन किया है ;

(रुपए लाख में)

(ग) शेयर पूंजी--

(i) प्राधिकृत :

(ii) पुरोघृत :

(iii) अभिदत्त :

(iv) समादत्त :

(घ) आवेदक का शेयर धारण पैटर्न ( उन शेयरधारकों के ब्यौरे जिन्होंने पांच प्रतिशत या उससे अधिक शेयर धारण किए हैं, उनके द्वारा धारण शेयरों की संख्या तथा कुल समादत्त पूंजी के शेयरों की प्रतिशतता की सूची) ;

(ङ) आवेदक की वित्तीय तथा तकनीकी सामर्थ्य ;

(च) प्रतिवर्ष व्यापार किए जाने के लिए आशयित विद्युत की मात्रा ;

(छ) आवेदक का प्रबंधन प्रोफाइल जिसमें इसी प्रकार के या वैसे ही क्रियाकलाप में आवेदक यां व्यक्तियों के उसमें प्रबंधन में पिछले अनुभव के ब्यौरे ।

(ज) वह भौगोलिक क्षेत्र, जिसके भीतर आवेदक विद्युत में व्यापार आरंभ करेगा ;

[PART III-SEC. 4] (झ) आवेदन करने के वर्ष के ठीक पूर्ववर्ती तीन लगातार वर्षों के 31 मार्च को या ऐसी कम अवधि, जो लागू हो , को तथा आवेदन के साथ संलग्न विशेष तुलनपत्र की तारीख को आवेदक का शुद्धधन, वर्तमान अनुपात तथा नकद अनुपात ;

(ञ) एक ऐसा विवरण कि आवेदक, या उसका कोई सहयुक्त, या भागीदार या संप्रवर्तक, या निदेशक दिवालिया घोषित किया गया है और यदि ऐसा है , तो उसके ब्यौरे और क्या निर्मोचित किया गया है या नहीं किया गया है ; और

(ट) आवेदन करने के वर्ष या उस वर्ष के ठीक पूर्ववर्ती वर्षों के दौरान आवेदक, या उसके किसी सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक के नैतिक अधमता, या कपट या आर्थिक अपराध की दोषसिद्धि पर रहने के ब्यौरे देने वाला एक विवरण तथा ऐसी दोषसिद्धि के परिणामस्वरूप कारावास, यदि कोई हो, से उपरोक्त व्यक्ति की नियुक्तिकी तारीख ;

(ठ) एक ऐसा विवरण कि क्या आवेदक, या उसके किसी सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक को कभी अनुज्ञप्ति देने के लिए इंकार किया था और यदि हां, तो आवेदन की विशिष्टियां , आवेदन करने की तारीख, अनुज्ञप्ति को इंकार करने के आदेश की तारीख तथा ऐसे इंकार करने के कारणों की विशिष्टियां दें ;

(ड) एक कथन कि आवेदक के पास विद्युत के पारेषण के लिए अनुज्ञप्ति है, यदि हां, तो उसके ब्यौरे ;

(ढ) एक ऐसा कथन कि आयोग ने आवेदक , या उसके किसी सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक की अनुज्ञप्ति को रद्द करने का आदेश पारित किया है और यदि ऐसा है तो उसके ब्यौरे ;

(ण) एक ऐसा कथन कि आवेदक, या उसका कोई भी सहयुक्त, या भागीदारी, संप्रवर्तक, निदेशक अधिनियम या उसके अधीन बनाए गए नियमों या विनियमों के किसी [ भाग III- खण्ड 4]

उपबंधों या समुचित आयोग द्वारा किए गए आदेश के अननुपालन के लिए दोषी पाए गए हैं यदि ऐसा, तो उसके ब्यौरे ;

(त) इस आशय का एक कथन कि आयोग के समक्ष फाइल किए गए आवेदन या अन्य दस्तावेज किसी व्यक्ति द्वारा निरीक्षण किए जाने के लिए आवेदक के पास उपलब्ध हैं ;

(थ) उस आवेदक के नियंत्रणाधीन व्यक्ति का मान तथा पत्ता तथा अन्य सुसंगत ब्यौरे जिसके पास से आवेदन वा अन्य दस्तावेज का किसी व्यक्ति द्वारा निरीक्षण किया जा सकता है ;

(द) गया है ; उस वेबसाइट का पता जहां आवेदन उपाबंधों, संलग्नकों के साथ डाला

(ध) एक ऐसा कथन कि आपत्तियां या सुझाव, यदि कोई हो, सूचना के प्रकाशन के तीस दिन के भीतर आवेदक को आपत्तियों या सुझाव की प्रति सहित सचिव, केन्द्रीय विद्युत विनियामक आयोग, (यहां वह पता दें जहां आवेदक का कार्यालय अवस्थित है) के समक्ष फाइल किए जा सकेंगे ।

(5). आवेदक, यथापूर्वोक्त सूचना के प्रकाशन की तारीख से साथ दिन के भीतर आयोग को प्रकाशित सूचना के ब्यौरों को शपथपत्र पर प्रस्तुत करेगा और उन समाचारपत्रों की मूल संपूर्ण प्रति भी फाइल करेगा जिनमें सूचना प्रकाशित हुई है ।

(6) आवेदक समाचारपत्रों में इसके प्रकाशन के पैंतालीस दिनों के भीतर सूचना कै प्रत्युत्तर में प्राप्त आपत्तियों या सुझावों पर अपनी टीका- टिप्पणियां फाइल करेगा ।

(7) आयोग , आवेदक द्वारा प्रकाशित सूचना के प्रत्युत्तर में प्राप्त आपत्तियों या सुझावों तथा उसके उत्तरों पर विचार करने के पश्चात् अनुज्ञप्ति प्रदान करने का प्रस्ताव कर सकेगा :

(8) जब आयोग अनुज्ञप्ति प्रदान करने हेतु प्रस्ताव करता है तो वह दो दैनिक समाचार पत्रों में जैसा आयोग समुचित समझे, अपने प्रस्ताव पर आपत्तियां या सुझाव आमंत्रित करने के लिए 12

[PART III-SEC .4] अपने प्रस्ताव की सूचना प्रकाशित करेगा जिसमें अन्य ब्यौरों सहित, जैसा वह उचित समझे , उस व्यक्ति का नाम और पता होगा जिसके लिए अनुज्ञप्ति जारी करने का प्रस्ताव किया गया है ।

(9) प्राप्त आपत्तियों या सुझानों तथा उस पर आवेदक का उत्तर, यदि कोई हो, पर विचार करते हुए , आयोग अनुज्ञप्ति प्रदत कर सकेगा या लिखित में अभिलिखित किए जाने वाले कारणों के लिए आवेदन को रद्द कर सकेगा यदि आवेदन अधिनियम और उसके अधीन बनाए गए नियमों और विनियमों के उपबंधों या तत्समय प्रवृत्त किसी अन्य विधि के उपबंधों के अनुरूप न हो :

परन्तु यह कि कोई आवेदन तब तक रद नहीं किया जाएगा जब तक आवेदक को सुनवाई का अवसर न दे दिया गया हो ।

(10) यथासाध्यशीध्र इन विनियमों से उपाबद्ध प्ररूप तीन में विहित प्ररूप के अनुसार अनुज्ञप्ति प्रदत्त की जाएगी ।

अध्याय 4 : अनुज्ञप्ति के निबंधन और शर्तें

7. अनुज्ञप्तिधारी की बाध्यताएं

अनुज्ञप्तिधारी निम्नलिखित बाध्यताओं के अध्यधीन होगा, अर्थात्: -

(क) अनुज्ञप्तिधारी प्रवृत्त विधि में, और विशिष्टतया, अधिनियम और इसके अधीन बनाए गए नियमों या विनिमयो की अपेक्षाओं, ग्रिड कोड, विधि के अनुसार आयोग और राज्य विद्युत विनियामक आयोगों द्वारा समय -समय पर जारी किए गए आदेशों और निदेशों का पालन करेगा ।

(ख) अनुज्ञप्तिधारी अनुज्ञप्ति के अधीन प्राधिकृत व्यापार की मात्रा से अधिक का व्यापार नहीं करेगा किन्तु आपवादिक भामलों में, अनुदत्त अनुज्ञप्ति के अधीन प्राधिकृत व्यापार की मात्रा के अधिकतम 120 प्रतिशत तक दिद्युत का व्यापार कर सकेगा :

13 परन्तु यह कि अनुज्ञप्तिधारी अनुदत्त अनुज्ञप्ति के अधीन वर्ष में प्राधिकृत व्यापार की मात्रा से अधिक का व्यापार करता है तो वह उस विशिष्टि वर्ष के लिए उच्चतर प्रवर्ग के लिए लागू अनुज्ञप्ति फीस का संदाय करेगा :

परन्तु यह कि अनुज्ञप्तिधारी आयोग के पूर्व अनुमोदन से तथा ऐसे निबंधनों तथा शर्तों पर, जो आयोग विनिश्चित करे, वर्ष में 120% की विनिर्दिष्ट सीमा को बढ़ा सकेगा ।

(ग) अनुज्ञप्तिधारी, आयोग द्वारा, समय- समय पर, नियत, विद्युत में अंतर- राज्यिक व्यापार के लिए व्यापार मार्जिन से अधिक किसी भी रकम को प्रभारित नहीं करेगा ।

(घ) अनुज्ञप्तिधारी, अनुज्ञप्ति की संपूर्ण अवधि के लिए आवेदन करने के लिए , इन विनियमों में विनिर्दिष्ट अर्हता या अनर्हता द्वारा निरंतर शासित होगा ।

(ङ) अनुज्ञप्तिधारी व्यापार आरंभ करने से पूर्व, टेलीफोन, फैक्स, कंप्यूटर, इंटरनेट सुविधाओं जैसी पर्याप्त संचार सुविधाएं स्थापित करेगा ।

(च) अनुज्ञप्तिधारी , अपने व्यापार से संबंधित क्रियाकलापों के बारे में, प्रादेशिक ऊर्जा समितियों, केन्द्रीय पारेषण उपयोगिताओं, राज्य पारेषण उपयोगिताओं प्रादेशिक भार प्रेषण केन्द्रों, और राज्य भार प्रेषण केन्द्रों के साथ संबंधित क्रेता तथा विक्रेता द्वारा प्राधिकृत सीमा तक समन्वय कर सकेगा ;

(छ) अनुज्ञप्तिधारी आयोग द्वारा प्राधिकृत किसी व्यक्ति को अनुज्ञप्ति से संबंधित उसके कर्तव्यों को कार्यान्वित करने के लिए हर प्रकार की सहायता देगा ।

(ज) अनुज्ञप्तिधारी तय निबंधनों तथा शर्तों के अनुसार व्यापार करेगा तथा क्रेता से संदाय प्रतिभूति तंत्र के बारे में ऐसे सुरक्षोपाय करेगा जो वह उचित समझे, किन्तु हमेशा प्रत्यय पत्र या किसी अन्य समुचित लिखत के माध्यम से विक्रेता तथा अनुज्ञप्तिधारी के बीच परस्पर तय की गई विद्युत की मात्रा के क्रय के लिए विक्रेता को शोध्य रकम का समय पर संदाय सुनिश्चित करेगा ।

[PART III-SEC. 4] (झ ) अनुज्ञप्तिधारी यह सुनिश्चित करेगा कि विद्युत के क्रय तथा विक्रय के लिए संव्यवहार अनुसूचीकरण करने से पूर्व विक्रेता तथा क्रेता के साथ उसके द्वारा समुचित करार किया गया है तथा करार में निम्नलिखित विनिर्दिष्ट होगा, अर्थात्:--

(i ) सीमा, अर्थात् क्रय तथा विक्रय की जाने वाली विद्युत की उच्चतर तथा निम्नतर एमडब्ल्यू सीमा:

(ii) समय- सारणी क लिए रूपात्मकता ;

(iii) समय- सारणी को विनिर्दिष्ट करने तथा प्रादेशिक भार प्रेषण केन्द्र या राज्य भार प्रेषण केन्द्र को सूचित करने के पश्चात् समय - सारणी को उपांतरित करने के लिए प्राधिकृत व्यक्ति ;

(iv) क्या क्रेता या विक्रेता को समय- सारणी को उपांतरित करने के लिए एक पक्षीय रूप से सलाह दी जा सकती है या क्या केवल क्रेता और विक्रेता को संयुक्त रूप से उपांतरित करने के लिए सलाह दी जा सकती है ;

(v) पक्षकारों (विक्रेता, क्रेता तथा अनुज्ञप्तिधारी) के दायित्व यदि अनुसूचित मात्रा (एमडब्ल्यू) तथा समय - सारणी में तय निबंधमों मेंअन्तर होता है या समय- सारणी में उपांस की दशा में तथा उसके बाद वाले मामलों में पक्षकार जो निर्बाध पहुंच प्रभारों के अप्रतिदेय भाग का वहन करेगा ।

(ञ) अनुज्ञप्तिधारी यह सुनिश्चित करेगा कि प्रादेशिक भार प्रेषण केन्द्र को प्रदान की गई समय-सारणी में कोई विसंगति नहीं है या कोई विवाद नहीं है और यदि दी गई समय-सारणी में कोई विसंगति तथा अस्पष्टता पाई जाती है तो ऐसी सलाह की स्वीकृति या अन्यथा पर प्रादेशिक भार प्रेषण केन्द्र का विनिश्चय आबद्धकर होगा ।

(ट) अनुज्ञप्तिधारी यह सुनिश्चित करेगा कि क्रेता तथा विक्रेता या तो ग्रिड से जुड़ी इकाइयां है या अपनी परिधि पर विशेष ऊर्जा मीटरों के साथ इकाइयों का प्रतिनिधित्व करते हैं [भाग III- खण्ड 4 ]

और यह कि समुचित प्राधिकारी द्वारा अननुसूचित अन्तर- विनिमय लेखांकन के लिए तंत्र अवस्थितहै ।

(ड) अनुज्ञप्तिधारी इकाईयों तथा ऐसी इकाईयों के सहयुक्तों से, जो अननुसूचित अन्तर विनियम प्रभारों, पारेषण प्रभारों, रिएक्टिव ऊर्जा प्रभारों, कंजेशन प्रभारों तथा राष्ट्रीय भार प्रेषण केन्द्र या प्रादेशिक भार प्रेषण केन्द्र या एकीकृत भार प्रेषण तथा संसूचना स्कीम के लिए फीस तथा प्रभारों या अधिनियम या उसके अधीन बनाए गए विनियमों के उपबंधों के अधीन आयोग या किसी राज्य आयोग द्वारा उद्‌गृहीत किसी अन्य संदाय में व्यतिक्रम करते हैं, जब आयोग द्वारा ऐसी सलाह दी जाए, विद्युत क्रय नहीं करेगा ।

(ढ) अनुज्ञप्तिधारी आयोग द्वारा, समय- समय पर, विनिर्दिष्ट अनुज्ञप्ति फीस का नियमित रूप से संदाय करेगा ।

(ण) अनुज्ञप्तिधारी व्यापार क्रियाकलाप आरंभ करने में लोप या उपेक्षा नहीं करेगा ।

(त) अनुज्ञप्तिधारी विद्युत के क्रय या विक्रय के लिए ऐसा कोई करार नहीं करेगा जिससे उसकी प्रधान स्थिति का दुरुपयोग होता है या किसी ऐसे समुच्चय में प्रवेश नहीं करेगा जिससे विद्युत उद्योग में प्रतिस्पर्धा पर प्रतिकूल प्रभाव नहीं पड़ने की संभवना हो या प्रतिकूल प्रभाव पड़ता हो ।

(थ) अनुज्ञप्तिधारी उसके द्वारा किए गए सभी संव्यवहारों का पृथक् रूप से द्विपक्षीय संव्यवहारों, अन्तर- राज्यिक या अंतरा- राज्यिक, या उन संव्यवहारों का, जो पावर एक्सचेंज के माध्यम से किए गए हों, का अद्यतन अभिलेख रखेगा ।

(द) अनुज्ञप्तिधारी जब कभी अपेक्षित हो, कारबार संचालन विनियमों के अनुसार आयोग. के पूर्व अनुमोदन के लिए आयोग के समक्ष समुचित आवेदन फाइल करेगा ।

(ध) अनुज्ञप्तिधारी विधि के अनुसार वाणिज्यिक निबंधनों के निपटान के अधीन रहते हुए, संबंधित राज्य आयोग द्वारा अनुज्ञात निर्बाध पहुंच से उपभोक्ता को विद्युत का विक्रय नहीं करेगा ।

8. अनुज्ञप्तिधारी के लेखे

(1 ) अनुज्ञप्तिधारी, -

(क) किसी अन्य कारबार चाहे अनुज्ञप्त या अन्यथा हो, से पृथक् अनुज्ञप्ति में सम्मिलित कारबार का लेखा रखेगा ।

(ख) ऐसे प्ररूप में लेखाओं का विवरण बनाए रखेगा और उसमें ऐसी विशिष्टियां अंतर्विष्ट होंगी जो आयोग द्वारा विनिर्दिष्ट की जाएं और ऐसे समय तक जब तक, ये आयोग द्वारा विनिर्दिष्ट किए जाएं, समय- समय पर यथासंशोधित कंपनी अधिनियम, 1956 (1956 का 1 ) के अनुसार लेखाओं को बनाए रखेगा ।

(ग) प्रत्येक वित्तीय वर्ष के लिए समरूप आधार पर ऐसे अभिलेख लेखांकन विवरणों को तैयार करेगा जिसमें लाभ और हानि लेखा, तुलनपत्र और स्रोत का विवरण तथा उसके टिप्पणों सहित निधियों का उपयोजन होगा और उसमें ऐसे किसी भी राजस्व, लागत , आस्ति, दायित्व , आरक्षिति या प्रावधान की रकम पृथक् रूप से दर्शित करेगा जो, -

(i ) किसी अन्य कारबार से या उसको उस प्रभार के आधार के विवरण के साथ प्रभारित की गई हो, या

(ii) प्रभाजन या आबंटन के आधार पर विवरणों के साथ- साथ विभिन्न कारबार या क्रियाकलापों के बीच प्रभाजन या आबंटन द्वारा अवधारित की गई हो ।

(घ) पूर्वगामी खंडों के अनुसार, प्रत्येक वर्ष के संबंध में लेखापरीक्षकों द्वारा रिपोर्ट के संबंध में, तैयार किए गए लेखांकन विवरण प्रदान करेगा चाहे उनकी राय में यह कथन तैयार किया गया हो कि विवरण पर्याप्त रूप से तैयार किए गए हैं और ऐसे कारबार, जिससे संबंधित वे विवरण हैं, से युक्तियुक्त रूप से हुए माने जा सकने वाले राजस्व , लागत, आस्तियां और दायित्व , आरक्षितियों का ठीक और स्पष्ट दृष्टिकोण देगा, और 17

(ङ) उस वर्ष, जिससे वे संबंधित हैं, की समाप्ति के पश्चात् नौ मास से अन्यून के लेखांकन विवरणों और संपरीक्षकों की रिपोर्ट की प्रति आयोग को देगा । कम से कम दो वर्ष की अवधि के लिए अपनी वेबसाइट में या किसी अन्य प्राधिकृत वेबसाइट में उन्हे डाले रखेगा ।

(2) आयोग द्वारा प्राधिकृत कोई भी व्यक्ति अनुज्ञप्तिधारी के लेखाओं का निरीक्षण करने और उन्हें सत्यापित करने का हकदार होगा और अनुज्ञप्तिधारी ऐसे व्यक्ति को हर प्रकार की आवश्यक सहायता देगा ।

9. जानकारी का दिया जाना

अनुज्ञप्तिधारी--

(क) ऐसी जानकारी देगा, जो समय - समय पर, आयोग द्वारा मांगी जाए ;

(ख) अन्तर- राज्यिक व्यापार, अन्तरा राज्यिक व्यापार तथा पावर, एक्सचेंज के माध्यम से किए गए व्यापार के संबंध में पृथक्तः इन विनियमों से उमाबद्धः प्ररूप 4 क, 4 ख तथा 4 ग में मासिक जानकारी प्रस्तुत करेगा जो आयोग के पूर्ववर्ती मास के 10 वें दिन से पूर्व पहुंच सके :

परन्तु यह और कि, आयोग को भेजी गई सूचना को अनुज्ञप्तिधारी की वेबसाइट या किसी अन्य प्राधिकृत वेबसाइट पर डाला जाएगा तथा ऐसी रिपोर्ट कम से कम दो वर्ष तक वेबसाइट में उपलब्ध रहेगी :

(ग ) वार्षिक रिपोर्ट, जिसमें निदेशक रिपोर्ट, संपरीक्षा रिपोर्ट, तुलनपत्र तथा कारबार के अन्तर- राज्यिक व्यापार सिगमेंट से संबंधित लाभ और हानि लेखाओं की सभी अनुसूचियों तथा लेखाओं के टिप्पण की प्रतियां , जो उस वर्ष, जिससे वह संबंधित है, की समाप्ति के पश्चात् नौ मास से अन्यून की न हों, के साथ आयोग . को प्रस्तुत करेगा तथा उन्हें कम से कम दो वर्ष की अवधि के लिए अपनी वेबसाइट पर तथा किसी प्राधिकृत वेबसाइट पर डाले रखेगा ;

(घ) जब कभी निम्नलिखित बात हो, उस संबंध में यथासंभवशीघ्र आयोग को रिपोर्ट करेगा : --

(i ) जब अनुज्ञप्तिधारी या उसका कोई सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक दिवालिया घोषित किया गया हो ;

(ii ) जब अनुज्ञप्तिधारी या उसकै किसी सहयुक्त या भागीदार, या संप्रवर्तक, या निदेशक को नैतिक अधमता, कपट या किसी आर्थिक अपराध में अन्तर्वर्लित अपराध के लिए सिद्धदोष ठहरायी गया हो ;

(iii ) जब आयोग द्वारा किसी भी सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक की अनुज्ञप्ति रद्द कर दी गई हो ;

(iv) जब अनुज्ञप्तिधारी या उसके किसी सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक को अधिनियम था उसके माध्यम बनाए गए नियमों तथा विनियमों के उपबंधों का समुचित आयोग द्वारा किए गए आदेश का पालन न करने के लिए दोषी पाया गया हौ ।

10. कार्य- निष्पादन के मानकं

(1 ) आयोग, अनुज्ञप्तिधारी से परामर्श करने के पश्चात्, अनुज्ञप्तिधारी या अनुज्ञप्तिधारियों के किसी वर्ग के लिए कार्य- निष्पादन के मानक विनिर्दिष्ट कर सकेगा ।

(2) खंड (1 ) के अधीन कार्य निष्पादन मानक विनिर्दिष्ट किए जाने तक अनुज्ञप्तिधारी आयोग को 31 मार्च को समाप्त होने वाले वर्ष के ठीक बाद 30 अप्रैल तक इन विनियमों से उपाबद्ध प्ररूप 5 में विहित प्ररूप में प्रत्येक वर्ष के कार्य- निष्पादन का ब्यौरा देगा ।

11. विवेकाधीन रिपोर्ट करना

अनुज्ञप्तिधारी, यथासंभवशीघ्र, आयोग को, -- [भाग III- खण्ड 4 ]

भारत का राजपत्र असाधारण

(क) अपनी उन परिस्थितियों में कोई महत्वपूर्ण परिवर्तन के संबंध में रिपोर्ट देगा जिससे उसकी की योग्यता पर अधिनियम और उसके अधीन बनाए गए नियमों और विणिजनों, आयोग द्वारा जारी किए गए निदेशों और आदेशों, ग्रिड कोड, करार या अनुज्ञप्ति के अधीन उसकी बाध्यताओं को पूरा करने के लिए प्रभाव पड़े ;

(ख

) किसी ऐसी तात्विक बात के संबंध में रिपोर्ट देगा जिससे अधिनियम और उसके अधीन बनाए गए नियमों या विनिवमों, आयोग द्वारा जारी किए गए निदेशों और आदेशों, ग्रिड कोड, करार या अनुज्ञप्ति के उपबंध भंग हों ; और

(ग) उसके शेयरधारण पैटर्न, स्वामित्व या प्रबंधन में कोई मुख्य परिवर्तन के संबंध में रिपीट देगा ।

12. अनुज्ञप्ति का संशोधन

(1 ) अनुज्ञप्ति के निबंधनों और शतों को आयोग द्वारा लोक हित में या अनुज्ञप्तिधारी द्वारा किए गए आवेदन पर उपांतरित किया जा सकेगाः

परन्तु यह कि अनुज्ञप्ति में कोई सारवान् परिवर्तन या उपांतरण का कोई भी आदेश करने से पूर्व, अनुज्ञप्तिधारी के आवेदन से भिन्न किए जाने वाले प्रस्ताव के संबंध में आयोग ऐसे दो दैनिक समाचारपत्रों में जो वह ठीक समझे, निम्मलिखित विशिष्टियों के साथ एक सूचना प्रकाशित करेगा, अर्थात् : --

(क) अनुज्ञप्तिधारी का नाम तथा पता ;

(ख) किए जाने के प्रस्तावित परिवर्तन तथा उपांतरण ;

(ग) ऐसे परिवर्तन तथा उपांतरण के लिए आधार ; और

(घ) नोटिस में विनिर्दिष्ट समय के भीतर आयोग के विचार के लिए प्रस्ताव पर सुझाव, यदि कोई हो, आमंत्रित करेगा ।

(2) यदि अनुज्ञप्तिधारी अनुज्ञप्ति के निबंधनों और शर्तों में किसी भी सारवान् परिवर्तन या उपांतरण के लिए आवेदन करता है तो विनियम 6 में विनिर्दिष्ट प्रक्रिया यथावश्यक परिवर्तन सहित लागू होगी :

परन्तु यह कि जहां अनुज्ञप्तिधारी ने अधिनियम की धारा 18 की उपधारा (1) के अधीन अपनी अनुज्ञप्ति में कोई सारवान् परिवर्तन या उपांतरण करने का प्रस्ताव करने के लिए आवेदन किया है वहां वह दो दैनिक समाचारपत्रों, जिसे दिल्ली के अतिरिक्त सभी पांच क्षेत्रों में प्रकाशित किया गया हो, जिसमें एक इकनोमिक्स टाइम्स है, में प्ररूप 6 में, निम्नलिखित विशिष्टियों के साथ ऐसे आवेदन की सूचना प्रकाशित करेगा, अर्थात्, -

(क) आवेदक का नान ;

(ख) उसको अनुदत्त अनुज्ञप्ति का प्रवर्ग ;

(ग) यह कि परिवर्तन तथा उपांतरण के लिए आवेदन आयोग के समक्ष फाइल कर दिया गया है ;

(घ) आवेदन में प्रस्तावित परिवर्तन तथा उपांतरण के ब्यौरे ;

(ङ) ऐसे परिवर्तन और उपांतरण करने के कारण ;

(च) एक ऐसा कथन कि आयोग के समक्ष किए गए आवेदन को वेबसाइट पर डाल दिया गया है तथा उसका आवेदक के कार्यालय में निरीक्षण भी किया जा सकता है ;

(छ). एक ऐसा कथन कि आवेदन में किए गए परिवर्तन तथा उपांतरण करने संबंधी प्रस्ताव के लिए कोई भी सुझाव सूचना के प्रकाशन के तीस दिन के भीतर आयोग के सचिव को भेजे जा सकेंगे ।

13. अनुज्ञप्ति के निबंधनों और शर्तों का अनुपालन सुनिश्चित करने के लिए प्रक्रिया

(1) जहां आयोग का अपने पास उपलब्ध सामग्री के आधार पर, यह समाधान हो जाता है कि अनुज्ञप्तिधारी अनुज्ञप्ति के निबंधन और शर्तों का उल्लंघन कर रहा है या उसके उल्लंघन किए जाने की संभावना है तो वह उसकी आपत्तियां या सुझाव आमंत्रित करने के लिए उसके द्वारा अनुज्ञप्ति के निबंधन और शर्तों का उल्लंघन करने यां उल्लंघन करने की संभावना के लिए अनुज्ञप्तिधारी को नोटिस की तामील करेगा ।

(2) नोटिस की तामील उसको उसके रजिस्ट्रीकृत कार्यालय पर या उसके निवास या कारबार के सामान्य या अन्तिम ज्ञात पते पर रजिस्ट्रीकृत डाक या स्पीड पोस्ट द्वारा या वाहक के माध्यम से परिदान करके की जाएगी या समाचारपत्र में प्रकाशन द्वारा तब की जाएगी यदि आयोग का यह समाधान हो जाता है कि अनुज्ञप्तिधारी को रजिस्ट्रीकृत डाक या स्पीड पोस्ट या हाथ से या किसी अन्य रीति से, जो मामले के तथ्यों पर परिस्थितियों में आयोग उचित समझे, सूचना की तामील करना युक्तियुक्त रूप से व्यवहार्य नहीं है ।

( 3) आयोग अनुज्ञप्तिधारी द्वारा निबंधनों तथा शर्तों का उल्लंधन करने या उल्लंघन करने की संभावना को विनिर्दिष्ट करते हुए , दो समाचारपत्रों में नोटिस प्रकाशित करेगा जिससे ऐसे व्यक्ति से सुझाव आमंत्रित करने के लिए ऐसे उल्लंधन से प्रभावित व्यक्ति या प्रभावित होने वाले व्यक्ति को इस संबंध में सूचना दी जा सके ।

(4) अनुज्ञप्तिधारी या अनुज्ञप्तिधारी द्वारा अनुज्ञप्ति के निबंधनों और शर्तों के उल्लंघन से प्रभावित व्यक्ति या प्रभावित होने वाला व्यक्ति, यथास्थिति, खंड ( 1 ) के अधीन सूचना की प्राप्ति की तारीख से या खंड ( 3 ) के अधीन समाचारपत्रों में सूचना के प्रकाशन की तारीख से तीस दिन के भीतर अपनी आपत्तियां या सुझाव, फाइल कर सकेगा ।

(5) आयोग यथापूर्वोक्त प्राप्त आपत्तियों या सुझावों पर विचार करने पर ऐसा आदेश पारित कर सकेगा या ऐसा निदेश दे सकेगा जो अनुज्ञप्ति के निबंधनों और शर्तों के अनुपालन को सुनिश्चित करने के लिए आवश्यक हों ।

अध्याय 5- अनुज्ञप्ति का प्रतिसंहरण

14. अनुज्ञप्ति का प्रतिसंहरण

(1) आयोग निम्नलिखित किन्हीं भी परिस्थितियों में, अनुज्ञप्ति को प्रतिसंहृत कर सकेगा,

अर्थात् : --

(क) जहां आयोग की राथ में, अनुज्ञप्तिधारी, अधिनियम या इसके अधीन बनाए गए नियमों यः विनियनों द्वारा या उसके अधीन अपेक्षित कोई बात करने में जानबूझकर और बिलंबित व्यतिक्रम करता है ;

(ख) जहां अनुज्ञप्तिधारी अपनी अनुज्ञप्ति के निबंधनों और शर्तों में से किसी को भंग करता है, जिसके भंग हो। से ऐसी अनुज्ञप्तिं द्वारा उसके प्रतिसंहरण का दायी होना स्पष्ट रूप से घोषित है :

(ग) जहां अनुज्ञप्तिधारी अपनी अनुज्ञप्ति द्वारा इस निमित्त नियत अवधि के भीतर या किसी ऐसी दीर्घतर अवधि के भीतर, असफल रहता है जो आयोग अपने समाधानप्रद रूप में यह दर्शित करने के लिए अनुज्ञात करे कि वह अनुज्ञप्ति द्वारा उस पर अधिरोपित कर्तव्यों और बाध्यताओं का पूर्णतः और दक्षतापूर्ण निर्वहन करने की स्थिति में है ;

(घ) जहां आयोग सथ में, अनुज्ञप्तिधारी की वित्तीय स्थिति ऐसी है कि वह अपनी अनुज्ञप्ति द्वारा उसे अधिरोपित कर्तव्यों और बाध्यताओं का पूर्णतः तथा दक्षतापूर्ण निर्वहन करने में असमर्थ है ;

(ङ) जहां अनुज्ञप्तिधारी ने विद्युत व्यापार करने में उपेक्षा की है :

(च) जहां अनुज्ञप्तिधारी आवेदन करने के लिए विनिर्दिष्ट अर्हताएं या इन विनियमों के अधीन किसी भी उपगत अनर्हता को पूरा करने में असफल रहता है ;

(छ) जहां अनुज्ञप्तिधारी विनियम 9,10 या 11 के अनुसार यथाअपेक्षित जानकारी देने में असफल रहता है या जानबूझकर मिथ्या या गलत जानकारी प्रस्तुत करता है :

परन्तु यह कि अनुज्ञप्ति को केन्द्रीय सरकार द्वारा विहित रीति से अधिनियम की धारा 143 के अधीन, सिवाय आयोग द्वारा नियुक्त न्यायनिर्णयन अधिकारी द्वारा जांच किए जाने के पश्चात् प्रतिसंहृत नहीं किया जाएगा :

परन्तु यह और कि आयोग , उपरोक्त खंड (1 ) के अधीन किसी अनुज्ञप्ति का प्रतिसंहरण करने के बजाय , ऐसे अतिरिक्त निबधनों और शर्तों के अधीन रहते हुए , जो वह अधिरोपित करना ठीक समझे, अनुज्ञप्ति को प्रवर्तन में बने रहने के लिए अनुज्ञात कर सकेगा और इस प्रकार अधिरोपित कोई भी अतिरिक्त निबंधन और शर्तें, अनुज्ञप्तिधारी पर आबद्धकर होगी तथा उसके द्वारा उनका पालन किया जाएगा और ऐसे निबंधनों और शर्तों का वैसा ही बल और प्रभाव होगा मानो वह अनुज्ञप्ति में अंतर्विष्ट हों ।

(2) जब अनुज्ञप्तिधारी अनुज्ञप्ति के प्रतिसंहरण के लिए आवेदन करता है और आयोग का यह समाधान हो जाता है कि ऐसे प्रतिसंहरण से लोक हित में प्रतिकूल प्रभाव नहीं पड़ेगा तो आयोग उसकी अनुज्ञप्ति को ऐसे निबंधनों और शर्तों पर, जो वह ठीक समझे, प्रतिसंहृत कर सकेगा ।

(3) आयोग अनुज्ञप्तिधारी पर प्रतिसंहरण की सूचना की तामील करेगा तथा वह तारीख नियत करेगा जिस तारीख को प्रतिसंहरण प्रभावी होगा ।

अध्याय 6 : प्रकीर्ण

15. विद्यमान अनुज्ञप्तिधारी

(1 ) विद्यमान अनुज्ञप्तिधारी निम्नानुसार पुनः वर्गीकृत किए जाएंगे, अर्थात् : --

[PART III-SEC. 4] (2) विद्यमान अनुज्ञप्तिधारी 31.3.2010 की अवधि के भीतर इन विनियमों में, विनिर्दिष्ट शुद्धधन , वर्तमान अनुपात तथा नकद अनुपात के मानदंडों को पूरा करेंगे ।

(3) विद्यमान अनुज्ञप्तिधारी आयोग द्वारा , समय - समय पर, विनिर्दिष्ट अनुज्ञप्ति फीस का संदाय करेंगे :

परन्तु यह कि अनुज्ञप्ति फीस , जब पुनरीक्षित की जाए, वर्ष की समाप्ति पर ऐसे पुनरीक्षण की तारीख से आनुपातिक आधार पर विद्यमान अनुज्ञप्तिधारियों द्वारा संदेय होगी !

16. पत्र-व्यवहार

(1) जब तक इन विनियमों में अन्यथा विनिर्दिष्ट न हो, अनुज्ञप्ति से संबंधित सभी पत्र- व्यवहार लिखित में होंगे और संबोधिती को व्यक्तिगत रूप से या उसके प्राधिकृत अभिकर्ता को भेजे जाएंगे या संबोधिती के कारबार के स्थान पर रजिस्ट्रीकृत या स्पीड डाक द्वारा भेजे जाएंगे ।

(2) सभी संसूचनाएं भेजने वाले द्वारा तब दी गई और संबोधिती द्वारा तब प्राप्त की गई समझी जाएंगी जब-

(i ) संबोधिती को व्यक्तिगत रूप से या उसके प्राधिकृत अभिकर्ता को भेजी जाती हैं ; और

(

ii ) संबोधिती के पते पर रजिस्ट्रीकृत या स्पीड डाक द्वारा भेजने की तारीख से पन्द्रह दिन की समाप्ति पर भेजी जाती हैं ।

17. शिथिल करने की शक्ति

आयोग समुचित मामलों में और लिखित में अभिलिखित किए जाने वाले कारणों के लिए इन विनियमों के किसी भी उपबंध को शिथिल कर सकेगा ।

18. निरसन तथा व्यावृत्ति

(1) जब तक इन विनियमों में अन्यथा उपबंधित न हो, केन्द्रीय विद्युत विनियामक आयोग (केन्द्रीय व्यापार अनुज्ञप्ति प्रदान करने तथा अन्य सहबद्ध विषयों के लिए प्रक्रिया, निबंधन तथा शर्तें) विनियम, 2004 इन विनियमों के प्रारंभ की तारीख से निरसित समझे जाएंगे ।

भारत का राजपत्र : अस्तधारण

(2) ऐसे निरसन के होते हुए भी, इन विनियमों के अधीन की गई या किए जाने के आशयित कोई बात इन विनियमों के अधीन की गई तथा किए जाने के लिए आशयित समझी जाएगी ।

(v) अनुज्ञप्ति प्रदान किए जाने के पश्चात् पिछले वर्ष के दौरान व्यापार किए जाने के लिए आशयित विद्युत की मात्रा तथा व्यापार की मात्रा को बढ़ाने के लिए आवेदक की भावी योजना ।

(vi) वह भौगोलिक क्षेत्र जिसके भीतर आवेदक विद्युत में व्यापार आरंभ करेगा ।

(vii) आवेदन के ठीक पूर्ववर्ती तीन लगातार वर्षों के 31 वें मार्च को या ऐसी कम अवधि, जो लागू हौ, तथा आवेदन के साथ संलग्न विशेष तुलनपत्र की तारीख को शुद्धधन ।

(viii) उस वर्ष, जिसमें आवेदन किया गया है, के पूर्ववर्ती तीन वर्षों के लिए या ऐसी कम अवधि, जो लागू हो, तथा आवेदन के साथ संलग्न विशेष तुलनपत्र की तारीख को आवेदक का वर्षवार वर्तमान अनुपात तथा नकद अनुपात ।

(ix) (क) ऐसा कथन कि आवेदक संगम - ज्ञापन या किसी अन्य दस्तावेज के अधीन विद्युत में व्यापार आरंभ करने के लिए प्राधिकृत है ।

(ख) यदि हां, तो संगम- ज्ञापन या किसी अन्य दस्तावेज का वह विनिर्दिष्ट उपबंध उद्धृत करें जो विद्युत में व्यापार को प्राधिकृत करता है ।

(x) उन मामलों, यदि कोई हो, के ब्यौरे जिनमें आवेदक या उसके कोई सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक को दिवालिया घोषित किया गया है तथा निर्मोचित नहीं किया गया है ।

(xvi ) क्या आवेदक या उसके किसी सहयुक्त, या भागीदार, या संप्रवर्तक, या निदेशक को अधिनियम या उसके अधीन बनाए गए नियमों या विनियमों के किन्हीं उपबंधों तथा समुचित आयोग के किसी आदेश के अननुपालन के अतिलंधन के लिए किसी कार्यवाही में कभी दोषी पाया गया था ।

(जिसे इसमें इसके पश्चात् " अधिनियम " कहा गया है) की धारा 14 के अधीन प्रदत्त शक्तियों का प्रयोग करते हुए, केन्द्रीय विद्युत विनियामक आयोग ( जिसे इसमें इसके पश्चात् " आयोग " कहा गया है) अधिनियम (विशिष्टतया, इसकी धारा 17 से धारा 22 , जिसमें. दोनों सम्मिलित हैं) , केन्द्रीय सरकार द्वारा बनाए गए नियमों ( जिन्हें इसमें इसके पश्चात् "नियम" कहा गया है) और आयोग द्वारा विनिर्दिष्ट विनियमों (जिन्हें इसमें इसके पश्चात् "विनियम " कहा गया है) जिनमें कानूनी संशोधन, परिवर्तन, उपांतरण, उसकी अधिनियमितियां भी सम्मिलित हैं, जो इस अनुज्ञप्ति के भाग रूप में पढ़े जाएंगे , में अंतर्विष्ट निबंधनों और शर्तों के अधीन रहते हुए, .........क्षेत्र में विद्युत व्यापारी के रूप में विद्युत में व्यापार करने के लिए ... 2. सिवाय अधिनियम , नियमों तथा विनियमों के उपबंधों के अनुसार, यह अनुज्ञप्ति अंतरणीय नहीं है ।

3. (1 ) कोई भी अनुज्ञप्तिधारी, आयोग के पूर्व अनुमोदन के बिना, --

(ख) अपनी उपयोगिता का किसी अन्य अनुज्ञप्तिधारी के साथ विलयन नहीं करेगा ;

(2) कोई भी अनुज्ञप्तिधारी, किसी भी समय, आयोग के पूर्व अनुमोदन के बिना विक्रय, पट्टे, विनिमयया अन्यथा द्वारा अपनी अनुज्ञप्ति को समनुदिष्ट नहीं करेगा या उसकी उपयोगिता का अंतरण नहीं करेगा ;

(3) उपखंड (1 ) और उपखंड (2) में निर्दिष्ट किसी संव्यवहार से संबंधित कोई करार जब तक कि वह आयोग . के पूर्व अनुमोदन के या उसके अधीन नहीं किया गया हो , शून्य होगा !

(4) अनुज्ञप्तिधारी को यह अनुज्ञप्ति प्रदान करने से विद्युत व्यापारी के रूप में विद्युत का कारबार करने के लिए उसी क्षेत्र में किसी अन्य व्यक्ति को अनुज्ञप्ति प्रदान करने के लिए आयोग के अधिकार किसी भी रूप में बाधित या निर्बधित नहीं होंगे । अनुज्ञप्तिधारी अंनन्य रूप से कोई भी दावा नहीं करेगा !

5. अनुज्ञप्ति इसके जारी होने की तारीख से प्रारंभ होगी और जब तक कि वह पहले प्रतिसंहृत नहीं कर ली जाती है, 25 (पच्चीस ) वर्ष की अवधि के लिए प्रवर्तन में रहेगी ।

6. अनुज्ञप्तिधारी, आयोग के पूर्व अनुमोदन से, अपनी आस्तियों का अधिकतम उपयोग करने के लिए कोई भी कारबार कर सकेगा :

परन्तु यह कि अनुज्ञप्तिधारी विद्युत के पारेषण का कारबार नहीं करेंगे ।

7. आयोग द्वारा जब तक कि अन्यथा विनिर्दिष्ट हो, अनुज्ञप्तिधारी लाख रुपए की वार्षिक अनुज्ञप्ति फीस का संदाय करेगा और वर्ष के भाग के लिए अनुज्ञप्ति फीस सौ रुपए के निकटतम तक पूर्णांकित किए गए आनुपातिक आधार पर संदत्त होगी ।

8. अधिनियम की धारा 19 से धारा 22 तक, दोनों सहित , में अंतर्विष्ट उपबंध अनुज्ञप्ति के प्रतिसंहरण और उसकी उपयोगिता के विक्रय का संबंध में, अनुज्ञप्तिधारी को लागू होंगे !

No. L-7/143/158/2008-CERC .-In exercise of powers conferred under Section 178 of the Electricity Act, 2003 (36 of 2003 ) , and all other powers enabling it in this behalf , and after previous publication , the Central Electricity Regulatory Commission hereby makes the following regulations , namely :-

CHAPTER- I : PRELIMINARY

1. Short Title and Commencement

(a) These regulations may be called the Central Electricity Regulatory Commission (Procedure , Terms and Conditions for grant of trading licence and other related matters ) Regulations , 2009.

(b) These regulations shall come into force on and from the date of their publication in the Official Gazette.

2. Definitions and Interpretation

(1) In these regulations , unless the context or subject- matter, otherwise requires -

(a) "Act " means the Electricity Act , 2003 , (36 of 2003);

(b) "applicant " means a person who has made an application to the Commission for grant of licence;

(i ) who owns or controls shares carrying not less than twenty- six percent of the voting rights of the applicant or the licensee, as the case may be; or

(ii) in respect of whom the applicant or the licensee , as the case may be , owns or controls shares carrying not less than twenty-six percent of the voting rights; or

(iii) who is under the same management as the applicant or the licensee , as the case may be.

Explanation : For the purpose of this sub- clause, the applicant or the licensee , as the case may be , and the person concerned shall be deemed to be under the same management:

( i) ifthe managing director or manager of the applicant or the licensee , as the case may be , is the managing director or manager of such person; or

(ii) if a majority of the directors of the applicant or the licensee , as the case may be , constitute or any time within six months immediately preceding , constituted a majority of the directors of such person ; or

(iii) if not less than one third of the total voting power with respect to any matter relating to the applicant or the licensee , as the case may be , and

(iv) if any of the directors of the applicant or the licensee , as the case may be, while holding the majority of shares of the applicant or the licensee as the case may be , also hold the majority of shares in such person.

(d) "Commission " means the Central Electricity Regulatory Commission referred to in Section 76 of the Act ;

(e) "Conduct of Business Regulations " means the Central Electricity Regulatory Commission ( Conduct of Business ) Regulations , 1999 , as amended from time to time and includes any statutory re - enactment thereof;

(f) "current ratio" means ratio between the current assets and current liabilities , where

(i) current assets include cash or cash equivalent of money , accounts receivables , inventory , marketable securities , and pre - paid expenses , and

(ii) current liabilities include sundry creditors , provisions and other liabilities to be discharged within a period of one year;

(g) "economic offence " means an offence to which the Economic Offences ( inapplicability of Limitation ) Act, 1974 ( 12 of 1974 ) , is applicable for the time being;

(h) "existing licensees " means the persons holding licence on the date of commencement of these regulations ;

(i) "fraud" has the same meaning as is assigned to it under Section 17 ofthe Indian Contract Act , 1872 (9 of 1872);

(j ) "Grid Code" means the Grid Code specified by the Commission under clause ( h ) of sub -section ( 1 ) of Section 79 of the Act;

(k) " inter- State trading " means transfer of electricity from the territory of one State for re - sale to the territory of another State and includes electricity imported from any other country for re - sale in any State of India;

(1) " licence" means a licence granted to any person by the Commission to undertake inter- State trading in electricity as an electricity trader;

(m) " licensee " means a person who has been granted licence ;

(n) " liquidity ratio " means the ratio between the liquid assets and current liabilities , where

(i) liquid assets include the current assets less inventory, and (ii) current liabilities include sundry creditors , provisions and other liabilities to be discharged within a period of one year;

( 0) "net worth " means aggregate value of the paid up equity capital and free reserves (excluding reserves created out of revaluation ) reduced by the [PART III---SEC. 4] THE GAZUT THEOFINDIA: EXTRAORDINARY

aggregate value of somerulated losses , deferred expenditure (including miscellaneous exper.s not written off and loans and advances to the associates:

(p) "other business " means any business of the licensee other than the business of inter- Staic Trading:

(q) " prornoter " with reference to a company means a person who has promoted and is ackvery associated with the management of the company or holds not less than twenty six percent of the share capital of such company:

(r) "year" means a period of twelve months from 1st April of a calendar year to 31st March of the following calendar year.

(2) Save as aforesaid and unless repugnant to the context or the subject- matter otherwise requires , words and expressions used in these regulations and not defined, but defined in the Act or the Grid Code shall have the meanings assigned to them respectively in the Act or the Grid Code.

(3) The provisions of the General Clauses Act , 1897 ( 10 of 1897 ) as amended from time to time shaid apply for the interpretation of these regulations as they apply for the interpretation or an Act of Parliament.

CHAPTER - II : REQUIREMENTS OF BEING AN ELECTRICITY TRADER 3. Qualifications

(1) Qualification of Domicile

The applicant shall be a citizen of India , or a partnership firm registered under the Indian Partnership Act , 1932 (9 of 1932) or a company incorporated under the Companies Act , 1956 ( 1 of 1956) or an association or body of individuals who are citizens of India whether incorporated or not or an artificial juridical person recognised under the Indian Laws .

(2) Technical Qualifications

The applicant shall have at least one full - time professional having , qualifications and experience in each of the following disciplines , namely: - "

(b) The applicant shall have minimum current ratio of 1: 1 and liquidity ratio of 1 : 1 consistently for three years immediately preceding the year in which the application is made or such lesser period as may be applicable , and on the date of special balance sheet accompanying the application .

. The applicant shall not be qualified for grant of licence if:

Disqualifications

(a) The applicant, or any of his associates , or partners , or promoters , or Directors is an undischarged insolvent ; or

(b) The applicant , or any of his associates , or partners , or promoters , or Directors has been convicted of an offence involving moral turpitude , fraud , or any economic offence during the year of making the application or three years immediately preceding that year and a period of six months has not elapsed since his release from imprisonment , if any, consequent to such conviction ; or [ भाग III- खण्ड 4]

47 (c) An order canceling the licence of the applicant , or any of his associates , or partners , or promoters , or Directors , has been passed by the Commission; or

(d) The applicant holds a licence for transmission of electricity; or

(e) The applicant , or any of his associates , or partners , or promoters , or Directors has in the past been -

( i ) refused a licence on the grounds, which continue to remain valid , or

(ii) found guilty in any proceedings for non - compliance of any of the provisions of the Act or the rules or the regulations made thereunder or an order made by the Appropriate Commission , during the year of making the application or five years immediately preceding that year; or

(f) The applicant is not considered a fit and proper person for the grant of licence for any other reason to be recorded in writing .

Explanation: For the purpose of determining as to whether the applicant is a ' fit and proper person ' , the Commission may take account of any consideration as it deems fit, including but not limited to the following , namely:-

(1) financial integrity of the applicant ;

(ii) his competence ;

(iii) his reputation and character ; and

(iv) his efficiency and honesty .

CHAPTER- III : PROCEDURE FOR GRANT OF LICENCE

5. Proceedings before the Commission

All proceedings under these regulations shall be governed by the Conduct of Business Regulations .

6. Procedure for grant of licence

(1) Any person desirous of undertaking inter-State trading in electricity shall make an application to the Commission for grant of licence in the inanner specified in Form - l appended to these regulations and such application shall be accompanied by

(a) such fee as may be prescribed by the Central Government from time to time payable througn Bank Draft or Pay Order drawn in favour of Assistant Secretary, Central Electricity Regulatory Commissiort , New Delhi .

(b) Copies of the annual reports in case of the persons incorporated under the Companies Act, 1956 ( 1 of 1956 ) and audited accounts along with the Directors ' Report , Auditors ' Report, the Schedules and notes on accounts for three years immediately preceding the year in which the 49

application has been made and the special balance sheet as on any date falling within 30 days immediately preceding the date of making the application:

Provided that where the applicant has not been incorporated, registered or formed during the period of three years immediately preceding the year in which the application is made , the application shall be accompanied by the copies of the annual reports and audited accounts for such lesser period for which the applicant has been in existence .

(2) The application for grant of licence , along with annexures and enclosures shall also be submitted to the Commission on compact disc (CD) .

(3) The applicant shall post complete application along with annexures and enclosures on his own website so as to facilitate access to the application by any person through internet and shall keep them on the website till the disposal of his application .

(4) The applicant shall within 7 days after making such application , publish a notice of his application , in two daily newspapers having circulation in each of the fiveregions in addition to those published from Delhi , including one economic daily newspaper in Form II , with the following particulars , namely: -

(a) Name of the applicant (in bold ) at the top clearly bringing out whether the applicant is an individual/sole proprietor , an association or body of

[PART III -SFC. 4] individuals , a partnership firm registered under the Indian Partnership Act 1932 ( 9 of 1932) , a private limited company or a public limited company, incorporated under the Companies Act , 1956 , ( 1 of 1956) giving full particulars of its registered office address in case of a company incorporated under the Companies Act , 1956 ( 1 of 1956) and address for correspondence;

(b) A statement that the applicant has made an application for grant of licence for Category | or Category II or Category III , as the case may be , under sub - section ( 1 ) of Section 15 of the Act ,to the Central Electricity Regulatory Commission .

(g) Management profile of the applicant including details of past experience of the applicant or the persons on its management in same or similar activity;

(h) Geographical areas within which the applicant will undertake trading in electricity;

(i) Networth , current ratio and liquidity ratio of the applicant as on 31st March of three consecutive years immediately preceding the year of making ofthe application or for such lesser period as may be applicable and on the date of the special balance sheet accompanying the application;

(j ) A statement whether the applicant or any of his associates , or partners , or promoters , or Directors has been declared insolvent , and if so, the details thereof and whether or not they have been discharged;

(k) Details of cases resulting in conviction of an offence involving moral turpitude, fraud or economic offence of the applicant, or any of his associates , or partners , or promoters , or Directors during the year of making the application or three years immediately preceding that year and the date of release of the above person from imprisonment, if any, consequentto such conviction ;

[PART III-SEC. 4 ] (1) A statement whether the applicant or any of his associates , or partners , or promoters , or Directors was ever refused licence , and if so , the particulars of the application , date of making the application , date of order refusing licence and reasons for such refusal ;

(m) A statement whether the applicant is in possession of a licence for transmission of electricity and if so , the details thereof;

(n) A statement whether an order canceling the licence of the applicant or any of his associates , or partners , or promoters , or Directors has been made by the Commission and if so the details thereof;

(0) A statement whether the applicant or any of his associates , or partners , or promoters , or Directors has been found guilty of non- compliance of any of the provisions of the Act or the rules or the regulations made thereunder or an order made by the Appropriate Commission , and if so the details thereof;

(p) A statement to the effect that the application and other documents filed before the Commission , are available with the applicant for inspection by any person;

(q ) Name and address and other relevant details of the person under the control of the applicant with whom the application and other documents can be inspected by any person ;

(r) Address of the website where the complete application along with annexures , enclosures , has been posted;

(s) A statement that objections or suggestions , if any, be filed before the Secretary, Central Electricity Regulatory Commission, (Givehere address where the office of the Commission is situate), New Delhi with a copy of the objections or suggestions to the applicant, within 30 days of publication of the notice;

(5) The applicant shall within 7 days from the date of publication of the notice as aforesaid submit to the Commission on affidavit the details of the notice published and shall also file the original complete page of the newspaper in which the notice has been published .

(6) The applicant may file his reply to the objections or suggestions received in response to the notice within 45 days of its publication in the newspapers .

(7) The Commission after consideration of the objections or suggestions received in response to the notice published by the applicant and his reply may propose to grant licence.

(8) Whenthe Commission proposes to grant licencę , it shall publish a notice of its proposal in two daily newspapers , as the Commission may consider 54

appropriate , stating the name and address of the person to whom it proposes to issue the licence, with such other details as the Commission considers appropriate, to invite further objections or suggestions to its proposal .

(9) Onconsideration of further objections or suggestions received and the reply of the applicant thereto , if any , the Commission may grant the licence or reject the application , for reasons to be recorded in writing if the application does not conform to the provisions of the Act , the rules or the regulations or provisions of any other law for the time being in force:

Provided that no application shail be rejected , unless the applicant has been given an opportunity of being heard .

(10) As far as practicable the licence shall be granted in accordance with format prescribed in Form III appended to these regulations .

CHAPTER- IV : TERMS AND CONDITIONS OF THE LICENCE

7. Obligations of the Licensee

The licensee shall be subject to the following obligations ; namely: -

(a) The licensee shall comply with the requirements of laws in force and, in particular , the Act, the Rules and the Regulations, Grid Code , orders and directions issued from time to time by the Commission and any of the State Electricity Regulatory Commissions in accordance with law .

(b) The licensee shall not exceed the volume of trading authorized under the licence , but may, in exceptional circumstances , undertake trading in. electricity up to the maximum of 120 per cent of the volume of trade authorized under the licence granted to him:

)

Provided that the licensee , on exceeding the volume of trading authorized in a year under the licence granted to him shall pay licence fee applicable to the higher category for that particular year:

Provided further that the licensee may with the prior approval of the Commission and on such terms and conditions as the Commission may decide, exceed the specified limit of 120% in a year.

(c) The licensee shall not charge any amount exceeding the trading margin for the inter- State trading in electricity, fixed by the Commission from time to time.

(d) The licensee shall continue to be governed by the qualifications or disqualifications specified in these regulations for making an application for licence throughout the period of licence.

(e) The licensee shall establish adequate communication facilities like telephone, fax, computer, internet facilities , before undertaking trading.

(f) The licensee may coordinate with Regional Power Committees , the Central Transmission Utility , State Transmission Utilities , the Regional Load Despatch Centres , and the State Load Despatch Centres with regard to his trading- related activities , to the extent authorized by the concerned buyer and seller.

(g) The licensee shall render all assistance to any person authorised by the Commission to carry out his duties relating to the licence.

(h) The licensee shall carry out trading in accordance with the agreed terms and conditions , and may take such safeguards as he may consider necessary with regard to payment security mechanism from the buyers , but shail always ensure timely payment of dues to the seller for purchase of the agreed quantum of electricity either through a letter of credit or any other appropriate instrument or as may be mutually agreed between the seller and the licensee.

(i) The licensee shall ensure that appropriate agreement for purchase and sale of electricity are entered into by him with the sellers and the buyers prior to scheduling a transaction , and that the agreement shall specify the following , namely-

(i ) the boundaries , that is to say, upper and lower MW limits of electricity to be purchased or sold,

(ii) modalities for scheduling , 57 [भाग III- खण्ड 4 ]

(iii) persons authorized to specify the schedule , or to modify it after it has been intimated to the Regional Load Despatch Centre or the State Load Despatch Centre,

(iv) whether the buyer or the seller can unilaterally advise modification of the schedule , or whether the modification can only be advised jointly by the buyer and the seller ,

(v) the liabilities of the parties (seller, buyer and licensee) in case the scheduled quantum (MW) and time of scheduling differs from the agreed terms , or in case of modification in schedule , and in the latter case, the party that will bear non - refundable part of short-term open access charges .

(j ) The licensee shall ensure that there is no discrepancy or scope for dispute in the scheduling advised to the Regional Load Despatch Centre and in case of any discrepancy or ambiguity in the scheduling advice , the decision of the Regional Load Despatch Centre on the acceptance or otherwise of such advice shall be binding.

(k) The licensee shall ensure that the buyer and the seller are , either grid connected entities or represent such entities , with special energy meters on their periphery and that the mechanism for Unscheduled Interchange accounting by the appropriate authority is in place.

[PART III-SEC. 4] (1) The licensee shall not purchase electricity from the entities and the associates of such entities , defaulting in payment of Unscheduled Interchange charges , transmission charges , reactive energy charges , congestion charge and fee and charges for National Load Despatch Centre or Regional load Despatch Centre or the Unified Load Despatch and Communication Scheme or any other payment levied by the Commission or any of the State Commissions under the provisions of the Act or any regulation made thereudner, when so advised by the Commission .

(m) The licensee shall regularly pay the licence fee specified by the Commission from time to time.

(n) The licensee shall not omit or neglect to undertake trading activity

(0) The licensee shall not enter into any agreement for purchase or sale of electricity that may lead to abuse of his dominant position or enter into a combination which causes or is likely to cause an adverse effect on competition in electricity industry.

(p) The licensee shali maintain up-to-date record of all the trading transactions undertaken by him , separately for bilateral transactions , inter- State as well as intra - State, and those through the power exchange .

(q) The licensee shall make an appropriate application before the Commission for prior approval of the Commission whenever so required , in accordance with the Conduct of Business Regulations.

(r) The licensee shall , subject to settlement of commercial terms in accordance with law , not omit sale of electricity to a consumer allowed open access by the concerned State Commission .

8. Accounts of the Licensee

(1) The licensee shall -

(a) Keep the accounts of the business covered by the licence separate from any other business , whether licensed or otherwise.

(b) maintain the statement of accounts in such form and containing such particulars as may be specified by the Commission and till such time these are specified by the Commission , the accounts shall be maintained in accordance with the Companies Act, 1956 , ( 1 of 1956 ) as amended from time to time;

(c) prepare on a consistent basis from such records , accounting statements for each year comprising a Profit and Loss Account , a Balance Sheet and a statement of source and application of funds together with notes thereto and showing separately the amounts of any revenue , cost , asset , liability, reserve , or provision which has been either:

[PART III-SEC. 4 ] ( i) chargedfrom or to any other business together with a description of the basis of that charge: or

(ii) determined by aoportionment or allocation between the various business achvities together with a description of the basis of the apportionment or alocation

(d) provide in respect or the accounting statements prepared in accordance with foregoing clauses , a report by the Auditors in respect of each year, staling whether in their opinion the statements have been properly prepared and give a true and fair view of the revenue , costs , assets , and liabilities , reserves reasonably attributable to the business to which the statements relate, and

(e) submit to the Commission copies of the accounting statements and Auditor's report not later than nine months after the close of the year to which they relate and shati keep them posted in its website or any other authorized website for a period of at least two years thereafter .

(2) Any person authorised by the Commission shall be entitled to inspect and verify the accounts of the licensee and the licensee shall render all necessary assistance to such person [भाग III- खण्ड 4 ]

61 9. Submission of Information

The licensee shall -

(a.) supply such information , as may be called for by the Commission from timeto time;

(b) furnish monthly information in Forms IV-A , IV- B and IV- C appended to these regulations , separately in respect of inter- State trading , intra - State trading and trading through power exchange so as to reach the Commission before 10th of the succeeding month.

Provided that the information sent to the Commission shall be posted on the website of the licensee or any other website , and such report shall be available on the website for not less than two years.

(c) submit to the Commission copies of the Annual Reports including Directors ' report, Auditors' report , Balance Sheet and Profit and Loss Accountpertaining to inter- State trading segment of the business alongwith all the schedules and notes to the accounts , not later than nine months after the close of the year to which they relate and shall keep them posted in its website or in any authorized website for a period of at least two years thereafter .

(d) report to the Commission the following events as soon as possible :

(i ) when the licensee or any of his associates , or partners , or promoters , or Directors has been declared insolvent;

(ii) when the licensee , or any of his associates , or partners , or promoters , or Directors has been convicted of an offence involving moral turpitude , fraud, or any economic offence.

(iii ) When the licence of any of the associates , partners , promoters , Directors has been cancelled by the Commission .

(iv) When the licensee , or any of his associates , or partners, or promoters , or Directors has been found guilty for non- compliance of any of the provisions of the Act or the rules or the regulations made thereunder or an order made by the Appropriate Commission .

10. Standards of performance

(1) The Commission may , after consultation with the licensee specify the standards of performance of a licensee or a class of licensees .

(2) Till such time the standards of performance are specified under clause ( 1 ) the licensee shall furnish to the Commission the performance details for each year [भाग III- खण्ड 4 ]

in the format prescribed in Form V, appended to these regulations by 30th April immediately following the year ending on 31st March.

11. Prudential Reporting

The licensee shall , as soon as possible , report to the Commission -

(a) any significant change in the circumstances which may affect his ability to meet the obligations under the Act, the Rules and the Regulations , directives and orders issued by the Commission , the Grid Code, agreement or the licence;

(b) any material breach of the provisions of the Act , the Rules and the Regulations , directives and orders issued by the Commission , the Grid Code, agreement or the licence; and

12. Amendment of Licence .

(1) The terms and conditions of the licence may be modified by the Commission in public interest or on an application made by the licensee:

Provided that before ordering any substantive alteration or modification in the licence, proposed to be made otherwise than on the application of the [PART III-SEC. 41 THE GAZETTE OF INDIA : EXTRAORDINARY

licensee , the Commission shall publish a notice in two such daily newspapers as it considers necessary with the following particulars , namely: -

(a) name and address of the licensee;

(b) aiterations and modifications proposed to be made;

(c)

grounds for such alterations and modifications ; and

(d) inviting suggestions . if any, on the proposal for consideration of the Commission within the time specified in the notice .

(2) The procedure specified in Regulation 6 shall mutatis mutandis be applicable in case the licensee makes an application for any substantive alteration ofor modification to the terms and conditions of the licence:

Provided that where the licensee has made an application under s'ub- section ( 1 ) of Section 18 of the Act , proposing any substantive alteration and modifications in his licence . he shall publish a notice of such application in two daily newspapers having circulation in all the five regions , in addition to those published from Delhi , including ore economic newspaper, in Forrn VI , with the following particulars , namely:-

(a) name of the applicant ,

(b) category of the licence granted to him;

65 (c) that an application for alteration and modifications has been made before the Commission;

(d) details of alteration and modifications proposed in the application, (e) reasons for seeking such alterations and modifications;

(f) a statement that the application made before the Commission has been posted on the website and can also be inspected in the office oftheapplicant;

(g) a statement that any suggestion to the proposal for alteration and modifications made in the application may be submitted to the Secretary of the Commission within 30 days of publication of the notice.

13. Procedure for securing compliance of terms and conditions of licence

(1) Where the Commission , on the basis of material in its possession is satisfied that the licensee is contravening , or is likely to contravene , the terms and conditions of licence, it shall serve a notice to the licensee narrating the terms and conditions of licence contravened or likely to be contravened by him to invite his objections or suggestions .

(2) The notice may be served on him by delivering the same at the registered office or at the usual or his last known place of residence or business, either through registered post or speed post or by hand delivery through a messenger or

publication in a newspaper where the Commission is satisfied that it is not reasonably practicable to serve the notice on the licensee through registered post or speed post or by hand delivery or in any other manner as considered appropriate by the Commission in the facts and circumstances of the case .

(3) The Commission shall publish a notice in two newspapers specifying the terms and conditions contravened or likely to be contravened by the licensee to bring the matters to the attention of persons affected or likely to be affected by such contraventions , to invite suggestions from such persons.

(4) The licensee or the persons affected or likely to be affected by the contravention of the terms and conditions of the licence by the licensee may file their objections or suggestions within 30 days from the date of receipt of notice under clause (1 ) or publication of notice in the newspapers under clause ( 3 ) , as he casemay be.

(5) The Commission shall on consideration of the objections and suggestions received as aforesaid , pass such order or give such directions as may be necessary to secure compliance of the terms and conditions of license.

CHAPTER - V : REVOCATION OF LICENCE

Revocation of Licence

14.

(1) The Commission may revoke the licence , in any of the following circumstances , namely: - [ भाग III-खण्ड 4]

67 (a) Where the licensee in the opinion of the Commission , makes willful and prolonged default in doing anything required of him by or under the Act , or the Rules or the Regulations;

(b) Where the licensee breaches any of the terms and conditions of his licence , the breach of which is expressly declared by such licence to render itliable to revocation ;

(c) Where the licensee fails , within the period fixed in this behalfby his licence , or any longer period which the Commission may allow therefor, to show to the satisfaction of the Commission , that he is in a position fully and efficiently to discharge the duties and obligations imposed on him by his licence;

(d) Where in the opinion of the Commission the financial position of the licensee is such that he is unable to fully and efficiently discharge the duties and obligations imposed on him by his licence;

(e) Wherethe licensee has neglected to undertake trading in electricity;

(f) Where the licensee fails to meet the qualifications specified for making an application or incurs any of the disqualifications under these regulations;

(g) Where the licensee fails to submit the information as required in accordance with the regulations 9, 10 and 11 or knowingly furnishes false and wrong information;

Provided that the licence shall not be revoked except after an enquiry by the adjudicating officer appointed by the Commission under Section 143 of the Act in the manner prescribed by the Central Government :

Provided further that the Commission may, instead of revoking a licence under clause ( 1 ) above , permit the licence to remain in force subject to such further terms and conditions as it thinks fit to impose, and any further terms and conditions so imposed shall be binding upon and be observed by the licensee and shall be of like force and effect as if they were contained in the licence.

(2) When the licensee makes an application for revocation of the licence and the Commission is satisfied that such revocation of licence shall not prejudicially affect the public interest , the Commission may revoke his licence , on such terms and conditions as it thinks fit .

(3) The Commission shall serve a notice of revocation upon the licensee and fix a date on which the revocation shall take effect .

15. Existing Licensees.

(1) The existing licensees shall be re-classified as under, namely -

(2) The existing licensees shall meet the net worth , current ratio and liquidity ratio criteria specified in these regulations within a period up to 31.3.2010 .

(3) The existing licensees shall pay the licence fee as may be specified by the Commission from time to time:

Provided that the licence fee when revised , shall be payable by the existing licensees on pro rata basis from the date of such revision to the end of the year .

16. Communication

(1 ) Unless otherwise specified in these regulations , all communications relating to the licence shall be in writing and shall be delivered either in person to the addressee or his authorized agent, or sent by registered or speed post at the place ofbusiness of the addressee .

(2) All communications shall be regarded to have been given by the sender and received by the addressee,

( i ) agent; when delivered in person to the addressee or to his authorised on expiry of 15 days from the date of sending by registered or speed postatthe address of the addressee. (ii)

17. Power to relax

The Commission may in appropriate cases and for reasons to be recorded in writing relax any of the provisions of these regulations .

18. Repeal and Saving

(1) Save as otherwise provided in these regulations, the Central Electricity Regulatory Commission (Procedure, Terms and Conditions for grant of trading licence and other related matters ) Regulations , 2004 shall stand repealed from the date of commencement of these regulations .

(2) Notwithstanding such repeal , anything done or purported to have been. done under the repealed regulations shall be deemed to have been done or purported to have been done under these regulations.

FORM III CENTRAL ELECTRICITY REGULATORY COMMISSION LICENCE FOR INTER - STATE TRADING IN ELECTRICITY

1. The Central Electricity Regulatory Commission ( hereinafter referred to as "the Commission" ) , in exercise of the powers conferred, under Section 14 of the Electricity Act, 2003 ( hereinafter referred to as " the Act" ), hereby grants this licence as a Category trader to (hereinafter referred to as " the licensee" ) having its registered office situated at to undertake inter- State trade in electricity as an electricity subject to the terms and conditions contained in trader in the area the Act , ( in particular , Sections 17 to 22 thereof, both inclusive), the Rules made by the Central Government ( hereinafter referred to as " the Rules " ) and the Regulations specified by the Commission ( hereinafter referred to as "the Regulations " ) , including statutory amendments, alterations , modifications , re- enactments thereof, which shall be read as part and parcel of this licence.

2. This licence is not transferable , except in accordance with the provisions of the Act, the Rules and the Regulations.

3. (1) The licensee shall not without prior approval of the Commission-

(a) undertake any transaction to acquire by purchase or take over or otherwise , the utility of any other licensee ; or

(b) merge its utility with utility of any other licensee;

(2) The licensee shall not at any time assign its licence, or transfer its utility, or any part thereof, by sale, lease, exchange or otherwise without the prior approval of the Commission;

(3) Any agreement relating to any transaction referred to in sub - clause ( 1 ) and sub-clause (2) unless made with the approval of the Commission , shall be void.

4. The grant of this licence to the licensee shall not in any way hinder or restrict the right of the Commission to grant a licence to any other person within the same area for inter- State trading in electricity as an electricity trader . The licensee shall not claim any exclusivity.

5. This licence shall commence on the date of its issue and unless revoked earlier, shall continue to be in force for a period of 25 (twenty five) years.

6. The licensee may with prior intimation to the Commission , er gage in any business for optimum utilisation of its assets:

Provided that the licensee shall not engage in the business of transmission of electricity.

7. Unless otherwise specified by the Commission , the licensee shall pay annual license fee of Rs . lakh , and license fee for a part of the year shall be paid on pro- rata basis rounded offto the nearest hundred rupees .

8. The provisions contained in Sections 19 to 22, both inclusive , of the Act shall apply to the licensee with regard to revocation of licence and sale of his utility.
