सा.का.नि. 70 (अ) .-केन्द्रीय सरकार , कम्पनी अधिनियम , 1956 ( 1956 का 1 ) की धारा 641 की उप - धारा ( 1 ) के द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए , कम्पनी अधिनियम , 1956 की अनुसूची 13 का निम्नलिखित और संशोधन करती है , अर्थात्:-- 1. अनुसूची 13 के भाग 2 , खण्ड 2 में ,
(i ) उप - पैरा ( ग ) के तीसरे परंतुक में " अभिप्राप्त कर लिया जाता है " शब्दों के पश्चात् निम्नलिखित अंतःस्थापित किया जाएगा , अर्थात्:-
" यदि कम्पनी कोई सूचीबद्ध कम्पनी है या किसी सूचीबद्ध कम्पनी की समनुषंगी है " ;
( ii ) खण्ड ( 2 ) के स्पष्टीकरण 4 के स्थान पर निम्नलिखित स्पष्टीकरण रखा जाएगा , अर्थात्: --
" इस धारा के प्रयोजन के लिए " पारिश्रमिक समिति " से ,-
( i ) किसी सूचीबद्ध कम्पनी के संबंध में कोई समिति अभिप्रेत है जिसमें कम से कम तीन गैर - कार्यकारी स्वतंत्र निदेशक हैं जिसके अंतर्गत नामनिर्देशिती निदेशक या नामनिर्देशिती निदेशकों यदि कोई हों , भी हैं; और
( ii ) किसी अन्य कम्पनी के संबंध में कोई निदेशकों की पारिश्रमिक समिति अभिप्रेत है " ;
2. ये राजपत्र में प्रकाशन की तारीख से प्रवृत्त होंगे ।

टिप्पणी : मूल अनुसूची कम्पनी ( संशोधन ) अधिनियम , 1988 द्वारा सं. सा.का.नि. 559 ( अ ) , तारीख 10-6-1998 के तहत अंतःस्थापित की गई थी और उसमें तत्पश्चात् निम्नलिखित द्वारा संशोधन किए गए हैं :
(i ) सा.का.नि. 784 ( अ ) , तारीख 13-7-1988
(ii ) सा.का.नि. 723 ( अ ) , तारीख 18-9-1990

NOTIFICATION
New Delhi , the 8th February . 2011
G.S.R. 70 ( E ) . In exercise of the powers conferred by sub - section ( 1 ) of Section 641 of the Companies Act . 1956 ( 1 of 1956 ) , the Central Government hereby makes the following further amendments in Schedule XIII to the Companies Act . 1956 , namely : -
1. In the Schedule XIII , in Part II , in Section II
( i ) in sub - para ( C ) . in third proviso , after the word , " scale " occurring at the end , the following words shall be inserted , namely:
" if the company is a listed company or a subsidiary of a listed company " ;
( ii ) for Explanation IV, to the Section II , the following Explanation shall be substituted , namely
" For the purposes of this section , " Remuneration Committee " means ;
(i) In respect of a listed company , a committee which consists of atleast three non - executive independent directors including nominee director or nominee directors , if any ; and
( ii) in respect of any other company , a Remuneration Committee of Directors " ;
2. It shall come into force from the date of its publication in the Official Gazette .
