विनियम , 2012
फा. सं एल.ए.डी - एन.आर ओ. /जी.एन./2011-12/35/3186.- बोर्ड , भारतीय प्रतिभूति और विनिमय बोर्ड अधिनियम, 1992 ( 1992 का 15 ) की धारा 30 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए , एतद्वारा भारतीय प्रतिभूति और विनिमय बोर्ड ( पूँजी का निर्गमन और प्रकटीकरण अपेक्षाएँ ) विनियम , 2009 का और सशोधन करने के लिए निम्नलिखित विनियम बनाता है , अर्थात्:--
1. इन विनियमो को भारतीय प्रतिभूति और विनिमय बोर्ड ( पूँजी का निर्गमन और प्रकटीकरण अपेक्षाएँ ) ( दूसरा संशोधन ) विनियम , 2012 कहा जा सकेगा ।
2 वे राजपत्र में उनके प्रकाशन की तारीख को प्रवृत्त होंगे ।
3 भारतीय प्रतिभूति और विनिमय बोर्ड ( पूँजी का निर्गमन और प्रकटीकरण अपेक्षाएँ ) विनियम, 2009 मे,- (1 ) विनियम 53 में,
( 1) उप- विनियम ( 1 ) मे ,-

(1) शब्दों तथा प्रतीक "यदि इसके पास साधिकार निर्गम लाने के समय बकाया पूर्णतः या अंशतः संपरिवर्तनीय ऋण लिखते हों," कालोप हो जायेगा :
(II) शब्द "ऐसी " का लोप हो जायेगा ;
( III ) शब्दों "जब तक कि इसने बकाया" के पश्चात् और शब्दों "संपरिवर्तनीय ऋण लिखतों के धारकों " के पूर्व , शब्द "अनिवार्यतः" अंतःस्थापित किया जायेगा :
(IV). शब्दों "संपरिवर्तनीय ऋण लिखतों" के पश्चात् और शब्दों "के धारकों के पक्ष में " के पूर्व , प्रतीक तथा शब्द " , यदि कोई हों, " अंतःस्थापित किये जायेगे ;
(2) उप-विनियम (2) में -
( I) शब्दों " के धारकों के लिए" के पश्चात् और शब्दों " आरक्षित इक्विटी शेयरों को " के पूर्व , शब्द " इस प्रकार" अंतःस्थापित किया जायेगा:
( II) शब्दों " पूर्णतः या अंशतः " के पश्चात् और शब्दों " संपरिवर्तनीय ऋण लिखतों के" के पूर्व , शब्द "अनिवार्यतः " अंतःस्थापित किया जायेगा:
(ii) विनियम 70 में, उप-विनियम (3 ) के पश्चात् , नया उप- विनियम (4) अंतःस्थापित किया जायेगा, अर्थात्: -
"(4) विनियम 72 के उप- विनियम (2) और विनियम 78 के उप-विनियम (6) के उपबंध विनिर्दिष्ट प्रतिभूतियों के अधिमानी निर्गम (प्रेफरेंशियल इश्यु) पर लागू नहीं होंगे जहाँ प्रस्तावित आबंटिती बोर्ड से रजिस्ट्रीकृत पारस्परिक निधि या बीमा विनियामक और विकास प्राधिकरण से रजिस्ट्रीकृत बीमा कंपनी है । " भारत का राजपत्र असाधारण

(iii) विनियम 93 में ,
(1) उप-विनियम ( 1 ) में -
(I) शब्दो तथा प्रतीक " यदि इसके पास बोनस निर्गम लाने के समय बकाया पूर्णतः या अशतः संपरिवर्तनीय ऋण लिखते हों , " का लोप हो आयेगा :
(II ) शब्द "ऐसी " का लोप हो जायेगा :
( III ) शब्दों "जब तक कि इसने बकाया" के पश्चात् और शब्दों "संपरिवर्तनीय ऋण लिखतों के धारकों " के पूर्व, शब्द "अनिवार्यतः " अंतःस्थापित किया जायेगा ;
( IV) शब्दों " संपरिवर्तनीय ऋण लिखतों " के पश्चात् और शब्दों " के धारको के पक्ष में " के पूर्व , प्रतीक तथा शब्द " , यदि कोई हों , " अंतःस्थापित किये जायेंगे :
(2) उप-विनियम (2 ) मे -
( I ) शब्दों "के धारको के लिए " के पश्चात् और शब्दों " आरक्षित इक्विटी शेयरो को " के पूर्व , शब्द " इस प्रकार " अतःस्थापित किया जायेगा;
( II ) शब्दों " पूर्णतः या अंशतः" के पश्चात् और शब्दों "संपरिवर्तनीय ऋण लिखतों के" के पूर्व , शब्द " अनिवार्यतः " अंतःस्थापित किया जायेगा;

(Issue of Capital And Disclosure Requirements)
(Second Amendment) Regulations, 2012
F. No. LAD - NRO/GN/ 2011-12/ 35 /3186.- In exercise of the powers conferred by section 30 of the Securities and Exchange Board of India Act , 1992 (15 of 1992 ) , the Board hereby makes the following Regulations to further amend the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations , 2009 , namely:-
1. These Regulations may be called the Securities and Exchange Board of India ( Issue of Capital and Disclosure Requirements ) ( Second Amendment ) Regulations , 2012.
2.They shall come into force on the date of their publication in the Official Gazette .
3. In the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements ) Regulations , 2009-
(i) in regulation 53 ,
(1) in sub- regulation ( 1) -
(I ) the words and symbol " if it has outstanding fully or partly convertible debt instruments at the time of making rights issue , " shall be omitted;
(II) the word " such " shall be omitted;
(III ) after the words "the holders of outstanding " and before the words " convertible debt instruments " , the word " compulsorily " shall be inserted;
(IV) after the words " convertible debt instruments " and before the words " in proportion to the " the symbols and words ", if any, " shall be inserted ;
(2) in.sub - regulation (2 ) -
(I) after the words " The equity shares " and before the words " reserved for the holders" , the word " so " shall be inserted ;
(II ) after the words " fully or partially " and before the words " convertible debt instruments " , the word " compulsorily " shall be inserted;

(III) the word " on" appearing after the words " on the same terms " and before the words " which the equity shares offered " , shall be substituted with the word " at";
(ii) in regulation 70 , after sub - regulation (3) a new sub- regulation (4) shall be inserted , namely: -
"(4) The provisions of sub- regulation (2 ) of regulation 72 and sub- regulation ( 6 ) of regulation 78 shall not apply to a preferential issue of specified securities where the proposed allottee is a Mutual Fund registered with the Board or Insurance Company registered with Insurance Regulatory and Development Authority . "
( iii) in regulation 93 .
(1) in sub -regul . on ( 1) -

(II) after the words " fully or partly " and before the words " convertible debt instruments " , the word. " compulsorily " shall be inserted;
(III) the word " on " appearing after the words " or same proportion " and before the words " which the bonus shares ", shall be substituted with the word" at";
