का.आ. 2749(अ). बैंककारी कंपनी (उपक्रमों का अर्जन और अंतरण ) अधिनियम , 1970 का 40 ) की धारा १ द्वारा प्रदत्त शिकायतों का प्रयोग करते हुए , केन्द्रीय सरकार, भारतीय रिजर्व बैंक से परामर्श करने के पश्चात एतद् द्वारा , राष्ट्रीयकृत बैंक (प्रबंधन और प्रकीर्ण उपबंध ) स्कीम, 1970 में और संशोधन करने के लिए निम्नलिखित स्कीम बनाती है , नामतः-

इस स्कीम को राष्ट्रीयकृत बैंक ( प्रबंधन और प्रकीर्ण उपबंध ) संशोधन स्कीम, 2012 (1) कहा जाएगा ।
(2) यह अधिकारिक राजपत्र में इसके प्रकाशन की तिथि से प्रवृत्त होगा ।
राष्ट्रीयकृत बैंक ( प्रबंधन और प्रकीर्ण उपबंध ) स्कीम, 1970 के खण्ड 12 में , उपखण्ड ( 2 ) में निम्नलिखित प्रतिस्थापित किया जाएगा: - 2.
(2 ) "निदेशक मंडल, अपनी बैठकों में यथा विनिर्दिष्ट समय और स्थान पर बैठक करेगा और कारोबार अंतरण के संबंध में यथा विहित कार्यविधि नियमावली का अनुपालन करेगा; और निदेशक मंडल की बैठक, विडियो सम्मेलन अथवा यथा विनिर्दिष्ट ऐसे किसी अन्य इलेक्ट्रॉनिक माध्यमों से सहकारिता कर सकते हैं, जो निदेशकों की सहभागिता का अभिलेखन करने और पहचान करने में समर्थ हैं, के द्वारा और ऐसी कार्यवाहियों को अभिलेखन करने और भंडारण करने में समर्थ है ।

बशर्ते कि, केन्द्रीय सरकार , भारतीय रिजर्व बैंक के परामर्श से, अधिकारिक राजपत्र में अधिसूचना जारी करके ऐसे कुछ मामलों को विनिर्दिष्ट कर सकती है, जिसे विडियो सम्मेलन अथवा ऐसे किसी अन्य इलेक्ट्रॉनिक माध्यमों द्वारा आयोजित बोर्ड की बैठकों में विचार नहीं जिया जा सकता है।

NOTIFICATION
New Delhi , the 19th November , 2012
S.O. 2749 ( E ) . In exercise of the powers conferredby section 9 of the Banking Companies (Acquisition and Transfer of Undertakings ) Act , 1970 ( 5 of 1970) , the Central Government , after consultation with Reserve Bank of India , hereby makes the following scheme further to amend the Nationalised Banks ( Management and Miscellaneous Provisions ) Scheme , 1970 , namely:-
1. (1) Thisscheme may be called the Nationalised Banks (Management and Miscellaneous Provisions ) Amendment Scheme , 2012.
(2) Itshall come into force on the date of its publication in the Official Gazette
2. In the Nationaï'sed Banks ( Management and Miscellaneous Provisions) Scheme, 1970, in clause 12, for sub-clause ( 2) , the following shall be substituted, namely: -
(2) "The Board shall meet at such time and place and shall observe such rules ofprocedure in regard to transaction of business at its meetings as may be specified; and the meeting of the Board may be held by participation of the Directors of the Board through video conferencing or such other electronic means, as may be specified, which are capable of recording and recognizing the participation of the Directors and the proceedings of such meetings are capable of being recorded and stored;
Provided that the Central Government may , in consultation with Reserve Bank, by notification in Official Gazette , specify the matters which shall not be discussed in a meeting of the Board held through video conferencing or such other electronic means . " .
