सं. 710/1 ( एम )/1.-इंस्टीट्यूट ऑफ कम्पनी सेक्रेटरीज ऑफ इण्डिया की परिषद् कम्पनी सचिव अधिनियम , 1980 ( 1980 का 56 ) की धारा 39 की उप- धारा ( 1 ) में प्रदत्त शक्तियों का उपयोग करते हुए तथा केन्द्र सरकार के पूर्व अनुमोदन से कम्पनी सचिव विनियमावली , 1982 के कतिपय नियमों के निम्नलिखित प्रारूप में और आगे संशोधन का प्रस्ताव करते हुए , उक्त अधिनियम की धारा 39 की उप- धारा ( 3 ) द्वारा यथा अपेक्षित उन सभी लोगों की जानकारी हेतु, जिनके इनसे प्रभावित होने की संभावना है, एतद्द्वारा ये संशोधन प्रकाशित करती है और इसके द्वारा सूचना दी जाती है कि उक्त प्रारूप पर उस तारीख से पैंतालीस दिन की अवधि की समाप्ति पर विचार किया जाएगा जिस तारीख को इस अधिसूचना की औपचारिक राजपत्र की प्रतिलिपियां सार्वजनिक रूप से उपलब्ध हो जाती हैं । कोई भी व्यक्ति उक्त प्रारूप विनियमावली के बारे में आपत्तियां या सुझाव देना चाहता है, वह उन्हें इंस्टीट्यूट की परिषद के विचारार्थ उपर्युक्त निर्धारित अवधि में सचिव, दि इंस्टीट्यूट ऑफ कम्पनी सेक्रेटरीज ऑफ इण्डिया, आईसीएसआई हाउस , 22. इंस्टीट्यूशनल एरिया, लोधी रोड, नई दिल्ली-110003 को भेज सकता है ।
उक्त प्रारूप विनियमावली के बारे में किसी भी व्यक्ति से प्राप्त कोई भी आपत्ति या सुझाव उक्त निर्धारित अवधि की समाप्ति से पूर्व प्राप्त होने पर उस पर परिषद विचार करेगी ।
प्रारूप विनियमावली
1. (1) इन विनियमों का नाम कम्पनी सचिव (संशोधन) विनियमावली 2012 होगा ।
(2) ये विनियम भारत के राजपंत्र में अंतिम रूप से प्रकाशन होने की तारीख से लागू हो जाएंगे ।
2. जाएगा)- कम्पनी सचिव विनियमावली, 1982 में (जिन्हें इसके बाद उक्त विनियमावली के रूप में उल्लेख किया
(i) विनियम 40 में खण्ड (ख ख ) के लिए निम्नलिखित खण्ड प्रतिस्थापित किया जाए, अर्थात्ः- "(ख ख) एक छात्र है जिसका सितम्बर 2009 को या इसके बाद एक्जीक्यूटिव प्रोग्राम के लिए रजिस्टर्ड हुआ हो

और उसने अपने रजिस्ट्रेशन से छह महीने की अवधि के अन्दर नियमित आधार पर या उतने दिनों या घण्टों का या समय समय पर परिषद द्वारा विधि के अनुसार स्टूडेण्ड इंडक्शन प्रोग्राम को सफलतापूर्वक उत्तीर्ण कर लिया हो या उससे छूट प्राप्त कर ली हो । ";
(ii) विनियम 47 के लिए निम्नलिखित संशोधन प्रतिस्थापित किया जाए , अर्थात्:-
"47 व्यावहारिक अनुभव या प्रशिक्षण"
ऐसे अभ्यर्थी जिसने इंस्टीट्यूट ( संस्थान) की अंतिम (फाइनल) परीक्षा या प्रोफेशनल प्रोग्राम परीक्षा उत्तीर्ण कर ली है, उसे व्यावहारिक अनुभव या व्यावहारिक प्रशिक्षण प्राप्त करना आवश्यक होगा या उसे संस्थान (इंस्टीट्यूट ) की सहयुक्त ( एसोसिएटेड) सदस्यता के लिए पात्र होने के लिए इस अध्याय में विनिर्दिष्ट अनुभव या प्रशिक्षण लेना अथवा इससे छूट प्राप्त करनी होगी" :
(iii). विनियम 48 में,
:-
(क) खण्ड (क) में, उप- खण्ड ( i ) के लिए निम्नलिखित उप- खण्ड (i ) को प्रतिस्थापित किया जाए. अर्थात्
"(i) सेक्रेटेरियल ( सचिवीय) विभाग में सहायक या उप कम्पनी सचिव या किसी अन्य समकक्ष अथवा इससे उच्चतर पद पर एक वर्ष का अनुभव या सचिवीय अधिकारी या एक्जीक्यूटिव के रूप में दो वर्ष का अनुभव या किसी कम्पनी अथवा बॉडी कार्पोरेट के सचिवीय विभाग में सहायक के रूप में तीन वर्ष का अनुभव, जिसकी कम से कम पचास लाख रूपए की प्रदत्त (पेड -अप ) पूंजी और रिजर्व हो या कोई ऐसा संगठन हो जिसकी सकल मियादी सम्पत्ति (ग्रास फिक्स्ड एसेट्स) कम से कम एक करोड़ रूपए का हो , जिसमें सार्वजनिक क्षेत्र के उद्यम , स्वायत्त अथवा सांविधिक निकाय , वित्तीय संस्थान या बैंक शामिल हैं, जिन्हें परिषद की राय में पर्याप्त प्रोफेशनल अनुभव प्राप्त करने का आधार समझ जाता है । " ;
(ख) उप- खण्ड ( iii ) के लिए निम्नलिखित को प्रतिस्थापित किया जाए , अर्थात्:-
"(iii) चार्टर्ड एकाउण्टेंट या कॉस्ट एकाउण्टेंट के रूप में पूर्णकालिक आधार पर सतत प्रेक्टिस का दो वर्ष का अनुभव हो, जो संविधिक या कॉस्ट या इंटरनल आडिट का कार्य करता हो या मैनेजमेंट कंस्लटेंसी सेवाएं प्रदान करता हो या किसी हाईकोर्ट में एडवोकेट के रूप में किसी ऐसी कम्पनी को कौंसिल या एडवाइजर के रूप में सतत प्रेक्टिस का दो वर्ष का अनुभव हो, जिस कम्पनी की प्रदत्त शेयर पूंजी और रिजर्व कम से कम पचास लाख रुपए की हो या कोई ऐसा संगठन हो , जिसकी सकल मियादी सम्पत्ति कम से कम एक करोड़ रुपए की हो, जिसमें कोई भी सार्वजनिक क्षेत्र उद्यम, स्वायत्त या सांविधिक निकाय, वित्तीय संस्थान या बैंक शामिल हैं, जिन्हें परिषद की राय में पर्याप्त प्रोफेशनल अनुभव प्राप्त का आधार समझा जाता है । "
"(iiiक) परिषद द्वारा समय- समय पर यथा अनुमोदित प्रोफेशनल अर्हता का कोई अभ्यर्थी, जिसके पास किसी लॉ फर्म या मैनेजमेंट कैस्लटेंसी फर्म या किसी ऐसी चार्टर्ड एकाउण्टेंट फर्म या कॉस्ट एकाउण्टेंट फर्म में काम करने का दो वर्ष का अनुभव हो, जो कम से कम दस वर्षों से स्थापित हो और उसकी सकल मियादी सम्पत्ति कम से कम दस लाख हो या परिषद द्वारा समय - समय पर यथा अनुमोदित उस फर्म के पास निर्धारित प्रतिष्ठा ( स्टैण्डिंग ) और सम्पत्ति हो ।
(ग) उप - खण्ड ( iv) के लिए निम्नलिखित उप- खण्ड प्रतिस्थापित किया जाए , अर्थात्ः-
" (iv) किसी कम्पनी या बॉडी कारपोरेट में सचिवीय, प्रशासन, एकाउंट्स, वित्त , कार्मिक या विधि विभाग में एक्जीक्यूटिव के रूप में दो वर्ष का अनुभव या सहायक के रूप में तीन वर्ष का अनुभव हो , जिसकी प्रदत्त शेयर पूंजी और रिजर्व कम से कम पचास लाख रुपए की हो या कोई ऐसा संगठन हो, जिसकी मियांदी सम्पत्ति कम से कम एक करोड़ रुपए की हो , जिसमें केन्द्रीय और राज्य सरकार, सार्वजनिक क्षेत्र उद्यम, स्वायत्त या सांविधिक निकाय , वित्तीय संस्थान, बैंकिंग और बीमा कम्पनी शामिल है , जिन्हें परिषद की राय में पर्याप्त प्रोफेशनल अनुभव प्राप्त का आधार समझा जाता है । ";
(घ) उपखण्ड (v) में शब्द (have acquired ) अर्थात् प्राप्त हैं के स्थान पर (has) प्राप्त है प्रतिस्थापित किया जाए ।
(ङ) उपखण्ड ( v) के बाद निम्नलिखित उप- खण्ड (vi ) अन्तर्विष्ट किया जाए, अर्थात्:-

"(vi) किसी प्रोफेशनल इंस्टीट्यूट का फैलो सदस्य हो या परिषद द्वारा यथा अनुमोदित कम्पनी सचिव के समकक्ष अर्हता हो और उसके पास पांच वर्ष का कार्यकारी अनुभव हो । ";
(च). खण्ड (ख ) में, शब्द ' पन्द्रह महीनों' के स्थान पर शब्द ' चौबीस महीने' प्रतिस्थापित किया जाए :
(छ). खण्ड (ग) में शब्द ' पन्द्रह महीनों' के स्थान पर शब्द ' चौबीस महीने' प्रतिस्थापित किया जाए;
(ज). खण्ड (घ) के स्थान पर निम्नलिखित प्रतिस्थापित किया जाए, अर्थात्ः-
" (घ) 1 सितम्बर 2009 को या उसके बाद एक्जीक्यूटिव प्रोग्राम के लिए रजिस्ट्रीकृत अभ्यर्थी को और जिसे खण्ड (ख) या (ग) या विनियम 49 क के अन्तर्गत प्रशिक्षण प्राप्त करना होता है, उसे एक्जीक्यूटिव डेवलेपमेंट प्रोग्राम और प्रोफेशनल डेवलेपमेंट प्रोग्राम को नियमित आधार पर या ऑनलाइन पर समय - समय पर परिषद द्वारा यथा अनुमोदित निश्चित दिनों या घण्टों में और विधि के अनुसार पूरा करना होगा या उससे छूट प्राप्त करनी होगी । ":
(iv). विनियम 49 के बाद निम्नलिखित विनियम अन्तर्विष्ट किया जाए , अर्थात्:-
"49क एक्जीक्यूटिव प्रोग्राम के लिए नामांकन होने पर छत्तीस महीनों का वैकल्पिक प्रशिक्षण
"यदि कोई अभ्यर्थी इंस्टीट्यूट की फाउण्डेशन प्रोग्राम परीक्षा उत्तीर्ण कर लेता है या इससे छूट प्राप्त कर लेता है और एक्जीक्यूटिव प्रोग्राम में नामांकन करा लेता है तो वह किसी प्रेक्टिसरत कम्पनी सचिव या इंस्टीट्यूट की परिषद द्वारा इस प्रयोजन के लिए रजिस्टर्ड और मान्यता प्राप्त किसी कम्पनी सचिवों की ऐसी फर्म में विनियम 48 में निर्धारित चौबीस महीने के प्रशिक्षण के एवज में अपना विकल्प लेकर तुरन्त छत्तीस महीनों की अवधि का प्रशिक्षण शुरू कर सकता है । "
(v). विनियम 50 के लिए निम्नलिखित विनियम को प्रतिस्थापित किया जाए , अर्थात्:--
"50 अनिवार्य व्यावहारिक प्रशिक्षण
(क) इंस्टीट्यूट की फाइनल परीक्षा या प्रोफेशनल प्रोग्राम परीक्षा उत्तीर्ण करने वाले प्रत्येक पात्र अभ्यर्थी से , विनियम 48 के उप- खण्ड ( iii ) (iiiक), (iv) और (vi ) में विनिर्दिष्ट अर्हता और व्यावहारिक अनुभव प्राप्त करने के अलावा समय-समय पर परिषद द्वारा तय की गई एक महीने की कुल अवधि अथवा उतनी निश्चित अवधि का सचिवीय विभाग में शेयरों या विधि में, यथानुसार व्यावहारिक प्रशिक्षण प्राप्त करना होगा जिसमें परिषद द्वारा अनुमोदित ऐसी किसी पब्लिक लिमिटेड कम्पनी या बॉडी कार्पोरेट शामिल होंगी जिनकी कम से कम पचास लाख की प्रदत्त शेयर पूंजी हो या समय- समय पर परिषद द्वारा अनुमोदित किसी प्रेक्टिसरत कम्पनी सचिव या कम्पनी सचिवों की फर्म में प्रशिक्षण प्राप्त करना होगा ।
"(ख) फाइनल परीक्षा या प्रोफेशनल प्रोग्राम परीक्षा उत्तीर्ण करने और प्रशिक्षण आवश्यकताएं पूरी करने अथवा उससे छूट पाने के बाद अभ्यर्थी को नियमित आधार पर या ऑनलाइन पर मैनेजमेंट स्किल्स ओरिएटेशन प्रोग्राम पूरा करना होगा जिसकी कालावधि अनिवासियों (नॉन-रेजीडेशियल) के लिए तीन सप्ताह और आवासियों (रेजीडेंशयल) के लिए दो सप्ताह होगी तथा इसमें एक निश्चित अवधि के लिए तथा इस ढंग से और इस प्रकार के विषय रख कर एडवांस्ड सॉफ्ट स्किल्स ट्रेनिंग और एडवांस्ड टेक्नीकल ट्रेनिंग लेनी होगी जैसा कि परिषद ने प्रावधान किया हो;
बशर्ते कि परिषद अभ्यर्थी की ओर से आवेदन करने और मैनेजमेंट स्किल्स ओरिएण्टेशन प्रोग्राम से उसे छूट दे सकती है , यदि परिषद इस बात से संतुष्ट हो कि अभ्यर्थी ने भारत या विदेश के पारस्परिक आधार पर मान्यता प्राप्त प्रोफेशनल इंस्टीट्यूटों से पहले ही विनिर्दिष्ट प्रशिक्षण प्राप्त कर लिया है",
(vi ). विनियम 51 के लिए निम्नलिखित विनियमों को प्रतिस्थापित किया जाए , अर्थात्:-
"51 मैनेजमेंट स्किल्स ओरिएण्टेशन प्रोग्राम करने से छूट
अभ्यर्थी को विनियम 48 के खण्ड (क) के उप- खण्डों (i ), ( ii ) , (iii क), ( iv) और (vi ) में विनिर्दिष्ट अनुभव के लिए मैनेजमेंट स्किल्स ओरिएण्टेशन प्रोग्राम के एडवांस्ड सॉफ्ट स्किल्स ट्रेनिंग करने से छूट दी जा सकती है ।

परिषद अभ्यर्थी को अपनी ओर से परिषद को आवेदन करने पर छूट दे सकती है जैसा कि विनियम 48 के खण्ड (ख) और (ग) या विनियम 49 (क ) में विनिर्दिष्ट है , जिसमें मैनेजमेंट स्किल्स ओरिएण्टेशन प्रोग्राम भी शामिल है बशर्ते कि परिषद इस बात से संतुष्ट हो कि उसने इंस्टीट्यूट की फाइनल परीक्षा या प्रोफेशनल प्रोग्राम उत्तीर्ण कर ली है और वह किसी ऐसी बॉडी कारपोरेट में दस वर्ष से पद पर आसीन है, जैसे चीफ एक्जीक्यूटिव आफिसर, मैनेजिंग डायरेक्टर, चेयरमैन या परिषद द्वारा तय किया गया कोई अन्य ऐसा पद जो इसके समकक्ष या इससे ऊंचा पद माना जाता हो , जिसकी कम से कम दस करोड़ रूपए की प्रदत्त शेयर पूंजी हो अथवा वह परिषद द्वारा अनुमोदित एक सूचीबद्ध कम्पनी या अन्य कोई इंस्टीट्यूट या संगठन हो अथवा षरिषद द्वारा समय- समय पर अनुमोदित केन्द्रीय या राज्य सरकार का कोई अधिकारी हो, जो डायरेक्टर या कमिश्नर या इसके समकक्ष पद से कम न हो । "
(viii) . विनियम 52 का विलोपन हो जाएगा ।
(ix) . विनियम 53 में अभिव्यक्ति " विनियम 48, 51 और 52' के स्थान पर अभिव्यक्ति 'विनियम 48 , 49 , 50, 51 और 51 क को प्रस्थापित किया जाए ।

NOTIFICATION
New Delhi , the 29th December, 2012
No. 710/1 (M)/1.-The following draft of certain regulations , further to amend
the Company Secretaries Regulations , 1982 which the Council of the Institute of Company Secretaries of India proposes to make , in exercise of the powers conferred by sub - section (1 ) of section 39 of the Company Secretaries Act , 1980 ( 56 of 1980 ) , and with the prior approval of the Central Government , is hereby published , as required by sub section ( 3) of section 39 of the said Act for information of all persons likely to be affected thereby and notice is hereby given that the said draft will be taken into consideration after the expiry of the period of forty five days from the date on which copies of the Official Gazette containing this notification are made available to the public.
Any person desiring to make any objection or suggestion in respect of the said draft regulations , may forward the same for consideration by the Council of the Institute within the period so specified above to the Secretary , the Institute of Company Secretaries of India , ICSI House , 22 , Institutional Area , Lodi Road, New Delhi 110 003 .

Any objection or suggestion , which may be received from any person with respect to the said draft regulations before the expiry of the period so specified , will be considered by the Council .
DRAFT REGULATIONS
1. (1) These regulations may be called the Company Secretaries (Amendment) Regulations , 2012.
(2) They shall come into force on the date of their final publication in the Official Gazette .
2. In the Company Secretaries Regulations , 1982 (hereinafter referred to as the principal regulations ) , -
( i) in regulation 40, for substituted , namely: - clause (bb) , the following clause shall be
"(bb) is a student registered for the Executive Programme on or after the 1st September , 2009 and successfully completes the Student Induction Programme within a period of six months of his registration either on regular basis or online for such number of days or hours and in such manner as may be provided by the Council from time to time or may be exempted therefrom . " ;
(ii) for regulation 47, the following regulation shall be substituted , namely:
"47 Practical experience or training
A candidate who has passed the final examination or Professional Programme Examination of the Institute shall be required to possess the practical experience or to undergo the practical training or to have the experience and training or may be exempted therefrom as specified in this Chapter for becoming eligible to Associate Membership of the Institute . " ;
(iii) in regulation 48; -
(A) in clause ( a) , for sub - clause ( i) the following sub - clause ( i ) shall be substituted namely,
"( i) one year experience as an Assistant or Deputy Company Secretary or any other post equivalent or higher thereto in the Secretarial Department or two years ' experience as a Secretarial Officer or Executive or three years ' experience as an Assistant in the Secretarial Department in any company or body corporate having a paid - up share capital and reserves of not less than fifty lakhs rupees or any organisation having gross fixed assets of not less than one crore rupees including any public sector undertaking , autonomous or statutory body, financial institution or bank which in the opinion of the Council provides scope for acquiring sufficient professional experience; ";
(B) for sub- clause ( iii ) , the following shall be substituted , namely: -
" ( iii ) two years ' experience of continuous practice on a whole- time basis as a Chartered Accountant or Cost Accountant having carried out statutory or cost or Internal audit or providing management

consultancy services or two years ' experience of continuous practice as an Advocate in a High Court having rendered services as Counsel or Advisor to a Company having paid - up share capital and reserves of not less than fifty lakhs rupees or any organisation having gross fixed assets of not less than one crore rupees including any public sector undertaking , autonomous or statutory body , financial institution or bank which in the opinion of the Council provides scope for acquiring sufficient professional experience ;
(iiia) having such professional qualification as may be approved by the Council from time to time with two years ' experience in a law firm or management consultancy firm or Chartered Accountant firm or Cost Accountant firm having a standing of at least ten years and gross fixed assets minimum of ten lakhs rupees or such standing or assets as may be approved by the Council from time to time . " .
(C) for sub - clause ( iv) , the following sub- clause shall be substituted , namely: -
" ( iv) two years ' experience as an Executive or three years ' experience as an Assistant in the secretarial , administration , accounts , finance , personnel or legal department in any company or body corporate having a paid- up share capital and reserves of not less than fifty lakhs rupees or any organisation having fixed assets of not less than one crore rupees including Central or State Government , any Public Sector Undertaking , autonomous or statutory body , financial institution , banking or insurance company which in the opinion of the Council provides scope for acquiring sufficient professional experience; " ;
(D) in sub -clause (v) for the words , " have acquired " the words , " has acquired" shall be substituted;
(E) after sub - clause (v) , the following sub - clause ( vi ) shall be inserted , namely:
"(vi ) being a fellow member of any professional Institute or having qualification equivalent to Company Secretary as may be approved by the Council and having working experience of five years ; " ;
(F) in clause ( b) , for the words , " fifteen months " the words , " twenty four months " shall be substituted ;
(G) in clause (c) , for the words , " fifteen months " the words , " twenty four months" shall be substituted ;
(H) for clause (d) , the following clause shall be substituted , namely: -
"(d) A candidate registered for Executive Programme on or after 1st September , 2009 and is required to undergo training under clause ( b) or (c) or regulation 49A shall complete the Executive Development Programme and Professional Development Programme either on regular basis or online for such number of days or hours and in such manner as may be approved by the Council or exempted therefrom . " ;
(iv) after regulation 49 , the following regulation shall be inserted, namely: - 7

"49A Alternate training for thirty six months on enrolment for Executive Programme
A candidate who has passed the Foundation Programme Examination of the Institute or is exempted therefrom and enrolled for Executive Programme may commence his training immediately at his option for a period of thirty six months with prior approval of the Institute under a Company Secretary in practice or a firm of such Company Secretaries registered with the Institute and recognised for this purpose by the Council in lieu of twenty four months training specified in regulation 48. " ;
(v) for regulation 50 , the following regulation shall be substituted, namely: -
"50 Compulsory Practical Training
(a) Every candidate passing the final examination or Professional Programme Examination of the Institute in addition to acquiring qualification and practical experience as specified in sub - clauses ( iii ) , ( iiia) , ( iv) and ( vi ) of regulation 48 shall be required to undergo compulsory practical training for a total period of one month or for such period as may be decided by the Council from time to time in Secretarial Department including shares or legal as the case may be in a public limited company or body corporate having a paid - up share capital of not less than fifty lakhs rupees as approved by the Council or under a Company Secretary in practice or in a firm of such Company Secretaries as approved by the Council.
"(b) After passing the final examination or Professional Programme examination and completion of training requirements or exemption thereof, the candidate shall complete Management Skills Orientation Programme either on regular basis or online either three weeks non- residential or two weeks residential , which comprises of Advanced Soft Skills Training and Advanced Technical Training for such period and in such manner and of such contents as may be provided by the Council;
Provided that the Council may on an application made in this behalf by the candidate exempt him from undergoing Management Skills Orientation Programme if the Council is satisfied that the candidate has already undergone the training prescribed by such professional institutions , in India or abroad , as may be recognised by the Council in this behalf on reciprocal basis . ";
(vi) for regulation 51 , the following regulations shall be substituted , namely: -
"51 Exemption from undergoing Management Skills Orientation Programme
A candidate may be exempted from undergoing Advanced Soft Skills Training of Management Skills Orientation Programme for experience as specified in sub clauses (i ) , ( ii) , ( iiia) , ( iv) and (vi) of clause ( a) of regulation 48 .

A candidate may be exempted on an application made in this behalf by the candidate to the Council from undergoing training as specified in clause ( b) and ( c) of regulation 48 or regulation 49A including Management Skills Orientation Programme, if the Council is satisfied that the candidate has passed the final examination or Professional Programme examination of the Institute and occupying position such as Chief Executive Officer , Managing Director , Chairman or other position as deemed equivalent or higher thereto by the Council for a period of ten years in a body corporate having paid up share capital of ten crore rupees or a listed company or any other institution or organisation as may be approved by the Council from time to time or any officer of the Central or StateGovernment not below the rank of Director or Commissioner or equivalent position as may be approved by the Council . " ;
(vii) regulation 52 shall be omitted .
(viii) in regulation 53 , for the expression " regulations 48 , 51 and 52 " , the expression " regulations 48 , 49A , 50 , 51 and 51A" shall be substituted .
