सासासासा....काकाकाका....िनिनिनिन. . . . 42424242((((अअअअ))))....————कें (cid:11)ीय सरकार, कं पनी अिधिनयम, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 149 की उप-धारा (1) के दूसरे परंतुक, उप-धारा (4) और उप-धारा (6) के खंड (च), धारा 150 की उप-धारा (3) और उप-धारा (4), धारा 151, धारा 152 की उप-धारा (5), धारा 153, धारा 154, धारा 157, धारा 160, धारा 168 की उप-धारा (1) और धारा 170 के अधीन प्रदत्त शक्तियों का प्रयोग करते "ए और कं पनी (निदेशकों की नियुक्ति और अर्हता) िनयम, 2014 का और संशोधन करने के िलए िनम्निलिखत िनयम बनाती है, अर्थात्:—
1. (1) इन नियमों का संक्षिप्त नाम कं पनी (निदेशकों की नियुक्ति और अर्हता) संशोधन िनयम, 2015 है ।
(2) ये िनयम राजपत्र में प्रकाशन की तारीख को प्रवृत्त होंगे ।
2. कं पनी (निदेशकों की नियुक्ति और अर्हता) िनयम, 2014 के िनयम 16 में िनम्निलिखत परंतुक अंत:स्थापित किया जाएगा, अर्थात् :—
"परंतु किसी कं पनी ने नियम 15 के अधीन प्ररूप डीआईआरडीआईआरडीआईआरडीआईआर----12121212 रजिस्ट्रार के पास पहले ही दायर कर दिया है, की दशा में, ऐसी कं पनी से पदत्याग करने वाला विदेशी निदेशक किसी 9वसायरत चार्टर्ड अकाउं टेंट या 9वसायरत लागत लेखाकार या 9वसायरत कं पनी सचिव या कं पनी का किसी अन्य निवासी निदेशक को प्ररूप डीआईआरडीआईआरडीआईआरडीआईआर----11111111 पर हस्ताक्षर करने और उसे त्यागपत्र के कारण की सूचना देते "ए उसकी ओर से फाइल करने के लिए प्राधिकृ त कर सकता है।"।

NOTIFICATION
New Delhi, the 19th January, 2015
G.S.R. 42(E).—In exercise of the powers conferred by the second proviso to sub-section (1), sub- section (4) and clause (f) of sub-section (6) of section 149, sub-sections (3) and (4) of section 150, section 151, sub-section (5) of section 152, section 153, section 154, section 157, section 160, sub- section (1) of section 168 and section 170 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Appointment and Qualification of Directors) Rules, 2014, namely:—
1. (1) These rules may be called the Companies (Appointment and Qualification of Directors) Amendment Rules, 2015.
(2) They shall come into force on the date of their publication in the Official Gazette.
2. In the Companies (Appointment and Qualification of Directors) Rules, 2014, in rule 16, the following proviso shall be inserted, namely:—
"Provided that in case a company has already filed Form DIR-12 with the Registrar under rule 15, a foreign director of such company resigning from his office may authorise in writing a practising chartered accountant or cost accountant in practice or company secretary in practice or any other resident director of the company to sign Form DIR-11 and file the same on his behalf intimating the reasons for the resignation.".
