"आगे यह संक(cid:7016)प (cid:7408)कया ािता है (cid:7408)क (cid:6989)यूआईपी/एपीओ/राइट इ(cid:7019)यू/ीिडीआर/एडीआर ता/र्अा अ(cid:7008)य दूसरे (cid:7079)कार से या उनके संयोनि, नसिे भारत सरकार र्एं भारतीय (cid:7407)र्र(cid:6981) ब(cid:7289)क (cid:7367)ारा अनुमो(cid:7408)दत (cid:7408)कया ाि सकता है, के (cid:7272)प म(cid:7286) (cid:7079)(cid:7021)तार्नत र्एं आबं(cid:7407)टत (cid:7408)कए ािनेर् ाले इ(cid:7408)(cid:7332)टी ेयर सभी (cid:7079)कार से ब(cid:7289)क के र् त(cid:6981)मान इ(cid:7408)(cid:7332)टी ेयर(cid:7298) के सम(cid:7272)प रह(cid:7286)गे और सांर्ननधक (cid:7079र्)ाधान(cid:7298)/(cid:7408)दा-ननद(cid:7287)(cid:7298) के अनुसार, ोि लाभां घोषणा के समय लागू ह(cid:7298), घोनषत लाभां के नलए पा(cid:7074) रह(cid:7286)गे"।

"आगे यह संक(cid:7016)प (cid:7408)कया ािता है (cid:7408)क (cid:6989)यूआईपी के मामले म(cid:7286), इ(cid:7408)(cid:7332)टी ेयर(cid:7298) का आबंटन (cid:7332)ानलाइड इंन(cid:7021)ट(cid:7351)ूनल (cid:7059)े ता(cid:7312) ((cid:6989)यूआईबी) को के र्ल सेबी (आईसीडीआर) र्नननयम(cid:7298) के अंतग(cid:6981)त क(cid:7409)मत-ननधा(cid:6981)रण ामू (cid:6981)ले के अुसार ननधा(cid:6981)रत क(cid:7409)मत पर नड(cid:7021)काउं ट, ोि 5% से अनधक न हो, य(cid:7408)द कोई हो तो, देकर (cid:7408)कया ािएगा या ऐसे नड(cid:7021)काउं ट क(cid:7409) दर सेबी (cid:7367)ारा र्ननन(cid:7416)द(cid:7397) क(cid:7409) ाि सकती है और ऐसे ेयर(cid:7298) का आबंटन संक(cid:7016)प पा(cid:7407)रत होने क(cid:7409) नतन से बारह महीने क(cid:7409) र्अनध के अंदर पूण(cid:6981) (cid:7408)कया ािएगा ता संब(cid:7373) नतन समय-समय पर या संोनधत सेबी (आईसीडीआर) र्नननयम, 2009 के (cid:7079र्)ाधान(cid:7298) के अनुसार रहेगी।

"आगे यह संक(cid:7016)प (cid:7408)कया ािता है (cid:7408)क बोड(cid:6981) के पास इस (cid:7079)(cid:7021)र्ता म(cid:7286) ऐसे (cid:7408)कसी भी संोधन को (cid:7021र्)ीकार करने का (cid:7079)ानधकार र्एं अनधकार रहेगा ोि भारत सरकार/भारतीय (cid:7407)र्र(cid:6981) ब(cid:7289)क/सेबी/ेयर बाािर(cid:7298) हिँ ब(cid:7289)क के इ(cid:7408)(cid:7332)टी ेयर सूचीब(cid:7373) ह(cid:7289) या अ(cid:7008)य दूसरे उनचत (cid:7079)ानधकरण (cid:7367)ारा ेयर(cid:7298) के ननग(cid:6981)म, आबंटन और उनको सूचीब(cid:7373) करने के नलए उनके[भाग III—खण्ड 4] भारत का राजपत्रा : असाधरण 3 अनुमोदन, सहमनत, अनुमनत और सं(cid:7021र्)ीकृ नत (cid:7079)दान करने/सं(cid:7021र्)ीकृ त करने के समय र्आ(cid:7019)यक हो सकते ह(cid:7289) या लागू (cid:7408)कए ाि सकते ह(cid:7289) और ननिके नलए बोड(cid:6981) (cid:7367)ारा सहमनत दी गई हो।

साधारण र्नननयम, 1955 के र्नननयम 46 के सा प(cid:7407)ठत इस अनधननयम क(cid:7409) धारा 30 के अंतग(cid:6981)त ग(cid:7407)ठत के (cid:7008)(cid:7076)ीय बोड(cid:6981) क(cid:7409) काय(cid:6981)का(cid:7407)रणी सनमनत, और ब(cid:7289)क के अपने अनधकार(cid:7298) (इस संक(cid:7016)प (cid:7367)ारा (cid:7079)द(cid:7275) अनधकार(cid:7298) सनहत) का (cid:7079)योग करने के नलए के (cid:7008)(cid:7076)ीय बोड(cid:6981) (cid:7367)ारा र्ननर्धत (cid:7272)प से (cid:7079)ानधकृ त अ(cid:7008)य कोई सनमनत ानमल क(cid:7409) (cid:7263)ई समझी ािएगी ऐसी सभी कार(cid:6981र्)ाइयँ और ऐसे सभी काय(cid:6981), र्नलेख, मामले और ऐसीर् (cid:7021)तुएं, ोि उसके पूण(cid:6981) र्र्नेकानधकार म(cid:7286) र्आ(cid:7019)यक, उनचत और र्ांछनीय समझी ािती हो, क(cid:7409)मत या क(cid:7409)मत(cid:7286), नड(cid:7021)काउं ट/(cid:7079)ीनमयम, कम(cid:6981)चा(cid:7407)रय(cid:7298), (cid:7061)ाहक(cid:7298), र्त(cid:6981)मान ेयरधारक(cid:7298) ता/र्अा अ(cid:7008)य दूसरे (cid:7390)न(cid:7334)य(cid:7298) ननिके बारे म(cid:7286) बोड(cid:6981) ननण(cid:6981)य ले सकता है और नसि (cid:7079)कार सेबी र्नननयम(cid:7298) म(cid:7286) (cid:7390र्)(cid:7021)ा क(cid:7409) गई है, के नलए ेयर आरन(cid:6979)त करने के बारे म(cid:7286) ननण(cid:6981)य लेने सनहत परंतु सीनमत नह(cid:7277), ता ऐसे (cid:7408)कसी मामले, क(cid:7407)ठनाई या संदेह का नर्नारण करने के नलए ोि इ(cid:7408)(cid:7332)टी ेयर(cid:7298)/ीिडीआर/एडीआर के ननग(cid:6981)म के संबंध म(cid:7286) उठ सकते ह(cid:7289), और इसके अनत(cid:7407)र(cid:7334) ऐसे सभी द(cid:7021)र्ताे(िcid:7298) और नलर्खाट(cid:7298) को अंनतम (cid:7272)प देने ता नन(cid:7020)पा(cid:7408)दत करने के नलए ोि र्आ(cid:7019)यक,र् ांछनीय और उनचत हो सकते ह(cid:7289) और ोि उसके र्पू(cid:6981) र्र्नेकानधकार म(cid:7286) ेयरधारक(cid:7298) क(cid:7409) अ(cid:7008)य (cid:7408)कसी सहमनत या अनुमोदन मांगने क(cid:7409) र्आ(cid:7019)यकता के नबना सही, उनचत यार् ांछनीय समझी ाि सकती है/या इस उ(cid:7374)े(cid:7019)य और इस अनभ(cid:7079)ाय से (cid:7079)ानधकृ त करने से इस संक(cid:7016)प को ेयरधारक(cid:7298) (cid:7367)ारा (cid:7021)प(cid:7397) (cid:7272)प से अनुमोदन (cid:7408)दया (cid:7263)आ समझा ािएगा।"

भारत म(cid:7286) बेसल III पू ंीि अपे(cid:6979)ा(cid:7312) के काया(cid:6981)(cid:7008र्)यन से संबंनधत (cid:7408)दा-ननद(cid:7287) (cid:7408)दनांक 1 अ(cid:7079)ैल 2013 से चरणब(cid:7373) ढंग से लागू हो गए ह(cid:7289)। 31 माच(cid:6981) 2019 को ये (cid:7408)दा-ननद(cid:7287) पूरी तरह से लागू हो ािएंगे। ब(cid:7289)क का कु ल पू ंीि पया(cid:6981)(cid:7385)ता अनुपात (सीएआर) 31 माच(cid:6981) 2015 को 9.31% क(cid:7409) सीईटी-I पू ंीि के सा 12.00% रहा। ब(cid:7289)क के के (cid:7008)(cid:7076)ीय बोड(cid:6981) ने यह ननण(cid:6981)य नलया है (cid:7408)क ब(cid:7289)क 9% के (cid:7008)यूनतम (cid:7021)तर पर (cid:7407)टयर-I पू ंीि के सा पू ंीि पया(cid:6981)(cid:7385)ता अनुपात को (cid:7008)यूनतम 12% बनाए रखेगा। तानप, आरड(cid:7011)(cid:7016)यूए म(cid:7286) र्संृन(cid:7373) के अनुमान(cid:7298) के आधार पर और लाभ को (cid:7408)र से नर्ने करने से, यह अपे(cid:6979)ा क(cid:7409) ािती है (cid:7408)क ब(cid:7289)क को र्न(cid:7275) र्ष(cid:6981)-16 और र्न(cid:7275) र्ष(cid:6981)-17 के दौरान अनत(cid:7407)र(cid:7334) पू ंीि क(cid:7409) र्आ(cid:7019)यकता होगी।
ब(cid:7289)क को आन(cid:7021)तय(cid:7298) म(cid:7286) र्पूा(cid:6981)नुमाननत र्संृन(cid:7373) के अनु(cid:7272)प और पू ंीि पया(cid:6981)(cid:7385)ता के ननधा(cid:6981)(cid:7407)रत (cid:7021)तर का पालन करने के नलए पया(cid:6981)(cid:7385) पू ंीि क(cid:7409) र्आ(cid:7019)यकता होगी। र्नेष (cid:7272)प से र्न(cid:7275) र्ष(cid:6981) 15-16 से र्न(cid:7275) र्ष(cid:6981) 18-19 तक (cid:7079)नत र्ष(cid:6981) कै नपटल कं सर्रेन ब(cid:7010)र (सीसीबी), अा(cid:6981)त 0.625% और काउं टर साइन(cid:6989)लकल कै नपटल ब(cid:7010)र क(cid:7409) र्आ(cid:7019)यकता र्एं 01.04.2016 से 01.04.2019 तक 0.15% क(cid:7409) दर से डी एस आई बी पू ंीि क(cid:7409) र्आ(cid:7019)यकता के कारण। तदनुसार, चालूर् ष(cid:6981) के दौरान और आगामीर् ष(cid:7300) के नलए (cid:7390र्)साय र्संृन(cid:7373) को (cid:7007)यान म(cid:7286) रखते (cid:7263)ए,THE GAZETTE OF INDIA : EXTRAORDINARY [PART III —SEC. 4 4 उ(cid:7340)तर पू ंीि, र्नेष (cid:7272)प से (cid:7407)टयर-I पू ंीि क(cid:7409) र्आ(cid:7019)यकता होगी। र्अनध समान(cid:7385) के समय के पू ंीि अनुपात को ु(cid:7272) से ही लन(cid:6979)त करने से, र्न(cid:7275) र्ष(cid:6981)-19 क(cid:7409) पू ंीि र्आ(cid:7019)यकता(cid:7312) को आसानी से पूरा करना सुननन(cid:7391)त हो सके गा।

To consider and if thought fit, pass with or without modification(s), the following resolutions(s) as a special resolution:
1."RESOLVED THAT pursuant to the provisions of the State Bank of India Act 1955 (hereinafter referred to as the 'Act') read with the State Bank of India General Regulations, 1955 and subject to the approval(s), consent(s) and sanction(s), if any, of Reserve Bank of India (RBI), Government of India (GoI), Securities and Exchange Board of India (SEBI), and / or any other concerned and appropriate authority(ies), whether in India or abroad, as may be required in this regard and subject to such terms, conditions and modifications thereto as may be prescribed by them, if any, in granting such approval(s), consent(s) and sanction(s) and approval of by the Central Board of Directors (hereinafter called "the Board") and subject to the provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the "Listing Regulations") and applicable Rules, Regulations, Guidelines, Circulars, Notifications issued by SEBI, RBI and/or and all other relevant authorities, whether in India or abroad, from time to time and subject to the Listing Agreements entered into with the Stock Exchanges where the equity shares/GDRs of the Bank are listed, consent of the Shareholders of the Bank be and is hereby accorded to "the Board" :-
a. to create, offer, issue and allot, such number of Equity Shares of Re.1 each, not exceeding Rs.15,000 crores (Rupees fifteen thousand crores) or such amount as may be approved by GoI & RBI, by way ofTHE GAZETTE OF INDIA : EXTRAORDINARY [PART III —SEC. 4 6 public issue (i.e. Further Public Offer-FPO) or Rights issue or Private Placement, including Qualified Institutions Placement (QIP)/Global Depository Receipt (GDRs)/ American Depository Receipt (ADRs) and/or any other mode(s) or a combination(s) thereof, as may be decided by the Board, subject to the condition that the Government of India shareholding in equity share capital of the Bank does not fall below 52% at any point of time.
b. to decide the quantum & mode(s), number of tranches, price or prices, discount/premium, reservations to employees, existing shareholders and / or any other persons as may be decided by the Board and as provided under SEBI regulations and the timing of such issue(s), at its discretion subject to applicable Rules and Regulations and GoI & RBI approval under Section 5(2) of the State Bank of India Act, 1955.
2. "RESOLVED FURTHER THAT the equity shares to be offered and allotted by way of QIP/FPO/any other mode, as approved by GoI & RBI shall be in dematerialized form, except for Rights issue where the shares may be issued in both physical and dematerialized form, and the equity shares/GDR/ADR so issued and allotted to NRIs, FIIs and/or other eligible foreign investors shall be subject to the Guidelines/Rules & Regulations issued by RBI/SEBI."
3. "RESOLVED FURTHER THAT the equity shares to be offered and allotted by way of QIP/FPO/Rights Issue/GDR/ADR and /or any other mode(s) or a combination(s) thereof, as approved by GoI & RBI shall rank pari-passu with the existing equity shares of the Bank in all respects and shall be entitled to dividend declared, if any, in accordance with the statutory provisions/guidelines that are in force at the time of such declaration."
4. "RESOLVED FURTHER THAT in case of QIP, the allotment of equity shares shall only be made to Qualified Institutional Buyers (QIBs) at a discount not exceeding 5%, if any, on the price determined in accordance with the pricing formula under SEBI (ICDR) regulations, or such discount as may be specified by SEBI and the allotment of such shares shall be completed within a period of twelve months from the date of passing of the resolution and the relevant date shall be in accordance with the provisions of SEBI (ICDR) Regulations, 2009, as amended from time to time."
5. "RESOLVED FURTHER THAT the Board shall have authority and power to accept any modification in the proposal as may be required or may be imposed by the GoI/RBI/SEBI/ Stock Exchanges and/or any other regulatory authority, whether in India or abroad, where the equity shares/GDR/ADR of the Bank are listed or may be listed, or other appropriate authority(ies), at the time of according / granting their approval(s), consent(s), permission(s) and sanction(s) for the issue(s), allotment(s) and listing(s) thereof and as agreed to by the Board."

EXPLANATORY STATEMENT

The Guidelines on implementation of Basel III capital requirements in India have become effective from 1st April, 2013 in a phased manner. The Guidelines will be fully phased in as on 31st March, 2019.The Bank's overall Capital Adequacy Ratio (CAR), as on 31st March, 2015, stands as 12.00%, with CET-I Capital at 9.31%. The Central Board of the Bank has decided that the Bank should maintain minimum Capital Adequacy Ratio at 12% with Tier-I capital at minimum of 9%. However, based on the assumptions of growth in RWA and plough back of profits, it is expected that the Bank will require additional Capital during FY16 & FY17.
The Bank requires adequate Capital to match the anticipated growth in assets and comply with stipulated level of capital adequacy, especially on account of requirement of the Capital Conservation Buffer (CCB) i.e. 0.625% every year from FY15-16 to FY 18-19, D-SIB capital requirement of 0.15% every year starting from 01.04.2016 to 01.04.2019 & Counter Cyclical Capital Buffer (CCCB). Accordingly, considering the business growth during the current year as well as that for the years to come, there is a need for higher capital, particularly, Tier-I capital. Targeting the end state Capital ratios, at the initial stage, will ensure smooth transition to FY19 Capital requirements.
After evaluating the various available alternatives, as well as taking into consideration the guidelines issued by Reserve Bank of India, the Bank has planned to access capital market to raise capital, by issuing equity shares of Re.1 each, up to Rs.15000 crores (Rupees fifteen thousand crores) or such amount as may be approved by GoI & RBI subject to the condition that the Government of India shareholding in share capital of the Bank does not fall below 52% at any point of time, by way of Qualified Institutions Placement (QIP) / Further Public Offer (FPO) / Rights Issue/Global Depository Receipt (GDRs)/ American Depository Receipt (ADRs)/ and/or any other mode(s) or a combination(s) thereof, as may be decided by the Board, in one or more tranches, subject to such terms and conditions as may be felt appropriate in the best interest of the Bank.
The Bank is likely to receive approval from RBI & GoI to its recommendations for raising capital from the market and the mode thereof and in terms of Regulation 41 of the Listing Regulations with the Stock Exchanges, it is necessary for the shareholders to approve issue of any further security if not offered to them on a proportionate basis.
The detailed terms and conditions for issue of equity shares by way of FPO / Rights Issue / QIP/GDRs / ADRs/ and/or any other mode(s) or a combination(s) thereof, as approved by GoI & RBI will be determined by the Board in consultation with various intermediaries and such other concerned and appropriate authorities as may be required by considering the prevailing market conditions and other relevant factors. The Special Resolution seeks to give the Board powers to issue Equity Shares/ GDR/ ADR in one or more tranches, at such time or times, at such price or prices, and to such of the Investors as are mentioned therein as the Board in its absolute discretion deems fit.
The Board of Directors, subject to compliance of all related statutory, regulatory or any other applicable Guidelines, Notifications and Circulars in connection with the proposed equity raising by way of public issue [(i.e. Further Public offer (FPO)] or Right Issue or Private Placement, including Global Depository Receipt (GDRs) / American Depository Receipt (ADRs) and/or any other mode(s) or a combination(s) thereof, as approved by GoI& RBI, recommends for your approval the Special Resolution mentioned in the Notice.
