"आगे यह संक(cid:7016)प (cid:7408)कया ािता है (cid:7408)क सेबी आईसीडीआर र्नननयमन के अनुसार ननग(cid:6981)म मू(cid:7016)य के ननधा(cid:6981)रण क(cid:7409) संब(cid:7373) नतन इस साधारण सभा क(cid:7409) नतन से 30 (cid:7408)दन पहले क(cid:7409) नतन होगी।"

2. नन(cid:7013)ननलनखत पर र्नचार करने और य(cid:7408)द उनचत समझा गया, तो उसे संोधन के सा या नबना (cid:7408)कसी संोधन के एक र्नेष (cid:7079)(cid:7021)र्ता के (cid:7272)प म(cid:7286) पा(cid:7407)रत करना :

क. (cid:7079)नत `1/- के इ(cid:7408)(cid:7332)टी ेयर तैयार, ऑफ़र, इ(cid:7019)यू और आबं(cid:7407)टत करने के नलए, ोि `15,000 करो (प(cid:7008)(cid:7076)ह हािर करो (cid:7271)पए) या ऐसी रान, नसिे भारत सरकार और भारतीय (cid:7407)र्र(cid:6981) ब(cid:7289)क (cid:7367)ारा अनुमो(cid:7408)दत क(cid:7409) ाि सकती है, से अनधक के नह(cid:7277) ह(cid:7298)गे और ोि र्सा(cid:6981)निनक ननग(cid:6981)म के (cid:7272)प म(cid:7286) (अा(cid:6981)त अनत(cid:7407)र(cid:7334) पन(cid:7011)लक ऑफ़र) या (cid:7079)ार्इेट (cid:7009)लेसम(cid:7286)ट, (cid:7332)ानलाइड इंन(cid:7021)ट(cid:7351)ूनल (cid:7009)लेसम(cid:7286)ट ((cid:6989)यूआईपी)/(cid:6991)लोबल नडपॉनटिरी रसीद (ीिडीआर)/अमे(cid:7407)रकन नडपॉनटिरी रसीद (एडीआर) सनहत ता/र्अा अ(cid:7008)य दूसरे ढंग से या उनके संनम(cid:7088)ण से, ािरी (cid:7408)कया ािएगा नसिे बोड(cid:6981) (cid:7367)ारा इस त(cid:6981) के अ(cid:7007)यधीन तय (cid:7408)कया ाि सकता है (cid:7408)क ब(cid:7289)क क(cid:7409) इ(cid:7408)(cid:7332)टी पू ँीि म(cid:7286) भारत सरकार क(cid:7409) ेयरधा(cid:7407)रता (cid:7408)कसी भी समय 52% से कम नह(cid:7277) होगी।

(cid:7079)यो(cid:6996)य ननयम(cid:7298) और र्नननयम(cid:7298) ता भारतीय (cid:7021)टेट ब(cid:7289)क अनधननयम, 1955 क(cid:7409) धारा 5(2) के अंतग(cid:6981)त भारत सरकार और आरबीआई के अनुमोदन के अ(cid:7007)यधीन अपने र्र्नेकानधकार से ेयर(cid:7298) क(cid:7409) सं(cid:6990)या र्एं ढंग, (cid:7088)ेनणय(cid:7298) क(cid:7409) सं(cid:6990)या, क(cid:7409)मत, नड(cid:7021)काउं ट/(cid:7079)ीनमयम, कम(cid:6981)चा(cid:7407)रय(cid:7298), र्न(cid:7378)मान ेयरधारक(cid:7298) ता/र्अा अ(cid:7008)य दूसरे (cid:7390)न(cid:7334)य(cid:7298) के नलए आर(cid:6979)ण, नसिे बोड(cid:6981) (cid:7367)ारा तय (cid:7408)कया ाि सकता है और ैिसी सेबी र्नननयम(cid:7298) के अंतग(cid:6981)त (cid:7390र्)(cid:7021)ा क(cid:7409) गई है ता ऐसे इ(cid:7019)यू के नलए समय ननधा(cid:6981)(cid:7407)रत करना।

"आगे यह संक(cid:7016)प (cid:7408)कया ािता है (cid:7408)क इ(cid:7408)(cid:7332)टी ेयर(cid:7298) को (cid:6989)यूआईपी/एपीओ/अ(cid:7008)य दूसरे ढंग से नसिे भारत सरकार और आरबीआई (cid:7367)ारा अनुमो(cid:7408)दत (cid:7408)कया ाि सकता है, न(िcid:7008)ह(cid:7286) डीमैट (cid:7021र्)(cid:7272)प म(cid:7286) ऑफ़र और आबं(cid:7407)टत (cid:7408)कए ािएंगे और एनआरआई, एआईआई ता/र्अा अ(cid:7008)य पा(cid:7074) र्नदेी नर्नेक(cid:7298) को या ािरी र्एं आबं(cid:7407)टत इ(cid:7408)(cid:7332)टी ेयर(cid:7298)/ीिडीआर/एडीआर आरबीआई/सेबी (cid:7367)ारा ािरी (cid:7408)दा-ननद(cid:7287)(cid:7298)/ननयम(cid:7298) और र्नननयम(cid:7298) के अ(cid:7007)यधीन रह(cid:7286)गे।"

"आगे यह संक(cid:7016)प (cid:7408)कया ािता है (cid:7408)क (cid:6989)यूआईपी/एपीओ/ीिडीआर/एडीआर ता/र्अा अ(cid:7008)य दूसरे ढंग से या उनके संनम(cid:7088)ण, नसिे भारत सरकार और आरबीआई (cid:7367)ारा अनुमो(cid:7408)दत (cid:7408)कया ाि सकता है, के (cid:7272)प म(cid:7286) ऑफ़र और आबं(cid:7407)टत (cid:7408)कए ािने र्ाले इ(cid:7408)(cid:7332)टी ेयर हर (cid:7079)कार से ब(cid:7289)क के र्न(cid:7378)मान इ(cid:7408)(cid:7332)टी ेयर(cid:7298) के सम(cid:7272)प ह(cid:7298)गे और ऐसी घोषणा के समय लागू सांर्ननधक (cid:7408)दा- ननद(cid:7287)(cid:7298) के अनुसार घोनषत लाभां, य(cid:7408)द कोई हो, के नलए पा(cid:7074) ह(cid:7298)गे।"

"आगे यह संक(cid:7016)प (cid:7408)कया ािता है (cid:7408)क (cid:6989)यूआईपी के मामले म(cid:7286), के र्ल पा(cid:7074) सं(cid:7021)ा(cid:7004)मक (cid:7059)े ता(cid:7312) ((cid:6989)यूआईबी) को ही इ(cid:7408)(cid:7332)टी ेयर(cid:7298) का आबंटन सेबी (आईसीडीआर) र्नननयम(cid:7298) के अंतग(cid:6981)त ननधा(cid:6981)(cid:7407)रत क(cid:7409)मत ननधा(cid:6981)रण ामू (cid:6981)ले के अनुसार ननधा(cid:6981)(cid:7407)रत क(cid:7409)मत पर नड(cid:7021)काउं ट, य(cid:7408)द कोई हो, से (cid:7408)कया ािएगा और यह नड(cid:7021)काउं ट 5% से अनधक नह(cid:7277) होगा, या ऐसा नड(cid:7021)काउंट संक(cid:7016)प पा(cid:7407)रत करके तय (cid:7408)कया ाि सकता है और संब(cid:7373) नतन समय-समय पर या संोनधत सेबी (आईसीडीआर) र्नननयम के (cid:7079र्)ाधान(cid:7298) के अनुसार होगी।"

"आगे यह संक(cid:7016)प (cid:7408)कया ािता है (cid:7408)क बोड(cid:6981) क(cid:7409) सहमनत के अनुसार ेयर(cid:7298) को ािरी, आबं(cid:7407)टत और उनको सूचीब(cid:7373) करने हेतु बोड(cid:6981) के पास इस (cid:7079)(cid:7021)र्ता म(cid:7286) ऐसे (cid:7408)कसी संोधन को (cid:7021र्)ीकार करने का (cid:7079)ानधकार र्एं अनधकार रहेगा न(िcid:7008)ह(cid:7286) भारत सरकार/आरबीआई/सेबी/ऐसे ेयर बाािर(cid:7298), हिँ ब(cid:7289)क के इ(cid:7408)(cid:7332)टी ेयर सूचीब(cid:7373) ह(cid:7289) या ऐसे अ(cid:7008)य (cid:7079)ानधकरण(cid:7298) (cid:7367)ारा उनके अनुमोदन(cid:7298), सहमनतय(cid:7298) अनुमनतय(cid:7298) और सं(cid:7021र्)ीकृ नतय(cid:7298) के समय र्आ(cid:7019)यक हो सकते ह(cid:7289) या लागू (cid:7408)कए ाि सकते ह(cid:7289)।"

सभी कार(cid:6981र्)ाइय(cid:7298), र्नलेख(cid:7298), मामल(cid:7298) औरर् (cid:7021)तु(cid:7312) के नलए ोि पूण(cid:6981) (cid:7272)प से उनके र्र्नेकानधकार म(cid:7286) हो सकती ह(cid:7289), र्आ(cid:7019)यक, उनचत और र्ांछनीय समझने और ऐसे र्र्नाद, क(cid:7407)ठनाई या संदेह का ननपटान करने ोि इ(cid:7408)(cid:7332)टी ेयर(cid:7298) के आबंटन के संबंध म(cid:7286) उठ सकते ह(cid:7289) और आगे ऐसी सभी कार(cid:6981र्)ाइयां, र्नलेख, मामले यार् (cid:7021)तु(cid:7312) को करने, सभी द(cid:7021)र्ताे(िcid:7298) और नलर्खाट(cid:7298) को अंनतम (cid:7272)प देने और नन(cid:7020)पा(cid:7408)दत करने, ोि र्आ(cid:7019)यक,र् ांछनीय या ी(cid:7062) हो और ोि उनके पूण(cid:6981) र्र्नेकानधकार से ेयरधारक(cid:7298) क(cid:7409) सहमनत या अनुमनत क(cid:7409) मांग करने क(cid:7409) र्आ(cid:7019)यकता के नबना उनचत, समुनचत यार् ांछनीय समझी ािती ह(cid:7298) या अंत म(cid:7286) इस अनभ(cid:7079)ाय के सा (cid:7079)ानधकृ त करने के नलए (cid:7408)क ेयरधारक(cid:7298) ने इस संक(cid:7016)प के (cid:7079)ानधकारी को इस संबंध म(cid:7286) अपना (cid:7021)प(cid:7397) अनुमोदन (cid:7408)दया (cid:7263)आ समझने का (cid:7079)ानधकार रहेगा और उसे एतद्‌(cid:7367)ारा (cid:7079)ानधकृ त (cid:7408)कया ािता है।"

बेसल III के अंतग(cid:6981)त सीईटी-1 पू ँीि र्आ(cid:7019)यकता को पूरा करने के नलए ब(cid:7289)क को सम(cid:6981) बनाने हेतु, भारत सरकार ने भारत सरकार के प(cid:6979) म(cid:7286), ई(cid:7408)(cid:7332)टी ेयर के अनधमानी ननग(cid:6981)म के (cid:7367)ारा ब(cid:7289)क क(cid:7409) पू ंीि म(cid:7286) `5681 करो (पँच हािर छह सौ इ(cid:6989)यासी करो (cid:7271)पए) ((cid:7079)ीनमयम सनहत) का नर्ने करने का ननण(cid:6981)य नलया है।

ख) ननग(cid:6981)म म(cid:7286) अनभदान करने हेतु (cid:7079र्)त(cid:6981)क का (cid:7079)(cid:7021)र्ता :

ई(cid:7408)(cid:7332)टी ेयर के संपूण(cid:6981) अनधमानी ननग(cid:6981)म म(cid:7286) ब(cid:7289)क के (cid:7079र्)त(cid:6981)क, भारत सरकार (cid:7367)ारा अनभदान (cid:7408)कया ािएगा।

ग) अनधमानी ननग(cid:6981)म के पहले और बाद म(cid:7286) ननग(cid:6981)मकता(cid:6981) क(cid:7409) ेयरधा(cid:7407)रता का पैटन(cid:6981) :

** भारत सरकार को आबं(cid:7407)टत (cid:7408)कए ािनेर् ाले कु ल ेयर(cid:7298) क(cid:7409) सं(cid:6990)या क(cid:7409) गणना, सेबी आईसीडीआर र्नननयमन के र्नननयम 76(1) म(cid:7286) ननधा(cid:6981)(cid:7407)रत मू(cid:7016)य ननधा(cid:6981)रण सू(cid:7074) के अनुसार,"(cid:7079)ासंनगक तारीख" को ननधा(cid:6981)(cid:7407)रत (cid:7408)कए ािर्नेाले ननग(cid:6981)म के मू(cid:7016)य के आधार पर क(cid:7409) ािएगी। उपरो(cid:7334) र्नननयम 76(1) के अनुसार, ननग(cid:6981)म का मू(cid:7016)य, "(cid:7079)ासंनगक तारीख" से 26 स(cid:7009)ताह र्पू(cid:6981) और "(cid:7079)ासंनगक तारीख" से 2 स(cid:7009)ताह र्पू(cid:6981) क(cid:7409) र्अनध के दौरान ेयर बाािर म(cid:7286), भारतीय (cid:7021)टेट ब(cid:7289)क के उ(cid:7006)धृत बंदी मू(cid:7016)य के उ(cid:6994)च और (cid:7008)यून सा(cid:7009)तानहक मू(cid:7016)य के उ(cid:6994)चतर औसत मू(cid:7016)य से कम नह(cid:7277) होगा। "(cid:7079)ासंनगक तारीख", अनधमानी आबंटन पर र्नचार करने हेतु, आयोनति ेयरधारक(cid:7298) क(cid:7409) साधारण सभा क(cid:7409) नतन से 30 (cid:7408)दन र्पू(cid:6981) क(cid:7409) तारीख होती है और य(cid:7408)द यह तारीख र्अका के (cid:7408)दन/स(cid:7009)ताहांत के (cid:7408)दन पती है, तो इससे पहले क(cid:7409) नतन "(cid:7079)ासंनगक तारीख" के (cid:7272)प म(cid:7286) नगनी ािएगी। उपयु (cid:6981)(cid:6989)त उ(cid:7374)े(cid:7019)य से 'ेयर बाािर' कोई भी मा(cid:7008)यता (cid:7079)ा(cid:7009)त ेयर बाािर होगा नसिम(cid:7286) ई(cid:7408)(cid:7332)टी ेयर सूचीब(cid:7373) (cid:7408)कए ािते ह(cid:7289) और नसिम(cid:7286) "(cid:7079)ासंनगक तारीख" से 26 स(cid:7009)ताह र्पू(cid:6981) क(cid:7409) र्अनध के दौरान, ब(cid:7289)क के ेयर(cid:7298) क(cid:7409) उ(cid:6994)चतम मा(cid:7074)ा का (cid:7018)यापार (cid:7408)कया गया हो।

इस (cid:7079)कार ननग(cid:6981)म (cid:7408)कए ािर्नेाले ेयर(cid:7298) का (cid:7079)ीनमयम सनहत कु ल मू(cid:7016)य `5681 करो (पँच हािर छह सौ इ(cid:6989)यासी करो (cid:7271)पए) से अनधक नह(cid:7277) होगा। उदाहरणा(cid:6981), एक अनुमाननत "(cid:7079)ासंनगक तारीख" के आधार पर गणना करने पर, `258.00 के कन(cid:7016)पत ननग(cid:6981)म मू(cid:7016)य पर, अनधमानी आबंटन के प(cid:7019)चात भारत सरकार (cid:7367)ारा धा(cid:7407)रत ेयर(cid:7298) क(cid:7409) सं(cid:6990)या 489,18,28,450 होगी और अनधमानी आबंटन के प(cid:7019)चात, ब(cid:7289)क के ेयर(cid:7298) क(cid:7409) कु ल सं(cid:6990)या 798,29,70,840 होगी और इसनलए अनधमानी आबंटन के प(cid:7019)चात भारत सरकार क(cid:7409) ेयरधा(cid:7407)रता 61.28% होगी। तानप, ननग(cid:6981)म (cid:7408)कए ािने र्ाले ेयर(cid:7298) क(cid:7409) र्ा(cid:7021)तर्नक सं(cid:6990)या औरभारत का राजपत्रा : असाधरण [भाग III—खण्ड 4] 5 त(cid:7004)प(cid:7019)चात ेयरधा(cid:7407)रता का पैटन(cid:6981), र्ा(cid:7021)तर्नक "(cid:7079)ासंनगक तारीख" के आधार पर, ननधा(cid:6981)(cid:7407)रत (cid:7408)कए ािर्नेाले र्ा(cid:7021)तर्नक ननग(cid:6981)म मू(cid:7016)य के आधार पर घट-ब सकता है।

घ) अनधमानी ननग(cid:6981)म पूरा होने क(cid:7409) समय-सीमा :

ेयरधारक(cid:7298) (cid:7367)ारा पा(cid:7407)रत इस संक(cid:7016)प के अनुसार, इस संक(cid:7016)प को पा(cid:7407)रत (cid:7408)कए ािने क(cid:7409) तारीख से 15 (cid:7408)दन(cid:7298) क(cid:7409) र्अनध के अंदर आबंटन काय(cid:6981) पूरा कर नलया ािएगा। पर(cid:7008)तु य(cid:7408)द (cid:7408)कसी र्नननयमन (cid:7079)ानधकारी र्अा क(cid:7286) (cid:7076) सरकार से कोई अनुमोदन र्अा अनुमनत बकाया हो, तो 15 (cid:7408)दन क(cid:7409) इस र्अनध क(cid:7409) गणना ऐसे र्आेदन पर आदे क(cid:7409) नतन से या अनुमोदन र्अा अनुमनत क(cid:7409) नतन से,ैिसी भी न(cid:7021)नत हो, क(cid:7409) ािएगी।

ङ) (cid:7079)(cid:7021)तार्नत आबं(cid:7407)टनतय(cid:7298) क(cid:7409) पहचान, अनधमानी ननग(cid:6981)म के प(cid:7019)चात उनके (cid:7367)ारा धा(cid:7407)रत पू ंीि का (cid:7079)नतत और अनधमानी ननग(cid:6981)म के प(cid:7407)रणाम(cid:7021र्)(cid:7272)प ननग(cid:6981)मकता(cid:6981) के ननयं(cid:7074)ण म(cid:7286) प(cid:7407)र्रत(cid:6981)न, य(cid:7408)द कोई हो:

चू ं(cid:7408)क संपूण(cid:6981) ननग(cid:6981)म, ब(cid:7289)क के (cid:7079)मुख ेयरधारक और (cid:7079र्)त(cid:6981)क भारत सरकार को आबं(cid:7407)टत (cid:7408)कया ािना (cid:7079)(cid:7021)तार्नत है, अत: अनधमानी आधार पर, (cid:7079)(cid:7021)तार्नत अनधमानी ननग(cid:6981)म के प(cid:7407)रणाम(cid:7021र्)(cid:7272)प ननयं(cid:7074)ण म(cid:7286) कोई प(cid:7407)र्रत(cid:6981)न नह(cid:7277) होगा।

(च) ब(cid:7289)क के ई(cid:7408)(cid:7332)टी ेयर छह महीने से भी अनधक क(cid:7409) र्अनध से सूचीब(cid:7373) ह(cid:7289) और तदनुसार सेबी आईसीडीआर के र्नननयम 76(3) और 78(5) के (cid:7079र्)ाधान और सेबी आईसीडीआर के र्नननयम 73 (1) (च) और (छ) के अंतग(cid:6981)त (cid:7079)कटीकरण लागू नह(cid:7277) ह(cid:7289)।

(छ) (cid:7079)(cid:7021)तार्नत र्नेष संक(cid:7016)प के अनुसरण म(cid:7286) भारत सरकार को ननग(cid:6981)म और आबं(cid:7407)टत (cid:7408)कए ािनेर् ाले सभी ई(cid:7408)(cid:7332)टी (cid:7069)े(cid:7410)डग के नलए अनुमोदन होने क(cid:7409) नतन से तीन र्ष(cid:6981) क(cid:7409) र्अनध तक र्अ(cid:7271)(cid:7373) रह(cid:7286)गे और अनधमानी आबंटन से र्पू(cid:6981) भारत सरकार क(cid:7409) सम(cid:7021)त ेयरधा(cid:7407)रता, सेबी आईसीडीआर र्नननयम(cid:7298) के अनुसार (cid:7069)े(cid:7410)डग के नलए अनुमोदन होने क(cid:7409) नतन से छहमहीने क(cid:7409) र्अनध तक र्अ(cid:7271)(cid:7373) रहेगी।

()ि ननग(cid:6981)म, सेबी आईसीडीआर र्नननयमन अपे(cid:6979)ा(cid:7312) के अनुसार (cid:7408)कया गया है, इस बात को (cid:7079)मानणत करनेर् ाले सांर्ननधक लेखा परी(cid:6979)क(क(cid:7298)) (cid:7367)ारा ािरी (cid:7079)माणप(cid:7074), 20.12.2016 क(cid:7409) साधारण सभा म(cid:7286) रखा ािएगा।

भारत सरकार (cid:7367)ारा धा(cid:7407)रत सभी ई(cid:7408)(cid:7332)टी ेयर गैर-कागीि (cid:7021र्)(cid:7272)प म(cid:7286) ह(cid:7289) और ब(cid:7289)क उन ेयर बाािर(cid:7298) म(cid:7286) हिां ब(cid:7289)क के ई(cid:7408)(cid:7332)टी ेयर सूचीब(cid:7373) (cid:7408)कए गए ह(cid:7289), के सूचीब(cid:7373)ता करार म(cid:7286) नन(cid:7416)द(cid:7397) ई(cid:7408)(cid:7332)टी ेयस(cid:6981) क(cid:7409) ननरंतर सूचीब(cid:7373)ता संबंधी त(cid:7300) का अनुपालन करता है।

बेसल III क(cid:7409) भारत म(cid:7286) पू ंीि अपे(cid:6979)ा(cid:7312) को लागू करने के (cid:7408)दाननद(cid:7287) 1 अ(cid:7079)ैल 2013 से चरणब(cid:7373) (cid:7272)प म(cid:7286) (cid:7079)र्भाी हो गए ह(cid:7289)।

b. to decide the quantum & mode(s), number of tranches, prices, discount/premium, reservations to employees, existing shareholders and or any other persons as may be decided by the Board and as provided under SEBI regulations and the timing of such issue(s), at its discretion subject to the applicable Rules and Regulations and GoI & RBI approval under Section 5(2) of the State Bank of India Act,1955.

"RESOLVED FURTHER THAT the equity shares be offered and allotted by way of QIP/FPO/any other mode, as approved by GOI & RBI shall be in dematerialized form, except for Rights issue where the shares may be issued in both the physical and dematerialized form, and the equity shares/GDR/ADR so issued and allotted to NRIs, FII and/or other eligible foreign investors shall be subject to the Guidelines/rules & Regulations issued by RBI/SEBI"

EXPLANATORY STATEMENT

Disclosures as required to be made in terms of Securities and Exchange Board of India (Issue of Capital

and Disclosure Requirements) Regulations, 2009.

Resolution No. 1:

a) Objects of the Preferential Issue:

To enable the Bank to meet CET-1 Capital requirement under Basel-III the Government of India has decided to infuse the amount to the tune of upto Rs. 5681crore (Rupees. Five thousand six hundred eighty one crore) (including premium) in the capital of the Bank by way of preferential issue of equity shares in favour of the Government of India.

b) Proposal of the promoter to subscribe to the offer:

The entire Preferential Issue of equity shares will be subscribed by the Government of India, the Promoter of the Bank.

c) Shareholding pattern of the issuer before and after the preferential issue:

** The total number of shares to be allotted to GoI will be calculated on the basis of the issue price to be determined as on the "relevant date" in terms of the pricing formula as prescribed in Regulation 76(1) of the SEBI ICDR Regulations. In terms of the aforesaid Regulation, the issue price shall not be less than the higher of the average of the weekly high and low of the volume weightage average price of the Bank's shares quoted on the stock exchange during the period of twenty six weeks preceding the "relevant date" or of two weeks preceding the "relevant date". The "relevant date" is the date 30 days prior to the date of the General Meeting of the shareholders held to consider the preferential allotment and if such date happens to fall on a Holiday/Weekend, then the preceding date is the reckoned "relevant date". The 'stock exchange' for the above purpose will be any of the recognized stock exchanges in which the equity shares are listed and in which the highest trading volume of the Bank's shares has been recorded during the preceding twenty six weeks prior to the relevant date.

The total value of the number of shares so issued (including premium) shall aggregate to not more than Rs. 5681 crore (Rupees Five thousand six hundred eighty one crore). For example, at an assumed Issue Price of Rs. 258.00, calculated based on an assumed "relevant date", the number of shares held by GoI post preferential allotment would be 489,18,28,450 shares and the total number of shares of the Bank post preferential allotment would be 798,29,70,840 shares and therefore, the percentage of shareholding of GoI post the preferential allotment will be 61.28%. However, the actual number of shares to be issued and the shareholding pattern thereafter may increase or decrease based on the actual issue price to be determined on the basis of the actual relevant date.

d) Time within which the preferential issue shall be completed:

The allotment pursuant to this resolution passed by the shareholders, shall be completed within a period of fifteen days from the date of passing of this resolution, provided that if any approval or permission by any regulatory authority or the Central Government for allotment is pending, the period of fifteen days shall be counted from the date of order on such application or the date of approval or permission, as the case maybe.

e) Identity of the proposed Allottees, the percentage of post preferential issue capital that may be

held by them and change in control, if any, in the issuer consequent to the preferential issue:

As the entire issue is proposed to be allotted to Government of India, the major shareholder and Promoter of the Bank, on preferential basis, there would not be any change in control as a result of the proposed preferential issue.

f) The equity shares of the Bank have been listed for more than six months and accordingly, provisions of Regulation 76(3) and 78 (5) of SEBI ICDR Regulations and disclosures under Regulation 73(1) (f) & (g) of SEBI ICDR Regulations are not applicable.

g) All the equity shares to be issued and allotted to the Government of India pursuant to the proposed special resolution, shall be locked in for a period of three years from the date of trading approval granted and the entire pre-preferential allotment shareholding of GoI will be locked in from the relevant date upto a period of six months from the date of trading approval, in accordance with the SEBI ICDR Regulations.

h) The certificate issued by the Statutory Auditor(s) certifying that the issue is being made in accordance with the requirements of SEBI ICDR Regulations will be tabled at the General Meeting on 20.12.2016

All the equity shares held by the Government of India are in dematerialized mode and the Bank is in compliance with the conditions of continuous listing of equity shares as specified in the Listing Agreement with the Stock Exchanges where the equity shares of the Bank are listed.

Resolution No. 2:

Since the shareholders' approval for raising of capital upto Rs 15000 crore by way of Public Issue/QIP/GDR or a combination of both or any other mode will expire on 25.02.2017, we seek a fresh shareholders' approval for the proposed capital raising of upto Rs. 15000 crore by way of Public Issue/QIP/GDR or a combination of both or any other mode.

Public Issue [i.e. Further Public Offer (FPO)] or Rights Issue] or Private Placement including

QIP,GDR/ADR, and /or any other mode(s) or a combination(s) thereof, as may be approved by GoI &

RBI.

The Guidelines on implementation of Basel III capital requirements in India have become effective from 1stApril, 2013 in a phased manner. The Guidelines will be fully phased in as on 31st March, 2019.The Bank's overall Capital Adequacy Ratio (CAR), as on 30th September, 2016, stands as 13.94%, with CET-I Capital at10.28%. The Central Board of the Bank has decided that the Bank should maintain minimum Capital Adequacy Ratios in line with the RBI Basel III transitional arrangements. However, based on the assumptionsभारत का राजपत्रा : असाधरण [भाग III—खण्ड 4] 11 of growth in Risk Weighted Assets (RWA) and plough back of profits, the Bank may require to raise additional Capital during FY17 & FY18.

The Bank requires adequate Capital to match the anticipated growth in assets and comply with stipulated level of capital adequacy, especially on account of requirement of the Capital Conservation Buffer (CCB) i.e. 0.625% every year from FY 15-16 to FY 18-19, Domestic Systemically Important Bank (D-SIB) capital requirement of 0.15% every year starting from 01.04.2016 to 01.04.2019 & Counter Cyclical Capital Buffer (CCCB). Accordingly, considering the business growth during the current year as well as that for the years to come, there is a need for higher capital, particularly, Tier-I capital. Targeting the end state Capital ratios, at the initial stage, will ensure smooth transition to FY19 Capital requirements. After evaluating the various available alternatives, as well as taking into consideration the guidelines issued by Reserve Bank of India, the Bank has planned to access capital market to raise capital, by issuing equity shares of Re.1 each, up to Rs.15000 crore (Rupees fifteen thousand crore) or such amount as may be approved by GoI & RBI subject to the condition that the Government of India shareholding in share capital of the Bank does not fall below 52% at any point of time, by way of Qualified Institutions Placement (QIP)/Further Public Offer (FPO)/Rights Issue/Global Depository Receipt (GDRs)/American Depository Receipt (ADRs)/and/or any other mode(s) or a combination(s) thereof, as may be decided by the Board, in one or more tranches, subject to such terms and conditions as may be felt appropriate in the best interest of the Bank. The Bank is likely to receive approval from RBI & GoI to its recommendations for raising capital from the market and the mode thereof and in terms of Regulation 41 of the Listing Regulations with the Stock Exchanges, it is necessary for the shareholders to approve issue of any further security if not offered to themon a proportionate basis.The detailed terms and conditions for issue of equity shares by way of FPO/QIP/GDRs/ADRs/and/or any other mode(s) or a combination(s) thereof, as approved by GoI & RBI will be determinedby the Board in consultation with various intermediaries and such other concerned and appropriate authoritiesas may be required by considering the prevailing market conditions and other relevant factors.

The Special Resolution seeks to give the Board powers to issue Equity Shares/GDR/ADR in one or more tranches, at such time or times, at such price or prices, and to such of the Investors as are mentioned therein as the Boardin its absolute discretion deems fit.The Board of Directors, subject to compliance of all related statutory, regulatory or any other applicable Guidelines, Notifications and Circulars in connection with the proposed equity raising by way of public issue [(i.e. Further Public offer (FPO)] or QIP or Private Placement, including Global Depository Receipt (GDRs)/American Depository Receipt (ADRs) and/or any other mode(s) or a combination(s) thereof, as approved by GoI & RBI, recommends for your approval the Special Resolution mentioned in the Notice.
