सा.का.नि. 795(अ).—कें द्रीय सरकार, कं पनी अधिनियम, 2013 (2013 का 18) की धारा 3, धारा 7 की उप- धारा (1) और धारा 469 की उप- धारा (1) और (2) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कं पनी (निगमन) नियम, 2014 और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात्:-
1. (1) इन नियमों का संक्षिप्त नाम कं पनी (निगमन) तीसरा संशोधन नियम, 2020 है।
(2) इन नियमों में प्रदत्त अन्यथा के सिवाय, ये नियम राजपत्र में इनके प्रकाशन की तारीख को प्रवृत्त होंगे। 2. कं पनी (निगमन) नियम, 2014 में, (इसके बाद इसे उक्त नियम कहा जाएगा), नियम 9 के पश्चात् 26 जनवरी, 2021 से निम्नलिखित नियम अंत:स्थापित किया जाएगा, अर्थात्:
''9क. कतिपय मामलों में नाम के आरक्षण की व्याप्ति – www.mca.gov.in पर उपलब्ध वेब सेवा के माध्यम से नीचे दिए गए शुल्क के भुगतान के उपरांत, रजिस्ट्रार वेब सेवा एसपीआईसी + (कं पनी को प्लस प्ररूप संख्या आईएनसी-32 में इलैक्ट्रॉनिक आधार पर निगमित करने के लिए सरलीकृ त प्रपत्र) का उपयोग करके नियम 9 के अधीन आरक्षित किसी नाम की अवधि निम्नलिखित तक बढ़ाएगा:-
(क) नियम 9 के अधीन अनुमोदन के तारीख से चालीस दिन, नियम 9 के अधीन अनुमोदिन के तारीख से बीस दिन की अवधि की समाप्ति से पूर्व किए गए एक हजार रूपये के शुल्क के भुगतान पर;

(1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] (ख) नियम 9 के अधीन अनुमोदन के तारीख से साठ दिन, उक्त खंड (क) में संदर्भित चालीस दिन की समाप्ति से पूर्व किए गए दो हजार रूपये के शुल्क के भुगतान पर;
(ग) नियम 9 के अधीन अनुमोदन के तारीख से साठ दिन, नियम 9 के अधीन अनुमोदिन के तारीख से बीस दिन की अवधि की समाप्ति से पूर्व किए गए तीन हजार रूपये के शुल्क के भुगतान पर:
परंतु यह भी कि रजिस्ट्रार के पास इस अधिनियम की धारा 4 उप-धारा (5) के अनुसार आरक्षित नाम को निरस्त करने का अधिकार सुरक्षित होगा।
3. उक्त नियमों में, अनुलग्नक में, भाग-क के लिए एसपीआईसी + (कं पनी को प्लस प्ररूप संख्या आईएनसी-32 में इलैक्ट्रॉनिक आधार पर निगमित करने के लिए सरलीकृ त प्रपत्र) में, निम्नलिखित भाग को रखा जाएगा, अर्थात्:

1. (क) कं पनी की किस्म ..........................
एलएलपीआईएन ..........................
(ख) कं पनी का वर्ग ..........................
(ग) कं पनी की श्रेणी ..........................
(घ) कं पनी की उप श्रेणी ..........................

NOTIFICATION
New Delhi, 24th December, 2020
G.S.R. 795(E).—In exercise of powers conferred by section 3, sub-section (1) of section 7 and sub-sections (1 ) and (2) of section 469 of the Companies Act, 2013 ( 18 of 2013), the Central Government hereby makes the following rules further to amend the Companies ( Incorporation) Rules, 2014 namely:-
1. (1) These rules may be called the Companies (Incorporation) Third Amendment Rules, 2020.
(2) Save as otherwise provided in these rules, they shall come into force on the date of their publication in the Official Gazette.
2. In the Companies (Incorporation) Rules, 2014 (herein after referred to as the said rules),after rule 9, the following rule shall be inserted with effect from 26th January, 2021, namely:-
"9A. Extension of reservation of name in certain cases – Upon payment of fees provided below through the web service available at www.mca.gov.in, the Registrar shall extend the period of a name reserved under rule 9 by using web service SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus: INC-32), upto:
(a) forty days from the date of approval under rule 9, on payment of fees of rupees of one thousand rupees made before the expiry of twenty days from the date of approval under rule 9;
(b) sixty days from the date of approval under rule 9 on payment of fees of rupees two thousand made before the expiry of forty days referred to in clause (a) above;
(c) sixty days from the date of approval under rule 9 on payment of fees of rupees three thousand made before the expiry of twenty days from the date of approval under rule 9:
Provided that the Registrar shall have the power to cancel the reserved name in accordance with sub- section (5) of section 4 of the Act."
3. In the said rules, in the annexure, in SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus FORM NO. INC-32), for Part –A, the following part shall be substituted, namely:-
"PART – A
1. (a) Type of Company
LLPIN
(b) Class of Company
(c) Category of Company
(d) Sub-category of Company
2. Main division of industrial activity of the company
Description of the main division
a.Summary of the objects to be pursued by the company on its incorporation
