भारतीय प्रतिभूति और विनिमय बोर्ड
(अंतरंग व्यापार का प्रतिषेध) (दूसरा संशोधन) विनियम, 2021
सं. सेबी/एलएडी-एनआरओ/जीएन/2021/37.—बोर्ड, भारतीय प्रतिभूति और विनिमय बोर्ड अधिनियम, 1992 (1992 का 15) की धारा 11 की उप-धारा (2) के खंड (छ) और धारा 12क के खंड (घ) एवं खंड (ङ) के साथ पठित धारा 30 के तहत प्रदान की गई शक्तियों का प्रयोग करते हुए, एतद्द्वारा भारतीय प्रतिभूति और विनिमय बोर्ड (अंतरंग व्यापार का प्रतिषेध) विनियम, 2015 का संशोधन करने के लिए निम्नलिखित विनियम बनाता है, अर्थात्:-
1. इन विनियमों को भारतीय प्रतिभूति और विनिमय बोर्ड (अंतरंग व्यापार का प्रतिषेध) (दूसरा संशोधन) विनियम, 2021 कहा जा सके गा ।
2. वे राजपत्र में उनके प्रकाशन की तारीख को लागू होंगे ।
3. भारतीय प्रतिभूति और विनिमय बोर्ड (अंतरंग व्यापार का प्रतिषेध) विनियम, 2015 में,-
(1) विनियम 7घ में,-
(क) उप-विनियम (1) में,-

(1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] (i) शब्दों और चिह्न "इनाम की कम से कम दुगुनी राशि की आथिक अनुशास्तियाँ एकत्र हो जाने या उनकी पर्याप्त वसूली हो जाने पर," का लोप हो जाएगा;
(ii) पहले परंतुक में,-
(क) शब्दों "एकत्र की गई या वसूल की गई" का लोप हो जाएगा;
(ख) शब्द "एक करोड़", शब्दों "दस करोड़" से प्रतिस्थापित हो जाएंगे;
(iii) दूसरे परंतुक का लोप हो जाएगा;
(ख) उप-विनियम (1) के पश्चात्, एक नया उप-विनियम (1क) अंतःस्थापित किया जाएगा, अर्थात्,- "(1क) यदि दिए जाने वाले इनाम की कु ल रकम एक करोड़ रुपये से कम हो या उसके बराबर हो, तो ऐसे में बोर्ड उपरोक्त इनाम की रकम बोर्ड द्वारा अंतिम आदेश जारी किए जाने के बाद अदा कर सके गा:
परंतु यह कि यदि दिए जाने वाले इनाम की कु ल रकम एक करोड़ रुपये से ज्यादा हो, तो ऐसे में बोर्ड अंतरिम इनाम के तौर पर एक करोड़ रुपये तक की रकम बोर्ड द्वारा अंतिम आदेश जारी किए जाने के बाद अदा कर सके गा, और इनाम की शेष रकम के वल तभी अदा की जाएगी जब दिए जाने वाले इनाम की शेष रकम की कम से कम दुगुनी रकम की आथिक अनुशास्तियाँ (मॉनिटरी सैंक्शन) एकत्र हो जाएँ या उनकी वसूली हो जाए ।"
(ग) उप-विनियम (3) में, शब्द "इनाम", शब्दों और चिह्नों "कोई भी इनाम (फिर चाहे वह अंतरिम हो या अन्य)" से प्रतिस्थापित हो जाएगा;
(2) विनियम 7घ के पश्चात्, निम्नलिखित टिप्पणी अंतःस्थापित की जाएगी, अर्थात्,-
"टिप्पणी: नीचे सारणी में इसका एक उदाहरण दिया गया है कि इस प्रावधान के तहत दिए जाने वाले इनाम की रकम किस प्रकार अदा की जाएगी:

SECURITIES AND EXCHANGE BOARD OF INDIA (PROHIBITION OF INSIDER TRADING)
(SECOND AMENDMENT) REGULATIONS, 2021
No. SEBI/LAD-NRO/GN/2021/37.—In exercise of the powers conferred under section 30 read with clause (g) of sub-section (2) of section 11 and clauses (d) and (e) of section 12A of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to amend the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, namely: –4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4] 1. These regulations may be called the Securities and Exchange Board of India (Prohibition of Insider Trading) (Second Amendment) Regulations, 2021.
2. They shall come into force on the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, ─ (1) in regulation 7D, -
(a) in sub-regulation (1), -
(i) the words ―Upon collection or substantial recovery of the monetary sanctions amounting to at least twice the Reward, the‖ shall be substituted with the word ―The‖;
(ii) in the first proviso, -
(A) the words ―collected or recovered‖ shall be omitted;
(B) the words ―one crore‖ shall be substituted with the words ―ten crores‖;
(iii) the second proviso shall be omitted;
(b) after sub-regulation (1), a new sub-regulation (1A) shall be inserted, namely, -
―(1A) If the total reward payable is less than or equal to Rupees One Crore, the Board may grant the said reward upon the issuance of the final order by the Board:
Provided that in case the total reward payable is more than Rupees One Crore, the Board may grant an interim reward not exceeding Rupees One Crore upon the issuance of the final order by the Board and the remaining reward amount shall be paid only upon collection or recovery of the monetary sanctions amounting to at least twice the balance reward amount payable.‖
(c) in sub-regulation (3) the words ―The reward‖ shall be substituted with the words ―Any reward, whether interim or otherwise,‖;
(2) after regulation 7D, following note shall be inserted, namely, -
―NOTE: An illustrative table of the reward payable under this provision is stated below:
