सा.का.नि. 335(अ).—के न्द्रीय सरकार, कं पनी अधिनियम, 2013 (2013 का 18) की धारा 469 की उपधारा (1) और (2) के साथ पठित धारा 56 की उपधारा (1) और (3) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कं पनी (शेयर पू ंजी और डिबेंचर) नियम, 2014 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात्:-
1. संक्षिप्त नाम और प्रारंभ.- (1) इन नियमों का संक्षिप्त नाम कं पनी (शेयर पू ंजी और डिबेंचर) संशोधन नियम, 2022 है। (2) ये राजपत्र में इनके प्रकाशन की तारीख को प्रवृत्त होंगे।
2. कं पनी (शेयर पू ंजी और डिबेंचर) नियम, 2014 में, उपाबंध में, प्ररूप सं.एसएच-4 में, संलग्नकों से पहले, निम्नलिखित घोषणा को अंतःस्थापित किया जाएगा, अर्थात्:-
"घोषणा:
0 शेयरों के हस्तांतरण से पूर्व विदेशी मुद्रा प्रबंध (गैर-ऋण लिखत) नियम, 2019 के अधीन हस्तांतरिती को सरकार का अनुमोदन प्राप्त करना अपेक्षित नहीं है; या
0 शेयरों के हस्तांतरण से पूर्व विदेशी मुद्रा प्रबंध (गैर-ऋण लिखत) नियम, 2019 के अधीन हस्तांतरिती को सरकार का अनुमोदन प्राप्त करना अपेक्षित है और यह अनुमोदन प्राप्त कर लिया गया है और इसके साथ संलग्न है।"। 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] टिप्पण : मूल नियम भारत के राजपत्र, असाधारण, भाग-2, खंड 3, उपखंड (i) में संख्यांक सा.का.नि. 265(अ), तारीख 31 मार्च, 2014 के द्वारा प्रकाशित किए गए थे और इसमें संख्यांक सा.का.नि.113 तारीख 11 फरवरी 2021 के द्वारा अंतिम बार संशोधन किए गए।

NOTIFICATION
New Delhi, the 4th May, 2022
G.S.R. 335(E).—In exercise of the powers conferred by sub-section (1) and (3) of section 56 read with sub-sections (1) and (2) of section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Share Capital and Debenture) Rules, 2014, namely:-
1. Short title and commencement. _ (1) These rules may be called the Companies (Share Capital and Debentures) Amendment Rules, 2022.
(2) They shall come into force from the date of their publication in the Official Gazette.
2. In the Companies (Share Capital and Debentures) Rules, 2014, in the Annexure, in Form No.SH-4, before the Enclosures, the following declaration shall be inserted, namely.-
"Declaration:
0 Transferee is not required to obtain the Government approval under the Foreign Exchange Management (Non-debt Instruments) Rules, 2019 prior to transfer of shares; or
0 Transferee is required to obtain the Government approval under the Foreign Exchange Management (Non-debt Instruments) Rules, 2019 prior to transfer of shares and the same has been obtained and is enclosed herewith.".

Note : The principal rules were published in the Gazette of India, Extraordinary, Part-II, section 3, sub- section (i), vide number G.S.R. 265 (E), dated the 31st March, 2014 and last amended vide number G.S.R.113 dated the 11th February, 2021.
