और इनकी सूचीबद्धता (लिस्टिंग)] (संशोधन) विनियम, 2026
सं. सेबी/एलएडी-एनआरओ/जीएन/2026/296.—बोर्ड, भारतीय प्रतिभूति और विनिमय बोर्ड अधिनियम, 1992 (1992 का 15) की धारा 30 की उप-धारा (1) के तहत प्रदान की गई शक्तियों का प्रयोग करते हुए, एतद्द्वारा भारतीय प्रतिभूति और विनिमय बोर्ड [असंपरिवर्तनीय प्रतिभूतियों (नॉन-कन्र्वर्टबल सिक्यूरिटीज़) का निगर्म (इश्यू) और इनकी सूचीबद्धता (लिस्टिंग)] विनियम, 2021 का और संशोधन करने के लिए निम्नलिखित विनियम बनाता है, अर्थात् :-
1. इन विनियमों को भारतीय प्रतिभूति और विनिमय बोर्ड [असंपरिवर्तनीय प्रतिभूतियों (नॉन-कन्र्वर्टबल सिक्यूरिटीज़) का निगर्म (इश्यू) और इनकी सूचीबद्धता (लिस्टिंग)] (संशोधन) विनियम, 2026 कहा जा सके गा ।
2. ये विनियम राजपत्र में इनके प्रकाशित होने की तारीख से लागू होंगे ।

407 GI/20262 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] 3. भारतीय प्रतिभूति और विनिमय बोर्ड [असंपरिवर्तनीय प्रतिभूतियों (नॉन-कन्र्वर्टबल सिक्यूरिटीज़) का निगर्म (इश्यू) और इनकी सूचीबद्धता (लिस्टिंग)] विनियम, 2021 में,- (1) विनियम 2 में, उप-विनियम (1) में, खंड (छछ) के बाद और खंड (जज) से पहले, निम्नलिखित खंड जोड़ा जाएगा, अर्थात्,-
"(छछक) "छोटे निवेशक (जो व्यक्ति हो)" (रीटेल इंडिविजुअल इन्वेस्टर) का अर्थ है - वह निवेशक जो दो लाख रुपये तक के मूल्य की डैट सिक्यूरिटीज़ (ऋण प्रतिभूतियों) के लिए आवेदन करता है या बोली लगाता है;"
(2) विनियम 31 में, निम्नलिखित परंतुक जोड़े जाएँगे, अर्थात्,-
"परंतु यह कि इस विनियम (रेग्यूलेशन) में बताई गई कोई भी बात इश्युअर (निगर्मकर्ता) को वरिष्ठ नागरिकों, महिलाओं, सेवारत तथा सेवानिवृत्त सेना के जवानों, सेना के मृत जवानों की पत्नी या उनके पति, छोटे निवेशकों (जो व्यक्ति हों) या किसी दूसरे वर्ग के निवेशकों (जिनके बारे में बोर्ड समय-समय पर बताए) को प्रोत्साहन (इनसेंटिव) [जैसे कि अतिरिक्त ब्याज देना या इश्यू प्राइस से कम भाव पर सिक्यूरिटीज़ खरीदने का विकल्प देना] की पेशकश करने से नहीं रोके गी:
परंतु यह और कि यह प्रोत्साहन (इनसेंटिव) के वल उसे दिया जा सके गा जिसे डैट सिक्यूरिटीज़ पहली बार अलॉट (आबंटित) की गई हों, ककं तु यदि अलॉटमेंट के बाद डैट सिक्यूरिटीज़ एक बार जब ट्रांसफर या ट्रांसमिट हो जाएँ तो फिर प्रोत्साहन नहीं दिया जा सके गा ।"

SECURITIES AND EXCHANGE BOARD OF INDIA (ISSUE AND LISTING OF NON-CONVERTIBLE
SECURITIES) (AMENDMENT) REGULATIONS, 2026
No. SEBI/LAD-NRO/GN/2026/296.—In exercise of the powers conferred under sub-section (1) of section 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Issue and Listing of Non-Convertible Securities) Regulations, 2021, namely: –
1. These regulations may be called the Securities and Exchange Board of India (Issue and Listing of Non- Convertible Securities) (Amendment) Regulations, 2026.
2. They shall come into force on the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of (Issue and Listing of Non-Convertible Securities) Regulations, 2021, ─
(1) in regulation 2, sub-regulation (1), after the clause (gg) and before the clause (hh), the following clause shall be inserted, namely, -
"(gga) "retail individual investor" means an individual investor who applies or bids for debt securities for a value of not more than two lakhs rupees;"
(2) in regulation 31, the following proviso shall be inserted, namely, -
"Provided that nothing contained in this regulation shall preclude the issuer from offering an incentive in the form of additional interest or a discount to the issue price to senior citizens, women, serving and retired defence personnel, widows and widowers of defence personnel, retail individual investors or any other category of investors as may be specified by the Board from time to time:
