फा.सं. 2- flrEcj] 2026 .—चूँकि 14वीं परिषद्‌ और क्षेत्रीय परिषद्‌ों का कार्यकाल 18 जनवरी, 2027 को समाप्त हो

जाएगा, 15वीं परिषद्‌ और चार क्षेत्रीय परिषद्‌ों के गठन हेतु चुनाव निम्नलिखित अधिसचूना के अनुसार

इलेक्ट्रोनिक/ऑनलाईन माध्यम से आयोजित किये जाएंगे, जैसा कि नीचे सूचित किया गया हैः

1. कम्पनी सचिव अधिनियम, 1980 ('अधिनियम') की धारा 9(2)(ए) के साथ पठित कम्पनी सचिव (परिषद्‌ के चुनाव)

नियमावली, 2006 ('नियमावली') नियम 3 एवं 4 तथा अन्य लागू नियमों और कम्पनी सचिव विनियमावली, 1982

(विनियमावली') के प्रासंगिक प्रावधानों के अनुसरण में परिषद्‌ एवं क्षेत्रीय परिषदों के चुनाव सम्बंधी विभिन्न

कार्यकलापों का आयोजन वर्ष 2026 में निम्नलिखित समय सीमा के अनुसार किया जाएगा :

2. नियमावली के नियम 9 के उप-नियम (1) के अनुसरण में, विभिन्न क्षेत्रीय निर्वाचन क्षेत्रों से परिषद्‌ के लिए चुने जाने

वाले व्यक्तियों की संख्या निम्नानुसार होगीः

3. कंपनी सचिव विनियम, 1982 के अध्याय XII में प्रदान की गई सीमा को छोड़कर, कंपनी सचिव (परिषद के

लिए चुनाव) नियम, 2006 क्षेत्रीय परिषदों के चुनावों पर आवश्यक परिवर्तनों के साथ लागू होंगे। एक

सदस्य जो पहले किसी भी क्षेत्रीय परिषद के अध्यक्ष के रूप में चुना गया है, वह किसी भी क्षेत्रीय परिषद में

चुनाव लड़ने के लिए नामांकन दाखिल करने के लिए पात्र नहीं होगा।

4. विनियमावली के विनियम 114 के उप-विनियम(1) के साथ पठित विनियम 115 के उप-विनियम(1) के

अनुसरण में, विभिन्न क्षेत्रीय परिषदों के लिए चुने जाने वाले व्यक्तियों की संख्या और विभिन्न राज्यों एवं

केन्द्र शासित प्रदेशों के लिए आरक्षित सीटें निम्नानुसार होंगीः

5. नियमावली के नियम 9, 10 एवं 11 के अनुसरण में, सदस्य जो योग्य है और संस्थान के परिषद्‌ या क्षेत्रीय परिषदों के

लिए चुनाव में खड़ा होने का इच्छुक है, उसे प्रत्यक्ष मोड/ऑफ लाईन माध्यम से जैसा भी मामला हो QkeZ&,

¼vuqyXud&I½ या QkeZ&ch ¼vuqyXud&II½ के अनुसार निर्धारित फार्म में अपना नामांकन पत्र (पत्रों) को दाखिल

करना होगा जिसे निर्वाचन अधिकारी, 'आईसीएसआई हाउस', 22, इंस्टीट्‌यूषनल एरिया, लोदी रोड, नई

दिल्ली-110003 के पास QkeZ&lh ¼vuqyXud&III½ में दिये गए विवरण तथा QkeZ&Mh ¼vuqyXud&IV½ में

घोषणा-पत्र के साथ, तीन पासपोर्ट आकार के फोटो एवं निम्नानुसार शुल्क एवं सुरक्षा जमा राषि के रूप में ''दी

इंस्टीट्‌यूट ऑफ कम्पनी सेक्रेटरीज ऑफ इंडिया'' के पक्ष में नई दिल्ली में देय डिमांड ड्राफ्ट के साथ बुधवार, 21

अक्टूबर, 2026 को सायं 6.00 बजे तक पहुंच जाना चाहिएः

Li"Vhdj.k% एक सदस्य परिषद्‌ के लिए दस से अधिक नामांकन दाखिल नहीं कर सकता है, नामांकन की

संख्या चाहे कुछ भी हो, उसे नामांकन-पत्र के साथ ''दी इंस्टीट्‌यूट ऑफ कम्पनी सेक्रेटरीज ऑफ इंडिया''

के पक्ष में डिमांड ड्राफ्ट के द्वारा नामांकन शुल्क के रूप में केवल 50,000/-रु. जीएसटी (59,000/-रु.)

की राशि देनी होगी। एक सदस्य क्षेत्रीय परिषद के लिए दस से अधिक नामांकन दाखिल नहीं कर सकता

है, नामांकन की संख्या चाहे कुछ भी हो, उसे नामांकन पत्र के साथ ''दी इंस्टीट्‌यूट ऑफ कम्पनी सेक्रेटरीज

ऑफ इंडिया'' के पक्ष में डिमांड ड्राफ्ट के द्वारा नामांकन शुल्क के रूप में केवल 45,000/-रु. जीएसटी

(53,100/-रु.) की राशि देनी होगी। एक सदस्य को izR;sd ukekadu ds fy,, विवरण और घोषणा

सहित भुगतान के सबूत के साथ नामांकन-पत्र का पूरा सेट जमा करना होगा। ये दस्तावेज दिए गए

सम्बन्धित प्रारूपों के अनुसार होने चाहिए।

नियमावली के नियम 11 के अनुसरण में, परिषद्‌ क्षेत्रीय परिषदों के चुनाव में खड़े होने वाले उम्मीदवारों को

''दी इंस्टीट्‌यूट ऑफ कम्पनी सेक्रेटरीज ऑफ इंडिया'' इंडिया के पक्ष में सुरक्षा जमा डिमांड ड्राफ्ट के जरिए

₹20,000 (बीस हजार रुपये) की राशि का भुगतान करना होगा।

6. नियमावली के नियम 9 के उप-नियम(4) के अनुसरण में, अनुसूची-4 के पैरा(2) के उप-खण्ड(ए) के प्रयोजन

हेतु निम्नलिखित योग्यताएं निर्दिष्ट की गई हैंः

ए). विश्वविद्यालय अनुदान आयोग तथा भारत सरकार द्वारा मान्यता प्राप्त विश्वविद्यालयों द्वारा प्रदान की गई

सभी डिग्रीयाँ;

बी). भारतीय बैंकिंग एवं वित्त संस्थान के प्रमाणित असोसिएट, भारतीय सनदी लेखाकार संस्थान, भारतीय

लागत लेखाकार संस्थान, भारतीय दिवाला और शोधन अक्षमता बोर्ड के अन्तर्गत (दिवाला

पेषेवर/पंजीकृत मूल्यांकक) और सनदी शासन संस्थान की व्यवसायिक सदस्यता।

7. नियमावली के नियम 12(1) के अनुसरण में, नामांकनों की जांच के लिए पैनल में निम्नलिखित शामिल होंगे :

क. डॉ. श्री अशोक कुमार मिश्रा, परिषद्‌ में केन्द्र सरकार द्वारा नामित

ख. श्री रनधीर कुंमार, अवर सचिव, भारत सरकार - केन्द्र सरकार द्वारा नामित

ग. श्री आशीष मोहन, निर्वाचन अधिकारी एवं सचिव, भारतीय कम्पनी सचिव संस्थान।

नियम 12 के उप-नियम (11) के अनुसरण में, जांच पैनल के निर्णय से संम्बन्धित नोटिस के संचार का

तरीका इलेक्ट्रोनिक माध्यम से होगा।

इसके अलावा, नियम 13 के उप-नियम(1) और नियम 15 के उप-नियम(1) के अनुंसरण में, निर्वाचन

अधिकारी तुरंत प्रत्येक निर्वाचन क्षेत्र के लिए वैध नामांकन की सूची और नामांकन की अंतिम सूची तैयार

करेगा और सभी उम्मीदवारों को इलेक्ट्रोनिक माध्यम यानि ई-मेल के माध्यम से भेजेगा।

8. नियमावली के नियम 6 के उप-नियम(3) के अनुसरण में, भारतीय कम्पनी सचिव संस्थान की 15वीं परिषद्‌

और चार क्षेत्रीय परिषदों के लिए चुनाव हेतु विभिन्न निर्वाचन क्षेत्रों से मतदान के लिए योग्य सदस्यों की

सूची (मतदाताओं की सूची) स्टीमुलेट-पोर्टल (https://stimulate.icsi.edu) में सदस्य के खाते के माध्यम

विषिष्ट अनुरोध पर 500 18%जीएसटी, 590 रूपये (मात्र पांच सौ नब्बे रूपये) की राशि का भुगतान करने

पर ऑनलाइन मोड के माध्यम से प्रदान की जाएगी, जिसमें केवल 'देखने' का विकल्प होगा नकल,

डाउनलोड, प्रिन्ट, संंपादित और फाइल के रूप में सहेजें जाने जैसी कोई प्रतिलिपीकरण की सुविधाऐं नहीं

होंगी। मतदान करने के योग्य सदस्यों की सूची नियम 6 के प्रावधानों के तहत दिनाँक 28.09.2026 या

उससे पहले प्रकाशित की जाएगी।

9. नियमावली के नियम 41 के उप-नियम(1) और (2) के अनुसरण में, कोई भी उम्मीदवार, जिसका नाम नियम

15 के तहत नामांकनों की अंतिम सूची में शामिल किया गया है, नीचे निर्दिष्ट राशि से अधिक का खर्च नहीं

करेगा और नियम 36 के तहत जारी अधिसूचना; यानी परिणामों की घोषणा की अधिसूचना के 15 (पन्द्रह)

दिनों के अन्दर निर्धारित प्रारूप QkeZ&b ¼vuqyXud&V½ में चुनाव के लिए किये गए खर्चों का विवरण

दाखिल करेगाः

10. नियम 41 के उप-नियम(3) या नियम 42 के उप-नियम(1) के अनुसरण में, अगर कोई सदस्य संस्थान की

परिषद्‌ या क्षेत्रीय परिषदों के चुनाव में नियम 41 के उप-नियम(1) या (2) या नियम 42 के उप-नियम (2),

(3) या (4) के प्रावधानोें का उल्लंघन करता हुआ पाया जाता है तो उसे अधिनियम की पहली अनुसूची के

भाग-4 के मद(2) के अंतर्गत परिषद्‌ को बदनाम करने का दोषी माना जाएगा।

11. नियम 42 के उप-नियम (2) एवं (3) के अनुसरण में, एक उम्मीदवार चुनाव के संबंध में विनिर्देशित ढंग के

अनुसार केवल एक घोषणा-पत्र या परिपत्र जारी करेगा।

12. नियमावली के नियम 16 के उप-नियम (2) के अनुसरण में, उम्मीदवारों और उनके अधिकृत प्रतिनिधियों के

लिए चुनाव आचार संहिता जो कि संस्थान की वेबसाइट पर प्रकाशित की गई है, इस अधिसूचना के जारी

होने की तारीख से लागू हो जाएगी और उक्त संहिता को अधिनियम की दूसरी अनुसूची के भाग-II के

मद(1) के अंतर्गत परिषद का दिशानिर्देष माना जाएगा तथा प्रत्येक उम्मीदवार और उसका/उसकी अधिकृत

प्रतिनिधि के लिए इस चुनाव आचार संहिता का पालन करना अनिवार्य है।

13. नियमावली के नियम 6 के उप-नियम(2) के अनुसरण में, मतदाताओं की सूची में प्रकाशित सदस्य का पता

ही यह निर्धारित करने के लिए अंतिम होगा कि वह किस तरीके से अपना मतदान कर सकता है, उसका

निर्वाचन क्षेत्र कौन सा होगा और मतदान के लिए उसे कौन सा मतदान केन्द्र आवंटित किया जाएगा।

14. नियमावली के नियम 6 के उप-नियम(4) के अनुसरण में, मतदान करने के लिए पात्र सदस्यों की सूची में

किसी सदस्य का नाम शामिल करने से उसे चुनाव में मत देने का पूर्ण अधिकार नहीं मिल जाता, यह

अधिकार नियमों, विनियमों या अधिनियम के अन्य प्रावधानों के अधीन होगा।

15. नियमावली के नियम 6 के उप-नियम(6) के अनुसरण में, निर्वाचन अधिकारी मतदान करने के लिए पात्र

सदस्यों की सूची में किसी भी समय लिपिकीय त्रुटि या चूक को उचित शुद्धि-पत्र जारी करके ठीक कर

सकता है।

16. नियमावली के नियम 5 के अनुसरण में, वह सदस्य जिसका नाम 1 जुलाई, 2026 को रजिस्टर में दर्ज है,

सम्बन्धित क्षेत्रीय निर्वाचन क्षेत्र से चुनाव में मतदान करने के लिए पात्र होगा, बर्शर्ते कि उसका नाम

मतदाताओं की सूची के प्रकाशन की तारीख तक रजिस्टर से हटाया न गया हो। उक्त नियम के अनुसार

एक पात्र मतदाता का क्षेत्रीय निर्वाचन क्षेत्र, 1 जुलाई, 2026 को उसके व्यवसायिक पते के आधार पर

निर्धारित किया जायेगा और यदि रजिस्टर पर व्यवसायिक पता दर्ज नहीं है, तो रजिस्टर में दर्ज आवासीय

पता उसके क्षेत्रीय निर्वाचन क्षेत्र का निर्धारण करेगा।

इसके अलावा, उक्त नियम के अनुसार, भारत के बाहर अपने व्यवसायिक पते वाले पात्र मतदाताओं के क्षेत्रीय

निर्वाचन क्षेत्र का निर्धारण उनके विदेश जाने से ठीक पहले भारत में पंजीकृत उनके व्यवसायिक पते या

सम्बन्धित तिथि पर रजिस्टर में दर्ज आवासीय पता, जो भी बाद में हो, के अनुसार किया जाएगा।

17. नियमावली के नियम 23 के उप-नियम(1) के अनुसरण में, परिषद्‌ द्वारा तय किये गए कर्त्तव्यों का पालन

करने के लिए निर्वाचन अधिकारी सभी अथवा किसी भी मतदान केन्द्र और मतगणना स्थल या स्थलों के

लिए ऐसे चुनाव पर्यवेक्षकों (इलेक्शन ऑबजवर्स) को नियुक्त करेगा, जो कि संस्थान के सदस्य नहीं होंगे।

नियुक्त किये गए चुनाव पर्यवेक्षक परिषद द्वारा विनिर्दिष्ट निम्नलिखित कर्तव्यों का पालन करेंगे।

• निष्पक्ष और स्वतंत्र मतदान कराने तथा मतगणना में निर्वाचन अधिकारी की सहायता करना;

• मतदान केन्द्र(ओं) पर चुनावी प्रक्रिया के कुशल और प्रभावी प्रबंधन की देख-रेख करना;

• चुनाव की अवधि के दौरान संस्थान/निर्वाचन अधिकारी के प्रतिनिधि के रूप में निगरानी रखना और

यह सुनिष्चित करने के लिए कि कंपनी सचिव अधिनियम 1980, विनियमों, नियमों, प्रक्रियाओं, चुनाव

आचार संहिता और दिशा-निर्देशों/परामर्शों/निदेशों का चुनाव से सम्बन्धित सभी पक्षों के द्वारा

कड़ाई से और निष्पक्षतापूर्वक पालन किया जाए;

• निर्वाचन अधिकारी द्वारा सौंपे गए अन्य सभी कर्त्तव्य।

18. नियमावली के नियम 33 के अनुसरण में, निर्वाचन अधिकारी दो या दो से अधिक ऐसे व्यक्तियों को नियुक्त

करेगा जो न तो परिषद्‌ के सदस्य होंगे और न ही चुनाव के लिए उम्मीद्‌वार, वो जांचकर्ता के रूप में कार्य

करेंगे और मतगणना में आमतौर पर उनकी सहायता करेंगे।

19. नियमावली के नियम 26 के अनुसरण में, किसी निर्वाचन क्षेत्र से चुनाव लड़ने वाले उम्मीद्‌वार को उस

निर्वाचन क्षेत्र के मतदान केन्द्रोें पर उपस्थित रहने का अधिकार होगा। वह प्रत्येक मतदान केन्द्र के लिए

अपने अधिकृत प्रतिनिधियों के रूप में किन्हीं दो सदस्यों को नियुक्त कर सकता है, उनमें से ,d le; esa

dsoy ,d O;fDr ही उसकी तरफ से उस मतदान केन्द्र पर उपस्थित रहने का हकदार होगा। इस

उद्धेश्य के लिए मतदान अधिकारी को सौंपे जाने वाले प्राधिकार पत्र का प्रारुप QkeZ&,Q ¼vuqyXud&VI½

में दिया गया है।

20. नियमावली के नियम 28 के उप-नियम(1) के अनुसरण में, एक पात्र मतदाता जिसका नाम किसी भी मतदान

केन्द्र के अन्तर्गत नहीं दिखाया गया है, उसे उक्त नियमों में निर्धारित शर्ताें के अनुसार रिमोट इलेक्ट्रोनिक

मतदान के माध्यम से मतदान करने की अनुमति दी जाएगी।

21. नियमावली के नियम 28 के उप-नियम(2) के अनुसरण में, कोई पात्र मतदाता जो स्थायी शारीरिक अशक्तता

से पीड़ित होने के कारण या स्थायी पते में परिवर्तन के कारण अपना मत देने में असमर्थ है (यदि सदस्य

सेवा में है), तो वह QkeZ&th ¼vuqyXud&VII½ में दिए गये प्रारुप में रिमोट इलेक्ट्रोनिक मतदान के

माध्यम से मतदान करने की अनुमति के लिए आवेदन के साथ किसी सरकारी अस्पताल के चिकित्सा

अधिकारी जो शल्य चिकित्सक के पद से कम का नहीं हो के द्वारा जारी चिकित्सा प्रमाण-पत्र, जो ऐसे

स्थायी अशक्तता की पुष्टि करता हो या जहाँ सदस्य कार्यरत है उस संगठन के प्राधिकृत अधिकारी द्वारा

हस्ताक्षरित पते में स्थायी परिवर्तन का प्रमाण, 02 नवम्बर, 2026 को शाम 6ः00 बजे तक निर्वाचन अधिकारी

को जमा कर सकता है।

22. नियमावली के नियम 28 के उप-नियम(4) के अनुसरण में, संस्थान की परिषद्‌ के चुनाव के सम्बन्ध में, इस

नियम के तहत किसी रियायत का दुरूपयोग करता है या रिमोट इलेक्ट्रोनिक मतदान के सम्बन्ध में कोई

गलत बयानी या गलत सत्यापन करता है तो उसे अधिनियम की पहली अनुसूची के भाग IV की मद (2) के

तहत परिषद्‌ को बदनाम करने वाला माना जाएगा।

23. नियम 34 के अनुसरण में, चुनाव लड़ने वाले उम्मीदवार को मतगणना के समय खुद उपस्थित रहने या

अपनी तरफ से किसी सदस्य को प्रतिनिधि के तौर पर उपस्थित रहने के लिए नियुक्त करने का अधिकार

होगा। इस प्रयोजन के लिए निर्वाचन अधिकारी को सौंपे जाने वाले प्राधिकार पत्र का प्रारुप QkeZ&,p

¼vuqyXud&VIII½में दिया गया है।

24. नियम 5, 19, 21, एवं 28 के अनुसरण में, अनुसूची 2 के भाग (2)(टप्प्) के साथ पठित सम्बन्धित क्षेत्रीय

निर्वाचन क्षेत्र में सभी स्थापित मतदान केन्द्रों मेंं से प्रत्येक मतदाता को मतदाताओं की सूची में दर्ज उसके

व्यवसायिक पते (यदि व्यवसायिक पता उपलब्ध नहीं है, तो वहाँ आवासीय पते को आधार माना जाएगा) से

निकटतम दूरी के आधार पर मतदान केन्द्र आवंटित किया जाएगा। सम्बन्धित क्षेत्रीय निर्वाचन क्षेत्र में सभी

स्थापित मतदान केन्द्रों मेें से, मतदाताओं को सलाह दी जाती है कि आवंटित किये गये मतदान केन्द्र पर ही

अपना मत डालें, ताकि किसी एक ही मतदान केन्द्र पर भीड़ या प्रशासनिक असुविधा की किसी भी संभावना

से बचा जा सके। एक पात्र मतदाता, जिसका नाम किसी भी मतदान केन्द्र के अन्तर्गत नहीं दिखाया गया

है, को रिमोट इलेक्ट्रोनिक मतदान के माध्यम से मतदान करने की अनुमति दी जाएगी। मतदान केन्द्रों की

एक सूची संस्थान की वेबसाइट पर प्रकाशित की गई है।

25. नियमावली के नियम 2 के उप-नियम (1) के खंड(बी) के अनुसरण में, इन नियमों के अन्तर्गत विभिन्न

प्रयोजनों हेतु परिषद द्वारा अनुमोदित प्रपत्र निम्नानुसार होंगेः

26. कम्पनी सचिव अधिनियम, 1980, कम्पनी सचिव (परिषद के चुनाव) नियमावली, 2006 और कम्पनी सचिव

विनियम, 1982 तथा अन्य लागू कानूनों के सम्बन्धित प्रावधान, जिनका उल्लेख यहां नहीं हो पाया है, वे सब

के सब इन चुनावों पर लागू होंगे।

F. No. 2 of September, 2026.—WHEREAS the duration of the 14th Council and the Regional Councils shall expire on 18th January, 2027, the Elections for the constitution of the 15th Council and four Regional Councils shall be held through electronic/ online mode, as notified hereunder:

In pursuance of Section 9(2) (a) of the Company Secretaries Act, 1980 (hereinafter 'the Act') read with Rules 3 and 4 and other applicable Rules of the Company Secretaries (Election to the Council) Rules, 2006 (hereinafter 'the Rules') and the relevant provisions of the Company Secretaries Regulations, 1982 (hereinafter 'the Regulations'), the timelines for various activities for the conduct of elections to the Council and Regional Councils in the year, 2026, shall be as under:

In pursuance of Rules 9, 10 and 11 of the Rules, a member who is eligible and desirous to stand for election to the Council or a Regional Council of the Institute shall file nomination(s) through physical mode/ offline mode in the Form-A, placed at Annexure- I or in Form-B placed at Annexure-II , as the case may be, so as to reach the Returning Officer, at 'ICSI House' 22, Institutional Area, Lodi Road, New Delhi-110 003, not later than 6.00 PM on Wednesday , the 21st October, 2026 along with the statement in Form-C placed as at Annexure-III and Declaration in Form- D placed at Annexure IV, three passport sized photographs and proof of payment of fees and deposits by Demand Draft in favour of "The Institute of Company Secretaries of India", as under:

Clarification: A member may file any number of nominations not exceeding ten (10) for the Council and irrespective of the number of nomination(s) he has to pay a sum of Rs. 50,000/- +GST (Rs. 59,000/-) by Demand Draft in favour of "The Institute of Company Secretaries of India" along with the nomination. A member may file any number of nominations not exceeding ten (10) for the Regional Council and irrespective of the number of nomination (s) he has to pay a sum of Rs. 45,000/-+GST (Rs.53,100/-) payment of nomination fee by Demand Draft in favour of the Institute of Company Secretaries of India along with the nomination. A Member shall file the complete set of Nomination Form including Statement and Declaration as per format given at respective Annexures, for each set of Nomination Forms, along with the proof of payment.

Pursuant to Rule 11 of the Election Rules, the Security Deposit of Rs. 20,000/- (Rupees Twenty Thousand Only) is to be paid through Demand Draft in favour of the Institute of Company Secretaries of India by the candidates standing for elections of the Council as well as the Regional Council.

6. In pursuance of sub-rule (4) of Rule 9, the following qualifications are specified for the purpose of sub-clause (a) of Para (2) of Schedule 4:

a. All degrees awarded by the universities recognized by the University Grants Commission and Government of India;

b. Certified Associate Indian Institute of Banking & Finance, Professional Membership of The Institute of Chartered Accountants of India, The Institute of Cost Accountants of India, The Insolvency and Bankruptcy Board of India (Insolvency Professional/Registered Valuer) and The Chartered Governance Institute.

7. In pursuance of Rule 12(1) of the Rules, the Panel for scrutiny of nominations shall comprise as under:

a. Dr. Ashok Kumar Mishra, Government Nominee on Council, and

b. Shri Randhir Kumar, Under Secretary to Government of India- Nominated by the Central Government

c. CS Asish Mohan, Returning Officer & Secretary, The Institute of Company Secretaries of India.

In pursuance to the sub-rule (11) of the Rule 12, the mode of communication of notice pertaining to the decision of the Scrutiny Panel shall be through electronic mode.

Further, in pursuance to the sub-rule (1) of the Rule 13 and sub-rule (1) of Rule 15, the Returning Officer shall forthwith prepare a list of valid nominations and final list of nominations for each constituency and send to all the candidates through electronic means i.e. e-mail.

8. In pursuance of sub-rule (3) of Rule 6 of the Rules, the list of members eligible to vote (list of voters) from the various constituencies for elections to the 15th Council and the four Regional Councils of the Institute of Company Secretaries of India shall be provided through Member's Account in STIMULATE Portal (https://stimulate.icsi.edu ), upon specific request and upon payment of amount of Rs.500/- + GST @18% i.e. Rs. 590/- (Rupees Five Hundred and Ninety Only) through online mode having only 'View' option with no duplication features like copy, download, print, edit and saved as file. The list of members eligible to vote under the provisions of Rule 6 shall be published on or before 28.09.2026.

9. In pursuance of sub-rules (1) and (2) of Rule 41 of the Rules, a candidate, whose name has been included in the final list of nominations under Rule 15, shall not incur an expenditure in excess of the amount as specified hereunder and shall file an account of expenses incurred for the election in the Form E is placed at (Annexure V) within fifteen (15) days of the notification issued under Rule 36 (i.e. notification of the declaration of results):

10. In pursuance of sub-rule (3) of Rule 41 or sub-rule (1) of Rule 42 of the Rules, a member shall be deemed to have brought disrepute to the Council under Item (2) of Part IV of the First Schedule of the Act if, in connection with an election to the Council or Regional Council(s) of the Institute, he is found to have contravened the provisions of sub-rules (1) or (2) of Rule 41 or sub-rules (2), (3) or (4) of Rule 42.

11. In pursuance of sub-rules (2) and (3) of Rule 42 of the Rules, a candidate shall issue only One manifesto or circular in relation to the election in the manner specified therein.

12. In pursuance of sub-rule (2) of Rule 16 of the Rules, the Election Code of Conduct approved by the Council for candidates and their authorized representatives and published on the website of the Institute, shall come into force from the date of issue of this notification and this Code shall be deemed to be a guideline of the Council under item (1) of Part II of the Second Schedule of the Act and it is obligatory for each candidate and his/her authorised representative to comply with this Election Code of Conduct.

13. Pursuant to Rule 6(2) of the Rules, the address of the member published in the list of voters shall be final for determining the manner in which he shall be entitled to cast his vote, the constituency and the allotment of polling booth to which he shall belong for the purpose of casting his vote.

14. Pursuant to Rule 6(4) of the Rules, the inclusion of the name of a member in the list of members eligible to vote shall not confer an absolute right to vote at the election which shall be subject to other provisions of the Rules, Regulations or the Act.

15. Pursuant to Rule 6(6) of the Rules, the Returning Officer may rectify a clerical mistake or omission in the list of members eligible to vote at any time by issue of a suitable corrigendum.

16. In pursuance of Rule 5 of the Rules, a member whose name is borne on the Register as on 1st July, 2026, shall be eligible to vote in the election from the respective regional constituency provided that his name has not been removed from the Register on the date of publication of the list of voters. As per the said rule, the regional constituency of an eligible voter shall be determined on the basis of his professional address as on 1st July, 2026 and if professional address is not borne on the register, residential address borne on the register shall determine the regional constituency.

Further, as per the said rule, the regional constituency of eligible voters having their professional address outside India shall be determined according to their professional address in India registered immediately before they went abroad or the residential address in India borne on the register on the relevant date, whichever is later.

17. In pursuance of Rule 23(1) of the Rules, the Returning Officer shall appoint such number of election observers, who shall not be members of the Institute, for all or any of the polling booths and for counting venue or venues, as may be deemed appropriate by him to perform following duties as decided by the Council.

• To assist the Returning Officer in the conduct of free and fair polls and counting of Votes;

• To oversee the efficient and effective management of the electoral process at the polling booth(s);

• To act as the eyes and ears of the Institute/Returning Officer during the period of the election and to ensure that the Company Secretaries Act 1980, Regulations, Rules, Procedures, Instructions, Election Code of Conduct and guidelines/advisories/directives related to elections are strictly and impartially complied with by all concerned;

• Any other duty as may be assigned by the Returning Officer.

18. In pursuance of Rule 33 of the Rules, the Returning Officer may appoint two or more persons who are neither members of the Council nor candidates for election to act as scrutinisers and to assist him generally in counting the votes.

19. In pursuance of Rule 26, a candidate for election from a constituency shall be entitled to be present at the polling booths in that constituency. He may appoint any two members as his authorised representatives for each polling booth, only one of whom shall be entitled to be present at a time on his behalf at that polling booth. The format of letter of authority to be handed over to the polling officer for the purpose given at Form -F is placed at Annexure VI.

20. Pursuant to Rule 28(1), an eligible voter whose name is not shown under any polling booth shall be permitted to vote through remote electronic voting subject to conditions prescribed in the said rule.

21. Pursuant to Rule 28(2), an eligible voter who is unable to cast his vote by reason of his suffering from permanent infirmity or in case of a permanent change in address in case the member is in service may submit an application for permission to vote through remote electronic voting in the Form G placed at Annexure VII along with medical certificate issued by a medical practitioner not below the rank of a Surgeon of any Government Hospital, confirming such permanent infirmity or proof of permanent change in address signed by the authorized personnel of the organization where the member is employed, to the returning officer latest by Monday, the 2nd November, 2026 upto 6:00 PM.

22. In pursuance of Rule 28(4) of the Rules, any misuse of the concession under this rule or any misstatement or false verification with regard to voting by remote electronic mode shall be deemed to have brought disrepute to the Council under item (2) of Part IV of the First Schedule of the Act if, in connection with an election to the Council of the Institute.

23. In pursuance of Rule 34, a candidate for election shall be entitled to be present in person or to appoint a member as representative to be present on his behalf at the time of counting of votes. The format of letter of authority to be handed over to the returning officer is in Form H placed at Annexure VIII.

24. In pursuance of Rules 5, 19, 21 and 28 read with clause (2) (vii) of the Schedule 2 of the Rules, among all the established polling booths in the concerned regional constituency, the Polling booth shall be allotted in terms of distance from the professional address (if professional address is not available then, residential address shall be considered) of voters in the list of voters. Among all the polling booths in the concerned regional constituency, the voters are encouraged to exercise their franchise at the allotted polling booth only, to avoid any chance of overcrowding or administrative inconvenience at a single polling booth. However, the E-voting portal has the capability to allow the Voter to cast the vote from any polling booth within the same Regional Constituency. An eligible voter, whose name is not shown under any Polling Booth, shall be permitted to vote by remote electronic voting. A list of Polling Booths has been published on the website of the Institute.

25. Pursuant to clause (b) of sub-rule (1) of Rule 2, "approved form" (approved by the Council) to be used for specific purpose under these Rules are as under:

I am a contesting candidate for Election to the Council/ Regional Council from the _______________ Regional Constituency.

In pursuance to Rule 42 of the Election Rules, I am enclosing herewith a certified copy of my Manifesto for your records.

I hereby declare that as required by sub rule 3(e) of Rule 42 of the election rules, the attached Manifesto is sent to the Returning officer by speed post/ registered post within 15 days of its issue.

I understand and acknowledge that I shall be deemed to have brought disrepute to the Council under item (2) of Part IV of the First Schedule of the CS Act, 1980 if in connection with an election to the Council of the Institute, I am found to have contravened the provisions of the Rule 42 of the election rules.
