भारतीय प्रतिभूति और विनिमय बोर्ड
(अनुसंधान विश्लेषक) (संशोधन) विनियम, 2026
फा. सं. सेबी/एलएडी-एनआरओ/जीएन 2026 / /321.—बोर्ड, भारतीय प्रतिभूति और विनिमय बोर्ड अधिनियम, 1992 (1992 का 15) की धारा 11 की उप-धारा (2) के खंड (ख) के साथ पठित धारा 30 की उप-धारा (1) द्वारा प्रदान की गई शक्तियों का प्रयोग करते हुए, एतद्द्वारा भारतीय प्रतिभूति और विनिमय बोर्ड (अनुसंधान विश्लेषक) विनियम, 2014 का और संशोधन करने के लिए निम्नलिखित विनियम बनाता है, अर्थात्:-
1. इन विनियमों को भारतीय प्रतिभूति और विनिमय बोर्ड (अनुसंधान विश्लेषक) (संशोधन) विनियम, 2026 कहा जा सके गा ।
2. ये विनियम राजपत्र में इनके प्रकाशित होने की तारीख से तीसवें दिन लागू होंगे ।

(1) 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] 3. भारतीय प्रतिभूति और विनिमय बोर्ड (अनुसंधान विश्लेषक) विनियम, 2014 में,-
I. खंड 2(1)(झ) के बाद, निम्नलिखित खंड जोड़ा जाएगा, अर्थात्-
"(झक) "इंस्टिट्यूशनल इन्वेस्टर" (संस्थागत निवेशक) का वही अर्थ होगा, जो भारतीय प्रतिभूति और विनिमय बोर्ड [पू ँजी का निगर्मन (इश्यू) और प्रकटीकरण अपेक्षाएँ] विनियम, 2018 के विनियम 2 के उप-विनियम (1) के खंड (म) में इसके लिए दिया हुआ है;"
II. उप-विनियम 25(1) में –
क. खंड (vii) में,
i. शब्दों तथा चिह्न "प्राप्त होने वाले ईमेल, कॉल रिर्कॉडंिग आदि" के स्थान पर शब्द तथा चिह्न "प्राप्त होने वाले ईमेल, उनके साथ हुई बातचीत की कॉल रिर्कॉडंिग" आ जाएँगे;
ii. चिह्न ";" के स्थान पर चिह्न ":" आ जाएगा;
ख. खंड (vii) के बाद, निम्नलिखित परंतुक जोड़ा जाएगा, अर्थात्-
"परंतु यह कि उन ग्राहकों के साथ हुई बातचीत की कॉल रिर्कॉडंिग रखना जरूरी नहीं होगा, जो इंस्टिट्यूशनल इन्वेस्टर (संस्थागत निवेशक) हों ।"

भारतीय प्रतिभूति और विनिमय बोर्ड (अनुसंधान विश्लेषक) विनियम, 2014 (सं. एल.ए.डी.-एन.आर.ओ./जी.एन./2014- 15/07/1414) 1 सितम्बर, 2014 को भारत के राजपत्र में प्रकाशित हुए थे, और जो अंतिम बार 25 नवम्बर, 2025 को भारतीय प्रतिभूति और विनिमय बोर्ड (अनुसंधान विश्लेषक) (दूसरा संशोधन) विनियम, 2025 (अधिसूचना फा. सं.
सेबी/एलएडी-एनआरओ/जीएन/2025/277) द्वारा संशोधित हुए थे ।

SECURITIES AND EXCHANGE BOARD OF INDIA (RESEARCH ANALYSTS) (AMENDMENT)
REGULATIONS, 2026
F. No. SEBI/LAD-NRO/GN/2026/321.— In exercise of the powers conferred by sub-section (1) of section 30 read with clause (b) of sub-section (2) of section 11 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Research Analysts) Regulations, 2014, namely: —–
1. These Regulations may be called the Securities and Exchange Board of India (Research Analysts) (Amendment) Regulations, 2026.
2. They shall come into force on the thirtieth day from the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Research Analysts) Regulations, 2014, –
I. after clause 2(1)(i), the following clause shall be inserted, namely–
"(ia) "institutional investor" shall have the same meaning as assigned to it in clause (y) of sub- regulation (1) of regulation 2 of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018;"
II. in sub-regulation 25(1)-
a. in clause (vii),
i. the word and symbol "etc." shall be omitted;
ii. the symbol ";" shall be substituted with the symbol ":";
b. after clause (vii), the following proviso shall be inserted, namely,
"Provided that the requirement to maintain call recordings of communications with clients which are institutional investors shall not be mandatory."

SEBI/LAD-NRO/GN/2025/277.
