"संकल्प पारित किया जाता है कि कम्पनी अधिनियम 1956 की धारा 484( 1 ) ( ख ) के अनुसरण में कंपनी को स्वेच्छया परिसमाप्त कर दिया जाए और श्री एम ० प्राण "कॉन्चेडि , मुख्य लेखा नियंत्रक , सड़क परिवहन तथा राजमार्ग मंत्रालय को कंपनी के पंरिसमापन के लिए समापक नियुक्त किया जाए । तदनुसार उन्हे संमापक नियुक्त किया जाता है ।
इसके अतिरिक्त यह भी संकल्प पारित किया जाता है कि श्री एम० प्राण कांद्येष्टि, समापक को कोई पारिश्रमिक नहीं दिया जाया । कंपनी के परिसमान के संबंध में उन्हे केवल उसी राशि क। प्रतिपूति की जाएगी, जो उन्होने स्वयं खर्च की है । "
2. "सहल शःख किया जाता है निःश्रो ए८० प्राण काँन्चेडि ममापक को कंपनी अधिनियम , 1956 की धारा ( 1 ) के साथ पठित धारा 512 ( 1 ) ( क ) के अधीन दी गई सभी मक्तियों प्रयुक्त करने के लिए प्राधिकृत किया जाए और तदनुसार उन्हें इसके लिए प्राधिकृत किया जाता है । उक्त धारा 512 ( 1) (क ) में यह व्यवस्था की गई है कि:-
समापक, कंपनी द्वारा विशेष संकल्प मंजूर करने पर सदस्यों द्वारा स्वेच्छया परिसमापन की स्थिति में धारा 457 की उप- धारा ( 1 ) के खण्ड ( क) से लेकर ( घ ) में दी गई क्तियों में से किसी का भी प्रयोग कर सकेगा , अर्थात्
(क) कंपनी के नाम या कंपनी की ओर से कोई वाद , अभियोग या अन्य कानूनी कार्यवाही, सिविल अथवा दांडिक संस्थित या प्रतिवाद करना,
(ख ) कंपनी के ऐसे सभी कार्यों का निष्पादन करना जो कंपनी को सुविधाजनक ढंग से बंद करने के लिए आवश्यक है ।
(ग ) किसः 'व्यक्ति या निमित निकाय को कंपनी की चल और अचल संपत्ति और अनुयोज्य दावे , उनके पूर्ण अंतरंण की शक्ति महित सार्वजनिक नीलामी या प्राइवेट संविदा द्वारा बेचना अथवा इसे टुकड़ों में बेचना,
( घ) कंपनी की आस्तियों की प्रतिभूति के लिए अपेक्षित धन जुटाना ।
यह भी संकल्प किया गया है समापक को कंपनी अधिनियम 1956 के तहत न्यायालय की शक्तिका प्रयोग अभिदाताओं ( जो अभिदाता के रूप में उसमें नामित व्यकियों के दायित्व का ( प्रथम दृष्ट्या साध्य होगा) की सूची निश्चित करने और यथा स्थिति, सामान्य और विशेष संकल्प द्वारा कंपनी को मंजूरी प्राप्त करने के प्रयोजन के लिए अर्थवाकोई अन्य प्रयोजन जिसे वह उचित समझता है , कंपनी की आम बैठक बुलाने के लिए कर सकेगा । वह कंपनी के ऋणों का भगतान करेगा और अभिदाताओं के बीच उनके अधिकारों का समायोजन केरेगा । यह भी संकल्प किया जाता है कि कंपनी अधिनियम 1956 को धारा 546 ( 1 ) ( ख) के अनुगरण में समापकः-- (1) हर श्रेणा के जमाकर्ताओं को पूरा भुगतान कर सकेगा,
(ii ) लेनवारों अथवा ऐसे व्यक्तियों से ऐसा कोई समझौता या व्यवस्था करेगा जो लेनदार होने का दाया करते है अथवा जिनका कंपनी के विरुद्ध कोई वर्तमान भविष्य में निश्चित या आकस्मिक या केवल नुकसानी 228

2. " RESOLVED THAT Mr. M Pran Konchady, the Liqui- Jator, be and is hereby authorised to exercise all the powers under Section 512 ( 1 ) ( a ) read with Section 457 ( 1 ) of the Companies Act , 1956 , which provides the following :-

(1 ) in the case of a members' voluntary winding up, with the sanction of a Special Resolution of the Company evercise any of the powers given by clauses ( a ) to id ) of sub - Section (1) of section 457 viz .
(a) to institute or defend any suit , prosecution , or other legal procceding, civil or criminal , in the name and on be half of the company;
(iii) किसी मांग (काल ) का अथवा मांग (काल ) संबंध दायित्व का तथा ऐसे दायित्व का जिसकी परिर्णान ऋण में हो पकतों है तथा किमी वर्तमान या भावी, निश्चित या समाश्रि , केवल नुकसानी के रूप में अनिश्वित या परिमेय किसी दाणे का, जो कंपनी और अभिदार्थ. या अभिकथित अभिदायी या अन्य ऋणो या कंपनो के प्रति दायित्वाधीन होने की आशंका रखने वाले व्यक्ति के बीच विद्यमान है या विद्यमान होना अभिकथित है तथा कंपनी की आस्तियों या दायित्वों या परिसमापन से किसी रूप में संबंधित तथा किसी रूप उन पर प्रभाव डालने वाले जब प्रश्नों केविषय में तय की गई शर्तों व निबंधनों पर समझौता कर सकेगा तथा किसी ऐसी मांग ( काल) ऋण, दायित्व या दावे को चुकाने के लिए कोई प्रतिभूति ले सकेगा तथा उसकी बाबत पूर्ण शुमताने दे सकेया ।
(b ) to carry on the business of the company so las may be necessary for the beneficial winding up of the com pany;
यह भी संकल्प किया जाता है कि सभाषक को, आवश्यकता- नुसार यथोचित शर्तों और निबंधनों पर अपेक्षित कर्मचारियों 'की सेवाएं लेने का अधिकार होगा ।
(c) to sell the immovable and movable property and actionable claims of the company by public auction or private contract, with power to transfer the whole thereof to any person or body corporate , or to sell the same in parcels ;
(d) to raise on the security of the assets of the company any money requisite .
यह भी संकल्प किया जाता है कि समापक द्वारा उक्त विनिर्दिष्ट व्यक्तियों का प्रयोग न्यायालय के नियंत्रण के अध्ययधीन होगा और कोई भी लेनदार अथवा अभिदाता ऐसी किंसी शक्ति के प्रयोग या प्रस्तावित प्रयोग के सम्बन्ध में न्याया- लय में आवेदन कर सकेगा ।"

Further resolved that the Liquidator may exercise the power of the court under the Companies Act 1956 , of setti- ing a list of contributories ( which shall be prima facie evi- dence of the liability of the persons named therein to he contributories ) and call general meetings of the company for the purpose of obtaining the sanction of the company by ordinary or special resolution, as tht case may requite , or for any other purpose he may think fit . He shall pay the debts of the company and shall adjust the tights of the contributorics among themselves .
