सं० एस ई बी आई के दिनांक 3 मार्च 2003 के परिपत्र सेबी/ एसएमडी/ एसई/11/ 2003/ 31/ 03, दिनांक 03/05/2003 के सेबी/ एसएमडी/ 13/ 2003 / 10/4 को ध्यान में रखते हुए प्रबन्धक समिति ने निम्नलिखित कारणों से एक्सचेन्ज के बाय लॉज संशोधन का बिनिश्चिय किया है । 1. प्रस्ताव है कि नया चेप्टर नं ० XXI नाम ' विविध' भारत के एक्सचेंज बोर्ड और सुरक्षा द्वारा निर्देशित विविध मामलों में शामिल करने के लिए उपनियम में सम्मिलित किया जाए ।
2. आगे प्रस्ताव है कि ' एस ई बी आई' के 31 मार्च 2003 के परिपत्त्र सं ० एस ई बी आई/ एस एम डी/ एस ई/ 11/ 2003/31/03 के अनुसार उपनियम सं ० 356 निम्नलिखित को उपलब्ध करवाने के लिए चेप्टर नं ० XXI ' विबिध' में शामिल किया जाए ।
एक्सचेंज म्युचुअल फंड के लिए और म्युचअल फंड की प्रत्येक योजना, विदेशी संस्थान इन्वेस्टर ( एफ आई आई ) और उनसे उप -लेखा के लिए एकमात्र कोड लगाएगा ।
आगे प्रस्ताव है कि कार्यबाहक निर्देशक उपरोक्त परिपनों को लागू करने के लिए जो कि आवश्यक है के लिए प्राधिकृत होगा ।
3. प्रस्ताव है कि एस ई बी आई के दिनांक 3 अप्रैल 2003 के परिपत्त सं ० एस ई बी आई/ एस एम डी/ एस ई/ 12/ 2003/03/04 के अनुसार निम्नलिखित को उपलब्ध करवाने के लिए उपनियम सं ० 357 चेप्टर नं ० XXI बिविध में शामिल किया जाए ।
एक्सचेंज को भारत की सुरक्षा और एक्सचेंज बोर्ड द्वारा निर्धारित प्रपत्त के अनुसार अपनी कंपनी के लिए मासिक विकास रिपोर्ट ( एम डी आर ) देनी होंगी ।
आगे प्रस्ताव है कि कार्यपालक निर्देशक उपरोक्त परिपत्र को लागू करने के लिए जो कि आवश्यक है के लिए प्राधिकृत होगा ।
4. प्रस्ताव है कि एस ई बी आई के दिनांक 10 अप्रैल 03 के परिपत्त्र सं ० एस ईबी आई/ एस एम डी/ एस ई/ 13/ 2003/10/ 04 के अनुसार निम्नलिखित को उपलब्ध करबाने के लिए उप- नियम सं ० 278 ए चेप्टर नं ० XVI में शामिल किया जाए । ( 1 ) मूल आर्बिट्रेशन एवार्ड पाबती सहित स्थायी सुरक्षित रखा जाए ।
সাব-IV (2 ) आबिट्रेशन से संबंधित अन्य रिकार्ड एवार्ड की तारीख से 5 वर्षों के लिए सुरक्षित रखा जाए यदि अपील एक और रख दी हो ( रद्द कर दी हो ) एसे समय में एवॉर्ड न फाइल्ड की जाए ।
( 3) यदि कोई अपील फाइल्ड की हो तो कोर्ट द्वारा अंतिम निर्णय की तारीख से 5 वर्षों के लिए रिकार्ड सुरक्षित रखा जाए ।
( 4) रिकार्ड का नाश करना एक्सचेंज के कार्यपालक निर्देशक के पिछले लिखित आदशों के आधार पर भी हैं । ( 5) एक्सचेंज द्वारा एक रिकार्ड का संक्षिप्त विवरण नाश का प्रकार ( किस्म ) , तारीख सहित रखा जाए । रजिस्टर रखा जाए जिसमें प्रमाणपत्र के साथ नाश किया,

Phones : (0281 ) 2442125. 2475721 Fax : 0281-2477576 Grams : SAURASTOCK In view of the SEBI Circular No. SEBI / SMD / SE / 11 / 2003/31/03 dated March 31 , 2003 , SEB /SMD/SE/ 12/2003/03/04 dated 03-04-2003 and SEBI / SMD /SE/ 13/ 2003/10/04 dated 10-04-2003 , the Council of Management decided to amend the Bye Laws of the Exchange in the following manner :
1. " RESOLVED THAT a new Chapter No. XXI named "Miscellaneous" be inserted to the Bye - Laws for inserting the various matters as directed by Securities and Exchange Board ofIndia from time to time . "
2. RESOLVED FURTHER THAT pursuant to SEBI Cir- cular No. SEBI / SMD /SE/ 11/2003/ 31 /03 dated March 31 , 2003, Bye Law No. 356 be inserted to the Chapter No. XXI 'Miscellaneous' to provide for the following :
"Exchange would generate Unique Code for Mutual Funds and each scheme of a Mutual Funds , Foreign Institutional In- vestors ( FIIs) and their sub -accounts ."
"RESOLVED FURTHER THAT the Executive Director be and is authorised to do all such acts as are necessary for im- plementing the above Circular. "
3."RESOLVED THAT pursuant to SEBI's Circular No. SEBI/ SMD/SE/ 12/ 2003 /03/04 dated April 3. 2003 , Bye Law No. 357be inserted to the Chapter No. XXI ' Miscellaneous' to provide for the following :
"Exchange shall submit Monthly Development Report (MDR) for its Subsidiary in the format as prescribed by Se- curities and Exchange Board of India . "
"RESOLVED FURTHER THAT the Executive Director be and is hereby authorised to do all such acts as are necessary for implementing the above Circular . "
4. "RESOLVED THAT pursuant to SEBI Circular No. SEBI/EMD SE/ 13 / 2003 /10/04 dated April 10, 2003 , Bye Law No. 279A be inserted to Chapter XVI to provide for the following :
(1) The original Arbitration Award with acknowledge- ments shall be preserved permanently .

(2) Other records pertaining to abitration shall be preserv- ed for 5 years from the date of award, in case the appeal for setting aside the award is not filed till such time .
(5) The Exchange shall maintain a register wherein the brief particulars of the records destroyed alongwith the certification regarding the date and mode of destruction.
(3) In case an appeal is filed , the records shall be pre- served for five years from the date of final disposal by the Court.
