सिक्यूरिटीज कॉन्ट्रैक्टस ( रेगुलेशन ) एक्ट , 1956 की धारा 10 ( 4) के प्रावधानों के अनुसार किसी उन नियम का बनाया जाना, उसमें आशोधन करना अथवा उसमें संशोधन करना उसके पूर्व प्रकाशन की शर्त के अधीन होता है । दि स्टॉक एक्सचेंज, मुंबई के डेरिवेटिव सेगमेंट के नियमों तथा उपनियमों के आशोधित उप नियम 6.10 को अभिमत आमंत्रित करने के लिए 26 जुलाई , 2003 के भारत के आधिकारिक गजट में प्रकाशित किया गया था ।
चूंकि उपर्युक्त मामले पर कोई भी अभिमत प्राप्त नहीं हुआ है, अतएव अब स्टॉक एक्सचेंज , मुंबई के डेरिवेटिव सेगमेंट के नियमों तथा उपनियमों के आशोधित उप नियम 6.10 को निम्नलिखित रूप में प्रकाशित करता है :

6.10(क) प्रत्येक सदस्य उतनी फीस, प्रभार या अन्य राशि जमा करेगा जितनी डेरिवेटिव सेगमेंट और/ या समाशोधन गृह समय - समय पर अधिसूचित करेगा और उतने समय पर और उस प्रकार से जमा करेगा जैसा कि डेरिवेटिव सेगमेंट और/ या समाशोधन गृह द्वारा अपेक्षित हो ।

इसके अलावा इस संबंध में यह शर्त भी होगी कि यदि सेबी ( स्टॉक ब्रोकर्स और उप -ब्रोकर ) विनियम , 1992 के अनुसार उस सदस्य द्वारा सेबी को कोई राशि देय होगी या उक्त विनियमों के अंतर्गत कोई कार्यवाही लंबित रहेगी तो वह सदस्य संबंधित फीस , प्रभार या अन्य राशि प्राप्त करने का पात्र नहीं होगा ।

प्रतिभूति संविदा (विनियमन ) नियम, 1957 के नियम 18 की अपेक्षाओं के अनुसार नेशनल स्टॉक एक्चेंज के उप- नियमों में प्रस्तावित संशोधन , जैसा नीचे दिया गया है , भारत के शासकीय राजपत्र में सामान्य वारा अधिनियम , 1897 की धारा 23 के उपबंधों के अधुसार आलोचना के लिए प्रकाशित किए जाते हैं । कोई व्यक्ति उप- नियमों में प्रस्तावित संशोधन पर किन्हीं प्रेक्षणों को लिखित में राजपत्त्र में प्रकाशन की तारीख से पंद्रह दिन के अन्दर सहायक उपाध्यक्ष ( विधि ) , नेशनल स्टांक एक्सचेंज ऑफ इण्डिया लिमिटेड, एक्सचेंज प्लाजा, सी-1 , ब्लाक जी, बाँद्रा- कुर्ला काम्पलेक्स , बांद्रा ( ईस्ट) , मुम्बई-400051 को भेज सकता है । उपरोक्त तारीख के बाद प्राप्त होने वाले प्रेक्षणों पर मसौदे पर विचार करते समय ध्यान में नहीं रखा जायेगा । एक्सचेंज के उप-नियमों के अध्याय XI में मौजूदा उप-नियम ( 17) के पश्चात् उप- नियम ( 18 ) के रूप में निम्नलिखित धारा जोड़ने का प्रस्ताव है:-

( ख ) शासी परिषद् और/ या समाशोधन गृह समय -समय पर अपने विषेक से यह घोषित कर सकता है कि किसी सदस्य द्वारा डेरिवेटिव सेगमेंट और/ या समाशोधन गृह को अदा की गई कितनी फीस , प्रभार या अन्य राशि उस सदस्य की सदस्यता समाप्त हो जाने के एक वर्ष बाद वापस किए जाने योग्य है परन्तु शर्त यह होगी कि वह सदस्य डेरिवेटिव सेगमेंट के प्रति अपनी सारी देनदारियों को चुकता कर चुका हो । शासी परिषद् और/ या समाशोधन गृह यह भी घोषित कर सकता है कि ऐसी फीस , प्रभार या अन्य राशि केवल उन्हीं परिस्थितियों में और उन्हीं शर्तों पर वापस की जाएगी जो शासी परिषद् और/ या समाशोधन गृह द्वारा निश्चित की जाए । शासी परिषद और/ या समा- शोधन गृह समय- समय पर ऐसी घोषणाओं को संशो- धित था निरस्त भी कर सकता है ।
( ग ) किसी सदस्य की सदस्यता समाप्त हो जाने के बाद एक वर्ष की अवधि बीत जाने पर डेरिवेटिव सेगमेंट उस सदस्य को उतनी फीस, प्रभार या अन्य राशि वापस करेगा जिसने के लिए वह सदस्य , उपर्युक्त खंड ( ख) के अन्तर्गत शासी परिषद् या समाशोधन गृह द्वारा की गई एवं उस सदस्य की सदस्यता जारी रहने के समय लागू घोषणा के अनुभार, पात्त्र हो, परन्तु इस संबंध में शर्त यह होगी कि यदि किसी सदस्य ने कोई चूक की होगी या उसकी सदस्यता निलंबित कर दी गई होगी या उप सदस्य को डेरिवेटिव सेगमेंट की सदस्यता से बहिष्कृत कर दिया गया होगा तो वह सदस्य संबंधित फीस, प्रभार या अन्य राशि प्राप्त करने का पात्र नहीं होमा।
अपवर्जन
( 18 ) संदेहों को दूर करने के लिए एतद्वारा यह स्पष्ट किया जाता है कि एक्सचेंज को इन उपनियमों के तहत उल्लिखित व्यापार संविदा और लेन -देनों के लिए पक्ष होने का अर्थ नहीं लगाया जाएगा और इस अध्याय के उपबन्ध एक्सचेंध और किसी ट्रेडिग सदस्य के बीच दाषे , मतभेद अथवा विवाद में लागू नहीं होंगे और एक्सचेंज और किसी ट्रेडिंग सदस्य के बीच कोई मध्यस्थता नहीं होगी

Amendment to Bye- laws regarding Settlement cycle approved by the Administrator on 26-03-2003 in compliance with SEBI Circular No. SMD / POLICY/Cir - 05 /03 dated 06-02-2003 and approved by SEBI vide letter No. MRD / DSA/ UPSE/ 18096 / 2003 dated 24-09-2003
to be a Member , subject to all the obligations of the Member on the Derivatives Segment being dis- charged . The Governing Council and/or the Clear- ing Council may also declare that such fees , charges or other sums shall be refundable only in such cir- cumstances and on such terms and conditions as may be specified by the Governing Council and/or the Clearing Council and only if the Member ceases to be a Member in such manner as the Governing Council and / or the Clearing Council may specify . The Governing Council and / or the Clearing Council may also from time to time modify or revoke such declaration .
The existing Bye - law No. 22:8 (3 ) of the Bye- laws of the UPSE has been substituted by the following :-

6.10 ( a) Every Member shall pay such fees, charges and other sums as the Derivatives Segment and/ or the Clearing House may notify from time to time and in such time and manner as may be required by the Derivatives Segment ond /or the Clearing House .
As per the requirements of Rule 18 of the Securities Con- tracts ( Regulation) Rules. 1957, the proposed amendment to the Byelaws of Nation ! Stock Exchange , as given hereunder , are published for criticism in accordance with the provisions of Section 23 of the General Clauses Act, 1897 in the Offi- cial Gazette of India. Any person having any observations on the proposed amendment to the Byelaws can send the same in writing to Asstt. Vice President (Legal ) , National Stock Exchange of India Limited at Exchange Plaza , C- 1 , Block G, Bancára - Kurla Complex, Bandra ( East ) , Mumbai- 400 0551 within fifteen days from the date of this publication in the Gazette . The observations received after the afore- mentioned date will not be considered when the draft will be taken for consideration .
(b ) The Governing Council and/ or the Clearing Coun- cil may in its discretion from time to time declare any fees , charges or other sum , paid by a Member to the Derivatives Segment and / or the Clearing House as being refundable to the Member on the completion of one year of such Member ceasing

The following clause is proposed to be inserted as Bye- law ( 18 ) after the existing Byelaw ( 17) in Chapter XI of the Byelaws of the Exchange : -
under these Byelaws; and the provisions of this Chapter shall not apply in case of claims , differen- ces or disputes between the Exchange and a Trad- ing Member and no arbitration shall lie between the Exchange and a Trading Member .
