सार्वजनिक प्रतिनिधि और सेबी नामिती इन नियमों के परिशिष्ट "जे " में निर्धारित तथा सेबी द्वारा समय - समय पर संशोधित उचित व्यवहारों/ आचार संहिता के लिए दिशानिर्देशों का पालन करेंगे और उन्हें अपनायेंगे ।

सार्वजनिक प्रतिनिधियों तथा सेबी के नामिती निदेशकों के लिए उचित व्यवहार/ आचार संहिताके लिएदिशा- निर्देश

(नियम - 99A)

सार्वजनिक प्रतिनिधि /सेबी नामिती निदेशक

( A ) बैठकें तथा कार्यवृत्त

(a) बोर्ड की बैठकों में उपस्थित रहने के यथासंभव प्रयास करेगा और यदि वह गवर्निंग बोर्ड/ बोर्ड आफ डाइरेक्टर्स की लगातार तीन बैठकों में अनुपस्थित रहता है या किसी कैलेण्डर वर्ष में बोर्ड की कुल बैठकों में से 75% बैठकों में उपस्थित नहीं रहता तो उसे अपना कार्यालय छोड़ देना होगा ।

(b ) वह किसी ऐसे मामले में चर्चा में शामिल नहीं होगा जिसमें कोई हित संबंधी विरोध होता है या उठता है, चाहे वह मौद्रिक हो या अन्यथा, और ऐसे मामलों में इस बात को प्रकट किया जायेगा तथा बैठक के कार्यवृत्त में दर्ज किया जायेगा ।

(c ) जब तक परिस्थितियों की मांग न हो , वह बैठक के दौरान एजेंडा पेपर्स परिचालित करने को प्रोत्साहन नहीं देगा ।

(d ) यदि आवश्यक हो तो वे नाजुक मामलों पर विचारों का आदान-प्रदान करने के लिए 6 महीने में कम से कम एक बार अलग से मिलेंगे ।

(e ) प्रारूप कार्यवृत्त पर अपने विचार देंगे और इस बात को देखेंगे कि उन्हें अंतिम कार्यवृत्त में शामिल कर लिया गया है ।

(f) इस बात के लिए आग्रह करेंगे कि पिछली बैठक के कार्यवृत्त को अगली बैठक में अनुमोदन के लिए रखा जाता है ।

(g ) इस बात के लिए हर संभव प्रयास करेंगे कि प्रत्येक बोर्ड मीटिंग में गवर्निंग बोर्ड के अन्य सदस्यों के परामर्श से अगली बैठक की तारीख तय कर ली जाती है ।

(h ) इस बात के लिए हर संभव प्रयास करेंगे कि समय की कमी के कारण बैठक की कार्यवाही की सभी मदों को यदि शामिल नहीं किया जा सका हो तो बाकी मदों पर विचार करने के लिए 15 दिन के भीतर अगली बैठक आयोजित कर ली जाती है । 380

[भाग IV ( B ) रणनीति आयोजन

( a ) एक्सचेंज के सर्वोत्तम हित में रणनीतियों की संरचना तथा निष्पादन में हिस्सा लेगा तथा बोर्ड स्तर पर सकारात्मक निर्णय लेने की दिशा में योगदान देगा ।

( b ) एक्सचेंज को अपने अनुभव तथा विशेषज्ञता का लाभ देगा तथा जब बोर्ड बढ़ते हुए विवादों में घिरा हो तो रणनीति योजना बनाने में तथा निर्णयों को लागू करने में सहायता देगा ।

( C) विनियामक अनुपालन

( a ) यह सुनिश्चित करने का हर संभव प्रयास करेगा कि एक्सचेंज से की अधिनियम, सिक्यूरिटीज कान्ट्रैक्ट्स (विनियमन ) अधिनियम, नियमावली, उसके अन्तर्गत बनाये गये विनियमों तथा सरकार/ सेबी द्वारा समय समय पर जारी परिपत्रों , निदेशों के सभी प्रावधानों का पालन करता है ।

( b ) सभी स्तरों पर अनुपालन का हर संभव प्रयास करेगा ताकि विनियामक प्रणाली कोखामी न सहनी पड़े ।

( c ) यह सुनिश्चित करने का हर संभव प्रयास करेगा कि एक्सचेंज सुधारात्मक कार्रवाई करने के लिए सेबी द्वारा निर्धारित समय सीमा का पालन करने के लिए यथोचित कदम उठता है ।

(d ) गवर्निंग बोर्ड की किसी बैठक में लिये गये किसी ऐसे निर्णय का समर्थन नहीं करेगा जो निवेशकों के हित के खिलाफ जाता हो और वह ऐसे किसी भी निर्णय के बारे में तत्काल सेबी को सूचित करेगा ।

( e ) इस बात का हर संभव प्रयास करेगा कि एक्सचेंज के नियमों , उपनियमों तथा विनियमों के अन्तर्गत निर्धारित अवधि के भीतर मध्यस्थता पंचाट दे दिया जाता है तथा किसी भी स्थिति में , अंतिम बैठक के बाद 15 दिन के भीतर पंचाट जारी कर दिया जाता है ।

(D ) आम उत्तरदायित्व

(a ) समय का पाबंद रहेगा और बैठक की कार्यवाही में सक्रिय रूप से भाग लेगा ।

( b ) निवेशक की शिकायतों के निवारण को प्राथमिकता देगा , उचित व्यवहारों को प्रोत्साहित करेगा तथा प्रतिभूति उद्योग के सही दिशा में विकास के लिए सक्रिय भूमिका निभायेगा।

(c ) अपने ज्ञान का स्तर ऊपर उठाने तथा सुधारने के प्रत्येक उचित अवसर का लाभ उठायेगा तथा क्षमता, औचित्य , निष्पक्षता, कुशलता तथा कारगर ढंग से एक्सचेंज के मामलों का विश्लेषण करने तथा अपनाने का हर संभव प्रयास करेगा।

(d ) नियमों या संघ की अन्तर्नियमावली के अनुसार समय- समय पर एक्सचेंज द्वारा यथा अपेक्षित प्रतिभूतियों में धारिता/ लेनदेनों के आवश्यक प्रकटन/प्रस्तुत करेगा ।

(e ) जब तक विधि द्वारा अन्यथा अपेक्षित न हो, गोपनीयता बनाये रखेगा तथा अपनी ड्यूटी के निर्वाह के दौरान प्राप्त किसी सूचना को इधर उधर नहीं 381 भाग IV]

(g ) किसी भी ऐसी रुचि या गतिविधि से बचेगा जो उसके कार्यालयीन ड्यूटी को करने के विरुद्ध जाती है ।

(h ) अपना कार्य स्वतंत्र रूप में तथा वस्तुपरक तरीके से करेंगा तथा ऐसी गतिविधियों से बचेगा जो उसकी स्वतंत्रता या वस्तुपरकता में आड़े आयें या आड़े आती प्रतीत हों ।

( i ) अपना कार्य सकारात्मक नजरिये से करेगा तथा खुले संवाद, सृजनात्मकता, समर्पण और करुणा के साथ ठोस रूप में काम करेगा।

(j ) कोई भी ऐसा कार्य नहीं करेगा जो नैतिक चरित्रहीनता, बेईमानी, धोखाधड़ी, धोखेबाजी या गलतबयानी या एक्सचेंज के प्रशासन के पूर्वाग्रह के अनुसार हो । कृते द स्टाफ एक्सचेंज

126A ( a) ( i ) गवर्निंग बोर्ड , न्यायिक तथा अर्ध न्यायिक मामलों , नेमी प्रकार के सदस्यता मामलों तथा समय समय पर गवर्निंग बोर्ड द्वारा उसके पास भेजे जाने वाले किन्हीं अन्य मामलों पर विचार करने के लिए एक या अधिक कार्यपालक समितियां नियुक्त कर सकता है।

( ii ) गवर्निंग बोर्ड द्वारा नियुक्त कार्यपालक समिति ( यों ) में निम्नलिखित सदस्यहोंगे:

( a ) एक्सचेंज का कार्यपालक निदेशक तथा मुख्य कार्यपालक अधिकारी तथा एक्सचेंज का मुख्य परिचालन अधिकारी।

( b ) एक्सचेंज के ऐसे तीन सदस्य जो एक्सचेंज के सदस्यों द्वारा एक्सचेंज के गवर्निंग बोर्ड में आम चुनाव के आधार पर चुने गये हों।

( c ) लीन से अनधिक ऐसे व्यक्ति जो सेबी के नामितियों या जनता के प्रतिनिधियों के रूप में एक्सचेंज के गवर्निंग बोर्ड के सदस्य हैं ।

बशर्ते अलबत्ता, गैर कार्यपालक अध्यक्ष कार्यपालक समिति का पदेन सदस्य होगा ।

(d ) कार्यपालक समिति की अधिकतम संख्या आठ होगी ।

बशर्ते गवर्निंग बोर्ड समय समय पर कार्यपालक समिति ( यों ) में सदस्यों की संख्या बढ़ा सकता है या कम कर सकता है ।

कार्यपालक समिति ( यों ) के उपर्युक्त गठन में होने वाली कोई रिक्ति एक्सचेंज की नियमावली, उप नियमावली तथा विनियमावली के अनुसरण में इस तरह से नियुक्त व्यक्ति ( यों ) द्वारा भरी जायेगी ।

कार्यपालक समिति ( यों ) की शक्तियां

(b ) ( i ) गवर्निंग बोर्ड, नियम 126 ( a ) के प्रावधानों के अधीन, समय समय पर, एक्सचेंज के सभी कार्यों या किन्हीं कार्यों को सम्पन्न करने के लिए समिति( यों ) को इस तरह की शक्तियाँ ऐसी शर्तों पर प्रदान कर सकता है जो वह उचित समझे या इस तरह की सभी या उनमें से किन्हीं शक्तियोंको समय समय पर समाप्त कर सकता है, वापिस ले सकता है, बदल सकता है या उनमें परिवर्तन कर सकता है । 383 भारत का राजपत्र, नवम्बर 22, 2003 ( अग्रहायण 1 , 1925)

(ii )कार्यपालक समिति ( यों ) के पास इस तरह के उत्तरदायित्व तथा शक्तियांहोंगी जो उसे उन्हें गवर्निंग बोर्ड द्वारा समय समय पर प्रदान कीजायें और इनमें वे उत्तरदायित्व तथा शक्तियां भी शामिल होंगी जो इन नियमों के परिशिष्ट में दी गयी हैं ।

अध्यक्ष

(c ) गैर-कार्यपालक अध्यक्ष कार्यपालक समिति की सभी बैठकों की अध्यक्षता करेगा। यदि कोई गैर - कार्यपालक अध्यक्ष नहीं है या किसी बैठक में , उस बैठक के लिए निर्धारित समय के पन्द्रह मिनट के भीतर गैर कार्यपालक निदेशक उपस्थित नहीं होता तो कार्यपालक समिति के सदस्य बैठक के लिए अध्यक्ष के रूप में गैर- चयनित सदस्य को चुन लेंगे ।

कोरम

(d ) ( i ) जब तक विशेष रूप से अन्यथा उल्लेख न किया गया हो , कार्यपालक समिति( यों ) के लिए कोरम तीन सदस्य होगा , जिनमें से एक सदस्य गवर्निंग बोर्ड का गैर -चयनित सदस्य होगा । यदि कार्यपालक समिति की बैठक आयोजित करने के लिए निर्धारित समय के आधे घंटे के भीतर , कोरम उपस्थितनहीं होता तो उपस्थित सदस्य, बैठक आयोजित किये जाने से आधे घंटे की समाप्ति पर ही कोरम रहेंगे ।

(ii) एक्सचेंज के नियमों तथा अधिनियमों के अन्तर्गत निर्धारित कोरम की गणना करते समय कार्यपालक समिति का कोई इच्छुक सदस्य शामिल नहीं किया जायेगा जब उस सदस्य के हित के प्रश्न पर विचार चल रहा हो ।

कार्यवाही

(e) ( i ) जब तक अन्यथा प्रावधान न किया गया हो या निदेश न दिया गया हो, कार्यपालक समिति( याँ ) अपनी कार्यवाहियां उसी तरह से संचालित तथा विनियमित करेंगी जिस तरह से गवर्निंग बोर्ड की कार्यवाहियां संचालित की जाती हैं ।

( ii ) कार्यपालक समिति कारोबार निपटाने के लिए दो बैठकों के बीच 45 दिन के अधिकतम अंतराल के साथ हर कैलेण्डर माह में कम से कम एक बार मिलेगी।

( iii ) समिति के अध्यक्ष अथवा एक्सचेंज के कार्यपालक निदेशक और मुख्य कार्यपालक अधिकारी अथवा समिति के अन्य कोई दो सदस्य किसी भी समय समिति की बैठक बुलवा सकते हैं ।

( iv ) कार्यपालक समिति की बैठक में , मामले वोटों के बहुमत से तय किये जायेंगे , केवल उस स्थिति को छोड़कर जब एक्सचेंज के नियमों, उपनियमों तथा विनियमों के किसी प्रावधान के अन्तर्गत और अधिक बहुमत की जरूरत हो । यदि दोनों तरफ बराबर - बराबर वोट पड़ते हैं तो मामला गवर्निंग बोर्ड के पास भेज दिया जायेगा ।

(v ) अध्यक्ष, सामान्य रूप में कार्यपालक समिति की बैठकों की अध्यक्षता करेगा । अध्यक्ष की अनुपस्थिति में कार्यपालक समिति के उपस्थित सदस्य इस तरह की बैठक के लिए अपने बीच में से ही किसी को अध्यक्ष चुन लेंगे ।

(vi ) जहां , एक्सचेंज के कार्यपालक निदेशक तथा मुख्य कार्यपालक अधिकारी की राय में किसी मामले में तत्काल कार्रवाई की आवश्यकता है, तो एक्सचेंज

के कार्यपालक निदेशक तथा मुख्य कार्यपालक अधिकारी एक्सचेंज के नियमों , उपनियमों तथा विनियमों के अधीन कार्यपालक समिति द्वारा प्रयोग में लायी जाने वाली कोई अथवा समस्त शक्तियां इस शर्त पर प्रयोग में ला सकेंगे कि इस तरह की कार्रवाई की कार्यपालक समिति से यथाशीघ्र पुष्टि/अनुसमर्थन करा लिया जायेगा ।

(vii ) कार्यपालक समिति गवर्निंग बोर्ड द्वारा समय समय पर जारी किन्हीं निदेशों को पूरा करेगी और लागू करेगी तथा कार्यपालक समिति को यथानिर्धारित शक्तियां को सौंपे जाने तथा सीमित किये जाने के बारे में शर्तों का अनुपालन करेगी।

( viii ) ऐसे सभी मामलों में जो कार्यपालक समिति के विचारार्थ जाये जाते हैं, उसका निर्णय , चाहे संकल्प के जरिये व्यक्त किया गया हो अथवा अन्यथा, अंतिम और बाध्यकारी होगा । "

परिशिष्ट " 1" नियम 126(A ) मामले जो कार्यपालक समिति द्वारा निपटाये जा सकते हैं ।

(i) ऐसे मामले जो प्रकृति से अर्ध न्यायिक हैं , इनमें ऐसे मामले भी शामिल हैं जिन्हें न्यायिक प्राधिकरण के निदेशों के अन्तर्गत सुने जाने की जरूरत है ।

(ii) ऐसे मामले जिनमें गवर्निंग बोर्ड अपीलीय प्राधिकरण के रूप में शक्ति का उपयोग करता है ।

लेनदेनों को रद्द करने के संबंध में मामले

(iii)

(iv) सदस्यों के प्रवेश , जारी रहने तथा निलम्बन से संबंधित मामले

(v) सदस्य को चूककर्ता के रूप में घोषित किये जाने से जुड़े मामले

(vi) मध्यस्थता से जुड़े मानदण्डों, क्रियाविधियों तथा अन्य मामलों से जुड़े मामले

(vii) सदस्यों द्वारा समय समय पर एक्सजेंज को देय शुल्क, जमा, मार्जिन तथा अन्य राशियों का निर्धारण !

(viii) गवर्निंग बोर्ड के पास भेजा गया कोई अन्य मामला

(II) सुपुर्दगी महीना

फरवरी . अप्रैल, जून, अगस्त, अक्टूबर और दिसम्बर ।

(III) सुपुर्दगी अवधि

रूई बीज के रिफाइन्ड तेल के लिए सुपुर्दगी अवधि सुपुर्दगी महीने की पहली तारीख से 15 वीं तारीख तक होगी या ऐसी अन्य अवधि होगी जैसी कि निदेशक मण्डल द्वारा समय- समय पर हेज संविदा प्रारम्भ होने के पूर्व निर्धारित की जाय ।

(IV) ट्रेडिंग की इकाई / ट्रेड इकाई

एक्सचेंज के परिसर में रूई - बीज रिफाइन्ड तेल की ट्रेडिंग में निर्ख भारतीय रूपये में प्रति 100 किलो ग्राम की इकाई में होगा जो करों और अधिभारों (लेवीज ) से अतिरिक्त होगा किन्तु आयात, सीमा शुल्क और चुंगी, यदि कोई हो , की ड्यूटी उसमें सम्मिलित होगी । उद्धृत मूल्य अहमदाबाद में रूई- बीज तेल खली का अधिकारिक मूल्य माना जायेगा ।

(VI) सुपुर्दगी संविदाओं का प्रारम्भण

वायदा बाजार आयोग की अनुमति प्राप्त करने की शर्त पर एक्सचेंज निम्नलिखित सुपुर्दगी महीनों में ट्रेडिंग प्रारम्भ करने की अनुमति देगा और एक समय में ट्रेडिंग के लिए दो से अधिक संविदाएं नहीं खोली जायेंगी ।

काडी, मेहसाणा , अहमदाबाद, सुरेन्द्र नगर, राजकोट, मनावाडर, हारिज और बडोदरा ।

(IX) अन्य नगरों ( बाहर गाम) के सुपुर्दगी केन्द्रों की शर्तें

रूई बीज की तेल रहित खली के सम्बन्ध में उपविधियों 142 को 148 और 153 से 158 तक के उपबन्ध यथावश्यक परिवर्तन सहित लागू होंगे ।

(X) परिपथ- सीमा

दैनिक मूल्य में फेर -फार समय- समय पर लागू वायदा बाज़ार आयोग के आदेशानुसार होगा ।

(XI) निविदाएं और सुपुर्दगी आदेश

रूई बीज रिफाइन्ड तेल वायदा संविदा के लिए लेन- देन (सौदे) छुट्टे प्रपत्र पर की जायेगी । निविदाओं और सुपुर्दगी आदेशों के सम्बन्ध में एक्सचेंज की सामान्य उप- विधियों की उपविधियों 159 से 190 ए तक के उपबन्ध रूई बीज रिफाइन्ड के सम्बध में लागू होंगे जब तक कि इन्हें विशेष रूप से अपवर्जित न कर दिया गया हो । 391 भारत का राजपत्र, नवम्बर 22 , 2003 ( अग्रहायण 1 , 1925 )

(XII) माल के बदले भुगतान

रूई बीज रिफाइन्ड तेल की सुपुर्दगी के बाद क्रेता- विक्रेता को माल के 75 प्रतिशत मूल्य का भुगतान करेगा और शेष 25 प्रतिशत का भुगतान इन उपविधियों के अन्तर्गत तौल, उच्चताप सह्यता, गुणता और बोराबन्दी भत्तों का प्रश्न इन उपविधियों के अनुसार तय हो जाने के तत्काल बाद किया जायेगा । एक्सचेंज की सामान्य उपविधियों की उपविधि 221 , 222, 223 और 223 ए और बी के उपबन्ध रूई बीज रिफाइन्ड तेल पर लागू होगा ।

(XIII) प्रपत्र

सुपुर्दगी आदेश प्रपत्र से आशय ऐसे सुपुर्दगी आदेश प्रपत्र से है जो एरण्ड बीज और रूई बीज के लिए प्रयुक्त होते हों और एक्सचेंज की सामान्य उपविधियों के साथ संलग्न हों ।

(XIV) अन्य

एक्सचेंज के सामान्य नियमों में यह परिवर्द्धन एक्सचेंज की सामान्य उपविधियों का हिस्सा होगा और रूई बीज रिफाइन्ड तेल वायदा संविदा पर सामान्य उपविधियों के सभी उपखण्डों के उपबन्ध लागू होगें, उनको छोडकर जिनको यहाँ स्पष्ट रूप से विनिर्दिष्ट किया गया है ।

रूई बीज खली के सम्बन्ध में संविदा -विशिष्टीकरण

(1) संविदा/ सुपुर्दगी महीना

रूई बीज की तेल रहित खली के सम्बन्ध में उपविधियों 142 को 148 और 153 से 158 तक के उपबन्ध यथावश्यक परिवर्तन सहित लागू होंगे ।

बोराबन्दी (बैगिंग)

रूई बीज खत्ली में वायदा संविदाओं के लिए लेन-देन (सौदे) बोरा सहित माल के लिए होंगे और प्रत्येक बोरा 55 किले म से 60 किलोग्राम वजन का होगा और खाली बोरा (गनी बैग) 750 ग्राम वजन से कम का न हो औ रूई बीज खली की वायदा संविदाओं पर उपविधि 129 (ए), (बी), (सी), (एफ), (जी) और (एच) लागू होंगी ।

एक्सचेंज के सामान्य नियमों ( जनरल लाज) में यह परिवर्द्धन एक्सचेंज की सामान्य उपविधियों और रूई , बीज , खलीदा संविदाओं सम्बन्धी एक्सचेंज की सामान्य उप विधियों के सभी उपबन्धें की व्यवस्थ काह। उसके अतिरिक्त जिसे यहां स्पष्ट रूप से विनिर्दिष्ट किया गया है । 395 भाग IV ]

(X) परिपथ---सीमा

दैनिक मूल्य में फेर- फार के लिए परिपथ सीमा समय -समय पर लागू वायदा बाजार आयोग के आदेशानुसार होगा ।

(XI ) निविदाएं और सुपुर्दगी आदेश

निविदाओं और सुपुर्दगी आदेशों के सम्बन्ध में एक्सचेंज की सामान्य उप - विधियों की उपविधियों 159 से 190 ए तक के उपबन्ध रूई बीज रिफाइन्ड के सम्बन्ध में लागू होंगे जब तक कि इन्हें विशेष रूप से अपवर्जित न कर दिया गया हो ।

(XII) माल के बदले भुगतान

रूई बीज खली की सुपुर्दगी के बाद क्रेता- विक्रेता को माल के 75 प्रतिशत मूल्य का भुगतान करेगा और शेष का भुगतान इन उपविधियों के अन्र्तगत तौल, उच्चताप सह्यता, गुणता और बोराबन्दी भत्तों का प्रश्न इन उपविधियों के अनुसार तय हो जाने के तत्काल बाद किया जायेगा । एक्सचेंज की सामान्य उपविधियों की उपविधि 221 , 222, 223 और 223 ए और बी के उपबन्ध रूई बीज रिफाइन्ड तेल पर लागू होगा ।

(XIII) प्रपन्न

सुपुर्दगी आदेश प्रपत्र से आश्य ऐसे सुपुर्दगी आदेश प्रपत्र से है जो एरण्ड बीज और रूई बीज के लिए प्रयुक्त होते हों और एक्सचेंज की सामान्य उपविधियों के साथ संलग्न हों ।

(XIV) अन्य

एक्सचेंज के सामान्य नियमों में यह परिवर्द्धन एक्सचेंज की सामान्य उपविधियों का हिस्सा होगा और रूई बीज रिफाइन्ड तेल दायदा संविदा पर सामान्य उपविधियों के सभी उपखण्डों के उपबन्ध लागू होगें, उनको छोडकर जिनको यहाँ स्पष्ट रूप से विनिर्दिष्ट किया गया है । [भाग IV 396

(डेफिनेशन क्लाज)

(1) विद्यमान उपखण्ड 1 (28 ) को निम्न प्रकार से संशोधित किया जायेगा "बोरा " से तात्पर्य ऐसे बोरा से है जो रूई बीज भरे जाने पर 55 से 65 किलो ग्राम तक का हो और जब ऐरण्ड बीज से भरा हो तब वजन 75.5 किलोग्राम तक का हो और जब रूई बीज तेल रहित खली से भरा हो तब वजन 55 से 60 किलोग्राम तक का हो ।

(II) उपखण्ड 1 (42) के बाद निम्नलिखित नये उपखण्ड जोडे जायें: -

(एक) 1 (43) "जिन्स" (कमोडिटी) से तात्पर्य उस सभी माल से है और उसके सभी व्युत्पन्न माल (डेरिवेटिब्ज) से है जिसके लिए आयोग / केन्द्र सरकार से विशिष्ट अनुमोदन (स्पेसिफिक एप्रूवल) प्राप्त कर लिया गया है ।

(दो) 'अनुमोदित प्रयोगशाला' से तात्पर्य ऐसी प्रयोगशाला से है जिसे एक्सचेंज द्वारा इन उपविधियों में निर्धारित विशिष्टीकरणों के अनुसार सुपुर्दगी योग्य माल के प्रमाणन के लिए अनुमोदित किया गया हो।

(तीन) 1 (45) प्रमाणित या अनुमोदित भण्डार गृह / वेयर हाउस

भण्डार गृह / वेयर हाउस से तात्पर्य ऐसी संरचना से है जिसकी प्लिन्थ हो, छत हो और लगातार बाहरी दीवालें हों और / या बेसयुक्त टेंक हो, अगल- बगल और छत बन्द हो और इसमें ऐसी कोई भी अन्य संरचना ग्राह्य है जिसे इस सम्बन्ध में बोर्ड से अनुमोदन प्राप्त हो । 397 भारत का राजपत्र, नवम्बर 22, 2003 ( अग्रहायण 1, 1925 )

(चार) प्रमाणित या अनुमोदित वेयर हाउस

प्रमाणित या अनुमोदित वेयर हाउस से आशय ऐसा भण्डार गृह / वेयर हाउस है जिसे एक्सचेंज द्वारा अनुमोदन प्राप्त हो और जो विभिन्न जिन्सों (कर्माडिटीज ) के लेन- देन (सौदे) से उत्पन्न संविदात्मक बाध्यताओं के सम्बन्ध में सुपुर्दगी देने और सुपुर्दगी प्राप्त करने के लिए अभिकल्पित किया गया हो ।

(पांच) 1 (46 ) संविदात्मक / ट्रेड / सौदे

संविदात्मक / ट्रेड / सौदे से तात्पर्य ऐसे लेन - देन (सौदे) से है जिसका निष्पादन एक्सचेंज के परिसर में दो सदस्यों के बीच किया गया हो या एक्सचेंज द्वारा उपलब्ध कराये गए स्क्रीन आधारित ट्रेडिंग पद्धति द्वारा किया गया हो और जो सौदा विशिष्ट संविदा महीना के लिए किसी माल की निर्धारित मात्रा के क्रय या विक्रय से सम्बन्धित हो । सभी चारों निबन्धन (टर्स) एक- दूसरे के स्थान पर (इन्टरचेन्जेबली) प्रयुक्त हैं ।

(छह) 1 (47) सौदे की पर्चियाँ (डील स्लिप्स) से आशय ऐसे ट्रेड प्रपत्रों से है जिसमें एक्सचेंज की ट्रेडिंग रिंग में सौदा निष्पादित करने का विवरण दिया गया हो और जिस पर पक्षों ( पार्टीज) द्वारा हस्ताक्षर किया गया हो ।

(सात) 1 (48) सुपुर्दगी केन्द्र से तात्पर्य प्रत्येक जिन्स (कमोडिटी) के सम्बन्ध में विनिर्दिष्ट स्थानों से है जहां नेट पोजीशन धारक को सुपुर्दगी देना बाध्यकारी होगा ।

(आठ) 1 (49) शासी कानून (गवर्निंग लाज) से तात्पर्य भारतीय कानूनों जिनका न्याय क्षेत्र उच्च न्यायालय , अहमदाबाद । भारत का सर्वोच्च न्यायालय हो , से होगा ।

(नौ) 1 (50) ' गारण्टी फण्ड' से तात्पर्य एक्सचेंज द्वारा एक्सचेंज की आर्थिक अखण्डता को सुदृढ़ करने के लिए बनाये गये कोष (फण्ड) से है और जिसे किन्हीं सदस्यों के अपने [भाग IV भारत का राजपत्र, नवम्बर 22, 2003 ( अग्रहायण 1 , 1925 )

वित्तीय दायित्वों का निर्वहन न करने की स्थिति में इन सदस्यों के दायित्वों की पूर्ति करने के लिए उपयोग किया जायेगा ।

(X) 1 (51 ) "अहमदाबाद" से तात्पर्य तथा सन्दर्भ गुजरात राज्य के अहमदाबाद नगर से है जिराका विस्तारण अहमदाबाद के म्यूनिसिपल सीमा तक होगा ।

(XI) 1 (52) व्यक्ति (परसन) से तात्पर्य जिसमें कोई बैंक, वित्तीय संस्थान और साथ ही साथ कोई व्यक्ति, फर्म, अविभाजित हिन्दू परिवार और संगठित निकाय चाहे वह भारत मे या बाहर संगठित ही या न हो यो सहकारी समिति, ट्रस्ट या अन्य कोई संगठन सम्मिलित है, से हैं ।

(XII) 1 (53) "स्क्रीन आधारित ट्रेडिंग' से आशय इलेक्ट्रानिक ट्रेडिंग प्रणाली से है जैसी कि एक्सचेंज द्वारा ट्रेडिंग समाशोधन और निपटान जोखिम की व्यवस्था के लिए और वायदा संविदाओं के सम्बन्ध में निरीक्षण (सर्विलेन्स) से है ।

(XIII ) 1 (54) "भण्डारण टैंक से तात्पर्य ऐसी संरचना से है जिसे सुपुर्दगी ओदशों के माल की सुपुर्दगी देने के लिए तेल का अधिक मात्रा में भण्डारण करने के लिए निर्मित किया जाय ।

(XIV) 1 (95) "व्यापार प्रांगण (ट्रेडिंग रिंग) / ट्रेडिंग फ्लोर से आशय ऐसे स्थान से है जिसे संभय- समय पर बोर्ड निर्धारित करे और जिसे अनुमोदित संविदाओं में ट्रेडिंग के लिए आरक्षित स्थान के रूप में बोर्ड द्वारा अधिसूचित किया जाय ।

(XV) 1 (56 ) 'ट्रेडिंग प्रणाली से तात्पर्य ऐसी प्रणाली से है जिसका अनुमोदन एक्सचेंज द्वारा एक्सचेंज के व्यापार प्रांगण (ट्रेडिंग रिंग) व्यापार/ लेन- देन (सौदे) के संचालन के लिए किया जाए ।

(XVI ) वेयर हाउस रसीद एक ऐसा कागजात है जिसे समय- समय पर एक्सचेंज द्वारा निर्धारित तरीके और प्रपत्र पर प्रमाणित वेयर हाउस द्वारा जारी किया जाय और जो दायदा संविदाओं के संविदात्मक दायित्वों को पूरा करने के लिए एक्सचेंज के समाशोधन गृह 399 भारत का राजपत्र, नवम्बर 22 , 2003 ( अग्रहायण 1 , 1925 )

समिति द्वारा जारी सुपुर्दगी आदेश के अनुरूप प्रभाजन (एपोर्शनमेण्ट) के लिए सुपुर्दगी योग्य जिन्सों की उपलब्धता का निष्कर्षात्मक प्रमाण का उद्देश्य पूरा करे ।

* सभी संविदाएं भारतीय रुपयों में उद्धृत की जायें ।

* जिन्सों की परिपथ फिल्टर सीमा (सर्किट फिल्टर लिमिट) 3 प्रतिशत होगी या जैसा समय- समय पर वायदा बाजार आयोग द्वारा निर्देशित किया जाय ।

* वायदा ट्रेडिंग के लिए प्रत्येक संविदा की 'टिक साइज' रुपये 0.25 है ।

* प्रत्येक जिन्स में ट्रेडिंग की इकाई एक मीट्रिक टन है । ट्रेडिंग 1 मीट्रिक टन के गुणन (मल्टीपल) में सम्भव है । इससे विषम (आड) लाट नें ट्रेडिंग की अनुमति नहीं है ।

* किसी भी संविदा के लिए न्यूनतम ओदश का आकार एक मार्केट लाट होगा और अधिकतम 200 गुना मार्केट लाट होगा।

* परिपथ सीमा (सर्किट लिमिट) के लिए आधार भूत मूल्य (बेसिस प्राइस) प्रत्येक संविदा के लिए पूर्ववर्ती दिन के बन्दी के समय का आधिकारिक मूल्य होगा । यदि किसी जिन्स में ए ० सी० ई० पर किसी दिन ट्रेडिंग न हुई हो तो उसके पहले के दिन के अन्तिम बार के बन्दी का अधिकारिक मूल्य होगा ।

* बन्दी के समय का आधिकारिक मूल्य ट्रेडिंग सत्र के अन्तिम 30 मिनटों में किए गए ट्रेड का औसत वेटेज होगा । यदि अन्तिम 30 मिनटों में हुए ट्रेड की संख्या 5 से कम है तो बन्दी समय का आधिकारिक मूल्य उत्त दिन के अन्तिम पांच ट्रेडों का वेटेज औसत होगा। यदि पूरे दिन में किए गए ट्रेडों की संख्या पांच से कम हो तो बन्दी के समय का आधिकारिक मूल्य दिन में किए गए सभी ट्रेडों का वेटेज औसत होगा ।

* सुपुर्दगी इकाईः सुपुर्दगी इकाई 10 मीट्रिक टन होगी। और यह टेण्डर और सुपुर्दगी के सम्बन्ध में विनिर्दिष्ट प्रक्रिया की शर्त पर होगा ।

Guidelines for Fair Practices/ Code of Conduct for Public Representative and SEBI Nominee Directors

Public Representative/ SEBI Norninee Director shall

Meetings & minutes (A)

(a) endeavour to attend all the board meetings and shall be liable to vacate his office if he rernains absent for three consecutive meetings of the Governing Board /Board of Directors or does not attend 75% of the total meetings of the Board in a calendar year.

(b) not participate in the discussion of any subject matter in which any conflict of interest exists or arises , whether pecuniary or otherwise , and in such cases the sarne shall be disciosed and recorded in the minutes of the meeting.

(c) not encourage the circulation of agenda papers during the meeting , unless circumstances require .

(d) meetthemselves at least once in 6 months separately, if necessary , to exchange views on critical issues .

(e) offer their cornrnents on the draft minutes and ensure that the sarne are incorporated in the final minutes .

(f) insist on the rninutes of the previous meeting being placed for approval in subsequent meeting.

(g) endeavour to have the date of next meeting fixed at each Board Meeting in consultation with other mernbers of the Governing Board.

(h) endeavour that in case where all the items of the agenda of a meeting were not covered for want of tirne , the next meeting is held within 15 days for considering the rernaining iterns .

(3) Strategic Planning

(a) participate in the formulation and execution of strategies in the best interest of the exchanges and contribute towards pro - active decision making at the Board level .

(b) givebenefit of his experience and expertise to the Exchange and provide assistance in strategic planning and execution of decisions when the Board is in the throes of a raging controversy.

Regulatory Compliances (C)

endeavour to ensure that the Exchange abidesby all the provisions of the SEBI Act , Securities Contracts (Regulation) Act, Rules , Regulations framed thereunder and the circulars, directions issuedby the Government/SEBI from time to time.

(b) endeavour compliance at all levels so that the regulatory system does not suffer any breaches .

(C) endeavour to ensure that the Exchange takes commensurate steps to honour the time limit prescribed by SEBI for corrective action .

(d) not support any decision in the meeting of the Goveming Board which may adversely affect the interest of investors and shall report forthwith any such decision to SEBI .

(e) endeavour that the arbitral award is given within the period stipulated in the Rules, Bye-laws and Regulations of the Exchange and in any case , the award is delivered withi 15 days after the final meeting .

(D) General esponsibility

(a) be punctual and participate actively in the proceedings of the Meetings.

(b) place priorityfor redressing Investor Grievance , encourage fair trade practice , to become engine for the right growth of the securities industry.

(c) akeuse of every reasonable opportunity to enhance and improve his level of powle: e and endeavour to analyse and administer the exchange issues with cress.onal competence , fairness , impartiality, efficiency and effectiveness.

(d) mit the necessary disclosures/statement of holdings/dealings in securities as required by the Exchange from time to time as per their Rules or Articles of Association .

(e) unless otherwise required by law, maintain confidentiality and shall not divulge/disclose any information obtained in the discharge of their duty. Further, no such information shall be used for personal gain .

EXECUTIVE COMMITTEE

Constitution

126A (a) ( i ) The Governing Board may appoint one or more Executive Committees to consider judicial and quasi judicial matters, membership matters of routine nature and any other matters referred to it by the Coverning Board from time totime.

( ii) TheExecutive Committee (s) appointedby the Goveming Board shall consist of:

(a) Executive Director & Chief Executive Officer of the Exchange and the Chief Operating Officer of the Exchange .

(b) Tinee members of the Exchange who have been elected onn general election basis to the Goveming Board of the Exchange by the members of the Exchange.

(c) Persons not exceeding three who are members of the Goveming Board of the Exchange as SEBI Nominees or Public Representatives .

Provided however that the Non - Executive Chairman shall be an ex- officio member of the Executive Committee

(d) The maximum strength of the Executive Committee shall be eight .

Provided that the Governing Board may from time to time increase or reduce the number of members of the Executive Committee(s) .

Any vacancy in any of the aforesaid constituents of the Executive Committee( s) shall be filled in by a similarly appointed person (s) in accordance with the Rules , Bye- laws and Regulations of the Exchange .

Powers of the Executive Committee ( s )

(i )

(b)

The Goveming Board may, subject o the provisions of Rule 126 (a ) , delegate, from time to time, to the Executive Committee (s) such of the powers vested in it and upon such terms as it may think fit , to manage all or any of the affairs of the Exchange and may from time to time revoke, withdraw, alter or vary all or any of such powers .

(ii) TheExecutive Committee (s) shall have such responsibilities and powers as may be delegated to it by the Goveming Board from time to time which may inter- alia include the responsibilities and powers as set out in Appendix " I " to these Rules.

Chairman

(c) The Non - Executive Chairman shall preside at all the meetings of the Executive Committee. If there is no Non-Executive Chairman or if at any meeting the Non- Executive Chairman be not present within fifteen minutes of the time appointed for such meeting the members of the Executive Committee present shall choose a non- elected member as the chairman of the meeting.

Quorum

(d) (i) Unless otherwise specifically provided , the quorum for the Executive Committee(s) shall be three members out of which atleast one member shall be a non elected member of the Goveming Board . If within half an hour from the time appointed for holding a meeting of the Executive Committee , a quorum is not present, the members present on the expiry of half an hour from the time appointed for holding the meeting shall be the quorum .

(ii) An interested Member of the Executive Committee shall not be included when counting the quorum prescribed under the Rules and Bye - laws of the Exchange fordealing with the question in which the Member is interested.

Proceedings

(e) (i) Unless otherwise provided or directed , the Executive Committee (s) shall conduct and regulate its proceedings in the same manner as the Goveming Board.

( ii) The Executive Committee shall meet at least once in every calendar month for the despatch of business with a maximum gap of 45 days between two meetings.

( iii) The Chairman of the Committee or the Executive Director and Chief Executive Officer of the Exchange or any two members of the Committee may at any time convene a meeting of the Committee.

( iv) In a meeting of the Executive Committee , the issues shall be decidedby the majority of votes cast except in cases where a larger majority is required under any provision of the Rules , Bye - laws and Regulations of the Exchange . In case of an equality of votes , the matter willbe referred to the Goveming Board.

(v) The Chairman shall normally preside over all the meetings of the Executive Committee. In the absence of the Chairman the members of the Executive Committee present shall elect one among themselves as the Chairman of such meeting.

Director and Chief Executive Officer of the Exchange will be entitled , subject to the Rules , Bye - laws and Regulations of the Exchange ,to exercise any or all of the powers exercisableby the Executive Committee , subject to such action being confirmed/ratified by the Executive Committee at the earliest.

These Rules for Cottonseeds refined oil be termed as the general rules for the underlying commodity and shall be applicable for clearing settlement and trading in respect of the future trading conducted and regulatedby Ahmedabad Commodity Exchange Ltd. These Rules shall be subject to the provisions of the Articles of Association and General bye laws of the Exchange . These Rules shall be effective from the date of its approval by the Forward Market Commission.

QUALITY SPECIFICATION

The maximum level of refractive index shall be 1.4620 to 1.4660 or such other level as maybe decided by the Board of directors from time to time . Unsaponiable matter

The level of unsaponible shall notbe more than 1.5%by weight , or such other level as may be decided by the Board of directors from time to time . LODINE VALUE

The maximum level of lodine value shall notbe more than 98 to 112 , or such other level as may be decided by the Board of directors from time to time . MODIFICATION TO CONTRACT SPECIFICATIONS

Notwithstanding any provision contained in the contract specification relating to the quality allowance in respect of cottonseeds refine oil may be modifiedby the Board of directors in consuitation of the clearing house committee provided that no specification can be changed or modified in respect of contracts which have already been opened for tradingby the exchange .

Every member of the exchange shall , on the next working day , not later than 1 pm Pay in to the margin settlement account of the Exchange maintained with any schedule bank that may be decided upon by the Board of Directors of the Exchange , such amount of margin as may be decided by the Board of the Directors of the Exchange from time to time on net open outstanding position of the members at the closure of previous days' trading hours in respect of the future contract and such margin money with exchange shall not carry any interest thereon . With the exception of the above para provision of Bye Laws 290, 290A ( 1 ) , (2) , ( 3 ) , (4), (5) shall be applicable to the Cottonseeds refined oil future contract .

TENDERS AND DELIVERY ORDERS

The transactions for the cotton seeds refined oil future contract shall be in loose form The provisions bye laws 159 to 180A of the General Bye laws of the Exchange in respect of tenders and delivery orders shall be applicable to the cotton seeds refined except these are specifically excluded.

SURVEY AND SAMPLING

The provisions relatingto the survey bye laws 194 to 201 and 212 to 215 shallbe applicable to the cottonseeds refined oil future contracts and the Board of directors shall have power to establish sampling procedure and methods.

PAYMENTS AGAINST GOODS

The buyer shall pay to the seller upon delivery of the cottonseed refined oil 75% of the price of the goods and the balance shallbe paid immediately after the question of weight, refraction , quality and bagging allowance has been settled according to the bye laws. And provisions of 221,222 223 and 223Aand B of the General bye laws of the exchange shall be applicable to the cotton refined oil .

MOISTURE CONTENT

The maximum に MOISTURE shall be 10% , or such other level as may be decided by the Board of directors from time to time . A seller is required to give allowance if it is in the range of 10% to 12% @ % , however if it goes beyond the above stated level an allowance or rejection may be decided by the president and vice president in consultation with the clearing house committee .

FIBRE

The maximum level of fibre shall be 14 % , or such other level as may be decided by the Board of directors from time to time . A seller is required to give allowance if it is in the range of 14 % to 18% @ 4% , however if it goes below the above stated level an allowance or rejection may be decided by the president and vice president in consultation with the clearing house committee.

CASTOR MIX

The free level of castor mix shall be .001 % , or such other level as may be decided by the Board of directors from time to time . A seller is required to give allowance if it is in the range of .001 % to .002% @ 0.75% , if it is in the range of 0.002 to 0.005 % @ 1 % however if it goes beyond the above stated level an allowance or rejection may be decided by the president and vice president inconsultation with the clearing house committee .

MODIFICATION TO CONTRACT SPECIFICATIONS

Notwithstanding any provision contained in the contract specification relating to the quality allowance in respect of cottonseeds oil cake may be modified by the Board of directors in consultation of the clearing house committee provided that no specification can be changed or modified in respect of contracts which have already been opened for trading by the exchange .

This addendumto the Generalbye Laws of the Exchange shallform part of the General Bye laws of the Exchange and provisions of the all the clause of the General Bye Laws of the Exchange to the Cottonseeds oil Cake future contract except as expressly provided herein .

413 Definition clause

The existing cluse 1 (28) shall be amended as under

Bag means " a bag weighing 55 to 65 kgs when filled with cotton seeds and weighing 74.5to 75.5 kgs . When filled with castorseeds and weighing 55 to 60 kgs when filled with cottonseeds deoiled cake .

Following 1 (43 ) as new clause shail be added after clause 1 (42)

1 (43) Commodities means all commodities and their derivatives for which specific approval has been obtained from the Commission / Central Government.

1 (44) " APPROVED LABORATORY : means a laboratory approved as such by the Exchange for certifying the deliverable commodities as per the specification prescribed in this bye laws .

1(45) CERTIFIED OR APPROVED WAREHOUSE :

GODOWN /WAREHOUSE: means a structure having a plinth , roof, and continuous extemal walls and/ or tank with a base , closed sides and top and includes any other structure approved in this behalf by the board .

CERTYIFIED OR APPROVED WARE HOUSE: means a godown/warehouse approved by the exchange and designated as such for making deliveries to and taking deliveries from in respect of contractual obligation arising out of transactions in different commodities.

1 (46) CONTRACT/ DEAL/TRADE/TRANSACTION : means a transaction executed between two members on the exchange floor or though through the screen based trading systems providedby the exchange to bye or seli a specified quantity of a commodity at a specified price for specified contract month . All four terms are used interchangeably .

1 (47) DEAL SLIPS : means trades forms describing thedetails of the trade executed in the trading ring of the exchange and signed by the parties .

1(48): Delivery centers : means specified places with respectto the each commodity at which the members having net sale position shall be obliged to tender the delivery.

1 (49) Governing law : means the indian laws under the jurisdiction of high court , Ahmedabad / the supreme court India.

1(50) Guarantee Fund : means the furid createdby the Exchange to strengthen the financial integrity of the Exchange and to be used to honour obligation of the members in the event of failure of any member to meet his financial obligation.

1(51) Ahmedabad means and refers to the city of Ahmedabad in the state of Gujarat which extends up to the municipal limit of Ahmedabad.

1(52) Person means and includes any bank , financial institution , as well as individual , firm , Hindu undivided family and body corporate whether incorporated or not in India or out side co operative society , trust or any other organization.

1 (53) Screen based trading : refers to the electronic trading system as may be provided by the exchange for the purpose of trading clearing and settlement risk management and surveillance in respect offuture contracts.

1(54) storage tank : means a structure erected to store oils in bulk for giving deliveries against delivery orders tendered.

1 (55) : Trading ring/ trading floor means such spaces as the Board may from time to time determine and which shall be notified by the Board as reserved for trading in the approved contracts.

1 (56) Trading System means the systems approved by the exchange in conducting business /transactions in the trading ring of the exchange .It may an open out cry system or a screen based trading system.

1(57) Warehouse receipt is a document issued by a certified ware house in the manner and form stipulated by the exchange from time to time which serves as conclusive proof as to the availability ofdeliverable commodities for apportionment as per the delivery order released by the clearing house committee of the exchange in fulfillment of the contractual obligation of the future contracts.

The circuitfilter limit for commodities shall be 3 % such other limit as may directed by the Forward Market commission from time to time .

Thetick size for each contract is Rs . 0.25 for future trading .

The unit of trading is one matric ton in all commodities. The trading is possible in multiple of1MT . odd lot trading is not allowed .

The minimum order size for any contract is one market lot and the maximum is 200 times the market lot.

The base price for the purpose of the Circuit filter limit is the official closing price of the previous day for each contract. If the trading has not taken place in any commodity on A CE on any given day, the latest official closing price of earlier day is considered.

Theofficial closing price is the weighted average price of the trades executed during the last 30 minutes of the trading session . If during the last 30 minutes, the number of trades is less than 5 then the official closing price is the weighted average of last five trades during the day. If the number of trades done during the day is less than five then the official closing price is the weighted average of all trades done during the day.

Delivery unit shall be 10 MT . And shall be subject to specified procedure in respect of Tenders and Delivery .
